A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OP
MIAMI BEACH, FLORIDA, ACCEPTING THE RECOMMENDATION OF THE
FINANCE AND ECONOMIC RESILIENCY COMMITTEE AT ITS DECEMBER 20,
2024 MEETING TO DIRECT THE ADMINISTRATION TO NEGOTIATE A
SPECIAL EVENT SPONSORSHIP AGREEMENT (SPONSORSHIP
AGREEMENT) WITH THE GREATER MIAMI SPORTS COMMISSION, INC.
(FIFA HOST COMMITTEE) FOR 2026 FIFA WORLD CUP•RELATED EVENTS
IN MIAMI BEACH, SUCH SPONSORSHIP AGREEMENT TO INCLUDE: (1) A
MAXIMUM CASH SPONSORSHIP CONTRIBUTION OF $1.5 MILLION, (2) A

FUNDRAISINCa, TOWARD THE COST OF BUILDING A HIGH-QUALITY
SOCCER FIELD WITHIN THE CITY; AND FURTHER, AUTHORIZING THE CITY
MANAGER TO FINALIZE THE SPONSORSHIP AGREEMENT CONSISTENT
WITH FURTHER DIRECTION PROVIDED BY THE MAYOR AND CITY
COMMISSION, IF ANY; AND FINALLY, AUTHORIZING THE CITY MANAGER
AND CITY CLERK TO EXECUTE THE SPONSORSHIP AGREEMENT IN A
FORM ACCEPTABLE TO THE CITY ATTORNEY.
WHEREAS, the Federation Intemationale de Football Association ("FIFA") World Cup
2026 will be the 23rd edition of the FIFA World Cup, the world's premiere international football
(soccer) tournament and will be held jointly in three host countries for the first time in history: the
United States, Canada and Mexico; and
WHEREAS, for the FIFA World Cup 2026, Miami-Dade County is set to host seven (7)
matches at Hard Rock Stadium in Miami Gardens including group stage games, a quarte�nal
game, and the third-place Final match, all currently scheduled between June 15, 2026, and July
18, 2026 (the "Miami Matches"); and
WHEREAS, the Host Committee has been selected by FIFA to serve as a host
organization for FIFA World Cup 2026 in South Florida and is engaged in promoting, advertising
and marketing Miami as a host city for FIFA World Cup 2026 and other activities related thereto
(collectively, the "Host CommitteeActivities"); and
WHEREAS, in addition to the Miami Matches, other venues in Miami-Dade County—such
as Bayfront Park in Miami, and Barry University in Miami Shores—are expected to hold events
and activities related to the FIFA Worid Cup 2026; and
WHEREAS, in connection with FIFA World Cup 2026, the Host Committee desires to
organize a Kickoff Concert (as defined below) that would be free and open to the public and take
place on the Lummus Park beachfront; and
WHEREAS, the Host Committee shall designate the City of Miami Beach (or a portion
thereo� as an official Host Committee watch party location for FIFA World Cup 2026; and
WHEREAS, the Host Committee will work to leverage fundraising and sponsorship efforts
to offset the City's cost to build a high-quality soccer feld within the City to provide accessible
spaces to youth and promote community engagement in sports; and
WHEREAS, the City desires to sponsor Host CommitteeActivities relating to FIFA World
Cup 2026 events scheduled to take place in and around the City of Miami Beach beginning on
June 15, 2026, and continuing through July 18, 2026 (collectively, the "Events"), as delineated
more fully in Exhibit "A" of the sponsorship agreement attached to this Resolution (the
"Agreement"); and
WHEREAS, pursuant to the Agreement, the City will agree to establish two (2) zones of
exclusivity, the effective term and duration of which shall run from June 4, 2026, through July 20,
2026 (as such period may be eztended by the mutual written agreement of the parties, the"Event
Dates"), with the frst zone being generally bounded by 22nd Street to the north; by Sth Street to
the south; by Jefferson Avenue(between Dade Blvd and 15th Street) and by Washington Avenue
(between 15th Street and 5th Street) to the west; and by the Atlantic Ocean to the east, as
depicted in Exhibit"C"to the Agreement(the"South Beach Clean Zone") and (ii)the second zone
being generally bounded by 75th Street to the north; by 70th Street to the south; by Harding
Avenue/Abbott Avenue to the west; and by the Atlantic Ocean to the east, as depicted in Exhibit
"C" to the Agreement (the "North Beach Clean Zone" and, together with the South Beach Clean
Zone, the"Clean Zone"); and
WHEREAS, in the Agreement, the City will agree that, from and after its effective date and
through the end of the Event Dates, it shall not issue a special event permit for the use of public
property in connection with an event other than an Excluded Event(as defined in the Agreement)
that promotes, directly or indirectly, any sport or other event which is competitive with the FIFA
World Cup 2026; and
WHEREAS, "Excluded Events" is defined in the Agreement to mean the following: (a)
Miami Beach Pride Concert taking place in Lummus Park prior to June 11, 2026; (b) American
Black Film Festival; (c) City of Miami Beach Juneteenth celebration provided the City shall not
enter into a sponsorship agreement for this event that includes the South Beach Clean Zone
without Host Committee's consent, not to be unreasonably withheld; (d) City of Miami Beach
Fourth of July celebration in Altos Del Mar Park; and (e) City of Miami Beach Fourth ot July
celebration in Lummus Park provided the City shall not enter into a sponsorship agreement for
this event that includes the South Beach Clean Zone without Host Committee's consent, not to
be unreasonably withheld; and

WHEREAS, the Host Committee will agree in the Agreement to use good faith efforts to
raise sufficient sponsorships from third parties to produce the Kickoff Concert or a closing concert
on the Lummus Park beachfront, and if such a Kickoff Concert or closing concert is produced, the
Host Committee shall designate the front section of the general admission area oF the Kickoff
Concert for City of Miami Beach residents on a frst-come first-served basis; and
WHEREAS, the Host Committee will agree in the Agreement (a) to submit requests to
FIFA that Lummus Park be designated and serve as an official remote broadcast location (i.e.
Media Row) in Miami Dade County for live FIFA Worid Cup 2026 broadcasts and (b) to actively
promote and channel media toward media row in the City through:
i. Inclusion in FIFA's Media Portal and "Know Before You Go" guides;
ii. Distribution in official press kits and (Host Committee owned)accreditations; provided,
however, the Host Committee is not responsible for FIFA World Cup 2026
accreditations;
iii. Featuring Ocean Drive in formal media workshops (first planned for September 2025)
and familiarization tours; antl
iv. Collaboration with the Greater Miami Convention and Visitors Bureau to coordinate
site visits in advance of FIFA World Cup 2026; and
W HEREAS, in the Agreement, Host Committee will agree, subject to the terms, conditions,
provisions and requirements of Host Committee's current and future agreements with, antl
obligations to, FIFA, and Host Committee's rights set forth therein, whether or not evitlenced by a
mutually executed written agreement, as such agreement(s), obligation(s), and right(s) may be
amended or modified from time to time ("Host Committee FIFA Rights and Obligations"), to
designate the City of Miami Beach(or a portion thereo�as an officia!Host Committee watch paRy
location for FIFA World Cup 2026 in Miami-Dade County and shall hold such watch parties in the
North Beach and/or South Beach area of the City of Miami Beach at locations to be approved by
the City ("North Beach Watch Parties and/or South Beach Watch Parties"), which watch parties
shall be free and open to the public; and
WHEREAS, in the Agreement, the Host Committee will agree to use good faith efforts to
reise sufficient sponsorshfps from third parties to contribute toward the City's cost to build a high-
quality soccer field within the City for youth and community engagement in sports, suhject to Host
Committee's funqraising activity and ability to secure a private-sector sponsor in accordance with
the City's rules and procedures; and
WHEREAS, the Host Committee will agree in the Agreement to use commercially
reasonable efforts to arrange tor a FIFA "legend" to attend an Event or other public activation
hosted or otherwise organized by the City within the City of Miami Beach; and
WHEREAS, the Mayor and City Commission desire to approve the Agreement and to
authorize the City Manager to finalize and execute the Agreement.
NOW, THEREFORE, BE IT DUIY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIOA, hereby accept the
recommendation of the Finance and Economic Resiliency Committee at its December 20, 2024
meeting to direct the Administration to negotiate a Spec'ral Event Sponsorship Agreement
(Sponsorship Agreement) with the Greater Miami Sports Commission, Inc. (FIFA Host
Committee) for 2026 FIFA World Cup-related events in Miami Beach, such sponsorship
agreement to include: (1) a maximum cash sponsorship contribution of$1.5 million, (2) a waiver

of special event fees, Lummus Park user fees, square footage fees, City services in an amount
not to exceed $SOO,OOQ (3) a zone of exclusivity, (4) pouring rights exclusivity waiver, and (5)
the public benefits to include, without limitation, a FIFA world cup kickoH concert, offcial watch
party location in North Beach and potential legacy project in the City's parks; and further,
approve, in substantial form, the Sponsorship Agreement between the City and the FIFA Host
Committee to include(a)a maximum cash sponsorship contribution in the amount of$1,250,000,
(b) a waiver of special event fees, Lummus Park user fees, square footage fees, City services in
an amount not to exceed $500,000, and (c) commitments by the FIFA Host Committee (i) to
adively promote and channel media toward a "media row" in Lummus Park: (ii) to host a to be
determined number of 2026 FIFA World Cup watch parties in South Beach and/or North Beach;
(iii) to use good faith efforts to raise sufficient sponsorships to produce a kickoff concert and; (iv)
to contribute, subject to fundraising, toward the cost of building a high-quality soccer field within
the City; and further, authorize the City Managerto fnalize the sponsorship agreement consistent
with further diredion provided by the Mayor and City Commission, if any; and finally, authorize
the City Manager and City Clerk to execute the Sponsorship Agreement in a form acceptable to
the City Attomey.

RECOMMENDATION
The Adminisl2tion recommends accepting the recommendation of the Finance and Economic
Resiliency Committee at its December 20, 2024 meeting to create incentives to establish Miami
Beach as a local hub for the FIFA Worid Cup 2026 and negotiate a special event sponsorship
agreement with the FIFA Worid Cup Host Committee forthe 2026 FIFA Wodd Cup-related events

to include waivers of special event fees, CiTy services, square footage fees and up to $500,000
of in-kintl services, a zone of exclusivity, and a rash sponsorship in the amount of$125 million.
BACK ROUNDIHISTORY
On May 21, 2024, the Miami-Dade County Board of Counry Commissioners passed Resolution
No. 24-0871 providing funding support during Fisdl Years 2024-25 and 2025-26 to the Host
Commfttee for ezpenditures related to fhe FIFA 2026 Wodd Cup matches to be held in Miami-
Dade County in 2026 in an amount not to exceed $21 million in financial support (representing $3
million for each of the seven 2026 Wortd Cup matches taking place in Miami-Dade County), an
amount not to exceed $25 million for legally available in-kind services from certain County
departments and for public safety services from the Miami-Dade County SherifPs Oifice subject
to negotiatfons with the Offce of the Shedff in January 2025.
Subsequently, ihe County's original item was amended to reflect that the cash support to be
provided by the County for the FIFA 2026 Wor1d Cup matches be amended to$10.5 million dunng
Fiscal Year (FY) 2024-25, and that it be grented to the Greater Miami Convention and Visitors
Bureau (GMCVB) for Fan Fest activations, the volunteers program, transportation services, and
other public safery activations associated with the FIFA 2026 World Cup matches in the County.
As a condition of the $10.5 million cash support grant, the Grent Agreement with the GMCVB
shall require a focus on funding local programs with local businesses in the County and providing
a report to the Board on fundraising and activities.
Currently, the Tounsm and Cultu�e Department has receNed a Special Event Permit application
from the FIFA World Cup 2026 Miami Host Committee to hold a series of events both private and
public on the Lummus Park beachfront during various weekends of World Cup 2026.
On July 24, 2024, at the request of Commissioner Joseph Magazine, the Mayor and City
Commission approved a dual referral (C4 M)to the Finance and Ewnomic Resiliency Committee
(FERC) and the Public Safery and Neighborhood Quality of Life Committee(PSNQLC)lo discuss
the creation of incentives to establish Miami Beach as the local hub for Wodd Cup 2026.
This item was diswssed at the September 18, 2024, PSNQLC meeling. At that time, the
committee members asked that the item be brought back at the November 2024 PSNQLC
meeting to discuss possible updates irom the event organizers. Dunng the November 13, 2024,
PSNQLC meeting, this item was deferred to the December meeting. Ullimately, the sponsor
withdrew the item from Ne PSNQLC December agenda.
This item was also discussed at the November 8, 2024, FERC meeting. At that time, staft
presented tne special event sponsorship request in the amouM of up to$1.5 million to the FERC
members. The members requested that staff negofiate te�ms for an ag�eement with the event
organizers and retum to FERC when appropnate.
On Novem6er 15, 2024, City staH met with representatives of the FIfA 2026 WoAd Cup Host
Committee to begin negotiation discussions on the sponsorship request for ttie 2026 evenL
Staff returned to the December 20, 2024, FERC meeting and presented potential agreement
tertns for discussion. Terms included the creation of incentives to establish Miami Beach as ihe
local hub for the FIFA World Cup 2026, which include waivers of special evenf fees, City services,
square footage fees, and up ro $500,000 of in-kind services as well as a cash sponsorship in an
amount not to exceed $1.5 million. The Committee voted to move the item to Commission with a
favorable recommendation ro direct Me Administration to negotiate an agreement with FIFA Wodd
Cup 2026 Miami Host Committee with the terms as presented.

On the May 6, 2025, Miami Dade County Commission Meeting, the County Mayor and
Commissioners approved ffie"FY2024-2025 Mid-Year Budget Supplemenl,"a butlget adjustment
and amendment to vanous County departments, which included to amend the provisions of
Resolution No. R-454-24 which established Board policy to provide tunding support during FY
2024-25 and 2025-26 to support local activities related to the 2026 Worltl Cup matches in an
amount not to exceed $10.5 million in cash support to allocate an additional $10.5 million for
World Cup hosting activities via an amendment to the General Fund (G7001) for a total of$27
million in rash support for FY 2024-25 all to be provided to the Greater Miami Sports Commission,
Inc. instead of the Greater Miami Convention and Visitor Bureau, Inc.
At Me July 11, 2025, Finance and Economic Resiliency Committee Budget Workshop meeting,
lhe Mayor and City Commission discussed the Host Committee's special event sponsorship
re4uest in the amount to not exceed $1.5 million and recommended retlucing the requested
amount and further directing staff to negotiate lowering the funding request.
Staff continued to negotiate with the Host Committee and the sponsorship request has been
updated to refled $125 million.
ANALVSIS
The Federation Intemationale de Football Association (FIFA) oversees intemational soccer and
is responsible for organizing the FIFA Wodd Cup, which takes place every tour(4) years. As the
premier glo6al men's soccer tournament featuring 48 national teams, the FIFA Wodd Cup is the
largest sporting event in the world, surpassing the Summer Olympics, UEFA Cbampions League,
Tour de France, Formula 1, Super Bowl, and Rugby Worltl Cup combined in lerms of audience.
For the first time in history, the organization of ihe biggest football toumament will be divided
among three (3) NoM Amencan countnes, the United States, Mexico antl Canada. In total, 16
cities will host matches. Most of them (17) are in the USA: Seattle, San Francisco, Los Angeles,
Dallas, Houston, Kansas City, Philadelphia, Atlanta, Miami, Boston and New York. The Mexican
headquarters will be in Montertey, Guadalajara and Mexico City. Finally, the Canadian venues
are Vancouver and Toronto. The final match is scheduled to take place on July 19, 2026.
For the 2026 FIFA Wodd Cup, Miami-Dade Counry is set to host seven (7)matches at Hard Rock
Stadium in Miami Gardens. These will include group stage games, a quartefinal, and the third-
place match, all scheduled between June 15, 2026, and July 18, 2026.

This monumental event is projected to draw over 700,000 visitors to Miami-Dade County and
generate a direct economic impact exceeding $1.3 billion. The influx of tourists and global metlia
wverage will not only boost ihe local tourism industry but also provide Miami-Dade Counry with
significant international ezposure.
The Greater Miami Sports Commission, Inc. (the "Host Committee"), a Florida not-for-profit
corporation, with a board of directors consisting of communiry antl busi�ss leaders frwn Miami-
Dade County, was formed to submit the Counry's bid to host the 2026 Wodd Cup matches antl is
now tasked with meeting the bid obligations.
On December 17, 2024, members of the Tounsm and Culture and Communications and
Marketing departments met wiM the Host Commitlee representalives to discuss the marketing
benefits for the City.
On December 20, 2024, at the Finance antl Economic Resiliency Committee (FERC), the
Atlministration and represenfatives of the 2026 FIFA World Cup Host Committee presented the
sponsorship request and incentives.

publishers, and social media influencers—will require scenic, accessible, and iconic locations to

Host Committee shall use commercialty reasonable efforts ro arrange for FlFA broadcasting
partner to provide a dean feed for all FIFA World Cup 2026 matches presented in Miami Beach.
Leaacv Proiect
The Host Committee is investing m two key legacy pillars-, Access to Play 8 Sustamability, ro
6enefit the local community long after the tournament. The Host Commitlee will work to leverage
fundraising and sponsorship efforts to 6uild a high-quality pitch soccer field within the City to
provide accessible spaces to youth and promote community engagement in sports. The Host
Commiriee's finandal support for the Legacy Project will be based on its fundraising activity and
abiliry to secure a private-sector sponsor in accordance with the Citys rules and procedures. The
Host Committee shall use commercially reasonable efforts to arrange for a FIFA"legend"to attend
an event or other public activation hostetl or otherwise organizetl by the City within the City of
Miami Beach.
In coordination with the City'S Parks and Recreation Department and based on current needs,the
following three(3)public parks are being consitlered for the Legacy Project, Flamingo Park(South
Beach), Faiiway Park (North Beach), and Normandy Park (North Beach).
Event Sanctionino
Establish a Miami Beach FlFA "Clean Zone," also known as a zone of exclusivity to provide the
FIPA World Cup 2026 Miami Host Committee with approvai nghts for any proposed events in the
established Clean Zone to insure against ambush marketing and clean zone adherence. Provlded
however, if by Maroh 1, 2026, the Host Commfttee is unable to secure any of the proposed
sponsorship benefts, Men the Clean Zone will be rescinded.
The Clean Zone will be approximately from June 4, 2026 through July 20, 2026 and will have the
borders indicated on Exhibit A attached.

Pr000sed Soonsarshio Disbursement Schedule
City shall provide Host Committee with a cash sponsorship in the amount up to $1,250,000 (the
"Sponsorship Amount"), payable in accordance with the following schedule:
I. Payment#1: Seven Hundred Fifty Thousand Dollars and No Cents ($750,000)to be paid
to Host Committee within forty-five (45) days of full execution of ihis Agreemenl.
II. Payment#2: Five Hundred Thousantl Dollars and No Cents($500,000)to be paid to Host
Committee after Odober 1, 2025, but before November 1, 2025.
Should the Mayor and City Commission approve the attached sponsorship agreement for the
FIFA World Cup 2026, in an amount not to exceed $1.25 million, funding in the amount of
$750,000 would retum as a FY 2025 budget amendment to the September Commission meeting,
and $500,000 would be appropriated through the FY 2026 budget protess.
FISCAL IMPACT STATEMENT
The pmposed special event sponsorship includes$500,000 in in-kind services;waivers of special
event fees; and a cash sponsorship in an amount not to exceed $125 million, funding in the

WITNESSETH:
WHEREAS, the Federation Internationale de Football Association ("FlFA") World Cup
2026 will be the 23rd edilion of the RFA Wodd Cup. Ihe world's premiere international (ootball
(soccei)toumament and will be heltl joinlly in}hree host countries for ihe first time in history'. the
United S�ates, Canada antl Mexico; and
WHEREAS, for Ihe RFA World Cup 2026, Miami-0ade Counry is set to host seven (7)
matches at Hard Rock S[adium in Miami Gardens including group stage games, a quartefinal
game, and the third-place Final match, all curtently scheduled beM1veen June 15, 2026 and July
1 Q 2026 (the"Miami Matches")�, and
WHEREAS. ihe Hos[ Committee has been selected by FlFA to serve as a host
organization for FIFA Wodd Cup 2026 in Sou�h Florida and is engaged in promoting. adveAising
and marketing Miami as a host ciry for FIFA Wodd Cup 2026 and other activities related thereto
(collectively, Ihe"Host Committee ActivRies")-, and
WHEREAS, in adddion to the Miami Mamhes,other venues in Miami-Dade County—such

Cup 2026 events scheduled to take place in and around the Ciry of Miami Beach beginning on
June 15. 2026, and continuing lhrough July 18, 2026 (collectively, the "Evenis'), as delineated

WHEREA$ the Host Committee's fnancial support for the Legacy Project (as defned in
Exhibit "B")will be based on its fundraising aclivity and ahiliry to secure a private-sector sponsor
in accordance with the City's rules and procedures�, and

WHEREAS, on July 23, 2025 the Mayor and Ciry Commission adopted Resolution No.
2025- , approving and authorizing the Mayor and City Clerk to ezecute this Agreement.
NOW,THEREFORE,in consideration of the mutual promises and covenants made hereirt.
City and Host Committee agree as follows.
1. Recitals. The above recitals are true antl correct and are incorporeted hy reference herein.
2. Term. The term of Ihis Agreement will commence on Ihe ERective Date set forth above,
and shall expire(ollowing ihe later of(a)the conclusion of ihe fnal Event during the Event Dates
(as defned below) period and (b) Host Committee's completion of all its obligations hereunder
(Ihe"Term").
3. Event �escriotion. The term "Events" as used herein shall indude each event and/or
series of events delineated more fully in E:hibit'A" City shall not be a party to any independent
contracts�hat Host Committee may enter into wi�h other organizations,contrectors.or paAicipants
in the Events and/or supporting activities, nor shall City be liable to such third parties under such
independent contracts or otherwise as a resuk of Host Committee's oi FIFA's acts or omissions.
Host Committee shall not represent ihal it is an agent, o�cial, authonzed represenlative or
employee of City.
4. Wa�ranties. Subject to the terms, conditions, provisions antl requirements o( Host
Committee's wrtent and fuNre agreemenis vnth, and obligations tq FlFA. and Host Commiriee's
righ�s set forth therein, whether or not evidenced by a muWally executed written agreemenL as
such agreement(s), obligation(s). and righqs) may be amended or modifetl fmm time [o �ime,
including, wi[hout limitation,wilh respect to delivery of notice to and receipt of approval from FIFA,
as the case may be (colledively and individualy, the "Host Committee FlFA RigMs antl
Obliga[ions"), Host Committee wanants and represenis ihat it has all rights, authorizations,
licenses and permits necessary to enter into iMs AgreemenL to grent the rights antl licenses

City Services and sponsorship funding described in this Agreement, and Ihe muNal promises
made hereiq Host Commiflee shall, suhject to the Hosl Commiltee FlFA Rights and Obliga6ons,
provide sponsorship recognition and other benefits to ihe City which shall include the beneFlts as
set forth in Exhi6it'B"attached hereto and inwrporeted herein by reference.
6. Host Committee's Resoonsibilities. Host Committee is responsible for the following with
respect to each Event in the Ciry of Miami Beach.
a. As between the City antl Ihe Host Commiitee. ihe Host Committee shall be solely
responsible for organizing and promoting all aspetts o! each Event, including, as applicable,
securing priva�e sponsors and vendors lo participa�e in each such EvenG Host Committee is
responsible for lhe conduct antl operation of each Event and will provitle, or engage ihir0 parties
to provide, Ihe appropriate personnel to conduct each such Event, as applicable and determined
by Host Committee. Ezcept as expressty specifed hereia. [he City is under no obligation to fund
any aspect of any Event. or any subsequent Events.

b. Except with respec[to compensation not in excess of 5500,000 owed to providers
of io-kind City Services. Host Commihee shall be responsihle for all compensation that may be
due to all performers, entertainers, vendors, wganizations, event sanctioning 6odies, antl
participanls, if and as applicable, and Ciry shall have no such resPonsibiliry, obligation or liability
theretor. Ciry shall not be responsihle or liable to wmpetitors(or prize money payments, or to any
third party for any aspect of ihe production o(an Event. Further, Ciry shall not 6e a party to any
independent contrects that the Host Committee may enter wkh other organizations, contraRors.
or participan(s in the Event andfor supporting activRies, nor shall Ciry be liahle to sucfi Ihird parties
under such independent contracts or otherwise as a resWl of Host Committee's or FIFA's acts or
omissions. Host Committee shall no[ represenl Ihat it is an agent. off�cial, authorizetl
representative, or employee of CNy.
c. Subject to the Host Committee FIFA Rights and Obligalions, Host Committee shall
relain all rights to the Events, induding any rights associated with EvenFrelated apparel andlor
merchandising sales.
d. Host Committee shall provide the City with written reports on September 1, 2025,
November 1, 2025, January 1, 2026. March 1,2026.April 1, 2026. May 1,202fi and June 1, 2026
delailing Host Committee's progress wilh respeclto the activation of the Event(s), In additioq the
Host Committee shaN provide imrtredia[e written notice to the Cily of any signirycant tlevelopments
relaling to the FIFA Worltl Cup 202fi as it relates to the Miami Matches or the Events. City, at its
sole discretioq may monitor antl conAuct an evaluation of Host Committee's organization of each
EvenL Host Committee agrees to cooperate with Ciry to promptly atldress any deficiencies or
concems the Ciry may have in connection with an Event. in the Ciry's reasonable discretion.
e. Host Committee must pmvide, within 90 days after the ezpiration of the Event
Dates periotl, a Final Report, indudi�g, as applicable, the tollowing�.
• An accounting of the numher of Miami Beach residents who were grented access to the
front section of the general etlmission area o(ihe KickoN Concert:
• Thirtl-party verifcation of Event outcomes including, without limitation, Event
atlendance figures with proven method of colleclion, meda impressions generated
by the Event photos and videos o(the Event�, and
• The implementation of the sponsorship benef[s and public beneft program.

was marketed and communicated to the residents.
f. Host Committee shall,within one hundred twenty(120)days aker the expiration of
the Event l]a[es period,provide the Ciry with a copy of Ihe overall Economic Impact Report
prepared hy an indeDendent third parry and which is expectetl to indude. among o�her
things, estimated spend in the City of Miami Beach by Event attendees, and the
number ol Ctty of Miami Beach hotel room nights generated by the Event(s) and/or [he
Miami Matches.
7. insurance. Miami Beach Risk Manager to provide Insurence reQuirements tor Host
Committee antl any Ihird party vendors involved in the production of the Event(s).
e. Comofance wth all Pertnit Reau rements a d A olicable Laws Host Committee shall
obtain all applicable federal, state and local appmvals. permits and licenses relating to any Event
and any activities related thereto. Hos[Commitlee shall maintain its good standing in accordance
with the laws of Ihe State of Florida and the City of Miami Beach Code of Ordinances ('City

Code"), and shall comply in all material respects with any fetlerel, state, counry or Ciry Code
requirement applicable to Host Committee or to the Host Committee's operation of its business
orother Host Committee activities in the Ciry of Miami Beach which may indude,without limitation,
ohtaining any Certi(cate o!Use or Business Ta:Receipt(s)that may be required for any business
activiry and timely making paymen[of all taxes,fees or charges that may be due to the Ciry. Host
Committee shall pmmptly take correclive action lo wrrect (a) any Ciry Cotle viola[ion of which
Hos[Committee is aware and/or receives written notice ana (b) any notice of violation issued by
any governmental agency with jurisdiction over Host Committee. Further, Host Committee agrees
to comply in all material respects with Ihe terms and conditions o!any special event permit, lease.
license, contract. or other agreement Ihat Host Committee may have separately entered into with
Ihe Ctty, if any ("Other Ciry Permits and Coniracts"). Any faiWre by Host Committee to comply
with any provision of Ihe Ciry CoOe applicable to Host Committee, or any breach or default by the
Host Committee of any covenant or other lerm or condition contained in any Other Gity Permrts
and Contracts (after Ihe passage of any applicable notice and wre provision set forth therein),
shall, at ihe option of the City, 6e considered an Event of DefauR under this Agreement (as such
term is defned more fully below),in which event the Ciry shall be entRled(but in no event required)
to apply all rights and remedies available to the City under the terms of this Agreement or at law
6y reason of Host Committee's breach or failure to comply with said obligations.
9. Host Committee Indemnifcation Obliaation. Host Committee shall indemnify, detend,and
hold harmless the Ciry and its oKcers, employees, agents,and contractors, fmm and against any
antl all actions (whether at law or in equiryJ.. claims, liabiltties, losses, expenses, or damages,
including, without limitatioq aHorneys' (ees and costs of detense, For personal, economic, or
bodily injury, wrongful death, or loss of or damage to property, which the City or its oKcers,
employees, agents, and contractors may incur as a resutt of deims, demands.. suits, causes of
aclion or pmceedings of any kind or naWre arising oul of, relating to, or resulting from the
performance of this Agreement by Host Committee or its off�cers. employees, agents, servants,
partners. principals or contractors'. D�avided, however, in no event shall Host Commdlee be liable
ta.or have the obligation to indemnify,defend, or hold harmless,the Ciry or its officers,employees,
agents,or contractors, as the case may be, for, from, or against any aclions (whether at law or in
equity), claims, liabi4ties, losses, expenses, or damages, including. without limitation, attorneys'
fees and costs ot defense. for personaL economic. w bodily injury. wrongful death, or loss o!or
damage to properry to ihe e#ent caused by the gmss negligence or intentional misconduct of ihe
Ciry. Su6ject to the pmviso of the preceding sentence. Host Committee shall pay all claims and
losses in connedion therewiM and shall investigate and defend all claims, suits. or actions of any
kind or naNre in ihe name of the Ciry, where applicable, including appellale proceedings, and
shall pay all costs, �utlgments, and attomeys' fees which may issue thereon. Host Commlttee
expressly understands and agrees that any insurance protection required 6y this Agreement, or
otherwise provided, shall in no way limit Host Commitlee's obligation, as set forth herein, to
indemnify, hold harmless, and defend the City or its oKcers, employees, agents. and contractors
as herein provided.
10. Limitation of Liabilitv. The Ciry desires to enter inro�his Agreemem only if in so tloing the
City can place a limit on the City s liabiliry for any cause of actioq for money damages due ta an
allegetl breach by the Ciry of this Agreement,so that its liabiliry for any such 6reach never exceeds
the sum of $100,000. Host Committee hereby expresses its willingness to enter into lhis
Agreement with Host Committee s recovery fmm Ihe City for any damage adion for breach of
contract to be limited to a maximum amount of$100.000.
Accordingly. and notwithstandmg any other term or condition of this Agreement. Host Committee
hereby agrees[hat the Ciry shall no� be liable to ihe Host Committee for damages in an amount

in eacess of$'I00.000 for any action or daim for breach of contmd arising out of the peRortnance
or non-peAormance of any obligations imposed upon the City by this Agreemenl.
Nothing contained in lhis section or elsewhere in this Agreement is in any way intended to be a
waiver of the limitation placed upon the Ciry's liabiliry, as set torth in Section 7682$ Floritla
Statutes.
Written decisions and/or approvals issued by the Ciry shall not cons�itu�e nor be deemed a release
of the responsibility and liability of the Host Committee(or of any of i[s o�cers, employees, sub-
consultants, agents, and/or servants) for the accuracy and competency of its/Iheir designs,
working drawings, plans. technical specifcations. measurements or olher�echnical documenls,
nor shall such approval and/or decisions be deemed to be an assumption o(such responsibiliry
by ihe Ciry for a defect, error or omission in designs, working drawings, plans, technical
specifications, measurements or other technical dowments.
1 L Ciri's Soonsorshio Contributions for the Event. Subject to Host Committee's compliance
with its obligations under this Agieement, Ciry is respansible for the folbwing�.
a) Ciry shall (i) waive special permit fees which would otherwise be payable by Host
Committee, and (ii) provide io-kind public services consisting of Police. Fire, and Sanitation
services to be provided by ihe Chy in wnnection with the Events("Ciry Services')in a total amount
not to exceea $500,000. All applicable special event appliwtion fees, permit fees. vehiGe beach
� access passes, sQuare footage fees, and park user fees (i.e., Lummus Park User Fees). if, and
as reQuired for each Event. shall be waived by the Ciry and shall not be considered part of the
foregoing $500,OOODO in-kind City Services waive[ Host Committee shall be solely responsible
for payment to Ciry for all CRy Services in excess of$500,000. Any unused credit remaining with
respect to the special event permd fees waived and Event-rNatetl Ciry Services fees pursuant to
this Section 71(a)shall be non-trensferrable and cannot be used to offset any other EvenPrelated
costs or for any other purpose.
b) Cdy shall pmvitle Host Committee with a cash sponsorship in the amount of
$1250,000, payable in accordance with the folbwing schedule:
I. Payment#1' Seven Hundred Fifty Thousand Dollars and No Cents($750,000.00)
to be paid to Host Committee within forty-fve(45)days of ihe full eaecution of this
Agreement.
II. Payment#2�. Five Hundred Thousand Dollars and No Cents ($50�,000.00) to be
paid to Host Commtttee after Odober 1. 2025, 6ut before Novemher 1, 2025.
12. Waiver of Pepsi ExGusivRv. Ciry hereby agrees to obtain a waiver of exclusiviry untler its
agreement with PepsiCo fa the sale and branding ot Pepsi branded products at lhe Lummus
Park areas where any Events or other special events approved pursuant to this Agreement shall
take place.

Event Dates (the "Ciry Approval Requesf'). Host Commi[tee shall have ten (10) calendar days
from the dale of Ihe Host Committee's receipt of a City Appmval Request to approve or deny Ihe
Ciry Approval RequesL Host Commitlee's approval or denial of the Ciry Appraval Request must
be in writing and, if a denial, must articula[e the specific reason(s)therefor. For Ihe avoidance of
tloubt. Host Committee shall not condition its approval on the payment of a fee to Host Committee.
FlFA or other party. In the event that Host Committee fails to approve or deny a City Appmval

b) Notwithstanding any provision to the contrary herein with respect to the

that is Ihe suhject of a concession agreement. and (ii) lawful demonstrations, pickets, and free
speech activities shall be ezempt irom Ihe limitations set forth herein with respea to Ihe Clean

c) For the avoidance of douht, generel adveAising signs within the Ciry shall be
prohibited, in accordance wi�h Sec[ion 138-5 of Ihe Ciry Code and any advertising signage shall
be installed wdh appropriate permits in acwrtlance with all provisions of applicable law.
14. Force Maieure. Should Ciry be unable to tender possession of any Ciry property where
Ihe Event(s)will be located ("Event Site") or to provide Ciry Services, or should Host Committee
otherwise be unable to take possession of such Event Site. or present the Event(s) or otherwise
perform Rs o6ligations he�eunder, when such failure, diredly or indireclly, is caused by or in any
manner arises from an Event o(Force Majeure(defined herein),then neither party shall have any
liabiliry under Ihis Agreement for such failure. The�erm"Event of Force Majeure' shall mean any
and all acts o( God, strikes, lock-outs, acfs of �he pudic enemy, laws, rules and regulations of
govemmental or quasi-govemmental entities, wars or warlike action. epidemics, pandemics,
arrest or other restreint of govemment(civil or military). 6lockades, insurrections, riots, terrorism
or termrist threats, epidemics, earthquakes. hurricanes storms, Floods, washouts, fire or other
casualry, civil disturbances, explosions, threats ot bombs or similar interruptions. confiscation or
seizure by any government or public authoriry, nuclear reaction, radioadive contamination,
accidents, or any other causes, whether of the kind he�ein enumerated or otherwise that are not
reasonably within the control or caused by Ihe party claiming the righ�to delay the performance
on account of such occurrence. The penod oi an Event of Pace Majeure, and Ihe suspension of
obligations hereunder, shall eztend to and include any period of time required to implement
emergency preparations in advance of the Event of Force Majeure, ihe Even[ of Force Majeure
itself, and the period of time following the Event of Force Majeure that may be required to restore
lhe Event Site and/or remediate any delay, damage, loss, failure or inability to peAorm as a
consequence o(ihe Event of Force Majeure. Upon removal or cessation of Ihe Event of Force
Majeure, the parties respective righis and obligations hereunder shall be reinstated: provided.
however,that the declaration and notice of an Event of Force Majeure and subsequent cessation
of Ihe cause otsuch Event of Force Majeure shall not require[he Host Commiriee to move forward
with Ihe EveM if, in ds reasonable belief, it will result in signifcantly diminishetl attendance andbr
cancellffiions or cause Fbsl Committee an unduly 6urdensome fnancial impact.
15. Events of Default Terrtrination of Aqreement and Remedies.
a) The following shall constitute events of defaWt(each, an "Event of DefaulP'):
1) Any material misrepresenla[ion, writlen or oral, made by Host Commitlee
andlor its representatives to Ciry.
2) Failure by Host Commiriee to timey peAorm and/or observe any o( the
terms and conditions of this Agreement.
3) Insolvency or bankruptcy on the part of Host Committee.
4) Any marerial faiWre 6y Host Committee[o comply with any provision of ihe
City Code applicable to Host Committee, or any material breach or default hy the Host
Commiltee oi any covenanl or other term or contlilion contained in any Other Ciry Permits
and Contrects (after Ihe passage of any applicable notice and wre provision set /orth
iherein).
b) The occurrence of any Event of DefaWt may. following nolice to the Hosl
Committee and an opportuniry to wre such Event of Default within hventy four(24) hours
after receipt of such notice, at the sole op[ion of Ciry during its continuance, operate as an

automatic foAeiture of any rights or benefi�s conferred under Ihis Agreemen[, and
accordingly, City reserves the right to �evoke ihe fee waivers or discontinue the funding
provided!or hereia Further, if an Event of Default is not cured by Host Committee within
lwenty-four(24)hours afler receipt of such notice,Ihe Ciry may terminate ihis Agreement
and ezercise any other legal remedies available to i�. In the event of any such termination,
the Ciry shall have no further obligalion or liability to Host Committee.
16. Assionment. Nei[her[his Agreement, nor any term or provision hereof, or rigM hereunder,
shall be assignable by a parry hereto unless such assignmentis approved by Ihe other party
herem pursuant to this sectioq and any attempt to make such assignment(unless approved)shall
6e void; provided, however, the Ciry expressly acknowledges and agrees that Host Committee
has the right to conhact, subcontrect and otherwise engage Ihird parties to provide products and
services in connection wNh the production of ihe Events wRhoul the approval of the Ciry.
17. Books and Records. Host Commitlee shail keep accurate and complete books and
rewrds of all receipts and ezpenditures relating to this Agreement,in accordance with reasona6le
accounting standards, and shall retain such books and records for et least four (4) years afler
com0lelion of the last Event to take place. At the request of ihe City, Host Committee shall provide
the Ciry(and/or its designaretl representatives)reasonable access to its files and records relating
to this Agreement and personnel during regular business hours tor Ihe purpose of making fnancial
audits, evaluations or verifications, program evaluatbns, or other verifications conceming this
Agreement, as lhe City deems necessary. Furthermore, the City may, a[ its expense, audit or
have audited. all ihe fnancial records ot the Host Committee related to this Agreement.
16. Entire AareemenL This Agreement(together with the Eahi6its attached hereto which are
incorporated herein by reference) shall consli[ute the entire agreement hetween the parties with
respect to the subject me@er hereof and ihereo(,and no warranties. inducemenis,considerations,
promises or other re(erences shall Ge implied a impressed upon Ihis Agreement that are not
expressly addressed herein.
19. Venue and Governinu Law. This Agreement shall be govemed as to per(ortnance and
interpreted in accordance with ihe laws o!the State of Fbrida. Any claim or dispute arising out
of Ihe terms of this Agreement shall be litigated in Miami-Dade Counry, Florida.
20. Limfletl Riohts. It is expressty understood and agreed that ihis Agreement is for Ihe
duration of the Term only and that Host Committee has no right or privilege other than that
expressly provided herein.
21. No Joint Venture Relationshio. Host Commd[ee agrees that nothing herein contained is
intended or should be construed as in any way aeating or establishing the relationship of partners
orjoint venturers behveen City and Host Committee. In no event shall Host Committee represen[
to any third party lhat it is acling as an agent, represenlalive or on behalF of Ciry for any purpose
or in any manner whatsoever.
22. Generel Provisions.
22.1 Insoedor General Audit Riohts. Section 2-378 of the Code of ihe City of Miami Beach is
hereby incorporaled in its entirery into this Agreemen[as if fully set farth M1erem.

Additionally, Host Committee shall comply fully with the City of Miami Beach Human Rights
Ortlinance, codifed in Chapter 62 of the Cily Code, as may be amentled from time to time,
pmhi6iting discrimination in employment (induding independent contractors), housing, public
accommodations, public services,and in connection with its membership or policies because of
aclual oi perceived race. color, na6onal origin, religion. sea, intersexuality, gender identity,
sexual orienta�ion, marital and familial status, age, disability, ancestry, height weight, hair
tezture and/or hairsryle, domestic partner status, labor argenization memberehip, familial
situation, or political aKilia�ion.
22.3 ConFliM of Interest.
Host Commitlee herein agrees to adhere to and be governetl by all applicable Miami-Dade
County Conflict of Interest Ordinances and Ethxs provisions, as set forth in the Miami-Dade
County Code, as may be amended from time to time: and by the Ciry ot Miami Beach Charter
and Code. as may be amended from time to time; both of which are incorporated 6y reference
as if fuly set torth herein.
Host Committee covenanls that it presenlly has no interest antl shall not acquire any interest.
directly or indireclly, which could conflict in any manner or degree with ihe peRormance of the
Host Committee's ohligations under this Agreement. Host Committee further covenanls that in
the pertormance of this Agreement, Host Commiriee shall not employ any person having any
such interest.
22.4 Host Comm tlee's Comoliance With Florida Public Records Law.
a. Hosl Committee shall canpty in all matenal respec[s wi�h Florida Pu61ic Records law
under Chapter 119, Florida Statutes, as may be amended from time to time, as it relates
to Host Committee's peAormance of ds obligetions under this Agreement.
b. The term "puhlic records" shall have the meaning set forth in Section 119.011(12)of the
Florida Statutes, which means all documents, papers, letters, maps, 600ks, tapes,
photographs, fims, sound recordings, data pmcessing software, or other material,
regardless of the physical form. characteristics, or means of trensmission, made or
received pursuant to law or ordinance or in connection with the trensaction of offcial
business of the Ciry.
c. Pursuant to Section 119.0701 0(lhe Florida StaW[es, it the Host Committee meets the
definition of"Contractor"as definetl in Section i 19.0701(1)(a).the Host Commitlee shall�.
(1) Keep and maintain public recortls required by the City lo pertorm the Host
Commitlee's obligations under this Agreement'.
(2) Upon reques� from Ihe Ciry's cuslodian of public recortls, provide Ihe City with a
copy of Ihe requested records or allow the recortls to be inspec[etl or copied within
a reasonahle time at a cost that does not exceed the cost provided in ChaOter 119,
Florida StaWtes or as otherwise provided by law;
(3) Ensure that puhlic records that are exempt or confidential and exempt irom public
records discbsure requirements are not disclosed. except as authorized by law,
for Ihe duration of the contract term and following completion of this Agreement if

the Host Committee does not trensfer Ihe records�o ihe City; and
(4) Upon completion of this Agreement, transfer or tlestroy, at no cost to the Ciry, all
public recads in possession of the Host Canmittee or keep and maintain public
records required by the City to perform the Host Commitlee's obligations under
ihis Agreement. I(the Host Commitlee transfers all public records to the Ciry upon
completion of Ihis Agreement, the Host Commitlee shall des�roy any duplicate
public records that are exempt or confidential and exempt (rom public reco�ds
disctosure requirements. I( the Host Committee keeps and maintains public
records upon completion of this Agreement. the Host Committee shall meet all
applicable legal requirements for retaining public records. All records stored
electronically must be provided to Ihe City, upon request trom the City's custodian
of public records, in a format that is compa4Dle with Ihe information technology
syslems otthe City.
d. Request For Records; Noncompliance.
(1) A request to inspect or copy public records relating to ihis Agreement must be
made directly to the City. If Ihe Cily does no[ possess the requestetl rewrds, ihe
City shall immetliatety notity the Host Committee of the request, and, if the
applicable public records are in �he possession of the Host Committee, then the
kost Committee must provide such public records to the Ciry or allow such publ ic
records to be inspecled or copied within a reasonable time.
(2) Hosi Committee's failure to comply with the Ciry's request for pubiic rewrds that
are in t6e possession or control of Ihe Host Committee Shall constiWte a breach of
Ihis Agreement. and Ihe CiTy, at Rs Sole discre0on. may. (A) unilaterally terminate
this Agreemwt; (B) avail ilself of Me remedies set forth untler this Agreement;
andbr(C)avail ilsel(of any available remedies at law or in equiry.
(3) If Host Committee fails to provide such public records to the Ciry within a
reasonable time, then Host Committee may be subject to penalties under s.
119.10.
e. CivilAction.
(1) If a dvil action is filed against the Host Cammittee to compel production of public
records relating to thisAgreemelrt Ihat are irt the Hos!Committee's possession or
control, the court shall assess and award against the Host CommiKee the
reasonable costs o!enforcemenL inGuding reasonable attorneys fees, if:
a. The court determines that the Host Committee untaw(ully refused to comply
with the puMic records request within a reasonable time; antl
b. A[ least 8 business days belore filing the action. the plainGff provided wntten
notice of ihe public records request, induding a statement that the Host
Committee has not complied with the request, to the City and to the Hos[
Committee.
(2) A notice complies with subparegraph (t)(b) rf it is sent to the City'S custodian o(
public records antl to the Host Committee at Ihe Hos( Committee's atldress listetl
in this Agreement or ro the Host Commitlee's registeretl agent Such notices must
he senl by common carrier delivery service or 6y regls�ered, Global Express
Guarantee4 or cenifetl mail,with postage or shipping paid by the sender and with
evidence of de�ivery,which may be in an electronic format.
(3) If Host Commiftee complies with a public records request within 8 business days
after the notice is sent,ihen Host Committee is not liable tor the reasonable costs
ot enforcement.

22.5 E-Veri
a. Comoliance.
To the eutent that Host Committee provitles lahor, supplies, or services under this
Agreement, Host Committee shall comply with Section 448.095, Florida StaNtes,
"Employment Eligibility" ("E-Verify S�atNe"), as may be amended from time to
time. Pursuant to the E-Verify Statute, Host Committee shall regisler with and use the E-
Verify system to verify Ihe work au[horizatan status of all newly hired employees during
the Term of this Agreement Additionally, Host Commitlee shall ezpressly require any
subconsWtant pertorming work or providing services pursuant to this Agreement to
likewise utilize Ihe U.S. Department of HomelanA Sewrity's E-Verify system to venfy Ihe
employment eligibilily o! all new employees hired by the subconsul�ant. If the Host
Committee en[ers into a contract with an approved subconsWtant, the subconsultant
must provide the Host Committee with an affitlavit statirg that ihe subconsWtant does not
employ, contract with, or subcontract with an unauthorized alien. The Host Committee
shall maintain a copy of such afftlavil for the duralion of this Agreement or such other
extended period as may be reQuired u�er this Agreement.
b. Termination RiahtS.
(1j if the Ciry has a good faith belief that Host Committee has knowingy violated
Sedion 446.09(1), Florida StatNes, which prohibits any person from knowingly
employing, hiring, recruiting, or refemng an alien who is not duly authorized to work
by the immigretion laws or the Attomey General of the United States.Ihe Ciry shall
terminate this Agreement with Host Committee for cause, and the City shall
thereafte�have or owe no Porther obligation or liability to Host Committee.
(2) I(the Cdy has a good faith belief tha[a subconsultant has knowingly violated the
toregoing Subseclion 22.5(a), 6ut lhe Host Committee otherwise complied with
such subsection, the Ciry will pmmpHy notity the Host Committee and order the
Host Canmtt[ee to immediately terminate the contract with ihe
subconsultant. Host Committee's failure to terminate a subconsultant shall be an
event of tlefaW� under this Agreemenl. entitlinq City to tertninate this Agreement
for cause.

(4) The City or Hosl Committee or a subconsukant may fle an action with lhe Circuit
or County Court to challenge a termination under the foregoing Subsection (b)�1)
or (b)(2) no later than 20 calendar days after the tlale on which the contrect was
terminated.
(5) If the City terminates this Agreement with Host Committee under Ihe foregoing
Subsection (b)(1), Host Committee may not be awarded a public coniract for at

Host Commitlee agrees to comply with Section 787.06, Florida Statutes, as may be amended

certifcation of compliance with anti-human iraffcking laws, as required by Section 787.06(13),
Florida StaNtes. a copy of which is attached hereto as Exhibit"D".

an entiry which would grant the entity access to an individual's personal identifying
in(ormation (PII), unless Ihe entiry provides the governmental entiry with an aNidavit
signed by an officer or representative of[he entiry under penalry of perjury attes[ing thal
lhe entity does not meet any of ihe criteria in Paragraphs 2(a)-(c) of Section 267.138,

Cily Manager dete�mines, in his sole discretion, such activities may be or are detrimental to Ihe
public or to the City, or if the City has reason to believe any law or ordinance is being violated
by Hos[ Committee, its agents or employees, which conduct is no[ corrected within promptly
upon written notice to Hosl Committee. Ciry reserves the right through [he CiTy Manager, to
suspend or terminate use of the Event Sites if visitors become unruly, and to reject any sponsor,
presenta�ion, material or item which [he Ciry Manager determines, in his sole discretion to he
hazardous, offensive, immoral or disparaging to Ihe image o(the City. or lo any person or group
of persons. The decision of Ihe City Manager in such regard shall be fnal, binding and

The Host Commlttee shall orqanize lhe followino evenis in ihe CiN ot Miami Beach whbh for
ourooses of the Aoreement. shall be the"Events" referenced therein:
1. Wmmus Park / Beach(ront Subject to ihe Host Committee PIFA Rights and
Obligations, Host Committee shall use commercially reasonahle efforls to produce
activations, media events and other Host Committee evenis within Ihe Lummus
Park/Beachfront area located east of the eastem boundary ot the sidewalks along
Ocean Drive from 6th Street to 14th Place, limited by the dunes and shall have use of
the west side of the dunes from 10'" S[reet to 12'" Street as needed for such
activations, media events and other Host Committee Activities, and subject to (a) the
Ciry Manager's appioval, (b) Host Committee's compliance with Ciry's special event
permitting requiremenis and (c) any approvals, permit conditions or regulatory
requirements of any othe�agencies having jurisdiction over ihe area where the Even�s
will be held. In support of ihe Evenls, Ciry shall make ihe sponsorship coniributions
set(orth in Sec[ion 11(a) of the Agreement, which shall include, Ihe waiver of special
event permit fees and the cwt of Host Committee Event-related City service �ees tor
Ciry of Miami Beach Police, Fire and Sanitation Department Subject to the Host
Committee FIFA Rights and Obligations. the Evenis at Lummus Park/Beachfront shall
include, at minimum:
a. Miami Hos[Committee KickoK Concert for FIFA World Cup 2026: Host Committee
shall use good faifh eRotls to raise sufficient sponsorships from third parties to
produce the KickoR Concert or a closing concert on Ihe Lummus Park beachfront.
Subject to Host Committee's receiving suffcien[ sponsorships from third paAies,
as determined by Host Committee in its sole discre6oq Host Committee shall take
all commercially reasonable efforts to produce a kickoff concert which is currently
planned to be held on a date tha� is on or belween June 11 and June 14, 2026,
with national/intemational entertainment talent to commemorate the inaugural
weekend of Ihe frst FIFA Wodd Cup 2026 game to 6e played in Miami-Dade
County (ihe "KickoR Concert"). For the avoidance of doubt, if there is any Kickoff
Concert held in South Florida, it shall be held on the Lummus Park beachfront and
shall be free and open to ihe publia Further, iF there is no Kickofl Concert, but
Host Committee produces a closing concert,then the closing concert shall be held
on the Lummus Park beachfront and shall be free and open to lhe public.
2. North Beach Watch Parties and/or South Beach Watch Parties. Subject to the Host
Committee FIFA Rights and Obligations, Host Committee shall designate Norih Beach
Watch Parties andlor South Beach Watch Panies(as defined in Section 1(b)of Exhibit
8) for FIFA Wodd Cup 2026 matches to be pmposed by �he Host Committee and
approved 6y the Cily Manager based on Ihe RFA Wodd Cup 2026 match schedule lo
be announced by FIFA in December 2025.
a. As necessary, Host Committee shall work with ihe Ciry to adjust the North Beach
Watch Party and/or South Beach Watch Party dates/times, as applicable.
b. The North Beach Watch Parties and/or South Beach Watch Parties shall be free
and open to ihe public.

SPONSORSHIP RECOGNITION AND PUBLIC BENEFITS PACKAGE
Suhject to the Host Commitlee FIFA Rights and Obligations, Host Committee shall provide the
City with Ihe following sponsorship recognition and public bene(ts package for the Events�.
1) Public Benefit Package
a) The Host Committee shall designale the fmm section of Ihe general admisslon area of the
Kickoff Concert for Ciry of Miami Beach residents on a firs4come firsFservetl basis and
thirry (30) credentials which shall be distributed by Ihe Cily in acwrdance with the CiTys
ticket policy, as approved via City Commission Resolution No. 2014-28638.
b) The Host Committee will designate ihe City of Miami Beach (or a portion thereo� as an
official Host Committee watch party location for FlFA World Cup 2026 in Miami-Dade
County and shall hold such watch parties in ihe North Beach andlor South Beach area of
the City of Miami Beach a[ locations to be aOProved by [he Ciry ('North Beach Watch
Parties and/or South Beach Watch Parties"). The Most Committee shall use commercially
reasonable efforts to arrange for a FIFA broadcasting partner[o provide a Clean Feed for
all FIFA Wodd Cup 2026 matches presented at the North Beach Watch Parties and/or
South Beach Watch Parties For lhe avoitlance of doubt. "Clean Feed" shall mean a video
or audio signal that is free from adtlitional graphics, te#, commentary, or other overlays
that might be added during ihe produc[ion or iransmission of a television broadcast.
c) The Host Committee shall invest in two key legacy pillars�. Access to Play 8 Sustainabiliry.
to commemorate Ihe City's participation in FIFA World Cup 2026 and provide a permanent
beneft to the local communiry long after RFA WoAd Cup 2026(the"Legacy ProjeM"). The
Host Committee wlll contribute a portion of its fundreising and sponsorship efforts to oRset
the City's cost to build a high-quality soccer tield within the Ciry(or youth and communfty
engagement in sports. The Ciry and Host Commitlee acknowletlge and agree that the
Host Committee's fnancial support for the Legacy Project will 6e based on, among other
things.. its fundraising activify and abiliry to secure a private-secior sponsor in accordance
wi[h the City's mles and procedures. The Host Committee shall use commercially
reasonable efforts to avange for a FIFA "legend" m attend an Event or other public
activation hosted or othervvise organized by ihe Ciry within the City of Miami Beach.
2) Sponsorship Recognitian Benefits.
Suhject to the Host Commitlee FIFA Rights and Obligations, Ciry shall receive the following
sponsorship recognition henefits.
a. Global Exposure� Host Committee shall submit requests ro RFA that images of Miami
8each are (iJ included in marketing materials and in PIFA World Cup 2026 promotional
videos and 6-mll contenl and (ii) shared with FIFA's more Ihan 250 international media
parinere.
b. Destination Marketing�. Host Committee shall ensure that the Ciry is featured in FIFA's
offcial 'Know Be(ore Vou Go," CiBes Guide. Specifically, the Ci�y shall be identifed as a
musFvisit destination (or words of similar import) within FIFA's irusted guide, offering
which aRers(ans essen[ial travel tips, highlights. and recommendations,ensuring an eRort

to ensure Miami Beach is top Of mind for global visitors planning iheir FlFA World Cup
2026 expenence. The Host Committee ezpects that such "Cities Guide"will be available
to South Florida res�dents and wer 700,000 visitors.
a Media Row: Host Commitlee shall submit requests to FlFA [hat Lummus Park be
designa[ed and serve as an o�cial remote broadcast location (i.e. Media Row) in Miami
Dade County for live FIFA Wodd Cup 2026 broadcasts. The Host Committee will actively
promote and channel media toward media row in the Ciry ihrough:
i. Inclusion in FIFA's Media Portal and "Know Betore You Go" guides;
li. Dislribution In o(ficial press kils and (Host Commlttee owned)
acereditations; provided however, the Host Committee is not responsible
For FIFA Wodd Cup 2026 accreditations;
iii. FeaNring Ocean Drive in formal media workshops (first planned for
September 2025) and familiarization lours�, and
iv. Collaborelion with the Greater Miami Convention antl Visito�s Bureau lo
coordinate site visits in advance of FIFA World Cup 2026.
d. Host Committee will work with ihe Ciry to drive preferred events to Miami Beach.
e. Host Committee shall grant[he Miami Beach City O�Ficials the opportu�ity to speak at[he
Kickoff Concert and Miami Beach watch party localions.
f. Host Committee shall grant ihe Ciry all-access"media'credentials,which grant access for
the Markeling antl Communications Department access at the Kickoff Concert and Miami
Beach watch party localions.
g. Host Committee shall include Ciry logos and markefing materials on all key Host
Committee plat(orms, including hut not limited to: Host Committee's website, partner
recogni�ion page. and print and digital promotional ma�erials.
h. Miami Beach name must 6e inc�uded in oKcial name of ihe Kickoff Concert and within the
logo lock up. Should Ihe name nol appear in the logo lockop, the Host Committee musl
recognize the Cily of Miami Beach as a supporter or sponsor(or words of similar impoh)
in all an�ouncements, posts, coverage and other, in relation to the KickoR Concert and
Miami Beach watch panies.
i. No press releases. public announcements or pubiic tlisciosures relating io this
sponsorship or its subject matter, including but not limited to promo[ional or marketing

j. Each party agrees not to use the other party's name or Event name in any promotional

WHEREAS. the Federation In[emationale de Football Association ("FIFA") Worltl Cup
2026 will be Ihe 23rd edition of ihe FIFA Wodd Cup, the wodd's premiere international foolball
(soccer)toumament and will be held joinity in three host countries for the frst time in history: the
United States, Canada and Mexico; and
WHEREAS, for the FIFA Wodd Cup 2026, Miami-�ade Counry is set [o host seven (7)
matches al Hartl Rock S[atlium i� Miami Gartleas inclutling group stage games, a quarterfinal
game, and the third-place Final match, all wvently scheduled behveen June 15, 2026 antl July
1 Q 2026(the"Miami Matches"); and
WHEREAS, the Host Gommittee has been selecled by FlFA to serve as a host
organization for FlFA Wodtl Cup 2026 in South Flonda a�is engaged m promoting, advehising
and marketing Miami as a host ciry tor FIFA Wodtl Cup 2026 and other activities relatetl thereto
(collectively, lhe "Host Commitlee ActivRies'); and
WHEREAS, in adddion to the Miami Matches,olhet venues in Miami-Dade Counry—such
as Bayfront Park in Mimni, and Barry University in Miami Shores—are e:pected [o hoid events
and activities related to ihe FlFA World Cup 2026;and
WHEREAS, in connection wdh FlFA WOAd Cup 2026, the Host Committee desires to
organize a Kickoft Goncert (as defned below) Ihat will be free and open to the public and take
place onthe Wmmus Park beachfrool; and
WHEREAS, the Host Committee shall designate Ne City of Miami Beach (or a portion
thereo�as an oKcial Host Cwnmittee walch parry location for FIFA World Cup 2026: and
WHEREAS,ihe Host Committee will work to leverage fundraising and sponsorship efforts
to offse� the Ci[y s cost to build a high-quality soccer field within Ihe CiTy to pmvide accessi6le
spaces to youth and pmmote commuairy engagement in sparts�, aod
WHEREAS, Ihe Ciry desires to sponsor Host Commitlee Attivilies relaling to FlFA Wodd
Cup 2026 events schedWetl to take place in and arountl ihe City o(Miami Beach beginning on
June 15, 2026, antl continuing ihrough July 18, 2026 (collectivety, (he `Evenis"j, as delineated
more tully in Exhibit'A"attached hereto and incorporeted nerem by lhis reference�. and
WHEREAS, the Host Committee's fnancial support for the Legacy Project (as defned in
Exhibit"B")will be basetl on its fundreising activity and abiliry to 5ecure a private-sedor sponsor
in accordance with[he Ci�y's rules and pmcedures� and

WHEREAS, on July 23, 2025 the Mayor and Ciry Commission adoptetl ResoWtion No.
2025-_, approving and authorizing Ihe Mayor and Gity Clerk to ezecute this Agreement.
NOW,THEREFORE,in consideration ofihe mutual promises and covenants made herein,
Cdy antl Host Commiriee agree as follows:
1. Re_ citals. Thea6overecitalsaretrueandcorrectantlareincwporatetlbyreterenceherein.
2. Tertn. The term of this Agreement will commence on the EHective Date set forth above,
and shall expire following the later oP(a)[he conclusion of Ihe final Event during ihe Event Dates
(as defned below) period and (b) Host Commitlee's comple[ion of all its obligations hereunder
(the"Term"!.
3. Even[ Descriotion. The term "Events" as used herein shall include each event and/or
series of events delineated more tully in Exhibit"A." Cily shall not be a party to any independent
contracts tha�Host Committee may enter into with other organizations,contractors.or panicipants
in[he Events a�d/or supporti�g adivities, nor shall City be IiaWe to such third parlies uoder such
independent contracts or otherwise as a resutt of Host Committee's or fIFA's acts or omissions.
Host Gommittee shall not represent that it is an agent oRicial. authonzetl representative or
employee at Ciry.
4. Warranties. Subject to the terms, conditions, provisions antl requiremenis ot Host
Committee's current and fuNre agreements with,and obligations iq RFA, and Host Committee's
�ighis set forth therein, whether or not evidenced by a muNally executed written agreement. as
such agreemenqs), obligation(s), and rigM(s) may be amended or modifed from time to time,
including,without limitation,wRh respect to delivery ot rrotice to anG receipt of approval from FIFA,
as the case may be (co�lectively an0 individualy, the "Hos[ Committee FlFA Rights antl
Obligations'), Host Commiriee warrants and represen�s ihat d has all rights, authorizations,
licenses and permits necessary lo enter into t�is Agreement, to gra�[ the rights and lice�ses
herein granted, and to carry out its responsibilities as set�orth herein. Host Committee shall utilize
the sponsorship benefrts and conduct and operate each Even� for which it is responsible in
accortlance with all appNcable laws. and without endangering o[hers or violating their righls.
5. Sponsorshio and oublic hen�t oackaae. I�considemtion of the Ciry fee waivers, io-kiiW
City Services antl sponsorship funding described in Ihis Agreement, and ihe mutual promises
made herein, Hos[Committee shall, subject to Ihe Host Commitlee FIFA Rights and Obliga�ions,
pmvitle sponsorshlp recogni[ion and other benefits to the Giry which shall include the bene(ts as
set forth in Exhibit"B"attached here[o and inwrporated herein by reference.
6. Host Committee's Resoonsibilities. Host Comminee is responsible !or the following with
respect[o each Event in the Ciry of Miami Beach.
a. As between the Ciry and the Host Committee, the Host Committee shall be solely
responsible for organizing a�d pmmoting all aspects of each Event, indutling, as applicable,
securing private sponsors and vendors to participate in each such Event Host Committee is
responsible for the conduc[and operation of each Event and will provide, or engage third parties
lo provide, the appropriate personnel[o conduct each such Event, as applicahle and determined
by Host Committee. Ezcept as expressly speci(ed hereiq the Ciry is under no obligation to fund
a�y aspect of any Event,or any subsequent Events.

b. Except with respect to compensation noi in excess oF$500,000 owed to providers
o(in-kind Ciry Services, Host Committee shall be responsible fw a0 compensation that may be
due to all perto�mers, entertainers, vendors, organizations, event sanctioning botlies. and
pahiclpaNs, if and as applicable, and CiTy shall have no such responsiCiliry. obligation or liabildy
thereFor. Ciry shall not be responsi6le or liable to compe�itois for prize money payments, or to any
third party for any aspect ot the protludion of an Event Further. City shall no[be a party to any
independent conVacts lhat the Host Committee may enfer with other organizations. contradors.
or patlicipanis in ihe Event and/or supporting activities,nor shall Ciry be liahle to such Ihird parties
under such indepentlent cont2cts or otherwise as a result of Host Commitlee's or FlFA's acts or
omissions. Hos� Committee shall not represent ihat it is an agent, offcial, autho�ized
representative, or employee of Cily.
c Subject b the Host Committee FIFA Rights and Obligations, Host Commitlee shall
retain all rights to Ihe Even�s. including any righ�s assaia�ed with EvenFrelated apparel and/or
merchandising sales.
d. Host Commiriee shall provide ihe City with wntten reporis on September 1, 2025.
Novemher 1,2025,.lanuary 1.2�26, March i,2U26, April t, 2026, May 1,2026 and June 1, 2026
detailing Host Committee's progress with respectto the activation of the Event(s). I�addition,the
Host Committee shall provide immediate wrmen notice to the City of any significant developments
relating �o the FlFA Wodd Cup 2026 as it relates to the Miami Matches or ihe Events. City, at its
sWe tliscretion, may monNor and contluct an evaluation of Host Committee's organization of each
Event Host Committee agrees to cooperete witn City to prompifY address any deficiencies or
concems the Ciry may have in connec[ion with an Event, in the City's reasonable discretioa.
e. Host Committee must proviEe, wuhin 90 days after the expi2[ion o� the Event
Da�es period. a Final Report, InGutling, as applicable,the foNowing:
. M accounting of Ihe numhet of Miami Beach residents who were qranted access to the
lront section o(the general admission area of Ihe Kickoff Goncert;
. Third-party venfcation of Event oUtwmes inclutling, without limita�ion, Event
attendance figures with proven methotl af collec[ion, metlia impressions generated
by the Event photos and videos of the Event. antl
. The implementation of the sponsorship benefts aod puhlic be�e(t program,
indutling statistics relating [o how many residenis were served and how this program
was marketed and communica[etl to the resitlenis.
t Host Committee shall.within one hundred hvenry(120)days efter\he�p[ratlon of
the Even[Dates period, Provide the Ciry with a copy of ihe overall Economic Impact Report
prepared by an independen[ (hirtl pam/ and which is eapec[ed to indude, among other
ihings, es[imated spend in the Ciry of Miami Beach by Event attendees, and the
numbe� of City of Miami Beach holel room nights generatetl by Ihe Evenqs) antl/or lhe
Miami Matcf�es.
7. InSurance. Miami Beach Risk Manager to pmvide Insurence requirements for Host
Committee antl any third party vendors involved in the protluc(ion of�he Event(sj.
8. Comolia ce �th all Pe mit Reau emenls antl Aoo��cable Laws Hose Committee shall
obtain all applicable federal, state and local approvals. Oermits and licenses relating to aoy Event
and any activities related thereto. Host Committee shall maintain i�s good standing in accordance
with Ihe laws of ihe State oi Florida and the Ciry of Miami Beach Code of Ordinances ("Ciry

Code"), and shall compy in all material respects with any (ederal. state, counry or Ciry Cotle
reQuirement applicable to Host Committee or to the Host Committee's operation o(fts business
orother Hos�Committee ac[ivities in Ihe Ciry of Mlami Beach which may include,without limitation,
obtaining any Certifcate of Use or Business Tax Receipt(s)Ihat may be required tor any business
activiry antl timely making paymeM of all taxes. fees or charges that may be tlue m the Ciry. Hos[
Committee shall promptly take mrrective action to correct (a) any Ciry Code violation of which
Host Committee is aware and/or receives written notice and(hJ any notice of�iWation issued by
any governmen[al agency with jurisdiction over Hos[Committee. Further, Host Committee agrees
to comply in all material respects with[he terms and conditions of any special event permit, lease.
license,contract or other agreement that Hos[Committee may have separately entered into with
the Ciry, if any ("Other Ciry Permits and Contracts"). Any (aiWre 6y Host Comminee to comply
with any provision of the City Code applica6le to Host Committe¢,or any breach or defauri by the
Host Committee of any covenant or other term or contlition caniained in any Other Ciry Permits
and Contracts (after the passage of any applicable notice and are pmvision set (orih iherein),
shatl, al the option of the Ciry, be considered an Event of De(auN undei Ihis Agreement (as such
term is defnetl more fully below), in which event Ihe Ciry shall be entilled(but in no event required)
to apply all rights aod remetlies available fo the City under the terms of this Agreemenl or at law
by reason o(Host Committee's breach or failure to comply with said oblgations.
9. Host Committee Indemnifcation Obl aatb . Host Committee shall indemnify,defend,and
holtl harmless Ihe Giry and its offcers, employees, agents,and comractors. fmm and against any
end all actions (whether at law or in equiry), claims, liabikties, losses. expenses, or damages,
including, without limitation, anorneys' fees and costs o( tlefense, for personal, economiq or
bodily injury, wrongNl tleath, or loss o( or damage to property. which the City or its off�cers,
employees, agents, and contractors may incur as a resuk of claims, demands. suits, causes of
action or pmceedings of any kintl or nature arising out oF, relating �o, or resul[ing (rom Ihe
pedormance of this Agreement by Host CommM1tee or ds officers, employees, agents, servanis,
partners, principals or conVactors; provided. however, in no event shall Host GommRtee be liahle
to.or have the o6ligation to indemnily,defend,orhold harmless,the Ciry or i[s officers.employees,
agenis, or coniractors, as Ihe case may be, for, (rom, or against any ac6ons (whether a[law or in
equity), claims, liabilities, losses, eupenses, or damages, including, without limitation, attorneys'
fees and coffis of defense, for personal. economic, a bodily injury, wmngful death, or loss of or
tlamage to properry to the eMent wused by the gross negligence or intentional misconduct of the
City. Subject to the proviso of the precetling sentence, Host Committee shall pay all claims and
losses in connection iherewith and shall investigate and defend all claims. suits, or actions of any
kind or nature in the name af ihe Ciry. where applicable, including appellate proceetlings. and
shail pay all costs, judgments. and attorneys' fees which may issue Ihereon. Hos� Commitlee
expressly underslantls and agrees [hat any insurance protection required by �his Agreemenl, or
othervrise provided, shaU i� no way limit Host Committee s o6ligation, as set forth herein, to
indemnify, hold harmless, and detend the City or its officers, employees, agents, and contractors
as herein pmvitled.
10. Limitatian o�Liabili[v. The Ciry desires m enter into this Agreement onry if in so doing Ihe
City can place a limit on the City's liabifiry for any cause of action.for money damages doe to ao
allegetl breach by ihe Cily of this Agreemen�, so[hat its lia6iliry for any such breach never enceeds
the sum of 5100.000. Host Cammittee hereby ezpresses its willingness to enter into ihis
Agreement with Host Commitlee's recovery from ihe City for any damage action for breach of
contract to he limited to a maximum amoun[o�5100.000.
Accordingly, antl notwithstanding any other term or condition of ihis Agreement, Host Committee
hereby agrees ihat the Ciry shall not be liable to the Host Committee fo�damages in an amount

in excess of$100,000 for any action or claim for breach of contrect arising out of the peRortnance
or non-perfortnance of any obligations imposed upon the Ciry try this Agreement.
Nothing contained in this section or elsewhere in ihis Agreement is in any way intended to be a
waiver of ihe limitation placed upon the City's Ilabiliry. as se� forth in SecNon 76828, Florida
Statutes.
Written decisions and/or approvals issued by�he City shall not constiWte nor be deemed a release
of Ihe responsibiliry and liabiliry of the Hosi Committee(or ot any o(its ofiicers, employees, sub-
consultarrts, agents, andlor servanis) tor Ihe accurecy and competency of its/their designs,
working drawings, plans. technical specifca[ions.. measuremerrts or other technical documents,
nor shall such approval andlor decisions he deemed to be an assumption of such responsibilily
by the Ciry for a defect. error or omission in designs, vrorking drawings. plans. technical
specifcations, measurements o�other technical documents.
11. Citv's Soonsorshb ContribuCons for the Event Subject to Host Commitlee's compliance
with its o6ligaGons under this Agreemenf;City is responsible for the fdlowing-.
a) City shall (i) waive special permd fees which would otherwise be payable 6y Host
Committee, and (ii) provide in-kind public services consisting of Police, Fire, and Sanitation
services to be provided 6y the Ciry in conneqion with the Events("Ciry Services")in a tolal amount
not to ezceed$500,�00. All applicable special event application fees, permi[fees, vehicle beach
access passes, square footage fees, and park user fees (i.e., Lummus Park User Fees), if, and
as required for each Event, shall be waived by the Crty and shall not be consitlered part of the
(oregoing $500,000.00 in-kintl Cfly Services waiver. Host CommMee shall be solely responsible
for payment to City for all Ciry Services in excess of$500,000. Any unused credit remaining wilh
respect to the special event pemMiees waivetl antl Event-relaled Ciiy 9ervices tees pursuan[to
this Section 11(a)shall be non-trans(errable and wnnot be used to oRse[any other Evenbrelated
costs or(or any other purpose.
b) Cily shall provide Hos[ Committee with a cash sponsorship in the amount of
$1,250,000, payable in accordance wiih ihe fo�lwiing schedule�.
I. Payment#1: Seve� Hundred Fifty 7housand Dollars and No Cents($750,000.00)
to be paid to Hos[Commiltee within forty-five(45) days of the full execution ot Ihis
Agreement.
IL Payment#2� Five Hundretl Thousand Dollars antl No Cenis ($500,000.00) to be
paid to Hos� Committee after October 1, 2025, but before November i, 2025.
12. Waiver of Peosi Exclusivdv. Ciry hereby agrees to obtain a waiver of exdusiviry under its
agreement with PepsiCo for the sale and brantling of Pepsi 6ra�ded producis at the Lummus
Park aieas where any Even[s or other special events approvetl pursuant[o this Agreement shall
take place.
13. Imolementation of "Clean Zone." Subject to Ihe last Ihree sentences of this paragraph,
Ciry agiees to esta6lish M1vo zonea. the eHective term and duration of which shall run from June
d, 2026.[hrough July 20, 2026(as such period may be e#ended by the muWal written agreement
of the parties hereto, lhe"Event Dates"), with (i) the f ret zone being generally bounded by 22nd
Street to tke nortk, by Sth Slreet to the south-, by JeHerson Avenue(hetween Datle BNtl and 15th
Sireet) and by Washington Avenue (belween 15Ih Street and Sth Street) b the west; and by ihe
Atlantic Ocean to ihe east, as dep�cted in Exhibit"C" attached hereto and incorporated herein by

reference (Ihe "South Beach Clean Zone") and (ii)the second zone being generelly bounded hy
75th Street to [he north; by 70th Sireet b the south; by Hartling Avenue(Abbott Aveoue to the
west; and hy the Atlantic Ocean m [he east, as depicted in Exhibit "C" attached hereto and
inco�porated herein 6y reference (the "North Beach Clean Zone' and, together with Ihe South
8each Clean Zone, the"Ctean 2one"). City agrees that, from antl aRer ihe effective date of this
Agreement ihrough ihe end o(the Event Dates, it shall not issue a special event permit for the
use ot public property in connection with an event othet than an Exduded Event (as definetl
below) ihat promotes, directly or indireMly, any spoA or other event which is competitive with [he
FIFA Wodd Cup 2026, within the Clean Zone during Ihe Event Dates, without frst o6taining the
prior written consent of Host Commiltee, including, without limi�ation, any event or activity on
public propeRy requiring a special event permit, involving (1) mobile and/ortemporary vending or
sampling on public property, such as food and bevera9e certs and temporary merchandise
stands; (2) mo6ile end/or temporary sampling; (3) temporary stmcWres (e.g. party tents, s[ages
and merchandise tents) and temporary hospitality or entertainment venues (e.g. concert areas)
on puhlic properry; and (4) Parades, races and block events. Nohvithstanding Ihe foregoing, if
the Host Committee is unable to establish, by or before March 1, 202fi, with tlocumentation
reasonably satisfactory to lhe Ciry that (x) �ummus Park has been tlesignatetl to serve as an
offcial remote broadcas[location Q.e. Media Rav) in Miami Dade County for live FIFA World Cup
202fi broadcas[s (y) Ihe Kickoff Concert or a dosing concert will be heltl in ihe Wmmus Park
beachimn[ area, or (z) that the Host Committee shall either avange for a FlFA broadcasting
partner to provide a Clean Feetl for FIFA Wodd Cup 2026 mafches presented at the North Beach
Watch Parties andbr South Beach Watch Pahies or Host Committee shall pay for the costs
assaciated with the North Beach Watch Parties andlor South Beach Watch Parties, ihen the Ciry
shall have no obligation to maintain the Clean Zone. For purposes o(this Sectia� 13, Ne term
"Excluded Events" means the following (a) Miami Beach Pride Conced taking place in Lummus
Park prior to June 11, 2026; (b)American Black Film Festival', (W Ciry of Miami Beach Juneteenth
celebration, provided,ihe Ciry shall not entet iMo a sponsashlp agreement for[his event which
includes the South Beach Clean Zone without fhe Orior wrinen consenl of the Host Commrttee.
which consent shall no[ be unreasonably withheld�, (d) City of Miami 6each Fourth ot July
celebra[ion in Altos Del Mar Park; and (e) City ot Miami Beach Fourth of July celebration in
Lummus ParK,provWed,the Cily shall not enter into a sponsorship agreement for this event which
includes the South 8each Clean Zone without the prior written consent of ihe Host Committee,
which Gonsent shall not be unreasonably withheld.
a) The Ciry shall provide Host Commitlee with written notice at least si#y (60)
calendar days prior to Ihe issuance of any special event permit for any event (other �han any
Excluded Events) pmposetl to take place on public pmperty within the Clean Zone during the
Event Oates (Ihe "Cily Approval RequesT'). Host Committee shall have ten (10) calentlar days
(rom[he date of the Host Committee's receipt of a Ciry Approval Request lo approve or deny the
City Approval Request Host Commitlee's approval or denial o!the Ciry Approval Request must
be in wri[ing anQ i(a denial, must articulate the speci(c reason(s)therefor. For the avoidance of
doubt, Hosi Committee shali not contlition its approval on the payment of a fee to Host Committee,
FIFA or other party. In the event that Host Committee fails to approve or deny a Ciry Approval
Request within the ten(70)calendar day period deuribetl above.then HostCommittee shall have
waived its right to deny such Ciry Approval Request, and the City may proceed with the issuance
of a special event permit for the proposed event that was the subject of such Ciry Approval
Request as iF approved by Host Gommittee, and without any(urther notice and/or ather obligation
to Host Committee.
6) Notwithstanding any provision to the contrary herein with respect to the
establishment o!the Clean Zone. (i) special even[5 heltl on private property or on public property

that is ihe subject of a concession agreement, anG (ii) lawful demonstra[ions. pickets, antl 6ee
speech ac[ivities shall be exempt 6om the limitations set fotlh herein with respect to the Clean
Zone, and any such events or activities shall not require any Host Committee appmval.
c) For lhe avoidance of dou6t, general advertising signs wiihin the Cky shall be
prohibited, in accortlance with Section 138-5 ot the Ciry Cotle antl any advertisinq signage shall
be installed with appropriate permits in accordance with all provisio�s o�applicable law.
14. Force Maieure. Should City be una6le ro tentler possession of any City property where
the Event(s)wilt be located ("Evenl Site'j or to pmvi0e Ciry Services, or shoWtl Host Committee
otherwise he unable to take possession of such Event Site, or present the Event(s) or otheiwise
pertorm its obligations hereunder,when sucF faiWre, directly or indiredly, is causetl by a in any
manner arises trom an Event of Force Majeure(defnetl herein), then neither party shall have any
liabiliry under this Agreement for such failure. The term'Event of Force Majeure" shall mean any
antl all acts of God, sirikes, lock-outs, acts of the public enemy, laws, rules and regulations of
govemmental or quasi-governmental entities, wars or wadike action. epidemics, pandemics,
arrest or other restraint ot government(civil or mili(ary), blockades, i�urrections, riots, terrorism
or terrorist Ihreats.. epidemics, earthquakes. hurricanes, storms. Floods, washouts. fre or other
casualty, civil distu�bances, explosions, ihreats o(bombs or similar in[erruptiona confisca[ion or
seizure by any govemment or public authoriry, nuclear reactioq radioacpve contamination,
accidents, or any oCher causes, wheNer of the kind herein enumereted or otherwise that are not
reasonably within the wntrol or caused by the party claiming the right to tlelay ihe pertormance
on accounl ot such occurrence. The period of an Event of Force Majeure, and Ihe suspension of
o6ligations hereunder, shall ez�entl to and include any periotl ot time required to implement
emergency preparations in advance of the Event of Force Majeure, Ihe Event ot Force Majeure
itselt, and ihe period of time tolbwing Ihe Event of Force Majeure that may be required to restore
the Event Site and(w remediate any delay, damage, loss, Failure or inablGiy [o periorm as a
consequence o/ihe Even[ of Force Majeure. Upon removal or cessatan of the Event o(Force
Majeure, the parties respective rights and obligafions hereunder shall be reinslated'. provitled-,
however, that ihe declaration and notice of an Event of Force Majeure and subsequent cessation
of the cause of such Event of Force Majeure shall not require the Host Committee to move forn�ard
with the Event i(,in its reasonable belief, it will rewli in significantly diminished attendance an0/or
cancellations o�cause Host CommMee an unduty burdensome fnancial impact.
15. Even4s of Default. Tertnination of Aareement and Remedies.
a) The following shap cons6tute events o�defaWt(each, an "Event of DefauN"��.
1) Any material misrepresentation, written or oral, made by Host Committee
andlor its represematives to Ciry.
2) Failure by Host Committee to timely pertorm and/or observe any o! the
terms and conditions o(this Agreement.
3) Insaivency or 6ankrupicy on tne part of Host Committee.
4) Any material failUre by Host Commitlee to Gomply with any provision oF Ihe
City Code applicable to Hast Committee. or any material hreach or tletautl by ihe Host
Committee oi any covenant or olher term or conditi0n conlained in any Other City Permits

i6. AssionmenL Neither this Agreement, nor any term or provision hereof, or righl hereuntler,
shall be assignable by a party hereto unless such assignment is approved by the other party
hereto pursuantio this section,and any atlempt to make such assignment(unless approved)shall
be void�, provided, however, the Ciry expressly acknowledges and agrees that Host Committee
has the right to contract, subcontract and otherwise engage Ihird parties to provide products and
services in connection with the produc�ion o!the Evenis wRhout the approval of the Ciry.
17. Books and Records. Hosl Commiiree sha�l keep accU�ate and wmplete books antl
rewrds o/all receipts and expenditures rela[ing to th�s Agreement, in accordance with reasonable
accounting standartls, and shall retain such houks and recortls for at least four (4) years afier
completion o(Ihe last Event to taKe place. At the request of the Ciry, Host Committee shall pmvide
the Cdy(and/or its designated representatives) reasonable access to its fles and recards relating
to this Agreement and personnel during regWar business hours for Ihe purpose of making lnencial
audits, evaluations or verifcations, pwgram evaluations, or other verifications concerning this
Agreement, as [he City deems necessary. Furthermore, the Ciry may, at its expense, audil or
have audited, all ihe financial records of the Host Committee rela[ed to lhis Agreement.
18. Entire Aoreement This Agreemerrt(together with the Ezhibits attached hereto which are
incorporated herein by reterence) shall cons6tute ihe entire agreement beTxeen lhe parties with
respect to the subject matter hereot and thereof,and�ro wartaMies,inducements, consideretions.

19. Venue end Governinu Law. This AgreemeM shall be governed as to pertormance and

20. LimRed Riohls. II is expressly understood and agreed that this Agreement is for the
duration of the Term only and that Host Committee has no nght or privilege o�her Ihan [hat

21. No Joint Venture Relationshia Host Committee agrees that nothing herein containetl is
in[ended or should be construed as in any way creating or esta6lishing the relationship o(padners
orjoint venturers belween Clly and Host Committee. In no even�shall Host Committee represent
m any thirtl party Ihat it is ading as an a9ent, representative or on behalf o(City for any purpose
or in any mannerwhalsoever.

Host Committee herein agrees to adhere to and be govemed by all applicable Miami-Dade
Counry Conflict of Interest Ordinaoces antl Ethics provisions, as set torth in the Miami-Datle
Counry Code. as may be amended fmm [ime to time�. and by the CiTy of Miami Beach Charter
and Code, as may be amentled from time to time; both of which are incorpwated by reterence
as d fully set forth herein.
Host Commiriee covenants that it presertly has no inlerest and shall not acquire any interest,
directly or indirectly, which could conflicl in any manner or degree with the pertormance of Ihe
Host Commitlee's obligations under this Agreemenl Hos( Canmittee further covenants that in
[he performance of this Agreement. Host Commitlee shall no[ employ any person having any
such interest.
22.4 Host Commitlee's Comoliance With Florida Public Records Law.
a. Host Committee shall comply in all matenal respects with Floritla Public Rewrds law
under Chap[er 1�9. Fbrida Statutes, as may be amended fram time to time, as it relates
lo Host Commiriee's performance of fts obligations under this Agreemen[.
b. The term 'public records" shall have Ihe meaning set fodh i� Sectlon 119.011(12)ot the
Florida Statutes, which means all documents, papers, letters, maps, books, tapes,
photographs, flms, sound recortlings, data processing software, or other material.
regardless of the physical form, characteris[ics, or means of transmission, made or
receivetl pursuant to law or ordinance or in connection with [he transaction of oKcial
business ofthe City.
c. PursUant to SeCtion 179.0701 0(the Florida Statutes, if the Host Committee meets the

public records in possession of ihe Host Committee or keep and maintain public
records requiretl by the Ciry to peAorm [he Host Committee's obliga[ions unde�
Ihis Agreement. If the Host Committee trensfers all poblic records to[he City upon
completion o( this Agreement, (he Host Committee shall destroy any duplicate
public records that are exempt or confdential and exempt from pu6lic recwds
disdosure requirements. If the Host Committee keeps and maintains public
recortls upon completion of this Agreement, the Host Committee shall meet all
applicable legal requiremenis for retaining public recortls. AII rerords stored
eleclronically must be provided to the City, upon request lrom the City's custodian
of public records. in a �ormal Ihat is compatible with Ihe infortnation technology
systems of the Ciry.
d. Request For Records; Noncompilance.
(1) A request to inspect or copy public records rela[ing to this Agreement must be
made direttly to the Ciry. If[he City does not possess\he requested records, the
City shall immediately notify the Host Committee of ihe request. and, if ihe
applicable public records are in ihe possession o�ihe Nost Committee, then the
Hos[Committee must provitle such public records to the City or allow such pu6lic
recortls lo be inspected or copied wit6in a reasonable time.
(2) Host Committee's faiWre to comply with the Ciry's request for public records ihat
are in the possession or contrd of Ihe Host Canmittee shall constitute a breach of
this Agreement, and the Cdy, ffi iGs sole discrefion, may. (A) unilaterally terminate
Ihis AgreemenC (B) avail itself of the remetlies set forth under this Agreement�,
and/or(C)avail dselt ot any availa6le remedles at law or in equiry.
(3) If Host Committee fails lo provide such public records to the City within a
reasonable time, ihen Host Committee may be su6ject to penal[ies under s.

(1) If a crvil action is filed against the Hosl Commitlee to compel production of puhlic
records relating to this AgreemeM that are in the Nosi Commitlee's possession or

a. The court determines Ihat the Host Committee unlavrfully refusetl to comply

subcansW�ant performing vrork or providing services pursuant to this Agreement to
likewise utilize the U.S. Depaqment of Homeland Secoriry's E-Verify system to veniy the
employment eligibiliry o� all new employees hired hy ihe subconsuNant. If the Host
Committee enters into a cont2ct wdh an approved subcansuttant, the subconsul[ant
mus�provide the Host Committee with an affidavit statirg that the subconsultant does not
employ, contract wiN, or subcontract weh an unau�horized alien. The Host Committee
shall maintam e copy d such affidavit for ihe duration of this Agreement or such olher

b. Termination Riohts.
(1) Ii Me City has a good iaith belief tha[ Host Committee has knowingy violated
Section 448.09(1). Floritla Statules, Wnlch prohibits any person from knowingly
employing,hiring.recruiiinq. or referting an alien who is not duly authorized to work
by�he immigration laws orthe Aflorney Generel of Ihe United States.tM1e Giry shalf
terminate this Agreement with Host Committee for cause, and Ihe CiTy shall
�hereafter have or owe no further ohliga[ion or liability to Host Gommittee.
(2) If Me City has a good taiih belief tha� a subconsultant has knowingty violated the
Foregoing Suhsedion 225(a�, but the Host Committee otherwise complied with
such subseaioq lhe City will pmmptly aotify the Hosl Committee antl order the
Host Canmittee to immetliatety terminate ihe contrad with ihe

Subject to ihe Hosl Committee RFA Rights and Obllgations, Host Commitlee shall provide ihe
Ciry with the following sponsorship recognition and public benefiis package tor the Events:
1) Public Benefit Package
a) The Host Committee shall designa[e the honi section of the general atlmission area of the
Kickoff Goncert for Ciry of Miami Beach residents on a first-come firs4servetl basis and
thirty (30) credentials which shall be distri6utetl by the Giry ia accordance with ihe Ciry's
ticket policy. as approved via City Commission Resolution No. 201428638.
b) The Nosi Committee will designate the City o!Miami Beach (or a portion thereof) as en
oR�cial Host Commitlee watch party location tor FlFA Wodd Gup 2026 in Miami-Dade
Couory a�tl shall hold such watch paRies in the North Beach antl/or South Beach area of
Ihe Ciry ot Miami Beach at lacations to 6e approved by the Ciry ("North Beach Watch
Parties and/or South Beach Watch Parties"). The Host Committee shall use commercially
reasonable eRons to arrange for a FlFA 6roadcasting partner to provide a Clean Feed(or
all FIFA World Cop 2026 matches presented at [he North Beach Watch Parties and/or
South Beach Watch Parties. For fhe avoidance of tloubt."Clean Feed`shall mean a video
or audio signal that is free 6om additional graphics. te#, commentary, or other overlays
ihat might be added during the production or Iransmission of a television broadcast.
q The Host Committee shall lnvest in hvo key legacy pilla�s:Access to Play&Sustainabiliry,
to commemoratethe C�ty's participation in fIFA World Cap 2026 and provi0e a permanent
beneft to the local communiry long after RFA Worltl Cup 2�26(the"Legacy ProjecP'�.The
Host Committee will contribute a portion of its fundraising and sponsorship ef(orts to oHset
the Ciry's cost to build a high-quality soccer(ield witM1in [he City for youth and communiry
engagement in sports. The City antl Host Committee acknowledge and agree that the
Host Committee's financial suDGort for the Legacy Project will be based on, among other
things, its funtlraising activity antl abiliry to secure a priaate-seMor sponsor in accordance
with the Ciry's rules and procedu�es. The Host Committee shall use commemially
reasonable eflorts to arrange for a RFA "legend" to attend an Event or other public
activation hosted or otherwise organized by the City wilhin the Ciry of Miami Beach.
2) Sponaorshio Recognitio�Benetits.
Subject lo the Host Committee FIFA Rights and Obligations, Gty shall receive the following
sponsorship�ecognition benefits�.
a. Global Exposure�. Host Committee shalf submit requests to F1FA ihat images of Miami
Beach are (i) induded in marketing matenals and i� FIFA Wodtl Cup 2�26 promolional
videos antl b-roll mntent antl (ii) shared with FIFA's more �han 250 intemationai media
partners.
h. �estiaatian Marketing�. Hosl Committee shall ensure that the City is featured in FlFA's
oRicial `Know Before You G0." Cities Guide. Specifically, the Ciry shall be idenfified as a
must-visi[ destination (or wortls of similar import� within FlFA's tmsted guitle. oHering
which offers fans essential iravel tips. highlights,and recommendations,ensuring an eRort

2026 experience. The Host Committee ez0ects that such "Cities Guide"will be available

c. Media Row�. Host Committee shall submit requests to FIFA that Lummus Park be
designated and serve as an oHiciat remote braadcast location (i.e. Medie Row) in Miami
Dade Counry!or live RFA Wodd Cup 2026 broadcasts. The Nost Commitlee will actively
promote and channel metlia toward media row in the Ciry through
i. Inclusion in FIFA's Media Portal and "Know Before Vou Go"9uides;
ii. Distribution in official press kits and (Host Committee owne0)
accreditafions: provided, however, the Hosl Commitiee is not responsib�e
for FlFA World Cup 2026 accreditatioos;
iii. Featuring Ocean Orive in formal media wo�kshops (frst plan�ed for
Septemher 2025)and tamiliarization tours; and
iv. Coliaboration with the Greater Miami Gonvention antl Visitors Bureau to
coordinate site visits in advance of FlFA Wpdd Cup 2026.
d. Host Committee will work with the City to tlrive preferred events m Miami Beach.
e. Host Committee shall grant[he Miami Beach City Otlicials the opportuniry to speak at ihe
Kickott Concert and Miami Beach watch party lora[ions.
f. Host Commitlee shall grant the City all-access"media"crede�dals,which grant access for
the Marketing and Communications Depatlment access at the Kickoff Concert and Miami
Beach watch parry�ocations.
g. Host Committee shall inGude Ciry logos antl marketing materie�s on all key Hos[
Committee platforms, including but oot limitetl to�. Host Committee's website, partner
recognition page, and print and digital promotional materials.
h. Mlami Beach name must be included in oHicial name ot�he KickoR ConCert and within ihe
logo lock up. Should ihe name not appear in ihe logo lockup, Ihe Host Committee must
recogoize ihe City of Miami Beach as a supporter or sponsor(or wortls of similar import)
in all announcements. posts, co�erage and other, in relation to the Kickoff Concert a�d
Miami Beech watch parties.
i. No press releases, poblic announcemenis or public disclosures relating to Ihis
spoosorship or its suhjecl matter, iocluding put not IimiteA to promotionaf or marketing
ma�erials, shall be made public by the Host Committee without fhe prior written conseat
afihe Ciry.
j. Each party agrees not to use Me other party's name or Event name in any pmmotional
material or public announcement without pnor written or oral consent of thB other.
