A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OP MIAMI BEACH, FLORIDA, ACCEPTING THE RECOMMENDATION OF THE FINANCE AND ECONOMIC RESILIENCY COMMITTEE AT ITS DECEMBER 20, 2024 MEETING TO DIRECT THE ADMINISTRATION TO NEGOTIATE A SPECIAL EVENT SPONSORSHIP AGREEMENT (SPONSORSHIP AGREEMENT) WITH THE GREATER MIAMI SPORTS COMMISSION, INC. (FIFA HOST COMMITTEE) FOR 2026 FIFA WORLD CUP•RELATED EVENTS IN MIAMI BEACH, SUCH SPONSORSHIP AGREEMENT TO INCLUDE: (1) A MAXIMUM CASH SPONSORSHIP CONTRIBUTION OF $1.5 MILLION, (2) A WAIVER OF SPECIAL EVENT FEES, LUMMUS PARK USER FEES, S�UARE FOOTAGE FEES, CITY SERVICES IN AN AMOUNT NOT TO EXCEED $500,000, (3)A 20NE OF EXCLUSIVITY, (4) POURING RIGHTS EXCLUSIVITY WAIVER, AND (5) THE PUBLIC BENEFITS TO INCLUDE, WITHOUT LIMITATION, A FIFA WORLD CUP KICKOFF CONCERT, OFFICIAL WATCH PARTY LOCATION IN NORTH BEACH AND POTENTIAL IEGACY PROJECT IN THE CITY'S PARKS; AND FURTHER, APPROVING, IN SUBSTANTIAL FORM, THE SPONSORSHIP AGREEMENT BETWEEN THE CITY AND THE FIFA HOST COMMITTEE TO INCLUDE(A)A MAXIMUM CASH SPONSORSHIP CONTRIBUTION IN THE AMOUNT OF $1,250,000, (B)A WAIVER OF SPECIAL EVENT FEES, LUMMUS PARK USER FEES, S�UARE FOOTAGE FEES, CITY SERVICES IN AN AMOUNT NOT TO EXCEED $500,000, AND (C) COMMITMENTS BY THE FIFA HOST COMMITTEE �1) TO ACTIVELY PROMOTE AND CHANNEL MEDIA TOWARD A "MEDIA ROW" IN LUMMUS PARK; (I1) TO HOST A TO BE DETERMINED NUMBER OF 2026 FIFA WORLD CUP WATCH PARTIES IN SOUTH BEACH ANDI OR NORTH BEACH; (II1) TO USE GOOD FAITH EPFORTS TO RAISE SUFFICIENT SPONSORSHIPS TO PRODUCE A KICKOFP CONCERT AND; (IV) TO CONTRIBUTE, SUBJECT TO FUNDRAISINCa, TOWARD THE COST OF BUILDING A HIGH-QUALITY SOCCER FIELD WITHIN THE CITY; AND FURTHER, AUTHORIZING THE CITY MANAGER TO FINALIZE THE SPONSORSHIP AGREEMENT CONSISTENT WITH FURTHER DIRECTION PROVIDED BY THE MAYOR AND CITY COMMISSION, IF ANY; AND FINALLY, AUTHORIZING THE CITY MANAGER AND CITY CLERK TO EXECUTE THE SPONSORSHIP AGREEMENT IN A FORM ACCEPTABLE TO THE CITY ATTORNEY. WHEREAS, the Federation Intemationale de Football Association ("FIFA") World Cup 2026 will be the 23rd edition of the FIFA World Cup, the world's premiere international football (soccer) tournament and will be held jointly in three host countries for the first time in history: the United States, Canada and Mexico; and WHEREAS, for the FIFA World Cup 2026, Miami-Dade County is set to host seven (7) matches at Hard Rock Stadium in Miami Gardens including group stage games, a quarte�nal game, and the third-place Final match, all currently scheduled between June 15, 2026, and July 18, 2026 (the "Miami Matches"); and WHEREAS, the Host Committee has been selected by FIFA to serve as a host organization for FIFA World Cup 2026 in South Florida and is engaged in promoting, advertising and marketing Miami as a host city for FIFA World Cup 2026 and other activities related thereto (collectively, the "Host CommitteeActivities"); and WHEREAS, in addition to the Miami Matches, other venues in Miami-Dade County—such as Bayfront Park in Miami, and Barry University in Miami Shores—are expected to hold events and activities related to the FIFA Worid Cup 2026; and WHEREAS, in connection with FIFA World Cup 2026, the Host Committee desires to organize a Kickoff Concert (as defined below) that would be free and open to the public and take place on the Lummus Park beachfront; and WHEREAS, the Host Committee shall designate the City of Miami Beach (or a portion thereo� as an official Host Committee watch party location for FIFA World Cup 2026; and WHEREAS, the Host Committee will work to leverage fundraising and sponsorship efforts to offset the City's cost to build a high-quality soccer feld within the City to provide accessible spaces to youth and promote community engagement in sports; and WHEREAS, the City desires to sponsor Host CommitteeActivities relating to FIFA World Cup 2026 events scheduled to take place in and around the City of Miami Beach beginning on June 15, 2026, and continuing through July 18, 2026 (collectively, the "Events"), as delineated more fully in Exhibit "A" of the sponsorship agreement attached to this Resolution (the "Agreement"); and WHEREAS, pursuant to the Agreement, the City will agree to establish two (2) zones of exclusivity, the effective term and duration of which shall run from June 4, 2026, through July 20, 2026 (as such period may be eztended by the mutual written agreement of the parties, the"Event Dates"), with the frst zone being generally bounded by 22nd Street to the north; by Sth Street to the south; by Jefferson Avenue(between Dade Blvd and 15th Street) and by Washington Avenue (between 15th Street and 5th Street) to the west; and by the Atlantic Ocean to the east, as depicted in Exhibit"C"to the Agreement(the"South Beach Clean Zone") and (ii)the second zone being generally bounded by 75th Street to the north; by 70th Street to the south; by Harding Avenue/Abbott Avenue to the west; and by the Atlantic Ocean to the east, as depicted in Exhibit "C" to the Agreement (the "North Beach Clean Zone" and, together with the South Beach Clean Zone, the"Clean Zone"); and WHEREAS, in the Agreement, the City will agree that, from and after its effective date and through the end of the Event Dates, it shall not issue a special event permit for the use of public property in connection with an event other than an Excluded Event(as defined in the Agreement) that promotes, directly or indirectly, any sport or other event which is competitive with the FIFA World Cup 2026; and WHEREAS, "Excluded Events" is defined in the Agreement to mean the following: (a) Miami Beach Pride Concert taking place in Lummus Park prior to June 11, 2026; (b) American Black Film Festival; (c) City of Miami Beach Juneteenth celebration provided the City shall not enter into a sponsorship agreement for this event that includes the South Beach Clean Zone without Host Committee's consent, not to be unreasonably withheld; (d) City of Miami Beach Fourth of July celebration in Altos Del Mar Park; and (e) City of Miami Beach Fourth ot July celebration in Lummus Park provided the City shall not enter into a sponsorship agreement for this event that includes the South Beach Clean Zone without Host Committee's consent, not to be unreasonably withheld; and 2 WHEREAS, the Host Committee will agree in the Agreement to use good faith efforts to raise sufficient sponsorships from third parties to produce the Kickoff Concert or a closing concert on the Lummus Park beachfront, and if such a Kickoff Concert or closing concert is produced, the Host Committee shall designate the front section of the general admission area oF the Kickoff Concert for City of Miami Beach residents on a frst-come first-served basis; and WHEREAS, the Host Committee will agree in the Agreement (a) to submit requests to FIFA that Lummus Park be designated and serve as an official remote broadcast location (i.e. Media Row) in Miami Dade County for live FIFA Worid Cup 2026 broadcasts and (b) to actively promote and channel media toward media row in the City through: i. Inclusion in FIFA's Media Portal and "Know Before You Go" guides; ii. Distribution in official press kits and (Host Committee owned)accreditations; provided, however, the Host Committee is not responsible for FIFA World Cup 2026 accreditations; iii. Featuring Ocean Drive in formal media workshops (first planned for September 2025) and familiarization tours; antl iv. Collaboration with the Greater Miami Convention and Visitors Bureau to coordinate site visits in advance of FIFA World Cup 2026; and W HEREAS, in the Agreement, Host Committee will agree, subject to the terms, conditions, provisions and requirements of Host Committee's current and future agreements with, antl obligations to, FIFA, and Host Committee's rights set forth therein, whether or not evitlenced by a mutually executed written agreement, as such agreement(s), obligation(s), and right(s) may be amended or modified from time to time ("Host Committee FIFA Rights and Obligations"), to designate the City of Miami Beach(or a portion thereo�as an officia!Host Committee watch paRy location for FIFA World Cup 2026 in Miami-Dade County and shall hold such watch parties in the North Beach and/or South Beach area of the City of Miami Beach at locations to be approved by the City ("North Beach Watch Parties and/or South Beach Watch Parties"), which watch parties shall be free and open to the public; and WHEREAS, in the Agreement, the Host Committee will agree to use good faith efforts to reise sufficient sponsorshfps from third parties to contribute toward the City's cost to build a high- quality soccer field within the City for youth and community engagement in sports, suhject to Host Committee's funqraising activity and ability to secure a private-sector sponsor in accordance with the City's rules and procedures; and WHEREAS, the Host Committee will agree in the Agreement to use commercially reasonable efforts to arrange tor a FIFA "legend" to attend an Event or other public activation hosted or otherwise organized by the City within the City of Miami Beach; and WHEREAS, the Mayor and City Commission desire to approve the Agreement and to authorize the City Manager to finalize and execute the Agreement. NOW, THEREFORE, BE IT DUIY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIOA, hereby accept the recommendation of the Finance and Economic Resiliency Committee at its December 20, 2024 meeting to direct the Administration to negotiate a Spec'ral Event Sponsorship Agreement (Sponsorship Agreement) with the Greater Miami Sports Commission, Inc. (FIFA Host Committee) for 2026 FIFA World Cup-related events in Miami Beach, such sponsorship agreement to include: (1) a maximum cash sponsorship contribution of$1.5 million, (2) a waiver 3 of special event fees, Lummus Park user fees, square footage fees, City services in an amount not to exceed $SOO,OOQ (3) a zone of exclusivity, (4) pouring rights exclusivity waiver, and (5) the public benefits to include, without limitation, a FIFA world cup kickoH concert, offcial watch party location in North Beach and potential legacy project in the City's parks; and further, approve, in substantial form, the Sponsorship Agreement between the City and the FIFA Host Committee to include(a)a maximum cash sponsorship contribution in the amount of$1,250,000, (b) a waiver of special event fees, Lummus Park user fees, square footage fees, City services in an amount not to exceed $500,000, and (c) commitments by the FIFA Host Committee (i) to adively promote and channel media toward a "media row" in Lummus Park: (ii) to host a to be determined number of 2026 FIFA World Cup watch parties in South Beach and/or North Beach; (iii) to use good faith efforts to raise sufficient sponsorships to produce a kickoff concert and; (iv) to contribute, subject to fundraising, toward the cost of building a high-quality soccer field within the City; and further, authorize the City Managerto fnalize the sponsorship agreement consistent with further diredion provided by the Mayor and City Commission, if any; and finally, authorize the City Manager and City Clerk to execute the Sponsorship Agreement in a form acceptable to the City Attomey. RECOMMENDATION The Adminisl2tion recommends accepting the recommendation of the Finance and Economic Resiliency Committee at its December 20, 2024 meeting to create incentives to establish Miami Beach as a local hub for the FIFA Worid Cup 2026 and negotiate a special event sponsorship agreement with the FIFA Worid Cup Host Committee forthe 2026 FIFA Wodd Cup-related events 1376 of 1791 to include waivers of special event fees, CiTy services, square footage fees and up to $500,000 of in-kintl services, a zone of exclusivity, and a rash sponsorship in the amount of$125 million. BACK ROUNDIHISTORY On May 21, 2024, the Miami-Dade County Board of Counry Commissioners passed Resolution No. 24-0871 providing funding support during Fisdl Years 2024-25 and 2025-26 to the Host Commfttee for ezpenditures related to fhe FIFA 2026 Wodd Cup matches to be held in Miami- Dade County in 2026 in an amount not to exceed $21 million in financial support (representing $3 million for each of the seven 2026 Wortd Cup matches taking place in Miami-Dade County), an amount not to exceed $25 million for legally available in-kind services from certain County departments and for public safety services from the Miami-Dade County SherifPs Oifice subject to negotiatfons with the Offce of the Shedff in January 2025. Subsequently, ihe County's original item was amended to reflect that the cash support to be provided by the County for the FIFA 2026 Wor1d Cup matches be amended to$10.5 million dunng Fiscal Year (FY) 2024-25, and that it be grented to the Greater Miami Convention and Visitors Bureau (GMCVB) for Fan Fest activations, the volunteers program, transportation services, and other public safery activations associated with the FIFA 2026 World Cup matches in the County. As a condition of the $10.5 million cash support grant, the Grent Agreement with the GMCVB shall require a focus on funding local programs with local businesses in the County and providing a report to the Board on fundraising and activities. Currently, the Tounsm and Cultu�e Department has receNed a Special Event Permit application from the FIFA World Cup 2026 Miami Host Committee to hold a series of events both private and public on the Lummus Park beachfront during various weekends of World Cup 2026. On July 24, 2024, at the request of Commissioner Joseph Magazine, the Mayor and City Commission approved a dual referral (C4 M)to the Finance and Ewnomic Resiliency Committee (FERC) and the Public Safery and Neighborhood Quality of Life Committee(PSNQLC)lo discuss the creation of incentives to establish Miami Beach as the local hub for Wodd Cup 2026. This item was diswssed at the September 18, 2024, PSNQLC meeling. At that time, the committee members asked that the item be brought back at the November 2024 PSNQLC meeting to discuss possible updates irom the event organizers. Dunng the November 13, 2024, PSNQLC meeting, this item was deferred to the December meeting. Ullimately, the sponsor withdrew the item from Ne PSNQLC December agenda. This item was also discussed at the November 8, 2024, FERC meeting. At that time, staft presented tne special event sponsorship request in the amouM of up to$1.5 million to the FERC members. The members requested that staff negofiate te�ms for an ag�eement with the event organizers and retum to FERC when appropnate. On Novem6er 15, 2024, City staH met with representatives of the FIfA 2026 WoAd Cup Host Committee to begin negotiation discussions on the sponsorship request for ttie 2026 evenL Staff returned to the December 20, 2024, FERC meeting and presented potential agreement tertns for discussion. Terms included the creation of incentives to establish Miami Beach as ihe local hub for the FIFA World Cup 2026, which include waivers of special evenf fees, City services, square footage fees, and up ro $500,000 of in-kind services as well as a cash sponsorship in an amount not to exceed $1.5 million. The Committee voted to move the item to Commission with a favorable recommendation ro direct Me Administration to negotiate an agreement with FIFA Wodd Cup 2026 Miami Host Committee with the terms as presented. Additional Miami Dade CounN Fundino Uodate 1377 of 1791 On the May 6, 2025, Miami Dade County Commission Meeting, the County Mayor and Commissioners approved ffie"FY2024-2025 Mid-Year Budget Supplemenl,"a butlget adjustment and amendment to vanous County departments, which included to amend the provisions of Resolution No. R-454-24 which established Board policy to provide tunding support during FY 2024-25 and 2025-26 to support local activities related to the 2026 Worltl Cup matches in an amount not to exceed $10.5 million in cash support to allocate an additional $10.5 million for World Cup hosting activities via an amendment to the General Fund (G7001) for a total of$27 million in rash support for FY 2024-25 all to be provided to the Greater Miami Sports Commission, Inc. instead of the Greater Miami Convention and Visitor Bureau, Inc. At Me July 11, 2025, Finance and Economic Resiliency Committee Budget Workshop meeting, lhe Mayor and City Commission discussed the Host Committee's special event sponsorship re4uest in the amount to not exceed $1.5 million and recommended retlucing the requested amount and further directing staff to negotiate lowering the funding request. Staff continued to negotiate with the Host Committee and the sponsorship request has been updated to refled $125 million. ANALVSIS The Federation Intemationale de Football Association (FIFA) oversees intemational soccer and is responsible for organizing the FIFA Wodd Cup, which takes place every tour(4) years. As the premier glo6al men's soccer tournament featuring 48 national teams, the FIFA Wodd Cup is the largest sporting event in the world, surpassing the Summer Olympics, UEFA Cbampions League, Tour de France, Formula 1, Super Bowl, and Rugby Worltl Cup combined in lerms of audience. For the first time in history, the organization of ihe biggest football toumament will be divided among three (3) NoM Amencan countnes, the United States, Mexico antl Canada. In total, 16 cities will host matches. Most of them (17) are in the USA: Seattle, San Francisco, Los Angeles, Dallas, Houston, Kansas City, Philadelphia, Atlanta, Miami, Boston and New York. The Mexican headquarters will be in Montertey, Guadalajara and Mexico City. Finally, the Canadian venues are Vancouver and Toronto. The final match is scheduled to take place on July 19, 2026. For the 2026 FIFA Wodd Cup, Miami-Dade Counry is set to host seven (7)matches at Hard Rock Stadium in Miami Gardens. On December 20, 2024, at the Finance antl Economic Resiliency Committee (FERC), the Atlministration and represenfatives of the 2026 FIFA World Cup Host Committee presented the sponsorship request and incentives. Nei[her[his Agreement, nor any term or provision hereof, or rigM hereunder, shall be assignable by a parry hereto unless such assignmentis approved by Ihe other party herem pursuant to this sectioq and any attempt to make such assignment(unless approved)shall 6e void; provided, however, the Ciry expressly acknowledges and agrees that Host Committee has the right to conhact, subcontrect and otherwise engage Ihird parties to provide products and services in connection wNh the production of ihe Events wRhoul the approval of the Ciry. 17. Books and Records. Host Commitlee shail keep accurate and complete books and rewrds of all receipts and ezpenditures relating to this Agreement,in accordance with reasona6le accounting standards, and shall retain such books and records for et least four (4) years afler com0lelion of the last Event to take place. At the request of ihe City, Host Committee shall provide the Ciry(and/or its designaretl representatives)reasonable access to its files and records relating to this Agreement and personnel during regular business hours tor Ihe purpose of making fnancial audits, evaluations or verifications, program evaluatbns, or other verifications conceming this Agreement, as lhe City deems necessary. Furthermore, the City may, a[ its expense, audit or have audited. all ihe fnancial records ot the Host Committee related to this Agreement. 16. Venue and Governinu Law. This Agreement shall be govemed as to per(ortnance and interpreted in accordance with ihe laws o!the State of Fbrida. Any claim or dispute arising out of Ihe terms of this Agreement shall be litigated in Miami-Dade Counry, Florida. 20. Limfletl Riohts. It is expressty understood and agreed that ihis Agreement is for Ihe duration of the Term only and that Host Committee has no right or privilege other than that expressly provided herein. 21. No Joint Venture Relationshio. Host Commd[ee agrees that nothing herein contained is intended or should be construed as in any way aeating or establishing the relationship of partners orjoint venturers behveen City and Host Committee. In no event shall Host Committee represen[ to any third party lhat it is acling as an agent, represenlalive or on behalF of Ciry for any purpose or in any manner whatsoever. 22. Host Commitlee herein agrees to adhere to and be governetl by all applicable Miami-Dade County Conflict of Interest Ordinances and Ethxs provisions, as set forth in the Miami-Dade County Code, as may be amended from time to time: and by the Ciry ot Miami Beach Charter and Code. as may be amended from time to time; both of which are incorporated 6y reference as if fuly set torth herein. Host Committee covenanls that it presenlly has no interest antl shall not acquire any interest. directly or indireclly, which could conflict in any manner or degree with ihe peRormance of the Host Committee's ohligations under this Agreement. Host Committee further covenanls that in the pertormance of this Agreement, Host Commiriee shall not employ any person having any such interest. 22.4 Host Comm tlee's Comoliance With Florida Public Records Law. a. Hosl Committee shall canpty in all matenal respec[s wi�h Florida Pu61ic Records law under Chapter 119, Florida Statutes, as may be amended from time to time, as it relates to Host Committee's peAormance of ds obligetions under this Agreement. b. The term "puhlic records" shall have the meaning set forth in Section 119.011(12)of the Florida Statutes, which means all documents, papers, letters, maps, 600ks, tapes, photographs, fims, sound recordings, data pmcessing software, or other material, regardless of the physical form. characteristics, or means of trensmission, made or received pursuant to law or ordinance or in connection with the trensaction of offcial business of the Ciry. c. Pursuant to Section 119.0701 0(lhe Florida StaW[es, it the Host Committee meets the definition of"Contractor"as definetl in Section i 19.0701(1)(a).the Host Commitlee shall�. (1) Keep and maintain public recortls required by the City lo pertorm the Host Commitlee's obligations under this Agreement'. Request For Records; Noncompliance. (1) A request to inspect or copy public records relating to ihis Agreement must be made directly to the City. If Ihe Cily does no[ possess the requestetl rewrds, ihe City shall immetliatety notity the Host Committee of the request, and, if the applicable public records are in �he possession of the Host Committee, then the kost Committee must provide such public records to the Ciry or allow such publ ic records to be inspecled or copied within a reasonable time. (2) Hosi Committee's failure to comply with the Ciry's request for pubiic rewrds that are in t6e possession or control of Ihe Host Committee Shall constiWte a breach of Ihis Agreement. and Ihe CiTy, at Rs Sole discre0on. may. Pursuant to the E-Verify Statute, Host Committee shall regisler with and use the E- Verify system to verify Ihe work au[horizatan status of all newly hired employees during the Term of this Agreement Additionally, Host Commitlee shall ezpressly require any subconsWtant pertorming work or providing services pursuant to this Agreement to likewise utilize Ihe U.S. Department of HomelanA Sewrity's E-Verify system to venfy Ihe employment eligibilily o! all new employees hired by the subconsul�ant. If the Host Committee en[ers into a contract with an approved subconsWtant, the subconsultant must provide the Host Committee with an affitlavit statirg that ihe subconsWtant does not employ, contract with, or subcontract with an unauthorized alien. The Host Committee shall maintain a copy of such afftlavil for the duralion of this Agreement or such other extended period as may be reQuired u�er this Agreement. b. Termination RiahtS. (1j if the Ciry has a good faith belief that Host Committee has knowingy violated Sedion 446.09(1), Florida StatNes, which prohibits any person from knowingly employing, hiring, recruiting, or refemng an alien who is not duly authorized to work by the immigretion laws or the Attomey General of the United States.Ihe Ciry shall terminate this Agreement with Host Committee for cause, and the City shall thereafte�have or owe no Porther obligation or liability to Host Committee. Even[ Descriotion. The term "Events" as used herein shall include each event and/or series of events delineated more tully in Exhibit"A." Cily shall not be a party to any independent contracts tha�Host Committee may enter into with other organizations,contractors.or panicipants in[he Events a�d/or supporti�g adivities, nor shall City be IiaWe to such third parlies uoder such independent contracts or otherwise as a resutt of Host Committee's or fIFA's acts or omissions. Host Committee shall utilize the sponsorship benefrts and conduct and operate each Even� for which it is responsible in accortlance with all appNcable laws. and without endangering o[hers or violating their righls. 5. Sponsorshio and oublic hen�t oackaae. I�considemtion of the Ciry fee waivers, io-kiiW City Services antl sponsorship funding described in Ihis Agreement, and ihe mutual promises made herein, Hos[Committee shall, subject to Ihe Host Commitlee FIFA Rights and Obliga�ions, pmvitle sponsorshlp recogni[ion and other benefits to the Giry which shall include the bene(ts as set forth in Exhibit"B"attached here[o and inwrporated herein by reference. 6. Host Committee's Resoonsibilities. Host Comminee is responsible !or the following with respect[o each Event in the Ciry of Miami Beach. a. As between the Ciry and the Host Committee, the Host Committee shall be solely responsible for organizing a�d pmmoting all aspects of each Event, indutling, as applicable, securing private sponsors and vendors to participate in each such Event Host Committee is responsible for the conduc[and operation of each Event and will provide, or engage third parties lo provide, the appropriate personnel[o conduct each such Event, as applicahle and determined by Host Committee. City, at its sWe tliscretion, may monNor and contluct an evaluation of Host Committee's organization of each Event Host Committee agrees to cooperete witn City to prompifY address any deficiencies or concems the Ciry may have in connec[ion with an Event, in the City's reasonable discretioa. e. Further, Host Committee agrees to comply in all material respects with[he terms and conditions of any special event permit, lease. license,contract or other agreement that Hos[Committee may have separately entered into with the Ciry, if any ("Other Ciry Permits and Contracts"). Limitatian o�Liabili[v. The Ciry desires m enter into this Agreement onry if in so doing Ihe City can place a limit on the City's liabifiry for any cause of action.for money damages doe to ao allegetl breach by ihe Cily of this Agreemen�, so[hat its lia6iliry for any such breach never enceeds the sum of 5100.000. Host Cammittee hereby ezpresses its willingness to enter into ihis Agreement with Host Commitlee's recovery from ihe City for any damage action for breach of contract to he limited to a maximum amoun[o�5100.000. Written decisions and/or approvals issued by�he City shall not constiWte nor be deemed a release of Ihe responsibiliry and liabiliry of the Hosi Committee(or ot any o(its ofiicers, employees, sub- consultarrts, agents, andlor servanis) tor Ihe accurecy and competency of its/their designs, working drawings, plans. technical specifca[ions.. measuremerrts or other technical documents, nor shall such approval andlor decisions he deemed to be an assumption of such responsibilily by the Ciry for a defect. error or omission in designs, vrorking drawings. plans. technical specifcations, measurements o�other technical documents. 11. Citv's Soonsorshb ContribuCons for the Event Subject to Host Commitlee's compliance with its o6ligaGons under this Agreemenf;City is responsible for the fdlowing-. a) City shall (i) waive special permd fees which would otherwise be payable 6y Host Committee, and (ii) provide in-kind public services consisting of Police, Fire, and Sanitation services to be provided 6y the Ciry in conneqion with the Events("Ciry Services")in a tolal amount not to ezceed$500,�00. All applicable special event application fees, permi[fees, vehicle beach access passes, square footage fees, and park user fees (i.e., Lummus Park User Fees), if, and as required for each Event, shall be waived by the Crty and shall not be consitlered part of the (oregoing $500,000.00 in-kintl Cfly Services waiver. Host CommMee shall be solely responsible for payment to City for all Ciry Services in excess of$500,000. Any unused credit remaining wilh respect to the special event pemMiees waivetl antl Event-relaled Ciiy 9ervices tees pursuan[to this Section 11(a)shall be non-trans(errable and wnnot be used to oRse[any other Evenbrelated costs or(or any other purpose. b) Cily shall provide Hos[ Committee with a cash sponsorship in the amount of $1,250,000, payable in accordance wiih ihe fo�lwiing schedule�. Ciry hereby agrees to obtain a waiver of exdusiviry under its agreement with PepsiCo for the sale and brantling of Pepsi 6ra�ded producis at the Lummus Park aieas where any Even[s or other special events approvetl pursuant[o this Agreement shall take place. 13. Imolementation of "Clean Zone." City agrees that, from antl aRer ihe effective date of this Agreement ihrough ihe end o(the Event Dates, it shall not issue a special event permit for the use ot public property in connection with an event othet than an Exduded Event (as definetl below) ihat promotes, directly or indireMly, any spoA or other event which is competitive with [he FIFA Wodd Cup 2026, within the Clean Zone during Ihe Event Dates, without frst o6taining the prior written consent of Host Commiltee, including, without limi�ation, any event or activity on public propeRy requiring a special event permit, involving (1) mobile and/ortemporary vending or sampling on public property, such as food and bevera9e certs and temporary merchandise stands; (2) mo6ile end/or temporary sampling; (3) temporary stmcWres (e.g. party tents, s[ages and merchandise tents) and temporary hospitality or entertainment venues (e.g. concert areas) on puhlic properry; and (4) Parades, races and block events. Nohvithstanding Ihe foregoing, if the Host Committee is unable to establish, by or before March 1, 202fi, with tlocumentation reasonably satisfactory to lhe Ciry that (x) �ummus Park has been tlesignatetl to serve as an offcial remote broadcas[location Q.e. Media Rav) in Miami Dade County for live FIFA World Cup 202fi broadcas[s (y) Ihe Kickoff Concert or a dosing concert will be heltl in ihe Wmmus Park beachimn[ area, or (z) that the Host Committee shall either avange for a FlFA broadcasting partner to provide a Clean Feetl for FIFA Wodd Cup 2026 mafches presented at the North Beach Watch Parties andbr South Beach Watch Pahies or Host Committee shall pay for the costs assaciated with the North Beach Watch Parties andlor South Beach Watch Parties, ihen the Ciry shall have no obligation to maintain the Clean Zone. For purposes o(this Sectia� 13, Ne term "Excluded Events" means the following (a) Miami Beach Pride Conced taking place in Lummus Park prior to June 11, 2026; (b)American Black Film Festival', (W Ciry of Miami Beach Juneteenth celebration, provided,ihe Ciry shall not entet iMo a sponsashlp agreement for[his event which includes the South Beach Clean Zone without fhe Orior wrinen consenl of the Host Commrttee. which consent shall no[ be unreasonably withheld�, (d) City of Miami 6each Fourth ot July celebra[ion in Altos Del Mar Park; and (e) City ot Miami Beach Fourth of July celebration in Lummus ParK,provWed,the Cily shall not enter into a sponsorship agreement for this event which includes the South 8each Clean Zone without the prior written consent of ihe Host Committee, which Gonsent shall not be unreasonably withheld. a) The Ciry shall provide Host Commitlee with written notice at least si#y (60) calendar days prior to Ihe issuance of any special event permit for any event (other �han any Excluded Events) pmposetl to take place on public pmperty within the Clean Zone during the Event Oates (Ihe "Cily Approval RequesT'). Host Committee shall have ten (10) calentlar days (rom[he date of the Host Committee's receipt of a Ciry Approval Request lo approve or deny the City Approval Request Host Commitlee's approval or denial o!the Ciry Approval Request must be in wri[ing anQ i(a denial, must articulate the speci(c reason(s)therefor. For the avoidance of doubt, Hosi Committee shali not contlition its approval on the payment of a fee to Host Committee, FIFA or other party. In the event that Host Committee fails to approve or deny a Ciry Approval Request within the ten(70)calendar day period deuribetl above.then HostCommittee shall have waived its right to deny such Ciry Approval Request, and the City may proceed with the issuance of a special event permit for the proposed event that was the subject of such Ciry Approval Request as iF approved by Host Gommittee, and without any(urther notice and/or ather obligation to Host Committee. 6) Notwithstanding any provision to the contrary herein with respect to the establishment o!the Clean Zone. Force Maieure. Should City be una6le ro tentler possession of any City property where the Event(s)wilt be located ("Evenl Site'j or to pmvi0e Ciry Services, or shoWtl Host Committee otherwise he unable to take possession of such Event Site, or present the Event(s) or otheiwise pertorm its obligations hereunder,when sucF faiWre, directly or indiredly, is causetl by a in any manner arises trom an Event of Force Majeure(defnetl herein), then neither party shall have any liabiliry under this Agreement for such failure. The term'Event of Force Majeure" shall mean any antl all acts of God, sirikes, lock-outs, acts of the public enemy, laws, rules and regulations of govemmental or quasi-governmental entities, wars or wadike action. epidemics, pandemics, arrest or other restraint ot government(civil or mili(ary), blockades, i�urrections, riots, terrorism or terrorist Ihreats.. epidemics, earthquakes. hurricanes, storms. Even4s of Default. In Ihe event of any such termination, the Ciry shall have na further obligation or liahility to Host Committee. i6. AssionmenL Neither this Agreement, nor any term or provision hereof, or righl hereuntler, shall be assignable by a party hereto unless such assignment is approved by the other party hereto pursuantio this section,and any atlempt to make such assignment(unless approved)shall be void�, provided, however, the Ciry expressly acknowledges and agrees that Host Committee has the right to contract, subcontract and otherwise engage Ihird parties to provide products and services in connection with the produc�ion o!the Evenis wRhout the approval of the Ciry. 17. Books and Records. Hosl Commiiree sha�l keep accU�ate and wmplete books antl rewrds o/all receipts and expenditures rela[ing to th�s Agreement, in accordance with reasonable accounting standartls, and shall retain such houks and recortls for at least four (4) years afier completion o(Ihe last Event to taKe place. At the request of the Ciry, Host Committee shall pmvide the Cdy(and/or its designated representatives) reasonable access to its fles and recards relating to this Agreement and personnel during regWar business hours for Ihe purpose of making lnencial audits, evaluations or verifcations, pwgram evaluations, or other verifications concerning this Agreement, as [he City deems necessary. Furthermore, the Ciry may, at its expense, audil or have audited, all ihe financial records of the Host Committee rela[ed to lhis Agreement. 18. Entire Aoreement This Agreemerrt(together with the Ezhibits attached hereto which are incorporated herein by reterence) shall cons6tute ihe entire agreement beTxeen lhe parties with respect to the subject matter hereot and thereof,and�ro wartaMies,inducements, consideretions. promises or other references shall be implied or impressed upon this Agreement that are not expressly addressed herein. 19. Venue end Governinu Law. This AgreemeM shall be governed as to pertormance and interpreted in accordence with tlm laws oi Me State of Florida. Any claim or dispute arising out o(the terms o�this Agreement shail be litigated in Miami-Datle Counry, florida. 20. LimRed Riohls. II is expressly understood and agreed that this Agreement is for the duration of the Term only and that Host Committee has no nght or privilege o�her Ihan [hat expressly prwided herein. 21. No Joint Venture Relationshia Host Committee agrees that nothing herein containetl is in[ended or should be construed as in any way creating or esta6lishing the relationship o(padners orjoint venturers belween Clly and Host Committee. In no even�shall Host Committee represent m any thirtl party Ihat it is ading as an a9ent, representative or on behalf o(City for any purpose or in any mannerwhalsoever. 22.
