CMB / FIFA World Cup 2026 Sponsership Agreemnt between Greater Miami Sports Commission, Inc. and CMB I � Zo25— 33�`t7 I � , CITY OF MIAMI BEACH/FIFA WORLD CUP 2026 SPONSORSHIP AGREEMENT �U�. 3 0 2025 THIS AGREEMENT (this "AgreemenY') is made and entered into this ay of , 2025 ("Effective Date"), by and between the City of Miami Beach, Florida, a Florida municipal corporation with offices at 1700 Convention Center Drive, Miami Beach, FL 33139 (the "City"),and Greater Miami Sports Commission, Inc., a Florida not for profit corporation,with offices at 220 Alhambra Circle, Suite 310, Coral Gables, FL 33134 ("Host Committee"). WITNESSETH: WHEREAS, the Federation Internationale de Football Association ("FIFA") World Cup 2026 will be the 23rd edition of the FIFA World Cup, the world's premiere international football (soccer)tournament and will be held jointly in three host countries for the first time in history: the United States, Canada and Mexico; and WHEREAS, for the FIFA World Cup 2026, Miami-Dade County is set to host seven (7) matches at Hard Rock Stadium in Miami Gardens including group stage games, a quarterfinal game, and the third-place Final match, all currently scheduled between June 15, 2026 and July 18, 2026 (the "Miami Matches"); and WHEREAS, the Host. Committee has been selected by FIFA to serve as a host organization for FIFA World Cup 2026 in South Florida and is engaged in promoting, advertising and marketing Miami as a host city for FIFA World Cup 2026 and other activities related thereto (collectively, the"Host Committee Activities"); and WHEREAS, in addition to the Miami Matches, other venues in Miami-Dade County—such as Bayfront Park in Miami, and Barry University in Miami Shores—are expected to hold events and activities related to the FIFA World Cup 2026; and WHEREAS, in connection with FIFA World Cup 2026, the Host Committee desires to organize a Kickoff Concert (as defined below) that will be free and open to the public and take place on the Lummus Park beachfront; and WHEREAS, the Host Committee shall designate the City of Miami Beach (or a portion thereof) as an official Host Committee watch party location for FIFA World Cup 2026; and WHEREAS,the Host Committee will work to leverage fundraising and sponsorship efforts to offset the City's cost to build a high-quality soccer field within the City to provide accessible spaces to youth and promote community engagement in sports; and WHEREAS, the City desires to sponsor Host Committee Activities relating to FIFA World Cup 2026 events scheduled to take place in and around the City of Miami Beach beginning on June 15, 2026, and continuing through July 18, 2026 (collectively, the "Events"), as delineated more fully in Exhibit"A" attached hereto and incorporated herein by this reference; and WHEREAS, the Host Committee's fin�ncial support for the Legacy Project (as defined in Exhibit "B")will be based on its fundraising acrivity and ability to secure a private-sector sponsor in accordance with the City's rules and procedu�es; and 1 MIAMI 12461312.13 102754/30670� WHEREAS, on July 23, 2025 the Mayor and City Commission adopted Resolution No. 2025- , approving and authorizing the City Manager and City Clerk to execute this Agreement. NOW,THEREFORE, in consideration of the mutual promises and covenants made herein, City and Host Committee agree as follows: 1. Recitals. The above recitals are true and correct and are incorporated by reference herein. 2. Term. The term of this Agreement will commence on the Effective Date set forth above, and shall expire following the later of(a)the conclusion of the final Event during the Event Dates (as defined below) period and (b) Host Committee's completion of all its obligations hereunder (the "Term"). 3. Event Description. The term "Events" as used herein shall include each event and/or series of events delineated more fully in Exhibit "A." City shall not be a party to any independent contracts that Host Committee may enter into with other organizations, contractors, or participants in the Events and/or supporting activities, nor shall City be liable to such third parties under such independent contracts or otherwise as a result of Host Committee's or FIFA's acts or omissions. Host Committee shall not represent that it is an agent, official, authorized representative or employee of City. 4. V1/arranties. Subject to the terms, conditions, provisions and requirements of Host Committee's current and future agreements with, and obligations to, FIFA, and Host Committee's rights set forth therein, whether or not evidenced by a mutually executed written agreement, as such agreement(s), obligation(s), and right(s) may be amended or modified from time to time, including,without limitation, with respect to delivery of notice to and receipt of approval from FIFA, as the case may be (collectively and individually, the "Host Committee FIFA Rights and Obligations"), Host Committee warrants and represents that it has all rights, authorizations, licenses and permits necessary to enter into this Agreement, to grant the rights and licenses herein granted, and to carry out its responsibilities as set forth herein. Host Committee shall utilize the sponsorship benefits and conduct and operate each Event for which it is responsible in accordance with all applicable laws, and without endangering others or violating their rights. 5. Sponsorship and public benefit packaqe. In consideration of the City fee waivers, in-kind City Services and sponsorship funding described in this Agreement, and the mutual promises made herein, Host Committee shall, subject to the Host Committee FIFA Rights and Obligations, provide sponsorship recognition and other benefits to the City which shall include the benefits as set forth in Exhibit "B" attached hereto and incorporated herein by reference. 6. Host Committee's Responsibilities. Host Committee is responsible for the following with respect to each Event in the City of Miami Beach. a. As between the City and the Host Committee, the Host Committee shall be solely responsible for organizing and promoting all aspects of each Event, including, as applicable, securing private sponsors and vendors to participate in each such Event. Host Committee is responsible for the conduct and operation of each Event and will provide, or engage third parties to provide, the appropriate personnel to conduct each such Event, as applicable and determined by Host Committee. Except as expressly specified herein, the City is under no obligation to fund any aspect of any Event, or any subsequent Events. 2 MIAMI 12461312.13 102754/3 06705 b. Except with respect to compensation not in excess of$500,000 owed to providers of in-kind City Services, Host Committee shall be responsible for all compensation that may be due to all performers, entertainers, vendors, organizations, event sanctioning bodies, and participants, if and as applicable, and City shall have no such responsibility, obligation or liability therefor. City shall not be responsible or liable to competitors for prize money payments, or to any third party for any aspect of the production of an Event. Further, City shall not be a party to any independent contracts that the Host Committee may enter with other organizations, contractors, or participants in the Event and/or supporting activities, nor shall City be liable to such third parties under such independent contracts or otherwise as a result of Host Committee's or FIFA's acts or omissions. Host Committee shall not represent that it is an agent, official, authorized representative, or employee of City. c. Subject to the Host Committee FIFA Rights and Obligations, Host Committee shall retain all rights to the Events, including any rights associated with Event-related apparel and/or merchandising sales. d. Host Committee shall provide the City with written reports on September 1, 2025, November 1, 2025, January 1, 2026, March 1, 2026,April 1, 2026, May 1, 2026 and June 1, 2026 detailing Host Committee's progress with respect to the activation of the Event(s). In addition, the Host Committee shall provide immediate written notice to the City of any significant developments relating to the FIFA World Cup 2026 as it relates to the Miami Matches or the Events. City, at its sole discretion, may monitor and conduct an evaluation of Host Committee's organization of each Event. Host Committee agrees to cooperate with City to promptly address any deficiencies or concerns the City may have in connection with an Event, in the City's reasonable discretion. e. Host Committee must provide, within 90 days after the expiration of the Event Dates period, a Final Report, including, as applicable, the following: • An accounting of the number of Miami Beach residents who were granted access to the front section of the general admission area of the Kickoff Concert; • Third-party verification of Event outcomes including, without limitation, Event attendance figures with proven method of collection, media impressions generated by the Event photos and videos of the Event; and • The implementation of the sponsorship benefits and public benefit program, including statistics relating to how many residents were served and how this program was marketed and communicated to the residents. f. Host Committee shall,within one hundred twenty(120)days after the expiration of the Event Dates period, provide the City with a copy of the overall Economic Impact Report prepared by an independent third party and which is expected to include, among other things, estimated spend in the City of Miami Beach by Event attendees, and the number of City of Miami Beach hotel room nights generated by the Event(s) and/or the Miami Matches. 7. Insurance. Miami Beach Risk Manager to provide Insurance requirements for Host Committee and any third party vendors involved in the production of the Event(s). 8. Compliance with all Permit Reauirements.and Applicable Laws. Host Committee shall obtain all applicable federal, state and local approvals, permits and licenses relating to any Event and any activities related thereto. Host Committee shall maintain its good standing in accordance with the laws of the State of Florida and the City of Miami Beach Code of Ordinances ("City 3 MIAMI 12461312.13 102754/306705 Code"), and shall comply in all material respects with any federal, state, county or City Code requirement applicable to Host Committee or to the Host Committee's operation of its business or other Host Committee activities in the City of Miami Beach which may include,without limitation, obtaining any Certificate of Use or Business Tax Receipt(s)that may be required for any business activity and timely making payment of all taxes,fees or charges that may be due to the City. Host Committee shall promptly take corrective action to correct (a) any City Code violation of which Host Committee is aware and/or receives written notice and (b) any notice of violation issued by any governmental agency with jurisdiction over Host Committee. Further, Host Committee agrees to comply in all material respects with the terms and conditions of any special event permit, lease, license, contract, or other agreement that Host Committee may have separately entered into with the City, if any ("Other City Permits and Contracts"). Any failure by Host Committee to comply with any provision of the City Code applicable to Host Committee, or any breach or default by the Host Committee of any covenant or other term or condition contained in any Other City Permits and Contracts (after the passage of any applicable notice and cure provision set forth therein), shall, at the option of the City, be considered an Event of Default under this Agreement (as such term is defined more fully below), in which event the City shall be entitled(but in no event required) to apply all rights and remedies available to the City under the terms of this Agreement or at law by reason of; Host Committee's breach or failure to comply with said obligations. 9. Host Committee Indemnification Obliqation. Host Committee shall indemnify, defend,and hold harmless the City and its officers, employees, agents, and contractors,from and against any and all actions (whether at law or in equity), claims, liabilities, losses, expenses, or damages, including, without limitation, attorneys' fees and costs of defense, for personal, economic, or bodily injury, wrongful death, or loss of or damage to property, which the City or its officers, employees, agents, and contractors may incur as a result of claims, demands, suits, causes of action or proceedings of any kind or nature arising out of, relating to, or resulting from the performance of this Agreement by Host Committee or its officers, employees, agents, servants, partners, principals or contractors; provided, however, in no event shall Host Committee be liable to,or have the obligation to indemnify,defend,or hold harmless,the City or its officers,employees, , agents, or contractors, as the case may be, for, from, or against any actions (whether at law or in equity), claims, liabilities, losses, expenses, or damages, including, without limitation, attorneys' fees and costs of defense, for personal, economic, or bodily injury, wrongful death, or loss of or � damage to property to the extent caused by the gross negligence or intentional misconduct of the City. Subject to the proviso of the preceding sentence, Host Committee shall pay all claims and losses in connection therewith and shall investigate and defend all claims, suits, or actions of any kind or nature in the name of the City, where applicable, including appellate proceedings, and shall pay all costs, judgments, and attorneys' fees which may issue thereon. Host Committee expressly understands and agrees that any insurance protection required by this Agreement, or otherwise provided, shall in no way limit Host Committee's obligation, as set forth herein, to indemnify, hold harmless, and defend the City or its officers, employees, agents, and contractors as herein provided. 10. Limitation of Liabilitv. The City desires to enter into this Agreement only if in so doing the City can place a limit on the City's liability for any cause of action, for money damages due to an alleged breach by the City of this Agreement, so that its liability for any such breach never exceeds the sum of $100,000. Host Committee hereby expresses its willingness to enter into this Agreement with Host Committee's recovery from the City for any damage action for breach of contract to be limited to a maximum amount of$100,000. Accordingly, and notwithstanding any other term or condition of this Agreement, Host Committee hereby agrees that the City shall not be liable to the Host Committee for damages in an amount 4 MIAMI 12461312.13 102754/306705 in excess of$100,000 for any action or claim for breach of contract arising out of the performance or non-performance of any obligations imposed upon the City by this Agreement. � Nothing contained in this section or elsewhere in this Agreement is in any way intended to be a waiver of the limitation placed upon the City's liability, as set forth in Section 768.28, Florida Statutes. Written decisions and/or approvals issued by the City shall not constitute nor be deemed a release of the responsibility and liability of the Host Committee (or of any of its officers, employees, sub- consultants, agents, and/or servants) for the accuracy and competency of its/their designs, working.drawings, plans, technical specifications, measurements or other technical documents, nor shall such approval and/or decisions be deemed to be an assumption of such responsibility by the City for a defect, error or omission in designs, working drawings, plans, technical specifications, measurements or other technical documents. 11. Citv's Sponsorship Contributions for the Event. Subject to Host Committee's compliance with its obligations under this Agreement, City is responsible for the following: a) City shall (i)waive special permit fees which would otherwise be payable by Host Committee, and (ii) provide in-kind public services consisting of Police, Fire, and Sanitation services to be provided by the City in connection with the Events("City Services")in a total amount not to exceed $500,000. All applicable special event application fees, permit fees, vehicle beach access passes, square footage fees, and park user fees (i.e., Lummus Park User Fees), if, and as required for each Event, shall be waived by the City and shall not be considered part of the foregoing $500,000.00 in-kind City Services waiver. Host Committee shall be solely responsible for payment to City for all City Services in excess of$500,000. Any unused credit remaining with respect to the special event permit fees waived and Event-related City Services fees pursuant to this Section 11(a)shall be non=transferrable and cannot be used to offset any other Event-related costs or for any other purpose. b) City shall provide Host Committee with a cash sponsorship in the amount of $1,250,000, payable in accordance with the following schedule: I. Payment#1: Seven Hundred Fifty Thousand Dollars and No Cents ($750,000.00) to be paid to Host Committee within forty-five (45) days of the full execution of this Agreement. II. Payment #2: Five Hundred Thousand Dollars and No Cents ($500,000.00) to be paid to Host Committee after October 1, 2025, but before November 1, 2025. 12. Waiver of Pepsi Exclusivitv. City hereby agrees to obtain a waiver of exclusivity under its agreement with PepsiCo for the sale and branding of Pepsi branded products at the Lummus Park areas where any Events or other special events approved pursuant to this Agreement shall take place. 13. Implementation of "Clean Zone."" Subject to the last three sentences of this paragraph, City agrees to establish two zones, the effective term and duration of which shall run from June 4, 2026,through July 20, 2026 (as such period may be extended by the mutual written agreement of the parties hereto, the "Event Dates"), with (i)the first zone being generally bounded by 22nd Street to the north; by 5th Street to the south; by Jefferson Avenue(between Dade Blvd and 15th Street) and by Washington Avenue (between 15th Street and 5th Street)to the west; and by the Atlantic Ocean to the east, as depicted in Exhibit"C" attached hereto and incorporated herein by 5 MIAMI 12461312.13 102754/3 06705 reference (the "South Beach Clean Zone") and (ii) the second zone being generally bounded by 75th Street to the north; by 70th Street to the south; by Harding Avenue/Abbott Avenue to the west; and by the Atlantic Ocean to the east, as depicted in Exhibit "C" attached hereto and incorporated herein by reference (the "North Beach Clean Zone" and, together with the South Beach Clean Zone, the "Clean Zone"). City agrees that, from and after the effective date of this Agreement through the end of the Event Dates, it shall not issue a special event permit for the use of public property in connection with an event other than an Excluded Event (as defined below)that promotes, directly or indirectly, any sport or other event which is competitive with the � FIFA World Cup 2026, within the Clean Zone during the Event Dates, without first obtaining the prior written consent of Host Committee, including, without limitation, any event or activity on public property requiring a special event permit,involving (1) mobile and/or temporary vending or sampling on public property, such as food and beverage carts and temporary merchandise stands; (2) mobile and/or temporary sampling; (3) temporary structures (e.g. party tents, stages and merchandise tents) and temporary hospitality or entertainment venues (e.g. concert areas) on public property; and (4) Parades, races and block events. Notwithstanding the for.egoing, if the Host Committee is unable to establish, by or before March 1, 2026, with documentation reasonably satisfactory to the City that (x) Lummus Park has been designated to serve as an official remote broadcast location (i.e. Media Row) in Miami Dade County for live FIFA World Cup 2026 broadcasts, (y) the Kickoff Concert or a closing concert will be held in the Lummus Park beachfront area, or (z) that the Host Committee shall either arrange for a FIFA broadcasting partner to provide a Clean Feed for FIFA World Cup 2026 matches presented at the North Beach Watch Parties and/or South Beach Watch Parties or Host Committee shall pay for the costs associated with the North Beach Watch Parties and/or South Beach Watch Parties, then the City shall have no obligation to maintain the Clean Zone. For purposes of this Section 13, the term "Excluded Events" means the following: (a) Miami Beach Pride Concert taking place in Lummus Park prior to June 11, 2026; (b)American Black Film Festival; (c)City of Miami Beach Juneteenth celebration, provided, the City shall not enter into a sponsorship agreement for this event which includes the South Beach Clean Zone without the prior written consent of the Host Committee, which consent shall not be unreasonably withheld; (d) City of Miami Beach Fourth of July celebration in Altos Del Mar Park; and (e) City of Miami Beach Fourth of July celebration in Lummus Park, provided,the City shall not enter into a sponsorship agreement for this event which includes the South Beach Clean Zone without the prior written consent of the Host Committee, which consent shall not be unreasonably withheld. a) The City shall provide Host Committee with written notice at least sixty (60) calendar days prior to the issuance of any special event permit for any event (other than any Excluded Events) proposed to take place on public property within the Clean Zone during the Event Dates (the "City Approval RequesY'). Host Committee shall have ten (10) calendar days from the date of the Host Committee's receipt of a City Approval Request to approve or deny the City Approval Request. Host Committee's approval or denial of the City Approval Request must be in writing and, if a denial, must articulate the specific reason(s)therefor. For the avoidance of doubt, Host Committee shall not condition its approval on the payment of a fee to Host Committee, FIFA or other party. In the event that Host Committee fails to approve or deny a City Approval Request within the ten(10)calendar day period described above,then Host Committee shall have waived its right to deny such City Approval Request, and the City may proceed with the issuance of a special event permit for the proposed event that was the subject of such City Approval Request as if approved by Host Committee, and without any further notice and/or other obligation to Host Committee. b) Notwithstanding any provision to the contrary herein with respect to the establishment of the Clean Zone, (i) special events held on private property or on public property 6 MIAMI 12461312.13 102754/306705 that is the subject of a concession agreement, and (ii) lawful demonstrations, pickets, and free speech activities shall be exempt from the limitations set forth herein with respect to the Clean Zone, and any such events or activities shall not require any Host Committee approval. c) For the avoidance of doubt, general advertising signs within the City shall be prohibited, in accordance with Section 138-5 of the City Code and any advertising signage shall be installed with appropriate permits in accordance with all provisions of applicable law. 14. Force Maieure. Should City be unable to tender possession of any City property where the Event(s) will be located ("Event Site") or to provide City Services, or should Host Committee otherwise be unable to take possession of such Event Site, or present the Event(s) or otherwise perform its obligations hereunder, when such failure, directly or indirectly, is caused by or in any manner arises from an Event of Force Majeure(defined herein), then neither party shall have any liability under this Agreement for such failure. The term "Event of Force Majeure"shall mean any and all acts of God, strikes, lock-outs, acts of the public enemy, laws, rules and regulations of governmental or quasi-governmental entities, wars or warlike action, epidemics, pandemics, � arrest or other restraint of government (civil or military), blockades, insurrections, riots, terrorism or terrorist threats, epidemics, earthquakes, hurricanes, storms, floods, washouts, fire or other casualty, civil disturbances, explosions, threats of bombs or similar interruptions, confiscation or seizure by any government or public authority, nuclear reaction, radioactive contamination, accidents, or any other causes, whether of the kind herein enumerated or otherwise that are not reasonably within the control or caused by the party claiming the right to delay the performance on account of such occurrence. The period of an Event of Force Majeure, and the suspension of obligations hereunder, shall extend to and include any period of time required to implement emergency preparations in advance of the Event of Force Majeure, the Event of Force Majeure itself, and the period of time following the Event of Force Majeure that may be required to restore the Event Site and/or remediate any delay, damage, loss, failure or inability to perform as a consequence of the Event of Force Majeure. Upon removal or cessation of the Event of Force Majeure, the parties' respective rights and obligations hereunder shall be reinstated; provided; however, that the declaration and notice of an Event of Force Majeure and subsequent cessation of the cause of such Event of Force Majeure shall not require the Host Committee to move forward with the Event if, in its reasonable belief, it will result in significantly diminished attendance and/or cancellations or cause Host Committee an unduly burdensome financial impact. 15. Events of Default, Termination of Aqreement and Remedies. a) The following shall constitute events of default (each, an "Event of Default"): 1) Any material misrepresentation, written or oral, made by Host Committee and/or its representatives to City. 2) Failure by Host Committee to timely perform and/or observe any of the terms and conditions of this Agreement. 3) Insolvency or bankruptcy on the part of Host Committee. 4) Any material failure by Host Committee to comply with any provision of the City Code applicable to Host Committee, or any material breach or default by the Host Committee of any covenant or other term or condition contained in any Other City Permits and Contracts (after the passage of any applicable notice and cure provision set forth therein). b) The occurrence of any Event of Default may, following notice to the Host Committee and an opportunity to cure such Event of Default within twenty four(24) hours after receipt of such notice, at the sole option of City during its continuance, operate as an 7 MIAMI 12461312.13 102754/306705 automatic forfeiture of any rights or benefits conferred under this Agreement, and accordingly, City reserves the right to revoke the fee waivers or discontinue the funding provided for herein. Further, if an Event of Default is not cured by Host Committee within twenty-four(24) hours after receipt of such notice, the City may terminate this Agreement and exercise any other legal remedies available to it. In the event of any such termination, the City shall have no further obligation or liability to Host Committee. 16. Assiqnment. Neither this Agreement, nor any term or provision hereof, or right hereunder, shall be assignable by a party hereto unless such assignment is approved by the other party hereto pursuant to this section,and any attempt to make such assignment(unless approved)shall be void; provided, however, the City expressly acknowledges and agrees that Host Committee has the right to contract, subcontract and otherwise engage third parties to provide products and services in connection with the production of the Events without the approval of the City. 17. Books and Records. Host Committee shall keep accurate and complete books and records of all receipts and expenditures relating to this Agreement, in accordance with reasonable accounting standards, and shall retain such books and records for at least four (4) years after completion of the last Event to take place. At the request of the City, Host Committee shall provide the City(and/or its designated representatives) reasonable access to its files and records relating to this Agreement and personnel during regular business hours for the purpose of making financial audits, evaluations or verifications, program evaluations, or other verifications concerning this Agreement, as the City deems necessary. Furthermore, the City may, at its expense, audit or have audited, all the financial records of the Host Committee related to this Agreement. 18. Entire Aqreement. This Agreement (together with the Exhibits attached hereto which are incorporated herein by reference) shall constitute the entire agreement between the parties with respect to the subject matter hereof and thereof, and no warranties, inducements, considerations, promises or other references shall be implied or impressed upon this Agreement that are not expressly addressed herein. 19. Venue and Governinq Law. This Agreement shall be governed as to performance and interpreted in accordance with the laws of the State of Florida. Any claim or dispute arising out of the terms of this Agreement shall be litigated in Miami-Dade County, Florida. 20. Limited Riqhts. It is expressly understood and agreed that this Agreement is for the duration of the Term only and that Host Committee has no right or privilege other than that expressly provided herein. 21. No Joint Venture Relationship. Host Committee agrees that nothing herein contained is intended or should be construed as in any way creating or establishing the relationship of partners or joint venturers between City and Host Committee. In no event shall Host Committee represent to any third party that it is acting as an agent, representative or on behalf of City for any purpose or in any manner whatsoever. 22. General Provisions. 22.1 Inspector General Audit Riqhts. Section 2-378 of the Code of the City of Miami Beach is hereby incorporated in its entirety into this Agreement as if fully set forth herein. 22.2 No Discrimination. 8 MIAMI 12461312.13 102754/306705 In connection with the performance of its obligations under this Agreement,the Host Committee shall not exclude from participation in, deny the benefits of, or subject to discrimination anyone on the grounds of race, color, national origin, sex, age, disability, religion, income or family status. Additionally, Host Committee shall comply fully with the City of Miami Beach Human Rights Ordinance, codified in Chapter 62 of the City Code, as may be amended from time to time, prohibiting discrimination in employment (including independent contractors), housing, public accommodations, public services, and in connection with its membership or policies because of actual or perceived race, color, national origin, religion, sex, intersexuality, gender identity, sexual orientation, marital and familial status, age, disability, ancestry, height, weight, hair texture and/or hairstyle, domestic partner status, labor organization membership, familial situation, or political affiliation. 22.3 Conflict of Interest. Host Committee herein agrees to adhere to and be governed by all applicable Miami-Dade County Conflict of Interest Ordinances and Ethics provisions, as set forth in the Miami-Dade County Code; as may be amended from time to time; and by the City of Miami Beach Charter and Code, as may be amended from time to time; both of which are incorporated by reference as if fully set forth herein. Host Committee covenants that it presently has no interest and shall not acquire any interest, directly or indirectly, which could conflict in any manner or degree with the performance of the Host Committee's obligations under this Agreement. Host Committee further covenants that in the performance of this Agreement, Host Committee shall not employ any person having any such interest. 22.4 Host Committee's Compliance With Florida Public Records Law. a. Host Committee shall comply in all material respects with Florida Public Records law under Chapter 119, Florida Statutes, as may be amended from time to time, as it relates to Host Committee's performance of its obligations under this Agreement. b. The term "public records" shall have the meaning set forth in Section 119.011(12) of the Florida Statutes, which means all documents, papers, letters, maps, books, tapes, photographs, films, sound recordings, data processing software, or other material, regardless of the physical form, characteristics, or means of transmission, made or received pursuant to law or ordinance or in connection with the transaction of official business of the City. c. Pursuant to Section 119.0701 of the Florida Statutes, if the Host Committee meets the definition of"Contractor"as defined in Section 119.0701(1)(a),the Host Committee shall: (1) Keep and maintain public records required by the City to perform the Host Committee's obligations under this Agreement; (2) Upon request from the City's custodian of public records, provide the City with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided in Chapter 119, Florida Statutes or as otherwise provided by law; (3) Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed, except as authorized by law, for the duration of the contract term and following completion of this Agreement if . 9 MIAMI 12461312.13 102754/306705 the Host Committee does not transfer the records to the City; and (4) Upon completion of this Agreement, transfer or destroy, at no cost to the City, all public records in possession of the Host Committee or keep and maintain public records required by the City to perform the Host Committee's obligations under this Agreement. If the Host Committee transfers all public records to the City upon completion of this Agreement, the Host Committee shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Host Committee keeps and maintains public records upon completion of this Agreement, the Host Committee shall meet all applicable legal requirements for retaining public records. All records stored electronically must be provided to the City, upon request from the City's custodian of public records, in a format that is compatible with the information technology systems of the City. d. Request For Records; Noncompliance. (1) A request to inspect or copy public records relating to this Agreement must be made directly to the City. If the City does not possess the requested records, the City shall immediately notify the Host Committee of the request, and, if the applicable public records are in the possession of the Host Committee, then the Host Committee must provide such public records to the City or allow such public records to be inspected or copied within a reasonable time. (2) Host Committee's failure to comply with the City's request for public records that are in the possession or control of the Host Committee shall constitute a breach of this Agreement, and the City, at its sole discretion, may: (A) unilaterally terminate " this Agreement; (B) avail itself of the remedies set forth under this Agreement; and/or(C) avail itself of any available remedies at law or in equity. (3) If Host Committee fails to provide such public records to the City within a reasonable time, then Host Committee may be subject to penalties under s. 119.10. e. Civil Action. (1) If a civil action is filed against the Host Committee to compel production of public records relating to this Agreement that are in the Host Committee's possession or control, the court shall assess and award against the Host Committee the reasonable costs of enforcement, including reasonable attorneys'fees, if: a. The court determines that the Host Committee unlawfully refused to comply with the public records request within a reasonable time; and b. At least 8 business days before filing the action, the plaintiff provided written notice of the public records request, including a statement that the Host Committee has not complied with the request, to the City and to the Host Committee. (2) A notice complies with subparagraph (1)(b) if it is sent to the City's custodian of public records and to the Host Committee at the Host Committee's address listed in this Agreement or to the Host Committee's registered agent. Such notices must be sent by common carrier delivery service or by registered, Global Express Guaranteed, or certified mail, with postage or shipping paid by the sender and with evidence of delivery, which may be in an electronic format. (3) If Host Committee complies with a public records request within 8 business days after the notice is sent, then Host Committee is not liable for the reasonable costs of enforcement. 10 MIAMI 12461312.13 102754/306705 f. To the extent that Host Committee provides labor, supplies, or services under this Agreement, Host Committee shall comply with Section 448.095, Florida Statutes, "Employment Eligibility" ("E-Verify Statute"), as may be amended from time to time. Pursuant to the E-Verify Statute, Host Committee shall register with and use the E- Verify system to verify the work authorization status of all newly hired employees during the Term of this Agreement. Additionally, Host Committee shall expressly require any subconsultant performing work or providing services pursuant to this Agreement to likewise utilize the U.S. Department of Homeland Security's E-Verify system to verify the employment eligibility of all new employees hired by the subconsultant. If the Host Committee enters into a contract with an approved subconsultant, the subconsultant must provide the Host Committee with an affidavit stating that the subconsultant does not employ, contract with, or subcontract with an unauthorized alien. The Host Committee shall maintain a copy of such affidavit for the duration of this Agreement or such other - � extended period as may be required under this Agreement. b. Termination RiQhts. (1) If the City has a good faith belief that Host Committee has knowingly violated Section 448.09(1), Florida Statutes, which prohibits any person from knowingly employing, hiring, recruiting,or referring an alien who is not duly authorized to work " by the immigration laws or the Attorney General of the United States,the City shall terminate this Agreement with Host Committee for cause, and the City shall thereafter have or owe no further obligation or liability to Host Committee. (2) If the City has a good faith belief that a subconsultant has knowingly violated the foregoing Subsection 22.5(a), but the Host Committee otherwise complied with such subsection, the City will promptly notify the Host Committee and order the Host Committee to immediately terminate the contract with the subconsultant. Host Committee's failure to terminate a subconsultant shall be an event of default under this Agreement, entitling City to terminate this Agreement for cause. (3) A contract terminated under the foregoing Subsection (b)(1) or (b)(2) is not in breach of contract and may not be considered as such. (4) The City or Host Committee or a subconsultant may file an action with the Circuit or County Court to challenge a termination under the foregoing Subsection (b)(1) or (b)(2) no later than 20 calendar days after the date on which the contract was terminated. (5) If the City terminates this Agreement with Host Committee under the foregoing Subsection (b)(1), Host Committee may not be awarded a public contract for at .� 11 MIAMI 12461312.13 102754/306705 least 1 year after the date of termination of this Agreement. (6) Host Committee is liable for any additional costs incurred by the City as a result of the termination of this Agreement under this Section 22.5. 22.6 Host Committee's Compliance with Anti-Human Traffickinq Laws. Host Committee agrees to comply with Section 787.06, Florida Statutes, as may be amended from time to time, and has executed the Anti-Human Trafficking Affidavit, containing the certification of compliance with anti-human trafficking laws, as required by Section 787.06(13), Florida Statutes, a copy of which is attached hereto as Exhibit"D". 22.7 Prohibition on Contractina with a Business Enaacainq in a Bovcott. Host Committee warrants and represents that it is not currently engaged in, and will not engage in, a boycott, as defined in Section 2-375 of the City Code. In accordance with Section 2- 375.1(2)(a)of the City Code, Host Committee hereby certifies that Host Committee is not currently engaged in, and for the duration of this Agreement, will not engage in a boycott of Israel. 22.8 Prohibition on Contractinq with an Individual or Entitv which has performed services for compensation to a candidate for Citv elected office. Host Committee warrants and represents that, within two (2)years after the Effective Date, Host Committee has not received compensation for services performed for a candidate for City elected office, as contemplated by the prohibitions and exceptions of Section 2-379 of the City Code. For the avoidance of doubt, the restrictions on contracting with the City pursuant to Section 2-379 of the City Code shall not applv to the following: (a) Any individual or entity that provides goods to a candidate for office. (b) Any individual or entity that provides services to a candidate for office if those same services are regularly performed by the individual or entity in the ordinary course of business for clients or customers other than candidates for office. This includes, without limitation, banks, telephone or internet service providers, printing companies, event venues, restaurants, caterers, transportation providers, and office supply vendors. (c) Any individual or entity which performs licensed professional services (including for example, legal or accounting services). 22.9 Prohibition Aqainst Contractinq with Foreiqn Countries of Concern when an Individual's Personal Identifvinq Information mav be Accessed. Host Committee hereby agrees to comply with Section 287.138, Florida Statutes,as may be amended from time to time, which states that as of January 1, 2024, a governmental entity may not accept a bid on, a proposal for, or a reply to, or enter into, a contract with an entity which would grant the entity access to an individual's personal identifying information (PII), unless the entity provides the governmental entity with an affidavit signed by an officer or representative of the entity under penalty of perjury attesting that the entity does not meet any of the criteria in Paragraphs 2(a)-(c) of Section 287.138, Florida Statutes: (a)the entity is owned by a government of a foreign country of concern; (b)the government of a foreign country of concern has a controlling interest in the entity; or (c)the entity is organized under the laws of or has its principal place of business in a foreign country of concern (each a "Prohibited Entity"). A foreign country of concern is defined in Section 287.138 (1)(c), Florida Statutes, as may be amended from time to time, as the People's Republic of China, the Russian Federation, the Islamic Republic of Iran, the Democratic People's Republic of Korea, the Republic of Cuba, the Venezuelan regime of Nicolas Maduro, or the Syrian Arab Republic, including any agency of or any other entity of significant control of such foreign country of concern. Host Committee warrants and represents that it does not fall within the definition of a Prohibited Entity, and as such, has caused an authorized representative of Host Committee to execute the "Prohibition Against Contracting with Entities of Foreign Countries of Concern AffidaviY', incorporated herein by reference and attached hereto as Exhibit"E". 22.10 Prohibitions Reqardinq Sale or Use of Expanded Polvstvrene Food Service Articles Sinple Use Plastic Beveraqe Straws. And Sinale-Use Plastic Stirrers. a. Host Committee hereby agrees and acknowledges that, pursuant to Section 82-7 of the City Code, as may be amended from time to time, Host Committee shall not sell, use provide food in, or offer the use of expanded polystyrene food service articles(as defined in City Code Section 82-7) in City facilities or on City property, in connection with any services performed pursuant to this Agreement. A violation of this section shall be deemed a default under the terms of this Agreement. Notwithstanding the above, this section shall not apply to expanded polystyrene food service articles used for prepackaged food that have been filled and sealed prior to receipt by Host Committee. b. Additionally, Host Committee agrees and acknowledges that, pursuant to Section 82-8 of the City Code, as may be amended from time to time, Host Committee shall not sell, use, provide food in, or offer the use of single-use plastic beverage straws or single-use plastic stirrers(as defined in City Code Section 82-8) in City facilities or on City property, in connection with any.services performed pursuant to this Agreement. A violation of this section shall be deemed a default under the terms of this Agreement. Notwithstanding the above, the requirements of Section 82-8 shall not restrict Host Committee from providing a beverage with, or offering the use of, a single-use plastic beverage straw or single-use plastic stirrer to an individual with a disability or medical condition that impairs the consumption of beverages without a single-use plastic beverage straw or single-use plastic stirrer. c. As additional consideration for this Agreement, independent of the of the foregoing Sections 82-7, 82-8 and 46-92(c) of the City Code, as may be amended from time to time, Event Organizer agrees: (c)(1) not to sell, use, provide food in, or offer the use of expanded polystyrene food service articles at the Event. A violation of this section shall be deemed a default under the' terms of this Agreement. Notwithstanding the above, this section shall not apply to expanded polystyrene food service articles used for prepackaged food that have been filled and sealed prior to receipt by Host Committee; and (c)(2) not to sell, use, provide food in, or offer the use of single-use plastic beverage straws or single-use plastic stirrers at the Event. A violation of this section shall be deemed a default under the terms of this Agreement. Notwithstanding the above, Host Committee shall be permitted to provide a beverage with, or offer the use of, a single- use plastic beverage straw or single- use plastic stirrer to an individual with a disability or medical condition that impairs the consumption of beverages without a single-use plastic beverage straw or single-use plastic stirrer. 13 MIAMI 12461312.13 102754/306705 22.11 Citv's Ric�ht to Suspend Activities or Remove Persons from Event(s). The City Manager shall have the authority to suspend all or any part of the activities of Host Committee when, the City Manager determines, in his sole discretion, such activities may be or are detrimental to the public or to the City, or if the City has reason to believe any law or ordinance is being violated by Host Committee, its agents or employees, which conduct is not corrected within promptly upon written notice to Host Committee. City reserves the right through the City Manager, to suspend or terminate use of the Event Sites if visitors become unruly, and to reject any sponsor, presentation, material or item which the City Manager determines, in his sole discretion to be hazardous, offensive, immoral or disparaging to the image of the City, or to any person or group of persons. The decision of the City Manager in such regard shall be final, binding and conclusive. 22.12 Counterqarts; Electronic SiQnatures. This Agreement may be executed in counterparts and by electronic signature (e.g. via DocuSign, accompanied by the confirming e-signature certificate) and may be transmitted by facsimile copy or e-mailed PDF file, each of which when so executed and delivered shall be deemed to be an original and all of which, when taken together, shall constitute one and the same instrument. Upon request by any party receiving an executed counterpart by facsimile or PDF (by e-mail) to also receive an ink-signed original, the other party shall provide original ink-signed signature pages as soon as practicable, but failure to do so shall not affect the validity, enforceability, or binding effect of this Agreement. Lummus Park / Beachfront. Subject to the Host Committee FIFA Rights and Obligations, Host Committee shall use commercially reasonable efforts to produce activations, media events and other Host Committee events within the Lummus Park/Beachfront area located east of the eastern boundary of the sidewalks along Ocean Drive from 6th Street to 14th Place, limited by the dunes and shall have use of the west side of the dunes from 10th Street to 12'h Street as needed for such activations, media events and other Host Committee Activities, and subject to (a) the � City Manager's approval, (b) Host Committee's compliance with City's special event permitting requirements and (c) any approvals, permit conditions or regulatory requirements of any other agencies having jurisdiction over the area where the Events , will be held. In support of the Events, City shall make the sponsorship contributions set forth in Section 11(a) of the Agreement, which shall include, the waiver of special event permit fees and the cost of Host Committee Event-related City service fees for City of Miami Beach Police, Fire and Sanitation Department. Subject to the Host Committee FIFA Rights and Obligations, the Events at Lummus Park/Beachfront shall include, at minimum: a. Miami Host Committee Kickoff Concert for FIFA World Cup 2026: Host Committee shall use good faith efforts to raise sufficient sponsorships from third parties to produce the Kickoff Concert or a closing concert on the Lummus Park beachfront. Subject to Host Committee's receiving sufficient sponsorships from third parties, as determined by Host Committee in its sole discretion, Host Committee shall take all commercially reasonable efforts to produce a kickoff concert which is currently planned to be held on a date that is on or between June 11 and June 14, 2026, with national/international entertainment talent to commemorate the inaugural weekend of the first FIFA World Cup 2026 game to be played in Miami-Dade County (the "Kickoff Concert"). For the avoidance of doubt, if there is any Kickoff Concert held in South Florida, it shall be held on the Lummus Park beachfront and shall be free and open to the public. Further, if there is no Kickoff Concert, but Host Committee produces a closing concert, then the closing concert shall be held on the Lummus Park beachfront and shall be free and open to the public. 2. North Beach Watch Parties and/or South Beach Watch Parties. Subject to the Host Committee FIFA Rights and Obligations, Host Committee shall designate North Beach Watch Parties and/or South Beach Watch Parties (as defined in Section 1(b)of Exhibit B) for FIFA World Cup 2026 matches to be proposed by the Host Committee and approved by the City Manager based on the FIFA World Cup 2026 match schedule to be announced by FIFA in December 2025. a. As necessary, Host Committee shall work with the City to adjust the North Beach Watch Party and/or South Beach Watch Party dates/times, as applicable. b. The North Beach Watch Parties and/or South Beach Watch Parties shall be free � and open to the public. MIAMI 12461312.13 102754/306705 Exhibit"B" SPONSORSHIP RECOGNITION AND PUBLIC BENEFITS PACKAGE Subject to the Host Committee FIFA Rights and Obligations, Host Committee shall provide the City with the following sponsorship recognition and public benefits package for the Events: 1) Public Benefit Package a) The Host Committee shall designate the front section of the general admission area of the Kickoff Concert for City of Miami Beach residents on a first-come first-served basis and thirty (30) credentials which shall be distributed by the City in accordance with the City's ticket policy, as approved via City Commission Resolution No. 2014-28638. b) The Host Committee will designate the City of Miami Beach (or a portion thereof) as an official Host Committee watch party location for FIFA World Cup 2026 in Miami-Dade County and shall hold such watch parties in the North Beach and/or South Beach area of the City of Miami Beach at locations to be approved by the City ("North Beach Watch Parties and/or South Beach Watch Parties"). The Host Committee shall use commercially reasonable efforts to arrange for a FIFA broadcasting partner to provide a Clean Feed for all FIFA World Cup 2026 matches presented at the North Beach Watch Parties and/or South Beach Watch Parties. For the avoidance of doubt, "Clean Feed"shall mean a video or audio signal that is free from additional graphics, text, commentary, or other overlays that might be added during the production or transmission of a television broadcast. c) The Host Committee shall invest in two key legacy pillars: Access to Play&Sustainability, to commemorate the City's participation in FIFA World Cup 2026 and provide a permanent benefit to the local community long after FIFA World Cup 2026 (the"Legacy ProjecY').The Host Committee will contribute a portion of its fundraising and sponsorship efforts to offset the City's cost to build a high-quality soccer field within the City for youth and community engagement in sports. The City and Host Committee acknowledge and agree that the Host Committee's financial support for the Legacy Project will be based on, among other things, its fundraising activity and ability to secure a private-sector sponsor in accordance with the City's rules and procedures. The Host Committee shall use commercially reasonable efforts to arrange for a FIFA "legend" to attend an Event or other public activation hosted or otherwise organized by the City within the City of Miami Beach. 2) Sponsorship Recognition Benefits. Subject to the Host Committee FIFA Rights and Obligations, City shall receive the following sponsorship recognition benefits: a. Global Exposure: Host Committee shall submit requests to FIFA that images of Miami Beach are (i) included in marketing materials and in FIFA World Cup 2026 promotional videos and b-roll content and (ii) shared with FIFA's more than 250 international media partners. b. Destination Marketing: Host Committee shall ensure that the City is featured in FIFA's official "Know Before You Go," Cities Guide. Specifically, the City shall be identified as a must-visit destination (or words of similar import) within FIFA's trusted guide, offering which offers fans essential travel tips, highlights, and recommendations, ensuring an effort MIAMI 12461312.13 102754/306705 to ensure Miami Beach is top of mind for global visitors planning their FIFA World Cup 2026 experience. The Host Committee expects that such "Cities Guide" will be available to South Florida residents and over 700,000 visitors. c. Media Row: Host Committee shall submit requests to FIFA that Lummus Park be designated and serve as an official remote broadcast location (i.e. Media Row) in Miami Dade County for live FIFA World Cup 2026 broadcasts. The Host Committee will actively promote and channel media toward media row in the City through: i. Inclusion in FIFA's Media Portal and "Know Before You Go" guides; ii. Distribution in official press kits and (Host Committee owned) accreditations; provided, however, the Host Committee is not responsible for FIFA World Cup 2026 accreditations; iii. Featuring Ocean Drive in formal media workshops (first planned for September 2025) and familiarization tours; and iv. Collaboration with the Greater Miami Convention and Visitors Bureau to coordinate site visits in advance of FIFA World Cup 2026. d. Host Committee will work with the City to drive preferred events to Miami Beach. e. Host Committee shall grant the Miami Beach City Officials the opportunity to speak at the Kickoff Concert and Miami Beach watch party locations. f. Host Committee shall grant the City all-access"media"credentials,which grant access for the Marketing and Communications Department access at the Kickoff Concert and Miami Beach watch party locations. g. Host Committee shall include City logos and marketing materials on all key Host Committee platforms, including but not limited to: Host Committee's website, partner recognition page, and print and digital promotional materials. h. Miami Beach name must be included in official name of the Kickoff Concert and within the � logo lock up. Should the name not appear in the logo lockup, the Host Committee must recognize the City of Miami Beach as a supporter or sponsor (or words of similar import) in all announcements, posts, coverage and other, in relation to the Kickoff Concert and Miami Beach watch parties. i. No press releases, public announcements or public disclosures relating to this sponsorship or its subject matter, including but not limited to promotional or marketing materials, shall be made public by the Host Committee without the prior written consent of the City. j. Each party agrees not to use the other party's name or Event name in any promotional material or public announcement without prior written or oral consent of the other. k. Host Committee agrees to make City aware of any press events scheduled in Miami Beach with at least forty-eight (48) hours' notice. I. Host Committee to tag @miamibeachnews (IG, Twitter) or @City of Miami Beach Government (FB) in all social media post related to the Kickoff Concert and Miami Bach watch parties. MIAMI 12461312.13 102754/306705 m. City name recognition/logo on step & repeat banners at Kickoff Concert or Miami Beach watch parties. n. Host Committee shall provide the City with all necessary rights and approvals to use and promote the partnership created by this Agreement. o. All usage of the Host Committee Logos (which shall include any FIFA logos) by the City is subject to prior review and approval by the Host Committee and, if applicable, by FIFA. All Host Committee Logo usage requests must be submitted to the Host Committee in writing no less than thirty (30) calendar days prior the City's proposed use. Host Committee's failure to approve or deny the City's proposed use of the Host Committee Logos within thirty (30) calendar days of a City request shall be interpreted as Host Committee's rejection of the City's proposed use. p. Host Committee hereby grants the City the right to produce City press releases promoting its participation in the Events with prior written approval by the Host Committee. q. City logos and/or marketing materials shall be included on Host Committee signage for all Events. r. City will receive sponsorship recognition during live commentaries when Host Committee sponsors are recognized at Events. s. Electronic Recognition. The City shall receive the following electronic sponsorship recognition: i. City logo (or line listing, as appropriate) will appear on the Host Committee website, with a link to the City's website. a. Recognition (logo or line listing, as appropriate) on the sponsor acknowledgement page. b. The City may purchase additional Ads or marketing opportunities separately. ii. The City shall provide Host Committee with its logo in a format acceptable to Host Committee.City reserves the right to require the removal of its logo/marks from any Host Committee promotional materials (to the extent removal is possible). t. For Events taking place in the City of Miami Beach, Host Committee hereby grants the City a non-exclusive, irrevocable license and right to use, on a royalty-free basis, the title of the Event and any video, audio or photographic footage of the Event, in any media format or application whatsoever, in connection with any City produced publication, including the City produced "MB Magazine," City newsletters or electronic newsletters, or any City media outlets, such as MBN.
