I, Rafael E. Granado, the undersigned Secretary of the Miami Beach Redevelopment
Agency (the "Agency"), DO HEREBY CERTIFY as follows:
1. I am the qualified, duly appointed Secretary of the Agency and as such am
familiar with the books, resolutions, budget and records of the Agency.
2. The Agency is a duly created public instrumentality of the State of Florida, and
the following persons constitute the duly qualified, elected or appointed members of the Agency

(2)Pursuant to the Third Amendment to the Interlocal Cooperation Agreement dated January 20, 2015, among the
Agency, the City of Miami Beach, Florida and Miami-Dade County, Florida, the County Commissioner of
District 5 on the Board of County Commissioners of Miami-Dade County, Florida also serves as a member of the
Agency. Commissioner Eileen Higgins currently serves in such capacity.

3. The persons named below are, on the date hereof, the duly qualified officers of
the Agency and the signatures appearing to the right of their respective names are the genuine
signatures of said officers:

4. All proceedings of the Agency relating to the authorization, issuance and sale of
$240,910,000 aggregate principal amount of the Agency's Tax Increment Revenue Refunding
Bonds, Series 2025 (City Center/Historic Convention Village) (the "Series 2025 Bonds"),
including the adoption of Resolution No. 619-2015, adopted on October 14, 2015, and
Resolution No. 708-2025, adopted on May 21, 2025, are, as of this date, in full force and effect
as taken or adopted without any modification or change whatever.
5. Steven Meiner, Chairperson, has caused each of the Series 2025 Bonds to be
executed by his manual signature and said Steven Meiner was on the date his manual signature
was affixed on the Series 2025 Bonds and is now the duly elected and qualified Chairperson of
the Agency.
6. The official seal of the Agency has been affixed on each of the Series 2025
Bonds; I have caused said seal to be attested to by my manual signature and I was on the date my
manual signature was affixed on the Series 2025 Bonds and am now the duly appointed and
qualified Secretary of the Agency.
7. The official seal which has been affixed on the Series 2025 Bonds and upon this
certificate is the legally adopted, proper and only seal of the Agency.
IN WITNESS WHEREOF, I have hereunto set my hand and affixed hereto the official
