Tab 19 GENERAL CERTIFICATE OF THE AGENCY
We, Steven Meiner, Chairperson of the Miami Beach Redevelopment Agency (the
"Agency") and Eric Carpenter, Executive Director of the Agency, DO HEREBY CERTIFY to
the best of our knowledge:
(i) all terms used in capitalized form and not defined herein have the meaning
ascribed to such terms in the Bond Purchase Agreement, dated July 9, 2025, between the Agency
and BofA Securities, Inc., on behalf of itself and the other Underwriters (the "Bond Purchase
Agreement");
(ii) the representations of the Agency contained in Section 3 of the Bond Purchase
Agreement were true and accurate in all material respects as of the date thereof, have been true
and accurate in all material respects at all times since and are true and accurate in all material
respects as of the date hereof as if such representations were made on the date hereof;
(iii) no event affecting the Agency or the Series 2025 Bonds has occurred since July 9,
2025, the date of the Official Statement, which should be disclosed in the Official Statement for
the purpose for which it is used or which it is necessary to disclose therein in order to make the
statements and information therein not misleading in any material respect as of the date hereof.
