Tab 20 CERTIFICATE OF THE AGENCY REQUIRED UNDER
SECTION 304(H)(3) OF THE ORIGINAL RESOLUTION
I, Eric Carpenter, as Executive Director of the Miami Beach Redevelopment Agency (the
"Agency"), in connection with the issuance by the Agency of its $240,910,000 aggregate
principal amount of Tax Increment Revenue Refunding Bonds, Series 2025 (City Center/Historic
Convention Village) (the "Series 2025 Bonds"), DO HEREBY CERTIFY as follows:
l. I am the qualified, duly appointed Executive Director of the Agency.
2. All terms used in capitalized form and not defined herein shall have the meanings
ascribed to such terms in Resolution No. 619-2015 adopted by the Chairperson and Members of
the Agency (collectively, the "Commission") on October 14, 2015 (the "Original Resolution"),
and Resolution No. 708-2025 adopted by the Commission on May 21, 2025 (the "Series 2025
Resolution" and, together with the Original Resolution, the "Bond Resolution").
3. The Agency is current in all deposits into the various accounts and subaccounts
and all payments required to have been deposited or made by it under the provisions of the Bond
Resolution and the Agency is currently in compliance with the covenants and provisions of the
Bond Resolution.
4. The Maximum Annual Debt Service (A) with respect to the Bonds of all Series
Outstanding immediately prior to the date of authentication and delivery of the Series 2025
Bonds is $20,911,250, and (B) with respect to the Bonds of all Series to be Outstanding
immediately after the date of authentication and delivery of the Series 2025 Bonds and the
refunding of the Series 2015A Bonds to be Refunded is $19,910,000, which amount is not
greater than the amount set forth in clause (A) of this paragraph 4.
