Tab 32 CERTIFICATE OF PAYING AGENT
FOR THE REFUNDED SERIES 2015A BONDS
The undersigned, on behalf of U.S. Bank Trust Company, National Association, as
successor Paying Agent for the outstanding Miami Beach Redevelopment Agency Tax
Increment Revenue and Revenue Refunding Bonds, Series 2015A (City Center/Historic
Convention Village)being refunded in part on the date hereof, as described in Exhibit A attached
hereto (the "Refunded Series 2015A Bonds"), hereby acknowledges receipt from the Miami
Beach Redevelopment Agency (the "Agency") of $256,693,733.33 on the date hereof. Such
amount has been applied on the date hereof to the redemption in full of the Refunded Series
2015A Bonds.
In addition, the conditional notice of redemption of the Refunded Series 2015A Bonds
was sent on July 3, 2025 in accordance with the Agency's Direction Letter dated June 26, 2025
to send a conditional notice of redemption of the Refunded Series 2015A Bonds.
