2025 MiAMI TAKEOVER- SPONSORSHtP AGREEMENT
THIS 2025 MiAMI TAKEOVER- SPONSORSHIP AGREEMENT(the"AgreemenY)is made and
entered into this 1 st day of Auqust , 2025,with an effective date of July 25, 2025('Effective
Date"), by and between the City of Miami Beach, Florida, a Florida municipal corporation, with
offices at 1700 Convention Center Drive, Miami Beach, FL 33139 (the "City"), and Miami
Takeover (The), LLC., a District of Columbia limited liabifity company, whose address is 900
Brentwoad Road, Washington, D.C., 20018 ("Event Organizer").
WITNESSETH:
WHEREAS, the City desires to sponsor the 2025 "The Miami Takeover Weekend� (the
"Event"), an annual three-day event for upwardly mobile professionals thai are equally enthused
by entrepreneurship, entertainment, and the spirit of community; and
WHEREAS, in its 17th year, The Event is scheduled to take place from July 25`h through
July 27"' and has become a signature yearly travel event for the mature urban Vaveler(30- 52};
and
WHEREAS, the Event provides travel enthusiasts with an experience primed on
relaxation, communication, and community collaboration themed around the arts and culture of
Washington, DC and its official GaGo music—all while enjoying the beautiful beaches and sights
of Miami Beach and greater Miami-Dade County;and
WHEREAS, the Event allows for both tourists and Miami Beach residents to experience
the culture of the real Washington, DC and the music and culture that sustained and grew the
BIPOC population of the area for decades before gentrification changed the landscape of the
City and the impact of the culture, and
WHEREAS, the itinerary of events provides opportunities to enjoy upscale nightlife
experiences, culturally immersive activities, networking, local communiry service initiatives, and
more; and
WHEREAS, the Event (Jrganizer applied for sponsorship funding through the FY 2025
Miami Beach Special Event Sponsorship Program designed to pfovide financial assistance to
Miami Beach-based special events under the Major Speciai Event Category; and
WHEREAS, on June 24, 2024, the Mayor and City Commission adopted Resolution No.
2024-33113, accepting the recommendation of the Tourism and Culture Department for the
approval of a sponsorship, in a recommended award amount of $33,883.00 for the 2025 Event;
and
WHEREAS, on February 26, 2025, the Mayor and City Commission adopted Resolution
No. 2025-33534, approving and authoring the eligibility of Event Organizer to apply for a grant in
the amount of$31,000.00 from the Miami Beach Visitor and Canvention Authority (VCA); and
WHEREAS, the City's sponsorship funding for the Event is to be paid directly to Event
Organizer, as more particularly set forth herein, to offset expenses for producing and
p�esenting the Event.

NOW,THEREFORE, in consideration of the mutual promises and covenants made herein,
City and Event Organizer agree as follows:
1. The above recitals are true and correct and are incorporated by reference herein.
2. The Term of this Agreement will commence on the Effective Date set foRh above, and shall
expire following the conclusion of the 2025 Event and Event Organizer's completion of all of
its obligations hereunder, unless terminated earlier in accordance with this Agreement.
3. Event Organizer shall be solely responsible for producing and promoting all aspects of the
Event, including securing private sponsors and vendors to participate in the Event. The
Event Organizer has advised the City that the Eveni shall be known and promoted under
the title of the "The Miami Takeover Weekend". The Event Organizer shall be responsible
for the conduct and operation of the Event and will provide the appropriate personnel to
conduct the Event. Except as specified herein for the remainder of the Term of this
Agreement, the City is under no obligation to fund subsequent Events.
4. The term "EvenY' as used herein shall include the event described in the recitals to this
Agreement. Further, the City shall not be a party to any independent contracts that the Event
Organizer may enter into with other organizations, contractors, or participants in the Event
and/or supporting activities, nor shall the City be liable to such third paRies. Event Organizer
shall not represent that it is an agent, official, authorized representative, or employee of City.
5. Subject to Event Organizer's compliance with its obligations under this Agreement, City is
responsible for the following:
Subject to Event Organizer's compliance with its obligations under this Agreement and an
annual appropriation of funds at the City Commission's sole discretion, the City shall provide
Event Organizer witfi sponsorship funding far the purposes specified herein, in the amount of
$33,883.Q0 for the 2025 Event; provided, hawever,that no more than 15 percent(15°�6)of the
City's total sponsorship contribution may be disbursed in advance af the Event. All remaining
cash contributions shall be made on a reimbursement basis, following the conclusion of the
Event, following Event Organizer's submission, and the City's acceptance, of the final repoR
referenced in this Agreement, and Event Organizer registering to do business in Florida.
6. Event Organizer shall be responsible for any and all compensation that may be due to any
and all performers, entertainers, vendors, organizations, event sanctioning bodies, vendors,
and participants, and the City shall have no such responsibility, obligation, or liability. The
City shall not be responsible or liable to competitors for prize money payments,or to any third
party for any aspect of the production of the Event.
7. Warranties. Event Organizer warrants and represents that it has all necessary rights,
authonty, licenses and permits necessary to enter into this Agreement, to grant the rights
and licenses herein granted, and to carry out its responsibilities as set forth herein. Event
Organizer shall utilize the sponsorship benefits and conduct and operate the Event in
accordance with all applicable laws, and without endangering others or violating their nghts.
8. Sponsorship Benefits. In consideration of the City sponsorship funding described in this
Agreement, and the mutual promises made herein, Event Organizer shall provide
sponsorship benefits to the City which, at a minimum, shall include the sponsorship benefits
set forth in Exhibit"A" and Section 9 of this Agreement.

9. Pubfic Benefit Proaram. Event Qrganizer shall provide a Public Benefit Program to be made
availabie to City of Miami Beach residents. The Event's Pubfic Benefit Program sha11 include
the foftowing, wherever permissible and applicabie within the Event footprint:
The Event Organizer has organized a beach cleanup on Sunday, July 27, 2025 from 10:30
am to 19:30 am on the 17�" street beachfront.
10. Finat reoort. The Event Organizer must provide, within 30 days of the completion of the
Event, a Final Report, detailing the foltowing:
• Third-party verification of Event outcomes including, without limitation, eveni
attendance figures with proven method of collection, media impressions generated by
the event, photos and videos of the event;
• Confirmed room blocks within Miami Beach hotels, in the form of hotel contracts or
booking codes.
• Demonstrate a minimum of 100 room nights.
• The implementation of the Public Benefit Program, including statistics relating to how
ma�y residents,seniors, and children were served, and how this program was marketed
and communicated to the residents; and
• All supporting documentation required under Section 5 for the payment of the Cash
Sponsorship; and
� Vendor and comm�nity fesdback.
11. S�gnsorshic�Requiraments.
The foltowing is a list of publicity and credit requirements for events or programs receiving
financial or in- kind support from the City of Miami Beach (if appiicable}:
A. Praminently display City af Miami Beach iogo in afl pramotional marke0ing materials
related to the evenUprogram including, but not limited to, advertisements, brachures,
websites, e-mails, newsletters, banners, posters, event programs, and other print
and/or electronic pubfications in a manner where the City togo is displayed before
sponsors of lesser value, and pfaced +n the most promirtent position emongst sponsors
of the same level. A!1 marketing materials shall be subject to the approval of the City
Manager's designee prior to dissemination.
B. Live announcement(s)during the event by emcee.
C. Operate within the requirements of all Ciry of Miami Beach existing sponsorships,
including the non-alcoholic pouring rights agreement with PepsiCo who is granted
exclusivity in ALL non-alcoholic beverage categories with the exception of hot tea,
dispensed hot coffea and hot cocoa, and Red Bull who is granted exclusivity in the
energy drink category. As wefl, all soda and water must be served in non-plastic
containers.
D. All complimentary tickets provided by an evenVevent producer shall be consistent
with the Ciry Commission established policy for the distribution of tickets and the City's
Administrative Guidelinc�s for Distribution of any tickeis and must be sent to the

attention of the Director of the Tourism and Cutture Department, located at 1755
Meridian Avenue—5�' Fioar, Miami Beach, FL 33139.
12. Event Or�tanizer is Responsible for the Followinq:
A. Event Organizer shall arrange for vendor concessions inside the enclosed area of the
Event Site. All sales of soft drinks or other beverages must be in compliance with the
City's beverage contract. Event Organizer will collect all proceeds from Event
concessions. Ciry shall have no �esponsibility, obligation or liability relating to vendor
concessions. Event Organizer shall be solely responsible for ensuring that a!I vendors'
senrices are provided in accordance with all applicable laws, including, without limitation,
all food service, food handling, and alcoholic beverage and license regulations, including
the following.
1. Event Organizer hereby agrees and acknowledges that, pursuant to Section 82-7 of
the City Code, as may be amended from time to time, Event Organizer shall not sell,
use, provide food in, or offer the use of expanded polystyrene food service artiGes(as
defined in City Code Section 82-7) within the Event Site. A violation of this section
shall be deemed a default under the terms of this Agreement. Notwithstanding the
above, this section shall not apply to expanded polystyrene food service articles used
for prepackaged food that have been fitled and sealed prior to receipt by Event
Organizer.
2. Additionalfy, Event Organizer agrees and acknowledges that, pursuant to Section 82-
8 of the City Code, as may be amended from time to time, Event Organizer shall not
sell, use, provide food in, or offer the use of single-use plastic beverage straws or
single-use ptastic stirrers(as defined in City Code Section 82-8)within the Event Site.
A violation of this section shall be deemed a default under the terms of this Agreement.
Notwithstanding the above, the requirements of Section 82-8 shall not restrict Event
Qrganizer from providing a beverage with, or offering the use of, a single-use plastic
beverage straw or single-use plastic stirrer to an individual with a disability or medical
condition that impairs the consumption of beverages without a single-use plastic
beverage straw or single-use plastic stirrer.
3. Event Organi2er agrees to comply with Section 46-92(c) of the City Code, which
provides that it is unlawful for any person to carry any expanded polystyrene product,
single-use plastic beverage straw, or single-use plastic stirrer onto any beach or partc
within the City. It is also unlawful for any business to provide single-use plastic
beverage straws or single-use plastic stirrers with the service or delivery of any
beverage to patrons on any beach within the City. Notwithstanding the above, the
provisions in Section 46-92(c) that pertain to single-use plastic beverage straws and
single-use plastic stirrers shall not apply to a person or patron with a disability or
medical condition that impairs the consumptio� of beverages without a single-use
plastic beverage straw or single-use plastic stirrer.
4. Event Organizer hereby agrees and acknowledges that, pursuant to Section 82 of the
City Code, as may be amended from time to time, Event Organizer shall adhere to
City prohibition regarding the sale or use of expanded polystyrene food service
articles, single use pfastic beverage straws, and single-use plastic stirrers.

B. Ev�nt Organizer shall be responsible for handling ail media vendors and organizations
and will be solely responsible for handling all issues relating to the media vendors.
C. �vent Organizer shall retain any and all rights to the Event, including any rights
4ss�ciated with Event-related apparel and/or product sales.
D. Event Organizer shall keep the City apprised, on a monthly basis, of its progress with
respect to the activation of the Event. City, at its sole discretion, may monitor and
conduct an evaluation of Event Organizer's implementation of the Event. Event
Organizer agrees to cooperate with City to promptly address any deficiencies or
concems the City may have in connection with the Event.
E. Event Organizer hereby grants the City a non-exciusive license and right to use the title of
the Event or any photographic, video, audio or other footage of the Event, in connection
with any City-produced publication, including the City produced magazine or any City
media outlets, such as MBTV. This section shall survive the termination or expiration of
this Agreement.
F. Event Organizer shall purchase and obtain all required Event Insurance policies for
General Liability coverage in the amount of at least $1,000,000.00 General Aggregate;
$1,000,000.00 Products/Completed Operations; $1,000,000.00 Personal and
Advertising Injury; at $1,000,000.00 per occurrence, covering City, and all participants,
no later than 10 days prior to the Event, and Event Organizer shall provide a Certificate
of Insurance evidencing such coverage to the City's Risk Manager. Event Organizer shall
also provide liquor liability insurance, in the amount of $1,000,000.00, and Host liquor
liability insurance, in the amount $1,000,000.00. All insurance policies shall name the
City as additional insured and Certificate Holder.
G. Event Organizer shall obtain all applicable federal, state, and local approvats, permits
and licenses relating to the Event and any activities related thereto. Event Organizer
shall maintain its good standing in accordance with the laws of the State of Flo�ida and
the City of Miami Beach Code of Ordinances ("City Code"), and shall comply with any
federal, state, counry or City Code requirement applicable to Event Organizer or to the
Event Organizer's operation its business or other activities in the City of Miami Beach,
including, without limitation, obtaining any Certificate of Use or Business Tax Receipt(s)
that may be required for any business activity, timely making payment of all taxes, fees
or charges that may be due to the City. Event Organizer shall promptly take corrective
action to correct any City Code violation or notice of violation issued by any govemmental
agency with jurisdiction over Event Organizer. Further, Event Organizer agrees to
comply with the terms and conditions of any lease, contract, or other grant agreement
that Event Organizer may have separately entered into with the City, if any ("Other City
Contracts"). Any failure by Event Organizer to comply with any provision of the City
Code applicab4e to Event Organizer, or any breach or default by the Event Organizer of
any covenant or other term or condition contained in any Other City Contracts (after the
passage of any applicable notice and cure period set forth therein), shall, at the option
of the City, be considered an event of Default(as such term is defined more fully beiow),
in which event the City shall be entitled (but in no event required) to apply all rights and
remedies available to the City under the terms of this Agreement by reason of an Event
�rganizer's breach or failure to comply with said obligations.
H. Event Organizer shall indemnify and hold harmless the City and its officers, employees,
agents, and contractors, from and against any and all actions (whether at law or in

equity), Gaims, liabiiities, losses, expenses, or damages, including, without limitation,
attomeys' fees and casts of defense, far personai, economic, or bodily injury, wrongful
death,or lass of or damage to property, which the City or its officers, employees, agents,
and cantractors may incur as a result of ciaims, demands, suits, causes of action or
proceedings of any kind or nature arising out of, relating to, or resulting from the
performance of this Agreement by Event Organizer or its officers, employees, agents,
servants, partners, principais or contractors, or Event Organizer's use of the Event Site,
including, without iimitatian, any claim that any aspect of the Event infringes upon any
third-party's existing copyrights, trademarks, trade names, or other intellectual praperty
or proprietary rignts. Event Organizer shall pay a!I cfaims and losses in connectian
the�ewith and shall investigate and defend all claims, suits, or actions of any kind or
nature in the name of thg City, where applicable, including appellate proceedings, and
shall pay all costs, judgm�nts, and attomeys' fees which may issue thereon. Event
Organizer expressly understands and agrees that any insurance protection req�ired by
this Agreement, or otherwise provided, shafl in no way limit its obligation, as set forth
herein, to indemnify, hold harmless, and defend the City or its officers, employees,
agents, and contractors as herein provided.
13. Events of Default Termination of Aqreement for Gause and Remedies.
A. The following shall constitute events of default:
i. Any material misrepresentation, written or oral, made by Event Organizer andlor
its representatives to City.
ii. Failure by Event Organizer to timely perform and/or observe any of the terms and
conditions of this Agreement.
iii. fnsolvency ar bankruptcy on the part of Event Organizer.
B. The occurre�ce of any event of default by Event Qrganizer may, at the sole option of City,
operate as an automatic forfeiture of any rights or benefits conferred under this
Agreement, and accordingly, City reserves the right to revoke the fee waivers,
discontinue the funding provided for herein, or request the return of sponsorship funds.
C. In the event that Event Organizer is in default of any of its obligations under this
Agraement, Event Organizer shall be liable for all damages, costs and expenses arising
aut of or related ta its defaUlt. In the event of a defauit, City reserves all {egal remedies
available to it, inciuding but nat kimited to terminatian of this Agreement for cause, upon
written notice to Event Organizer,effective upon the date set forth in the teRnination letter.
In the event of any such termination, the City shall have no further ob{igation or tiability to
Event Organize�.
14. Event Organizer shall not assign its rights or obligations under this Agreement without the
City's consent. Any purported assignment in violation of this section shall be void and shall
constitute an event of default hereunder.
15. Event Organizer shafl kaep accurate and comp{ete books and records of all receipts and
sxpenditur�s relating to this Agreement, in accordance with gene�ally accepted accounting
pnnciples, and shall retain such books and records for at least four(4)years after completion
of the Event. At the request of the City, Event O�ganizer shall provide the City (and/or its

designated representatives) reasonabie access to its files, records and personnel during
regular business hours for the purpose of making financial audits, evaluations or verifications,
program evaluations, or other ver�cations concerning this Agreement, as the City deems
necessary. Furthermore, the City may, at its expense, audit or have audited, all the financial
records of the Event Organizer related to this Event.
16. Citv's Riqht to Sus�end Activities or Remove Persons from Event Site. The City Manager shall
have the authonty to suspend all or any part of the activities of Event Organizer, upon verbal or
written notice to Event Organizer,when, in the City Managers sole judgment and discretion, such
activities may be or are detrimerital to the public or to the City, or if the City has reason to believe
any law or ordinance is being violated by Event Organizer, its agents or employees. The City
reserves the right through the City Manager, to suspend or terminate use of the Event Site if
visitors become unruly, and to rejec#any sponsor, presentation, material or item which is or may
be, in the sole opinion of the City Manager, hazardous, offensive, immoral or disparaging to the
image of the City, or to any person or group of persons. The decision of the City Manager in such
regard shall be final, binding, and conclusive.
17. Termination for Convenience.
A. The Event Organizer may conduct the Event for the Term of this Agreement, unless the Gty
Manager decides to terminate the Event, at the City Manager's sole and absolute discxetion,
for any reason or no reason whatsoever, for the convenience of the City. The City Manager
shali notify the Event Organizer, in writing, of the Cit�s termination of this Agreement.
B. The Event Organizer may elect, during the Term of this Agreement, to terminate this
Agreement and no longer conduct the Event. If the Event Organizer elects to terminate
this Agreement, the Event Organizer shall notify the City in wnting prior to cammencement
of the Event. If the Event Organizer elects not to conduct the Event or elects not to seek
an extension of the terms of this Agreement, this Agreement will automatically terminate.
18. Notice. Whenever any party desires to give notice to any other party, it must be given by written
notice sent by registered United States maif,with retum receipt requested, addressed to the party
for whom it is intended at the place designated below and the place so designated shall remain
such until they shall have been changed by wntten notice in compliance with the provisions of this
section. For the present, the parties designate the following as the respective places for giving
notice:

19. Insaector General Audit Rights
A. Pursuant to Section 2-256 of the Code of the City of Miami Beach,the City has established
the�ffice of the Inspector General which may,on a randorn basis, perform reviews,audits,
inspections and investigafions on a(I City contracts, througf�out the duration of said
contracts. This random audit is separate and distinct from any other audit performed by
or on behalf of the City.
B. The Office of the Inspector General is authorized to investigate Ciry affairs and
empowered to �eview past, present and proposed City programs, accounts, records,
contracts and transactions. In addition, the Inspector General has the power to subpoena
witnesses, administer oaths, require the production of witnesses and monitor City projects
and programs. Monitoring of an existing City project or program may include a report
concerning whether the project is on time, within budget and in conformance with the
contract documents and applicable (aw. The fnspector General shall have the power to
audit, investigate, manitor, oversee, inspect and review operations,activities, performance
and procurement process including but not limited to project design, bid specifrcations,
(bidlproposal)submittals,activities of Event Organizer, its o�cers, agents and employses,
lobbyists, City staff and elected officials to ensure compliance with the contract documents
and to detect fraud and corruption. Pursuant to Section 2-378 of the City Code, the City
is allocating a percentage of its overall annual contract expenditures to fund the activities
and operations of the Office of Inspector General.
C. Upon ten (10y days written notice to Event Organizer, Event Organizer shall make all
requested records and documents available to the Inspector General for inspection and
copying. The Inspector General is empowered ta retain the services of independent
private sector auditors to audit, invesiigate, monitor, oversee, inspect and review
operations activities, pertormance and procurement process including but not limited to
p�oject design, bid specifications, (bidlproposal) submittals, activities of Event Organizer
its officers, agents and employees, lobbyists, City staff and elected officials to ensure
compliance with the contract documents and to detect fraud and corruption.
D. The Inspecto�Generaf shall have the right to inspect and copy afl documents and records
in Event Organizer's possession, custody or cvntrol which in the Inspector General's sale
judgment, pertain to performance of the contract, including, but not limited to original
estimate files, change order estimate files, workshests, proposals and agreements from
and with successful subcontractors and suppliers, aU project-related correspondence,
memoranda, instn.ictions, fina�cial documents, construction documents, (bid/proposal)
and contract documents, back-change documents, all documents and records which
involve cash, trade or volume discounts, insurance proceeds, rebates, or dividends
received, payroll and personnel records and supporting documentation for the aforesaid
documents and records.
E. Event Organizer shall make available at its office at al! reasonable times the racords,
materials, and other evidence regarding the acquisition(bid preparation}and performance
of this Agreement, for examination, audit, or reproduction, until three (3) years after final
payment unde� this Agreement or for any longer period required by statute or by other
clauses of this Agreement. In addition:

i. If this Agreement is completely or partialiy terminated, Event Organizer shall make
available records relating to the work terminated until three (3) years after any
resulting final termination settlement; and
ii. Event Organizer shall make available records reiating to appeals or to litigation or
the settlement of cfaims arising under or relating to this Agreement until such
appeals, litigation, or claims are finally resolved.
F. The provisions in this section shali apply to Event Organizer, its o�cers, agents,
employees, subcontractors and suppliers. Event Organizer shalt incorporate the
provisions in this section in all subcontracts and all other agreements executed by Event
Organizer in connection with the performance of this Agreement.
G. Nothing in this section shall impair any independent right to the City to conduct audits or
investigative activities. The provisions of this section are neither intended nor shall they
be construed to impose any iiability on the City by Event Organizer or third parties.
20. Event pr�anizer's Compliance with Fforida Pubtic Records Law.
A. Event Organizer shall comply with Florida Public Records law under Chapter 119,
Florida Statutes, as may be amended from time to time.
B. The term "public records" shall have the meaning set forth in Section 119.011(12),
which means all documents, papers, letters, maps, books, tapes, photographs, films,
sound recordings, data processing soflware, or oiher material, regardless of the
physical form, characteristics, or means of transmission, made or received pursuant to
law or ordinance or in connection with the transaction of official business of the City.
C. Pursuant to Section 119.0701 of the Florida Statutes, if Event Organizer meets the
definition of"Contractor' as defined in Section 119.0701(1 xa), Event Organizer shall:
1. Keep and maintain public records required by the City to perform the service;
2. Upon request from the City's custadian of public records, provide the City with a
copy of the requested records or allow the records to be inspected or copied within
a reasonable time at a cost that does not exceed the cost provided in Chapter 119,
Florida Statutes or as otherwise provided by law;
3. Ensure that public records that are exempt or confidential and exempt from public
records disclosure requirements are not disclosed, except as authorized by law, for
the duration of the contract term and following completion of the Agreement if Event
Organizer does not transfer the records to the City;
4. Upon completion of the Agreement,transfer, at no cost to the City,all public records
in possession of Event Organizer or keep and maintain public records required by
the City to pe�Form the service. If Event O�ganizer transfers all public records to the
City upon completion of the Agreement, Event Organizer shall destroy any
duplicate public records that are exempt or confidential and exempt from public
records disclosure requirements. If Event Organizer keeps and maintains public
records upon completion of the Agreement, Event Organizer shall meet all
applicable requirements for retaining public records. All records stored
electronically must be provided to the City, upon request from the City's custodian

D. Request For Records: Noncompliance.
1. A request to inspect or copy pubiic records relating to the City's contract for
services must be made directiy to the City. ff the City does not possess the
requested records, the City shali immediately notify Event Organizer of the
request, and Euent Organizer must provide the records to the City or allow the
records to be inspect�d or copied within a reasonable time.
2. Event C?rganizer`s failure to comply with the City's request for records shali
constitute a breach of this Agreement, and the City, at its sole discretion, may: (1}
unilateraily terminate the Agreement; (2)avaii itself of the remedies set forth
under t#�e Ag��ment; and/or(3)avail itself of any available remedies at law or in
equi#Y.
3. Event C�rganizer who fails to provide the public records to the City within a
r�asanable time may be subject to penalties under s. 119.10.
E. Civii Actian.
1. Ef a civil action 'ss filed against Event�rganizer to compel production of public
records relating to the City's contract for services, the court shali assess and
award against Event Organizer the reasonable costs of enforcement, including
reasonable attomeys' fees, if:
a. The court determines that Event Organizer unlawfully refused to comply with
khe public records request within a reasonable time; and
b. At least 8 business days befo�e filing the action, the plaintiff providerd written
notice of the public records request, including a statement that Event
Organizer has not complied with the request, to the City and to Event
Organizer.
2. A notice complies with subpa�agraph(1}(b) if it is sent to the City's custodian of
public recards and to Event Organizer at Event Organizer's address listed on its
contract with the City or to Event Organizer's registered agent. Such notices must
be sent by common carrie�delivery service or by registered, Global F�cpress
Guaranteed, or certified mail, with posiage or shipping paid by the sender and
with evidence of delivery, which may be in an electronic forrnat.
3. Event Organizer who compfies with a pub{ic records reGuest within 8 business
days after the notice is sent is not liable for the reasonable costs of enforcement.

G. Protection of Event Oraanizer's Trade Secrets and Proorietanr information.
Notwithstanding anything contained in this Addendum to the contrary:
1. Event Organizer shali have the right to designate specific financial infonnation,
competitively sensitive and proprietary information, it considers to contain h'ade secrets
pursuant to Sectian 119.0715, Florida Statutes, making it exempt from the disctosure
otherwise r�quired pursuant to Chapter 119, Florida Statutes and Article I, Section 24
af the Florida Constitution (the "Trade Secret Materials'). To claim trade sec�et
protection for the Trade Secret Materials, Event Organizer shall provide a swom
affidavit substa�tially in the form attached hereto as Attachment "A" (each, a "Trade
Secret AffidaviY'} signed by an officer of Event Organizer to the City Clerk's Office and
the City af Miami Beach Taurism and Culture Department, that includes the following
with respect to each separate c{aimed trade sacret document:
a. Identify with specificity each document(s)and each page of a document claimed
ta contain trade secret information;
b. Provide the detaiied factual basis on which the claim of trade secret is made;
and
c. Explain in detail the specific element(s�or provision(s)of 688.002(4)thai render
the information at issue a Vade secret exempted from disclosure pursuant to
Section 119.0715, Flonda Statutes.
2. If Event Organizer praperiy complies with the requirements outlined in Section 2, and
the City subsequently receives a public records request for a document, informabon or
other materials in the City's possession that is marked and certified by Event Organizer
pursuant to a Trade Secret A�davit to be a trade secret, the City wifl provide the
requestor a copy af the Event O�ganizer's swom affidavit and will promp�y notify the
Event �rganizer of such requast. Event Organizer shall have a period of thirty (30)
calendar days following receipt of such notice from the City to file an action with a court
af campetent jurisdiction seeking a protective order. If Event Organizer fifes an action
within such ihirty (30) calenda� day period, the City wil4 not release the documents at
issue pending the outcome of the (egal actio�. The failure to file an action within thirty
(3d)calendar days constituies a waiver af any claim of trade secret protection, and the
City wilf release the document(s) as requested. Event Organizer hereby agrees to
indemnify, defend and hold the City harmless from any claims, damages, costs, court
costs and attomey's fees incurred by the City in connection with or related to any
document or information claimed by Event Organizer to be a trade secret, as more
particula�iy set forth in paragraph 8 of Attachment "A" , incorporated herein by
reference and attached hereto.
21. E-Veri .
A. Event Organizer shali camply with Section 448.095, Florida Statutes, "Employment
Eligibility" {"E-Verify Statute"), as may be amended from time to time. Pursuant to the E-
Verify Statute, commencing on January 1, 2021, Event �rganizer sha{I register with and
use the E-Verify system to verify the wor4c authorization status of ali newly hired employees
during the Term of the Ag�eement, provide an affidavit stating that Event Organizer does

not employ, contraci with, or subcontract with an unauthorized alien, or, upon tfie City's
written request, otherwise demonstrate Event Organizer's compiiance with Section
448.095 as described therein. Additionaily, Event Organizer shaii exprsssly require any
subcontractor performing work or providing services pursuant to the Agreement to utilize
the U.S. Department of Homeland Security's E-Verify system to verify the empioyment
eligibility of all new employees hired by the subcontractor during the contract Term, as
applicable. If Event Organizer enters into a contract with an approvsd subcontractor, the
subcontractor must provide Event Organizer with an affidavit stating that the subcontractor
does not empioy,contract with,or subcontract with an unauthorized alien. Event O�ganizer
shall maintain a copy of such affidavit far the duration of the Agr�ement or such other
extended period as may be required under this Agreement.
B. Termination Riqhts.
1. If the City has a good faith belief that Event Organizer has knowingly violated Section
448.09(1), Florida Statutes, the City shali terminate this Agreement with Event
Organizer for cause, and the City sha{I thereafter have ar owe no further obligation or
liability to Event Organizer.
2. If the City has a good faith belief that a subcontractor has knowingty violated the
foregoing Subsection 3(A}, but Event Organizer athenrvise complied with such
subsection, the City wil! promptly notify Event Organi2er and order Event Organizer to
immediately terminate the Agreement with the subcontractar. Event Organize�'s
failure to terminate a subcontractor shall be an event of default under this Agreement,
entitling City ta terminate Event Organizer's contract for cause.
3. A cantract terminated under the foregoing Subsection (B)(1}or(B}{2) is not in breach
of contract and may not be considered as such.
4. The City or Event Qrganizer or a subcontractor may fite an action with the Circuit or
County Court to challenge a termination under the foregoing Subsection (B)(1)or
(Bx2) no tater than 20 calendar days after the date on which the cantract was
terminated.
5. If the Crty terminates the Agreement with Event Organizer under the fo�egoing
Subsect'ron (B}(1), Event�rganizer may not be awarded a public contract for at least
1 year after the date of termination of this Agreement.
6. Event(3rganizer is liable for any additional costs incurred by the City as a result of the
termination of this Agreement under this Section.
22. Event OrQanizer's Com�liance with Anti-H�man Traffickinq Laws.
Event O�ganizer agrees to comply with Section 787.06, Florida Statutes, as may be amended
from time to time, and has executed the Anti-Human Trafficking Affidavit, containing the
cert�cation af compliance with anti-human trafficking laws, as required by Section T87.06(13),
�londa Statutes, a copy of which is attached hereto as Exhibit"B".
23. Prohibitian on Gontractina with a Business EnqaAinq in a Bovcott.
Event Organizer warrants and represents that it is not currentty engaged in, and will not engage
in, a boycott, as defined in Sectian 2-375 of the City Code. In accordance with Sectian 2-
375.1(2}(a}of the City Code, Event Organizer h�reby certifies that Event Organizer is not
currently engaged in, and for the duration of the Agreement, wili not engage in a boycott of
Israel.

24. Prohibition On Contractina With An individual Or Entitv Which Has Performed Services Fw
Gompensation To A Candidata For City Elected Office.
Event Organizer warrants and represents that, within two (2) years prior to the effective date of
the Agreement, Event C?rganizer has not received compensation for services perfoRned for a
candidate for City elecied affice, as contemplated by the prohibitions and exceptions of Section
2-379 of the City Code.
For the avoidance of doubt, the restrictions on cantracting with the City pursuant to Section 2-
379 of the City Cade shaA not apply to the following:
A. Any individual or entity that provides goods to a candidate for affice.
B. Any individual or entity that provides services to a candidate for office if those same
services are regularly performed by the individual or entity in the ordinary course of
business for clients or customers other than candidates for office. This includes, without
limitation, banks, telephone or internet service providers, printing companies, event
venues, restaurants, caterers, transportation providers, and office supply vendors.
C. Any individual or entity which perForms licens�d professional services (including for
example, legal or accounting services).
25. Prohibition Aqainst Contractinq With Foreiqn Cauntnes Of Cancem When An Individual's
Personal Idantifvina lnformation May Be Accessed.
Event Organizer hereby agrees to comply with Section 287.138, Florida Statutas, as may be
amended from time to time, which states that as of January 1, 2024, a governmental entity may
not accept a bid on, a proposal for, or a reply to, or enter into, a conVact with an entity which
would grant the entity access to an individual's personal identifying information (PII), unless the
entity provides the govemmental ent"rty with an affidavit signed by an officsr or representative of
the entity under pe�alty of perjury attesting that the entity does not meet any of the criteria in
Paragraphs 2(a}-(c}of Section 287.138, Florida Statutes: (a}the entity is owned by a govemment
of a foreign country of concern; (b} the gavemment of a foreign country of cancem has a
controlling interest in the entity; or(c)the entity is organized under the laws of or has its principal
place of business in a foreign country of concem (each a "Prohibited Entity"). A foreign country
af concern is defined in Section 287.138 (1xc�, Florida Statutes, as may be amended from time
to tirne, as the People's Republic of China, the Russian Federation, the Islamic Republic of Iran,
the Democratic People's Republic of Korea, the Republic of Cuba, the Venezuelan regime of
Nicolas Maduro, or the Syrian Arab Republic, including any agency of or any other entity of
significant control of such foreign cauntry of concern. Additionally, beginning July 1, 2025, a
governmental entity may not extend or renew a contract with a Prohibited Entity. Event�rganizer
warrants and represents that it does not fall within the definition of a Prohibited Entity, and as
such, has caused an authorized representative of Event Organizer to execute the "Prohibition
Against Contracting with Entities of Foreign Countries af Concern AffidaviY', incarporated herein
by reference and attached hereto as Exhibit "C".
26. No Oiscrimination.
tn connection with the performance of the Senrices, Event Organizer shalf not exclude from
participatian in, deny the benefits of, ar subject to discrimination anyone on the grounds of race,
color, national origin, sex, age, disability, �eligion, ineome or family status.

Additionally, Event Organizer shall comply fully with the City of Miami Beach Human Rights
Ordinance, codified in Chapter &2 of the City Code, as may be amended from tirne to time,
prohibiting discrimination in employmenf (including independent contractors), housing, public
accommadations, public services, and in conneetion with its membership or policies because of
actual or perceived race, colo�, national ongin, religion, sex, intersexuality, gender identity, sexual
orientation, maritaf and familial status, age, disability, ancestry, height, weight, hair texture andlor
hairstyle, domestic partner status, labor organization membership, familial situation, or political
affiliation.
27. This Agreement shall constitute the entire agreement beiween the parties, and no warranties,
inducements, considerations, promises or ather references shall be implied or impressed
upon this Agreement that are not expressly addressed herein.
28. This Agreement shall be governed as to performance and interpreted in accordance with the
laws of the State of Florida. Any elaim or dispute arising out of the terms of this Agreement
shall be litigated in Miami-Dade County, Florida.
29. It is expressMy understood and agreed that this Ag�eement is for the duration of this Event only
and that Event Organizer has no right or privilege other than that expressly provided herein.
30. Event Organizer agrees that nothing herein contained is intended or should be construed as
in any way creating or establishing the relatianship of partners or joint venturers between City
and Event Organizer. In no event shall Event Organizer represent to any third party that it is
acting as an agent, representative or on behalf of City for any purpose or in any manner
whatsoever.
31. Goveminq_Law And Attomev's Fees. This Agreement shafl be govemed by the laws of the
State of Florida, with venue lying in Miami-Dade County. In the event of any dispute which
arises out of this Agreement, the prevailing party shall be entitled to reasonable attomey's
fees and costs, including bankruptcy and/or appeal if any.
32. Assiqnment. No assignment of the rights, interest or obfigation under this Agreement shatl be
made by either party without the written consent of the other.
33.Amendment. No modification amendment or alteration of the terms or conditions contained
herein shall be effective unless contained in a written document executed by the partiss
hereto, with the same forrnal�ty and of equal dignity herewith.
34. Extent of A,greement. This Agreement represents the entire and integrated Agreement
between City and Event Organizer and supersedes all prior negotiations, rep�esentations, or
agreements either written or oral.
35. Corporate Status: This Agreement shall automatically terminate if, within thirty (30) days from
execution of this Agreement, Event Organizer does not provide the City with proper
documentation evidencing that Event C3rganizer is registered to do business in the State of Florida.

THE SPONSORSHIP AGREEMENTS WITH THE EIGHT (8) SPECIAL
EVENT ORGANIZERS.
WHEREAS, the Miami Beach Special Event Sponsorship Program (the "Program")
was created in June 2021 to assist the City in the review of event sponsorship and fee waiver
- requests; and
WHEREAS, the Program process is formalized and allows the Administration to
properly analyze and budget special event sponsorship requests; and
WHEREAS, the City's current sponsorship process is codifieci within Section 12-7 of
the City Code, which provides that "in considering approval of a Sponsorship for an event,
the City Commission may consider.
i. whether the event organizer has exercised good-faith, diligent efforts to apply for
grant funding that may be available from the City's Visitor and Convention Authority
("VCA").or Cultural Arts Council (" CAC");
ii. the Event organizer's history and performance in delivering quality Events;
iii. any benefits being directly provided to the general public with respect to the Event,
such as free or discounted tickets to persons residing in the City of Miami Beach,
seniors, veterans, or member of disadvantaged groups;
iv. whether the event is accessible to the general public (either as a ticketed event or
otherwise);
v. the demonstrable economic impacts associated with the Event;
vi. the demonstrable media commitments secured by the Event organizer for the Event;
or
vii. the efforts undertaken by the Event organizer to mitigate any quality of life impacts
associated with the Event, including noise, littering, traffic or parking impacts
associated with an EvenY'; and
WHEREAS, sponsorship requests are generally to be reviewed well in advance of the
date of each event, either as part of the City Commission' s annual budget process, or through
applications to the VCA or CAC; and �
WHEREAS, any sponsorships request that falls outside of the standard review
process is subject to the Finance and Economic Resiliency Committee (FERC) advisory
review, as well as a heightened 5/7th5 approval requirement by the City Commission; and

WHEREAS, the Program addresses these elements and provides a platform for
event organizers to apply for City sponsorship in advance, and allows the Administration
time to do a proper due diligence and budget planning for the fiscal year; and
WHEREAS, since its inception, the Administration has witnessed an increased
interest in the Program, both from producers of large-scale events and community event
organizers. To date, the Tourism and Culture Department (TCD) has managed three cycles of
the Program.At the July 26,2023, City Commission meeting, the Mayor and City Commissioners
voted to approve the revisions to the Special Event Guidelines via Resolution No. 2023-32701.
The approved revisions included the bifurcation of the Special Event Sponsorship Program, to
allow the Program to be independent from the guidelines; and
WHEREAS, at the September 12, 2023 City Commission meeting, the Mayor and
City Commission voted via Resolution No. 2023-32745 to amend and restate the City's
Special Event Sponsorship Program requirements by (1) creating two distinct event
sponsorship categories, including minimum requirements and evaluation criteria, for
"Major Special Events" and "Community Engagement events," and an evaluation
process to review and score sponsorship requests based upon weighted criteria, and (2)
establishing maximum sponsorship funding amounts per event; and
WHEREAS, accordingly, in its third year, the p�ogram applications opened on
January 1, 2024, and closed February 29, 2024. The program is hosted at:
MBEventSponsorship.gosmart.org. For each cycle, applicants who meet the requirements
are scored by a review panel and subsequently approved by the Mayor and City Commission;
and
WHEREAS, for the category of Major Special Event, eleven (11)event organizers
opened the application, six (6) event organizers completed the appiication, and five (5)
event organizers were qualified for review. For the category of Community Engagemerrt
Event, nine(9)everrt organizers opened the application, and five(5)event organizers completed
the appfication and qualified for review; and
WHEREAS, the ten (10) applicants who met all requirements, including deadlines,
were reviewed, and scored by a panel consisting of City staff, and members of the
Greater Miami Convention and Visitors Bureau and the Miami Beach Visitor and
Convention Authority. Incomplete applications were disqualified, and applicants were
invited to apply during the next session, which launches on January 1, 2025, and will
close on February 28, 2025; and
WHEREAS, application scoring included an extensive review process that
reviewed non-profit status, length of event, history of event, hotef room block (when
applicable), whether attendees are regional, national and/or international,
resident/community benefit, marketing, and public relations exposure, utilization of local
venues, tax documentation, and more. Applicants were required to have a mandatory
dollar for dollar ($1 to $1) match and demonstrate this match through cash, other
matching sponsorships, and/or in-kind contributions; and
WHEREAS, according to the Special Events Sponsorship Program, an application
must score at least 65% on the Sponsorship Score Card for the administration to
recommend that the sponsorship be awarded. Only eight (8) met the threshold and one

event subsequently withdrew their proposal for 2025. Based on these guidelines, the
administration is making the following funding recommendations:
• Miami Fashion Week in an amount of$70,300;
• Miami Beach Holiday Festival in an amount of$82,888;
• Queen & King of the Court Miami Beach in an amount of$74,575;
• Miami Takeover in an amount of$33,883;
• Simchas Bais Hashoeiva(SBH)in an amount of$15,485;
• 2024 Miami Beach World Open in an amount of$14,250;
• MUNDO Miami Beach in an amount of$16,293; and
• The Juneteenth Experience in an amount of$16,483;and
WHEREAS, the Administration recommends the approval of the Miami Beach
Special Event Sponsorship recommendation for Fiscal Year 2025, in an amount not
to exceed $324,157 for the eight(8) aforementioned events.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND
CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and
City Commission hereby accept the recommendations of the Tourism and Culture
department, and approve the special event sponsorship funding for the fiscal year
2024/2025 for eight (8) special event organizers, in the total amount of$324,157, to

BACKGROUNDIHISTORY
The Miami Beach Special Event Sponsorship Program (the"Program")was created on June 23,
2021, via Resolution No. 2021-31742 to assist the City in the review of event sponsorship and
fee waiver requests.The Program process is formalized and allows the Administ�ation to properly
anatyze and budget special event sponsorship requests.
The Program is available for events held in Miami Beach. The purpose is to provide financial
assistance and in-kind support to high-quality local festivals, special events, community events,
or programming that promate community engagement and elevates Miami Beach as a worfd-
class tourist destination. �
The City of Miami Beach considers special events that:
. provide unique and engaging experiences ihat increase resident quality of life;
• increase tourism by hotel rooms bfock contract(s)and targeted tourist attendance;
• promote Miami Beach as a national and international tourist destination;
• accessible to the general public; and
• sfrengthens Miami Beach by enhancing the City's Cultural Events.
The City's current sponsorship process is within the City Code:
5ection 12-6 of the City Code defines a sponsorship as any contract, grant, or other commitment
by the City to fund an event, either through:
• A cash or in-kind contribution, in any amount; or
• A reimbursement for City special event-related costs(police,fice, sanitation); or
• A waiver of special event permit fees(including user fees,admin fees,and square footage
fees), in excess of$25,000.

round five teams compete in a timed elimination race. One match consists of three rounds of 15
minutes. After each round, the team with the least number of points is eliminated. If there is more
than one team with the lowest number of points, the team with longest stay advances to the next
round. If the Iongest stay is also equal, the team that reached that longest stay first continues to
the next rou�d. The Queen & King of the Court Beach Volleyball Event stands as a pinnacle of

Miami Takeover L�C - In its 16th year, the Miami Takeover Weekend has become a signature

Miami Beach Holiday Festival of Lights
On behalf of the Miami Beach Classical Music Festival (MMF�, I am thrilled to submit our letter of intent
for the Miami Beach Holiday Festival of Lights to be considered for funding through the City of Miami
Beach Special Events Sponsorship Program. The Miami Beach Holiday Festival of Lights is an ambitious
and innovative family-friendly event that aims to transform an entire city block on Ocean Drive into a
magical holiday experience of interactive projection displays and live musical performances.
From December 18-Z2, 2024, MMF will present three performances each day, featuring MMF's talented
vocal and instrumental performers alongside beloved holiday characters, including Santa Claus, The
Grinch, and Elsa. The live musical performances span a diverse range of genres and honor worldwide
holiday traditions,allowing attendees to revel in the joyous sounds of the season. MMF's projections will
create an audiovisual narrative where cues from live singers trigger the holiday-themed video projectfons
on the buildings behind them.
The Miami Beach Holiday Festival of Lights uses state-of-the-art pro�ection mapping, a technological
innovation that overlaps video onto all surfaces, turning ordinary objects - such as buildings - into
interactive displays. Every surface becomes a canvas, with graphic projections that play off the unique
architectural features of 5 consecutive buildings to create a delightful light and music experience. Similar
to the Lyon Festival of Lights, a moveable image such as Santa Claus and their reindeer can fly from one
building to the next.

Previous Experience
Since its 2013 inception, the Miami Beach Classical Music Festival (MMF) has been proud to establish
Miami as a premier destination for elite young classical musicians to train and perform at a fraction of the
cost of professional companies while maintaining professional-level performances.
In ten seasons, MMF has established itself as one of the fastest growing and most important classical
music festivals in the country, presenting 30+ public events each year, including fully staged operas,

sympho�uc concerts, chamber music recitals, and masterclasses where our highly talented students are
front and center.
In lune 2022, MMF presented the worid's first fully immersive opera production in a theater setting using
state-of-the-art prajection mapping technology, immersing the audience within the scenes of the opera.
Th�s production of Das Rheingoid marked the first time projection mapping was used for live opera, a
significant achievement for the industry.
MMF has delved into the technology`s possibilities, creating audiovisual concerts in different venues
which have garnered immense praise and have sparked a strong desire for more projection activations in
the community. In May 2Q23, MMF secured the G.O. Bond far the purchase of cutting-edge projection
mapping equipment. The acquisition of top-of-the-line projection mapping equipment aliowed MMF to
create awe-inspiring and immersive events at a fraction of the usual expense. Traditionally, the costs
associated with renting such advanced equipment limit the accessibility of these extraordinary
experiences.However,with the support of the GO bond,MMF was able to bring these extravagant events
to the City of Miami Beach at a much more affordable price.
During MMF's l0th Anniversary Season in July 2023.MMF featured an awe-inspiring trifecta of immersive
performances: 2 full operas and 1 symphony.The response from attendees was overwhelming,leading to
sold-out venues and a paipable buzz that extended far beyond the confines of the performance spaces.
Sacial media platforms were ablaze with excitement as attendees shared their exhitarating experiences,
spreading the word like wildfire.
In February 2023, MMF presented its first outdoor projection mapping concert at The Betsy Hotel,where
MMF designed Valentine-themed graphics to accentuate the building's architectural teatures, turning a
siatic structure into a dynamic canvas for visuat art and storytelling.The projections were combined with
live MMF singers helping the bui{ding come alive with images that shift and change in time with the music.
After the immense success of this event, MMF presented the first Miami Beach Holiday Festival of Lights
in December 2023.The performances took place throughout three weekends in three different locations:
Lincoln Road's Eudid Oval,The Gabriel South Beach Hotel,and The Betsy Hotel(and 4 adjacent buildings).
Each event drew over 3,QOp attendees and solidified MMF`s reputation as a driving force in redefining the
boundaries of live performance, {eaving audiences eageriy anticipating the next groundbreaking
endeavar.

To the City of Miami Beach Commission:
This letter is to express our intent to create a new, annual tradition within the City of
Miami Beach- The Juneteenth Experience. First launched in 2021, The Juneteenth
Experience is a multidisciplinary celebration of our country's second independence day,
Juneteenth, and has been steadity growing into one of the most anticipated Juneteenth
events in Miami-Dade County and it has been an honor to have it praduced with the
beautiful city of Miami Beach.
Juneteenth—alsa known as Freedom Day—celebrates the emancipation of those who
were enslaved in the United States. Building on three sold-out Juneteenth Experience
performances in 2021, 2022, and 20�3, Hued Songs is crystallizing a strong Juneteenth
tradition across Miami-Dade with a multidisciplinary Juneteenth
performancelcelebration. 2025 will mark the fifth annual Juneteenth Experience,
produced in partnership with Miami New Drama 8� the City of Miami Beach at the
Colony Theatre.
While certainly this performance honors an important day in our history, it champions
tenets of equity acrass a multitude of issue areas. Access to the arts is an equity issue.
Despite 1/4 of South Florida's population identifying as Black, only a handful of
Black-led and -centered arts organizations means they're insu�ciently represented.
Hued Songs centers local Black and Brown artists and offers Miami's highly-diverse
Black communities spaces to feel culturally a�rmed, celebrate their community and gain
more representation in the arts—while ensuring all audiences know they are welcome,
even if they don't share that lived experience.
Our goal is ta grow this performance and experience into a city-wide artistic celebration
of this important and grounding holiday. With your support, we can get there.

We are in discussians with GlobalFest New York, which has been producing an amazing event of
outstanding caliber since 20Q3, to create a partnership to benefit MUNDO Miami Beach. This
partnership would take advantage of routing opportunities for the high caliber artists already in
New Yo�k for GlobalFest, by featuring them in the MUNDO Miami Beach lineup while already in
the United States.
