ARTIGLE il i GENERAL CONDITIONS
t. PARTIES: The parties to this Agreement are the Grantee listed in ArtEcfe I, ano the City, a
municipal corporatian arganized under the laws of the State af Florida. The City has delegated the
respor�sibility of administering this Grant to the Ciry Manager or the City Manager`s authorized designee
(the"City Contract Administrator").
2. PRQJECT DESCRtPTIt3N: The Gity has delegated the respansibility of administering ihe
project(the"Praject"}descnbed in the Praject Descnption set forth in Exhibit 1 (the"Project Description")
to the Grantee.The Grantee may only use the Grant for the purposes that are specifically described in
the Project Descnption. Any modificatian to the Project Description shall not be effective unless
approved by a written amendment to this Agreement signed by the Clty and Grantee. Grantee agrees
that ali funding provided by the City pursuant to this Agreement wiil be used exclusively fpr gaods or
services to be provided within the City of Miami Beach.
3. GRANT PROJECT BUDGET: Subject to the availability of City funds, the maximum amount
payable to Grantee for goods or services rendered under this Agreement shali not exceed the Grant
Rmount as set forth in Articie i of this Agreement, Grantae agrees that should available City funding be
reduced, the amount payable under this Agreement will be reduced at the sole option af the City of
Miami Beach.AH of Grantee's expenditures are subject to the terms of this Agreement and as specifisd
in the Grant Project Budget.attached hereto as Exhibit 2("Pro}ect Budget"). Line-item changes to the
Project Budget shall not exceed ten perc�nt(10%)per category.Any modification to the Project Budget
(including, but not limited to, a line-item change below ten percent(1Q%}�shail not be effective unless
approved, in writing, by the City and Grantee. Any request by Grantee to modify the Project Budget
shall be made in wnting,using City approved forms,detailing and justifying the need for such changes.
Notwithstanding the foregoing, no modification to the Project Budget shall exceed the Grant Amount
set fo�th in Articie I of this Agreement.
4. REPORTS:7his Grant has been awarded with the understanding that the activities and services
contemplated under the Project Description will mutually contribute to tfie enhancement of services
availabie to students at Mater Beach Academy.As a condition of disbursements of grant funds, and to
demonstrate that 4he Grant is fuffilling, or has fulfiiled, its purpose, the Grantee must submit quarierly
reports to the City Contract Administrator by the following dates: January 15"', April 15'", Ju�y 15'",and
the final report by Octotaer 10'".

grants are received. The City may withhold any future payments of the Grant, or the award of any
subsequent Grant, if it has nat received a!! reports required to be suamitted try Grantee, or if such

Quarterly Status Report Form,attached hereto as Exh�bit 3 and incarporated herein,detaHing Grantee's
compliance at the time af a parUal reimbursement request.
5. REtMBURSEMENT REQUESTS: Grantee sha11 submit�eimbursement requests to the City on
a quarterly basis by the foliowing dates: January 15'h, April 15'", July15'",and the final reimbursement
request by October 15'h Additional ad hoc reimbursement requests may be submitted to the City at any
time during the Grant Term, howevee,the Ciry may require Grantee to submit an interim wntten repo�t
detailing its compliance at the time of such request. All reimbursement requests must be made after
expenditures have occurred.All reimbursement requests for funds must be submitted on both the Grant
Reimbursement Request Form,attached hereto as Exhibit 4 and incorporated herein,and Smartsheet
form, as provided in the instructions attached hereto as Exhibit 4.1 and incarporated herein. All
reimbursement requests must be submitted prior to October 15'h, 2026. Grantee shali provide the City
with copies of all receipts, invoices, cancelled checks(with copies of both front of back}and proof of
expenditures af Grant monies. Grantee shall provide the City with and shali categorize all receipts.
invoices, cancelled checks,and other documentation,according to the categories set forth in the grant
budget. Invoices and checks must be directly refatec4 to expenses for Grant-funded acGvities taking
place within the 2025-2Q26 Fiscai Ysar. For the avoidance of doubt, all reimbursement requests shall
include the foliowing: (1)the fully completed Grant Reimbursement Request F�rm;{2)the Smartsheet
form;(3)an accompanying comprehensive quarteriy report,which report shaii clearly detail the number
of students,classes and student interactions,broken down by school and grade level;and(4)any other
supporting documentation required under this Section S.
A. Supplies and Equipment. The City may, in its sale discretion, elect to directly purchase ali
supplies and equiprrtent necessary for Grantee to camplete the Project("Supplies and Equipm�nt")on
behaif of Grantee,using funds from the appropriate Iine item{s)of the Project Budget,ar permit Grantee
to purchase the Supplies and Equipment. Whether ar not the Gity has elected to directly purchase the
Supp6es and Equipment will be indicated in the Project Budget. Any purchases of Supplies a�d
Equipment by the City shaA be charged against the total Grant Amount,and will reduce the balance af
the Grant Amount accordingfy. Grantee shaVl pick u�a11 Suppiies and Equipment ordered by the City at
an address to be provided by the City Contract Administrato�. In addition,Grantee shaU comply with the
Ordering, Delivery and Retum Guidelines attached hereto as Exhibit 5 end incorporated herein.
Ail Suppfies and Equipment,whether purchased by�rantee or directiy by the City,shaU remain property
of the City at ali times.Any non-consumed Supplies and Equipment,whether purchased by Grantee vr
direcdy by the City, shaii be returned to the City at the end of the Term or upon earlier termination of
this Agreement. If Grantee fails to return any non-consumed Supplies and Equipment, the City may
deduct the cost of the missing Supplies and Equipment from the finai payment due to Grantee, or
otherwise bili the Grantee for same.
B. Reimbursement for Suppiies and Equipment purchased directly by Grantee is contingent
upon reeeipt of a list af receiued items and a matching packing slip. In instances where a physicai

packing stip is unavailable,an emaii confirmation of product receipt from Grantee, matching the invoice
details, shail be provided.
6. AMOUNT QF GRANT AND PAYMENT SCHE�ULE: The totai amount of the Grant is set forth
in Article i, subject to the r�strictions set forth herein. in awarding this Grant, the City assumes no
obiigation to provide financial support of any type whatsaev�r in excess of the total Grant Amount.Gost
overruns are the sole principai responsibiliry of the Grantee. The Grant funds wiii only be remitted to
the Grantee once the Mayor and City Gommission have approved tne grant award,and onc�all parties
have executed this Agreement.
7. GRANT RESTRICTIONS: Grant funds awarded pursuant to this Agreement may not be used
for th�follawing expenditures:remuneration of Ciry emplayees for services rendered as part of a projecl
funded by this Grant; debt reduction; sociai andtor tundraising events; cash prizes; lobbying or
p�opaganda materials; charitable contributions;or events not open to the publlc.
8. NO GUARANTEE C?F FUNDING:This Agreement is approved for the duration af the 7erm with
no guaranteed renewal options. !f invited tn apply for the faliowing year, Grantee agfees to provide the
City with a funding request for the Project,which wili inciude a line-item budget for the requested amount
of Grant funds(the"Funding Request"j no later than March 1St of the following�scat year. Upon receipt
of the Funding Request and Ehe City's receipt of funds for the Praject, the City w+il advise whether the
Project is approved. Each approved Funding Request and corresponding renewaf term will be
memorialized, in writing, in the form of an amendment to the Agreement executed by the City and
Grantee or the execution of a new agreement between the City and�rantee.
Notwithstanding the foregoing, Grantee acknawiedges that the receipt of this Grant does not
imply a cammitment on behaif of the City to continue to provide funding beyond the term specified in
this Agreement.
9. PROGRAM MONITORING AND EYALUATION: The City Manager ar the City Manager's
designee may monitor and conduct an evaluation of the Project under this Grant, whfch may include,
with or without limitation,visits by Gity representatives to Grantee's affices andto�the site of any project
funded by this Grant, to observe Grantee's programs, procedures, and operations, or to discuss the
Grantee's programs with Grantee's personnel;and/or requests for submittal of additional documentation
ar written reports, prior to the Projeci Completion Date,evideneing Grantee's progress on the Project.
1Q. BANK ACCOUNTS AND BONDING: Grantee shali maintain ali monies received pursuant to
this Agreement in an account with a bank or savings and loan association that is located in Miami-Dade
County. The Grantee shall provide the City with the name af the bank or savings and loan association,
as weli as the name and title of aMl individuals�uthorized ta withdraw or write checks on Grant funds.

i 1.AGCOUhITING AND FINANGiAI. REVIEW: Funded activities by this Grant must take place
during the City's fiscal year far which the Grant is approved(October 1 —September 30).The Grant�e
shaii keep accurate and complete bot�ks and records of ail receipts and expenditures ot Grant funds, in
canformance with reasonable accaunting standards. These books and records, as well as all
documents pertaining to payments received and made'rn conjunction with this Grant, including,without
limitation, uouchers, biAs, invoices, receipts and cancelad checks,shall be dated within the fiscal year
for which they are approved and retained in Miami-Dade County in a secure place and in an orderly
fashion by the Grantee for at least three (3) years aft�r the Expenditure Deadtine specified in in this
Agreement. These books, records,and documents may be examined ay the City,and/or its authorized
representatives, at the Grantee's o�ces during regular business hours and upon reasonabie notice.
Furthermore,the City may,at its expense,audit or have audited,ali the financial records of the Grantee,
whether or not purported ta be related to this Grant.
Grantee casts or earnings claimed under this Agreement may not alsa be claimed under
any other Agreement from the City of Miami Beach or from any other entity.Any claim for douhle
payment by Grantee shall be a material breach ot this Agreement.
12.INSPECTOR GENERAI AUDiT RIGNl"S:
A. Pursuant to S�ction 2-256 of the Code of the City of Miami Beaeh, the City has estabiished
the Office of the Inspector General which may,on a randpm basis, perfarm reviews,audifs,inspections
and investigations on all City contracts,throughout the duration of said contracts. This random audit is
separate and distinct from any other audit performed by or on behalf of the City.
B. The Office of the Inspector General is authorized to investigate City affairs and empawered
to review past, present and proposed City programs,accounts, records, contracts and transactions. In
additian, the Inspector General has the power to subpoena witnesses, admi�ister oaths, require the
production of witnesses and monitar City prajects and programs, Monitoring oE an existing City project
or program may include a report concerning whether the project is on time, within budget and in
confarmance with the cantract documents and applicable law. The Inspector General shall have the
power to audit, investigate, monitor, oversee, inspect and review aperations, activities, performance
and procurement process including but not limited to praject design, bid specifications, (bid/proposala
submrttals,activities of the Grant�e,its officers,agents and emplayees,lobbyists,City staff and elected
officials to ensure comp6ance with the contract documents and to detect fraud and corruption. Pursuant
to Section 2-378 of the City Code, the City is allocating a percentage of its overall annual cantract
expenditures to fu�d fhe activities and operations of the Office of Inspector General
C. Upon ten (10j days written notice to the Grantee, the Grantee shall make all requested
records and docum�nts available to the Inspector General for inspection and copying. The Inspector
General is empowered to retain the services of i�depende�t private sector auditors to audit,investigate.
monitor, oversee, inspect and review operatians activities, performance and procurement process

including but not limited to project design, bid specificat�ans, {bidtproposal} submittals, activities of the
Grantee, its officers, agents and empl�yees, labbyists, City staff and elected officials to ensure
compiiance with tha contract documents and to detect fraud and corruption.
D. The Inspector General shall have the right to inspect and copy al{documents and records in
the Grantee's possession,custody or control which in the inspector Ge�eral's sole judgment, pertain to
performance of the contract, including, but not limited to ariginal estimate files, change order estimate
files, warksheets, proposals and agreements from and with successful subcontractors and suppliers,
a}i p�oject-related correspondence, memoranda, instructions, financial documents, constructbn
documents, (bid/proposel} and contract documents, back-change documents, aii documents and
records which involve cash, trade or volume discounts, insurance proceeds, rebates, ar dividends
reeeived, payroll and personne► records and supporting documentakion fcar the aforesaid documents
and records.
E. The Grantee shail make availabie af its office at aU reasonable times the records,materials,
and ather euidence regarding the acquisition (bid preparation) and pe�formance of this contract, for
examination, audit, or reproduction, until three(3�years after final payment under this contract or for
any longer period required by statute or by other cJauses of this contract. In addition:
i. If this contract is completely or partially terminated, the Grantee shail make available
records relating to the work terminated until three (3) years after any resulting finai
termination settiement; and
ii. The �rantee shail make available records relating to appeals o� to iitigation or the
settlement of ciaims ansing under ar relating ta this contract untii such appeals,litigation,
ar ciaims are finally resolved.
F The provisions in this section shall app(y to the Grantee, its officers, agents, employees,
subcontractors and suppliers. The Grantee shall incorporate the provisions in this section in ail
subcontracts and aU other agreements executed by the Grantee in connectian with the performance of
this contract.
G. Nothing in this section shali impair any independent right to the City to conduct audits or
investigative activitie�. The provisions of this section are nefther intended nor shall they be construed
to impase any liability an the City by the G�antee or third parties.
13. PUBUCITY AND CREDITS: The Grantee must include the City logo and the foliowing credit
line in all publications related to this Grant: "This Project is funded in whole or in paK by a grant
from the City of Miami Beach." Grantee's failure to compiy with this paragraph may preclude Future
grant funding from the City, in the same manner as if Gr�ntee defaulted under this Agreement.

14. LIABILITY AND lNDEMhIIF1CA71QN: Grantee shalf indemnity, ctefend and hold harmless the
City and its officers,employees,agents,and contractors,from and against any and aI1 actions(whether
at laW or in equityj, claims, liabi{ities, losses, expenses, or damages, including, without limitation,
attorneys'fees and costs of defense,for personal,eeonomic,or badily injury,wrongful death,ar loss of
or damage to property,which the City or its officers, emplayees, agents and contractors may incur as
a resuit of claims,demands,suits,causes of action or proceedings af any kind or nature arising out of,
relating to, or resulting from the performance of this Agreement by the Grantee or its officers,
empioyees,agents,servants,partners,principafs or conkractors.Grantee shall pay ali claims and losses
i�conneCtion therewith and shaH investiga[e and defend atl claims,suits,or actions of any kind or nature
in the name of the City, where applicable, including appellate proceedings, and shali pay aU costs,
judgments, and attorneys'fees which may issue thereon. Grantee expressly understands and agrees
that any insurance protection required by this Agreement, or otherwise provided, shalf in no way limit
its abligation, as set farth herein, to indemnify, defend and hold harm(ess the City or its officers,
emp(oyees,agents,and contractors as herein provided.
tf the Grantee is a government entity,this indemnification shall oNy be to the extent and within the
Gmitations of Section T68.28, Florida Statutes, subjeci to the prov}srons of that Statufe, whereby ihe
Grantee entity shall not be held lfable to pay a p�rsona�iniury or propeRy damage claim or judgment by
any one persan which exceeds the sum af�200,000, or any claim or judgment or portions thereof,
which,when totafed with all other claims or judgments paid by the govemment entity arising out of the
same incident or occurrence,exceed the sum of$30fl,000 irom any and all persanal injury or property
damage claims, liabilities. losses Qr causes of actian which may arise as a resuit of the negligence of
the Grantee entity.
}5.ASSIGNMENT: The Grantee shaA not be permitted ta assign this Grant, and any purported
assignment wiii be void,and shall be treated as an event af defa�lt pursuant to this Agreement.
16.COMPLIANCE WITH LAWS:The Grantee agrees to abide by and t�e governed by all appiicable
Federai, State, County and City laws, including but not limited to Miami-Dade Gounty's Conflict of
Interest and Gode of Ethics Qrdinance, as amended, which is incarporated herein by �eference as ff
fully set forth herein, and Chapter 2. Artic(e V(I of the City Code, as arnended, which is incorporated
herein by reference as if fuily set(arth herein.
17.DEFAt1tTiTERMfNATIQN Pf2t?VISIONS:In the evertt the G�antes shali fai!to comply wiih any
of the provisions of this AgreemeRt, ihe City Manager ar the Gity Manager's designee may terminate
this Agreement and withhold or cancel ali or any unpaid instaliments of the Grant upon giving five{5)
calendar days written notice to the Grantee,and the City shail have no further abligatian to the Grantee
Under this Agreement, Further, in the evsnt af terminaUon,the Grantee shatl be required to immediateiy
repay ta the City ail portions of the Grant which have aeen received by the Grentee, as of the date that
the written demand is received.

If Grantee has failed to expend any Grant funds by the Expenditure Deadline, Grantee must
request an extension of the Expenditure Deadiine, in writing,from the City Manager. Grant funds which
are to be repaid ta the City pursuant to this Section are to be repaid upon demand by delivering ta the
City Manager a certified check for the total amvunt due,payable eo the City of Miami Beach, Fionda.
Furthermore, the Ciry reserves the right, at its sole and absolute discretion, to immediately
discontinue funding af the Grant�f it is not satisfied with the progress of the Project or the content of any
required written report. in the event af discontinuation of tt�e Gran4 or at the close af the Project, any
unexpe�ded Grant Funds shall be immediately returned to the City,except where the Ciry Manager has
agreed in wnting ta alternative use of the unused/unexpencted Grant Funds.
Notwithstanding anything ta the c�rttrary herein, and �rrespective of whether the City has
exhausted any other remedies under this Agreement or applicable law,the City Gontract Administrator
may, for the Ciry`s eanvenience and without cause, terminate this Agreemenf at any time. Such
termination shali occur upon written notice fram the City Contract Administrator to the Grantee and shall
be effective thirky (30} days after Grantee's receipt of the natice. Additionatly, if the City Contract
Administrator determines, in their sole discretion,that a public health,weffare or safety concem exists,
the City Contract Administrator may, by verbal or written notice to the Grantee, either(i) immediately
suspend all or any part of the services under this Agreement for a specified period,or(iij terminate this
Agreement effeetive immediately or on a stated date. If the Agreement is ter►ninated for convenience,
the City shail pay Grantee for ai!services satisfactorily performed up tca the�ate of termination,including
any non-cancellable expenses, on}y if such expenses were previously approved in wr'sting by the City.
Except as provided in the preceding sentence, upon terminatian of this Agreement, the City shail be
discharged from any and all liabilities, duties and terms arising out of,or by virtue of, this Agreement.
These provisions shail not waive or preciude the City Prom pursuing any other remedies that
may be available to it under the iaw or in equity.
18.INSURANCE REQUIREMENTS: The Grantee shall maintain the below required insurance in
effect pnor to the execution af the Agreement and for the duration of the Agreement. The maintenance
of proper insurance caverage is a material element of the Agreement and failu�e to maintain or renew
coverage may be Ereated as a material breach of the Agreement, which cautd result in w►thhoiding of
payments or termination of the Agreement.
A. Workers' Compensation InsUrance For all empioyees of the Grantee as required by Florida
Statute Chapter 440 and Employer Liability insurance with a limit ot no �ess than $1,000,000 per
accident for bodily injury ar d�sease.Shouid the Grantee b�exempt from this Statute,the Grantee and
each employee sha�l hoid the Gity harmless from any injury incurred dunng perforrnance of the
Agreement. The exempt Grantee shall also submit a(ij written statement detailing the number of

Notice of GanceUation- Each insurance policy required above shall provide that coverage shall not
be cancelled,except with notice to the City of Miami Beach cto EXiGIS Insurance Compfiance Services.
Waiver of Subrogation—Grantee agrees to obtain any endorsament that may be necessary to affect
the waiver of subrogation on the coverages required. However, this provisian applies regardless af
whether the City has received a waiver of subrogati4n endorsement from the insurer.
Acceptabifity af Insurers—Insurance must be placed with insurers with a current A.M. Best rating of
A:VII or higher_ if not rated,exceptions may be made for members of the Florida insurance Fu�ds(i.e.
FWCIGA, FAJUA). Garriers may also be considered if they are licensed and authorized to do insurance
business in the State of Florida.
Verification of Coverage — Grantee shall fumish the City with orig+nal certificates and amendatory
endorsements, or capies of the applicable insurance language, effecting coverage required by this
Agreement. All ce�tificates and endorsements are to be received and appr4ved by the City before work
cammences. However, failure to obtain the required docume�ts prior to the work beginning shall not
waive the Grant+ee's abligation to provide them. The City reserves the right to require complete,certified
copies of all required insurance policies, including endorsements, required by these specifications, at
any time.

19.F�fJRiDA PUBLIC RECORDS LAW:
A. Grantee shall cornply with Florida Public Records iaw under Ghapter 119, Fiorida Statutes,
as may be amended from time to time.
B. The term "pubiic records" shall have the meaning set farth in Section 119.011(12), which
means all documents,papers, letters, maps, books, tapes, photographs, fiims,sound recordings,data
processing software, or other matenal, regardfess of the physicai form, characteristics, or means of
transmission, made or�eceived pursuant to law or ordinance or in cannection with the transaction of
officiai business of the City.
C. Pursuant to Section 119.0701 of the Florida 5tatutes, if the Grantee meets the definition of
"Contractor'as defined in Section 119A701(1)(a),the Grantee shali:
i. Keep and maintain public records required by the City to perform the service:
ii. Upon request from the City's custadian of public records, provide the City witn a copy
of fhe requested records or ailow the records to be inspected or copied within a
reasonable time at a cost that does not exceed the cost provided in Chapter 119,
Fiorida Statut�s or as otherwise provided by law;

perform the service.if the Grantee transfers all public records to the City upon
compietion of the Agreement,the Grantee shaii destroy any dupiicate public records
that are exempt ar canfide�tial and exempt from pubfic records disclosure
requirements. if the Grantee keeps and maintains pubiic records upon completion of
the Agreement,the Grantee shali meet all applicabie requirements for retaining public
recards.All records stored electronically must be provided to the City, upan request
from the Ciry's custodian of public records,in a format that is campatibie with the
information technology systems of the City.
D. REQUEST FOR RECORDS; Nt�NCOMPUANGE
i. A request to inspect or copy pubiic records relating to the City's contract for services
must be made directly to the City, If the Cit}r does not possess the requested records,
the City shall immediatety notify the Grantee of the request, and the Grantee must
provide the records to the City or allow ihe records to be inspected or copied within a
reasonable time.
ii. Grantee's failure to campiy with the City's request for rscords shall constitute a breach
of this Agreement,and the Ciry,at its sole discretion, may:(1)uni►ateraliy terminate the
Agresment;(2}avail itself of the remedies set forth under the Agr+eement and/or(3)avail
itself af any availabie remedies at law or in equiry
iii. A Grantee who fails tQ provide the public records to the City within a reasonable time
may be subject to penalties under s. 119.10.
E. CIVI�ACTIdN
i. If a civii action is filed against a Grantee to compel production of pubiic records relating
to the City's contract for services, the court shall assess and award against the Grantee
the reasonabie costs af enforcem�nt, including reasonable attameys'fess, if:
a. The caurt deterrni�es that the Grantee unlawfully refused to comply with the public
records�equest within a reasonabie time;and

b. At least 8 business days before fling the action, the plaintiff provided written notice

ii. A notice complies with subparagraph (i)(b) if it is sent to the City's custodian of public
records and ta the Grantee at the Grantee's address listad on its contract with the City
or to the Grantee's registerad ac,�;nt. Such notices must be sent by common carrier
delivery service or by regisiered, Global Express Guaranteed, or certified maii, with
postage or shipping paid by the sendar and with evidence of delivery, which may be in
an electronic format.
iii. A Grankee who compiies with a pubiic recards request within$ business days after the
notice is sent is not liable for the reasonable costs of enforoemsnt.

20.E-VERIFY:
A. Grante� sha{!comply with Section 448.095, Florida Statutes, °Empioyment Eligibiiiry" ("E-
Verify Statute"},as may be amended fram time ro time. Pursuant to the E-Verify Statute,commencing
on January 1, 2021, Grantee shall registe� with and use the E-Verify system ta verify Ihe work
authorization status of all newiy hired employees during the Term of the Agreement. Additional{y,
Grantee shall expressly require that any appraved sub-contracior performing work or providing services
p�rsuant to the Agreement to likewise utilize the U.S. DepaRment of Homeland Security's E-Verify

B. TERMINATION RfGHTS.
i. If the City has a good faith belief that Grantee has knowingiy violated Section 448.09(1},
Florida Statutes, the City shall terminate this Agreement with Grantee for cause,and the
City shaff there�after have or owe no further obfigation or fiability to Grantee.
ii. If the City has a good faith beiief that a subcontractor has knowingiy violated the
faregoing Subsection 2�(A}, but the GraMee ptherwise complied with such subseetion,
the Gity will prc�mptly notify the�rantee and order the Grantee ta immediately terminate
the agreemenk with fhe subcontractor. Grantee's fai{ure to 4erminate a subcontractor
shali be an eveni of default under this Agreement, entitiing City ta kerminate this
Agreement for cause.
A contract terminated under the foregaing Subparagraphs(B)(i)or(B�(ii)is not in breach
of cantract and may not be considered as such.
iii. The Gity or Grantee or a subcontractor may fiie an action with the Circuit or County Court
to challenge a termination under the foregoing Subparagraphs (B){i) or (B}{ii) no later
than 20 calendar days after the date on which the contract was terminated.
iv. If the City terminates the Agreernent with Grantee under the foregoing Subparagraph
(Bj(i}, Grantee may nat be awarded a public contract for at least 1 year after the date of
termination of this Agreement.
v. Grantee is Iiabie for any addi6anal costs incu�red by the City as a resu{t of the termination
of this Agreement under this Section 20.
21. �C?ARD TRAINING: Pursuant to Resolukion 2018-30552, Grantee is required to have S1%
ar more of its baard membership complete the Gitys traming tor board members, if ail three of the
tollowing apply: t)the agency is a non-profit;2)the agency has an annuai operating budget of less than
$5 million; and, 3)the grant award is for$25,000 or more in City funds. The Board Training must be
completed within the last two years prior to the receipt of City funds.
22.WRITTEN NOTICES: Any natices required under tP�is Agreement will be effective when
delivered to the City, addressed to the City Contract Administrator(as identified in Section 23 of this
Agreementj, via certrfied letter and email. Any notices required under this Agreement will be effective
when delivered to the Grantee in writing end addressed to the Grantee Contract Administrator at the
physicai address or email address listed in Article I.

24.PUBLIC PURPOSE: the Grant awarded herein is the resuit of a I`inding by ihe City,based
on representatives,documents, materials and other information suppfied by Grantee, that the Grantee
is performing a pubiic purpase through the programs, projects, and/ar services recommended for
support. As such, use of Grant funds for any program c�amponent not meeting this condition will be
considered a breach of the terms of this Agreement and wiA aliow the City to seek remedies inGuding,
but not limited to, those outlined in this Agreement.
25. NO DISGRIMINATIQN: The G�antee aiso acc�pts and agrees to comply with the following
SpeCial Conditions:
A. Grantee hereby agrees that it will comply with Title VII of the Givi{ Rights Act of 1964
{Pub. L. 88-352) {Title VII}, as amended, as it appears in volume 42 of the United States Code,
beginning at Section 2000e, prahibiting employment discrimination based on race, color, religion, sex
and national o�igin.
B. The G�antee hereby agrees thak it will comply with City af Miami Beach Human Rights
Qrdinance as codifisd in Chapter 62 of the City Code,as may be amended from time ro time,prohibiting
discrimination in employment (including independent cantractors), housing and public
accommodations,public services and in connection with its membership or policies on account of actual
or perceived race,color, national origin, religion, sex,intersexuality,gender identity, sex�al orientation,
marital and familiai status, age, disability, ancestry, height, weight, hair texture and/or hairstyle,

disabifities from enjoying the same employment appotturnties that are available to persons without

Q. The City also endorses the mandate af the Rehabilitation Act of 1973 and Section 504
and prohibits discrimination on the basis of disability and requires that Grant recipiants provide equal
access and equal opportunity and services without discrimination on the basis of any disability.

28.CAPTIONS USER IN THIS AGREEMENT: Captions, as used in this Agreement, are for
convenience of reference only and should not be desmed or construed as in any way limiting or
extending the language or provisions to which such captions may refer.
29.CONTRACT REPRESENTS TOTAL AGREEMENT: This contract, including its special
canditions and exhibits, represents the whale and total agreement of the paRiss. No representations,
except those contained within this Agreement and its attachments, are to be considered in construing
its terms. No modifications or amendments may be made to this Agreement unless made in writing
signed by both parties_ The City Manager, on behalf ot the City, shall be authorized to execute
amendments to this Agreement;however, any changes ta the Grant Amount shall require approval by

Level 2 Background screenings must be completed through the City of Miami Beach,Human
Resources Department. Grantee agrees to comp�ete level 2 Background sereening prior to initiating
any work related to this Agreement, unless the City Contract Administrator approves an alternaUve
process.
In compliance with F.S. 1012.467(8).Grantee shall ensure aU contracied personnel and vendors display
a mandatory phota identification badge provided by Miami-Qade County Public Schools (M-DCPS}
whenever on school premises (if applicable) and a City issued IQ whiie an private or charter school
premises.

31 FORCE MAJEURE:
A. A"Force Majeure"event is an event that(i)�n fact causes a de�ay in the pertormance of
the Grantee or the City's obligations under the Agreement, and(ii)is beyond the reasonable control of
such party unabie to perfo�m the obligation,and(iii)is not due to an intentional act, error,omission,or
negligence of such party, and(iv)could not have reasonably been foreseen and prepared for by such
party at any time prior to the occurrence of the event. Subject to the foregoing cnteria, Force Majeure
may inciude events sueh as war, civil insurrection, riot, fires, epidemics, pandemics, terrorism,
sabotage, explosions, embargo restrictions, quarantine restrictions, transportation accidents, strikes,
strong hurricanes or tomadoes, earthquakes, or other acts of God which prevent performance. Force
Ma�eure shall not inciude technological impossibility, inclement weather,or failure to secure any of the
required permits pursuant to the Agreement.
B. If the City or Grantee's performance of its contractuai obligations is prevented or delayed
by an event believed to be Force Majeure,such party shall immediately,upon leaming of the occurrence
of the event or of the commencement of any such delay, but in any case within fifteen(15) business
days thereof, provide notice ("Force Majeure Notice"). The Force Majeure Notice shall include the
fallowing: (i) the occurrence of an event of Force Majeure, (ii) the nature of the event and the cause
thereof, (iii)the anticipated impact on the Agreement, (fv)the anticipated penod of the delay, and (v)
what course of action such party plans to take in order to mitigate the detrime�tat effects of the event.
The timely delivery of the Force Ma)eure Notice is a condition precedent to allowance of any relief
pursuant to this Section; however, receipt of a Force Majeure Notice shall not constitute acceptance
that the event claimed to be a Fo�ce Majeure event is in fact Force Majeure under this Agreement,and
the burden of proof of the occurrence of a Force Majeure event shall be on the requesting party.
C. No party hereto shatl be Iiable for its failure to carry out its obligations under the
Agreement during a period when such party is rendered unable, in whole or in part, by Force Majeure
to carry out such obligations. The suspension of any of the obligations under this Agreement due to a
Force Majeure event shall be of no greater scope and no Ionger duration than is required. The party
shall use its reasonable best efforts to continue to perform its obligations hereunder to the extent such
obligations are not aftected or are only partially aHected by the Force Majeure event, and to correct or
cure the event or condition excusing perfortnance and otherwise to remedy its inabitity to perform to the
extent its inability to perform is the direct result of the Force Majeure event with all reasonable dlspatch.
D. Obligations pursuant to the Agreement that arose before the occurrence of a Force
Majeure event, causing the suspension of performance, shatl not be excused as a result of such
occunence unless such occurrence makes such perfarmance not reasonably possible The obligation
to pay money in a timely manner for obligations and liabilities which matured prior to the occurrence of
a Force Majeure event shall not be subject to the Force Majeure provisions.

E. Natwithstanding any other provision to the contrary herein, in the event of a Force
Majeure pccunence, the City may, at the sole discretion of the City Manager, suspend the Ciry's
payment obligatians under the Agreement, and may take such action without rsgard to the natice
requirements herein. AdditionaUy, in the event that an event of Force Majeure delays a party's
performanee under the Agreement for a time periad greater than thirty (30j days, the Giry may, at the
sole discretion of the City Manager,terminate the Agreement on a given date, by giving written notice
to Grantee of such termination. If the Agreement is terminated pursuant to this section, Grantee shail
be paid for any Services satisfactorily perfarmed up to the date of termination; foliowing which the City
shall be discharged from any and ali liabilities, duties, and terms arising out of, or by virtue oi, this
Agreement. In no event wifl any candition of Force Majeure extend this Agreement beyond its stated
term
32.GE2ANTEE'S CQMPLIANCE WITH ANTi-NUMAN TRAFFICKING LAWS: Grantee agrees
to comply with Section 787.06, Florida 5tatutes, as may be amended from time to time, and has
executed the Anti-Human Tra�cking Affidavit,cantaining the certification ofcompiiance with anti-human
trafficking laws,as required by Section 787.06(13),Flonda Statutes,a copy of whieh is attached hereto
as Exhibit 8 and incorporated herein.
33.PROHIBITIQN ON GONTRACT{NG WITH A BU9INESS ENGAGING fN A BOYCOTT:
Grantee war�ants and represents thaf it is not currently engaged in,and wiil not engage in, a boycc�tt,
as defined in Section 2-375 of the Ciry Cade. In accordance with Section 2-375.1(2)(a) of the City
Code, Grantee hereby certifies that GranCee is not curre�tly engaged in, and for the duration of the
Agreement, will not engage in a boycott of Israel.
34.PRQHIBiTION ON GONTRACTING WtTN AN INDIVIDUA� OR ENTITY WHIGH NAS
PERFORMED 5ERVECES FOR COMPENSATION TO A CANDIDATE FOR CITY EI.ECTED QFFlCE:
Grantee waRants and represents that,within two(2)years prior to the Effective Date, Grantee has not
received compensation for services performed for a candidate for City elected office, as contemplated
by the prohibitians and exceptions of Section 2-379 of the City Gode.
For the avoidance of doubt, the restnctions on contracting with the City pu�suant to Section 2-379 of
the City Gode shaq not apqlv ta the following:
A. Any individuai or entity that provides goods to a candidate for office.
B. Any individual or entity that provides services tp a candidate for office if those same
services are regularly performed by the individuai or entity in the ordinary course of business for clients
or customers other than candidates for office. This includes, without limitation, banks, telephone or
intemet service providers, printing companies, event venues, restaurants, caterers, transportation
providers, and office suppiy vendors.
C. Any individual or entity which performs licensed professional services (inciuding for
exampfe, legal or accounting services).

Resolution 2024-33016 prioritized educational enhancements for Miami Beach private and charter
schools active on The Quality Education Committee {QEC). Each eligible Miami Beach private and
charter school received a recuRing annual funding aliocation for various educational enhancements of
their choice with their approved annuai budget. As part of that allocation, the private/charter schooi
has opted to participate in the City's STEAM Plus program for the applicable school year.
PROGRAM DESCRIPTION
Young Musicians Unite provides students a free immersive music education through our in person and
ar virtual music classes.Course selections range from Music Production to Drumfine, Beginning Band.
Modern Band,Pitch 8�Rhythm,Jau Ensemble,Rock Band and Strings.Ages range from grades 4-12.
Classes have a maximum capacity of 30 students.All the necessary equipment is provided to students
by YMU. YMU has been allowed to operate in-person during the school day at 29 schools in Miami-

This Exhibit 5 outlines the terms and conditions far ordering and delivsry of Supplies and Equipment
between the City and Grantee.
I. If, aursuant to khe Purchase C?rder, the City has elected to directiy purchase Supplies
and Equipment under this Agreement, Grantee shaU comply with the following:
Suppfy List Submission: Grantee must send a comprehensive list of all Supplies and Equipment
needed for the upcoming schooi year to the Education and Performance Initiatives Division ("EPI"j
between October 1 st and October 15th of each caiendar year.This list must accompany each item with
a description indicating its color, size,type, number,and include a purchase link when available.
Buik�rdering Periad� EPI will place buik orders for mast Suppiies and Equipment between Qctober
15 and�ctober 30.provided Grantee selects th�ir supplies from the City approved vendor list.
Delivery Timeline:All bulk orders placed within the speci�ed period wl�be delivered to the Grantee on
or after November 1st of khe same ealendar year, uniess delayed by delivery services,

instances where a physicai packing slip is unavailable, Grantee shall provide an email confirmation of
product receipt matching the invoice detaiis.
Limitation af Liabiliry:The City will not be liable for any missing,broken, maifunctioning,or otherwise
incompiete items in an order if Grantee faiis to report such discrepancies within the fifteen(15)calendar
day period as specified above.

WHEREAS, the Gity of Miami Beach's advisary Committee for Quality Education
in Miami Beach Schools was established in 1999 to make recommendations to the City
Commission and to Investigate, develop, and carry out plans ta promote and ensure the
provision of quality education in Miami Beach schoo�s;and
WHEREAS, the City of Miami Beach through the Office of Education and
Performance Initiatives provides programming to students enrolled in six local Miami-
Dade County Public Schools: Biscayne Beach Elementary, North Beach Elementary,
Miami Beach Fienberg Fisher K-8 Center, Miami Beach Nautilus Middle, Miami Beach
South Pointe Elemerrtary, and Miami Beach Sr. High; and
WHEREAS, Ordinance 2023-4540, codified in Seetians 2-19Q.134 through 2-
190.138 af the City Cade, was recently expanded to include twenry-six (26) voting
members,including eleven private/charker Miami Beach schools who have inquired about
existing City funded educational enhancements, and
WHEREAS,existing City funded educational enhancements include the purchase
of Agenda Planners, STEM Equipment, STEAM+ Programming, College Prep
Programming, Dual Enrollment, College Transcripts, Mental Health, Stop the 81eed Kits,

Resifiency Committee by Cammissioner Rosen Gonzalez at the July 26, 2Q23
Commission Meeting,to discuss funding for educational enhancements; and
WHEREAS, the item was preser�teci at the February 23, 2024 Financ� and
Economic ResiMiency Committee meeti� and retumed to the March 22, 2024 meeting
with additional information from the private/charter schools who have active Qualiry
Education Committee (QEC) members regarciing their interest in existing educational
enhancement programs developed, implemerrted, funded and managed by the City's
Education�nd Performance Initiatives Qivision;and
WHEREAS, th� City of Miami Beach Gh(ef Educatian officer met with
private/charter Miarhi Beach schools between February 29, �024 and March 6, 2024 to
discuss curnent educatianal enhancements available to youth in Miami Beach through
va�ious partnerships, including the pubfic schools. Following each meeting, individual
school Quality Education Committee representatives pravided a ranking of current
educatianal enhancements af interest for their scnool; and
WHEREAS, accorcling to school administration-provided enroAment information,
there are currenUy 2,612 youth from early childhood ta grade 12 attending seven (7)
private/charter schoots in Miami Beach of whlch a4°!o(1,419)are Miami Beach residents;
and
WHEREAS, currently, there a�e 6,148 Miami Beach K-12 youth attending public
schools across Miami-Dade County. As of March 2024, 4,639 0� 78.7�o are attending
public schools in Miami Beach;and
WHEREAS, an estimated $908,508 is allocated annually to various city funded
and impfemented educational enhancements;and
WHEREAS, at the March 19, 2024 meeting, a 15-0 motion was passed
unanimously by the Committee for Quality Educat�n members for ta request the Mayor
and Commission cantinue to sustain current public school educational enhancernsnts and
support the newly prioritized educafional enhancements for the private and charter

Beach children.These enhancements should only be an expansion and nevera reduction
of cu�rently funded public schoal enhancemenf programs;and
WHEREAS,Vice-Mayor Rosen Ganza(ez motioned at the March 22,2024.Finance
and Economic Resiliency Committee to discuss this item at the upcoming Commission
meeting, with a second from Commissioner Bhatt, and favorable recommendaUon of
making this a priority during the FY 2025 budget process for$189,252 on a recumng
basis and$393,163 as a one-time enhancement for the seven(7)private/cha�ter schaols
with active membership on the Quality Education Committee; and
WHEREAS, the Administration alsa recommends that any new program be
consfdered as part of the FY 2025 budget process; and
WFiEREAS, additionally, implementation of any combination of the requested
educational enhancements at private/chaster schools will raquire an educationai
specialist positian to develop, implement, a�d manag� aU programs for each individuai
private and charter school. Funds for this position may partially come from allocated
administrative funds for other�ducational programs currently underway.
