where the City could extend the bay walk and also provide a possible bike path and connection to
the proposed Atlantic Greenway Network and to our danned Blue Way with a kayak ramp, and
fishing pier.

recommended that the item be forwarded to the Mayor and City Commission for discussion.

Financial lmpact Summary:

that the City Administration analuated the long-term economic impact (at least 5 years) of this

ADMINISTRATION RECOMME NDATION
Adopt the resolution.
BACKGROUND
Since its founding in 1949, Mount Sinai has faithfully served the residents of the City,
Miami Dade County, and their visitors and guests. Over the course of its history, Mount
Sinai's mission and importance to the local community has greatly expanded to include
its designation as one of only ten statutorily designated teaching hospitals in the State of
Florida, and the City's largest private employer.
Mount Sinai has over 200,000 inpatient and outpatient admissions annually and is
cunently the only hospital and emergency healthcare services provider on the island to
service Miami Beach's more than 5 million annual visitors.
The Emergency Room ("ER") was constructed in 1972 and is comprised of
approximately 16,000 square feet of space and was designed to serve approximately
20,000 patients annually. ER utilization has increased 460/0, from 28,917 visitors in
2002, lo 42,238 visitors in 2012, and is expected to significantly increase over the
coming years. Mt. Sinai needs to address and alleviate potential challenges that may
result from the continued growth of year-round tourism, special events and the ongoing
flow of Miami residents as well as residents of other south Florida communities who
travel to Miami Beach.
ANALYSIS
Mt. Sinai has requested that the City partner with them to improve the Emergency
Department facility and replace it with 43,000 square feet of new and renovated space,
which can serve more than 80,000 patients annually. The project will construct a new
facility which will be approximately 36,000 square feet with 40 treatment bays that will
accommodate triage, trauma, behavioral and other health issues. The project will also
renovate 7,000 square feet of the existing emergency facility and convert illo a 18-22
bed clinical decision/observation unit. Additionally, the project will accommodate an
advanced Emergency Operations Center. The new and renovated portions of the project
are expected to cost approximately $30,000,000 and be completed in May 2017 and
January 201 8, respectively,
The item was discussed at the May 21, 2014 Commission meeting following a
presentation by Mt Sinai. Commissioner Wolfson requested the following: 1) that the
Commission hold a public hearing on the item, 2) that an audit of the expenditure of the
funds be a requircment in the grant agreement, which Commissioner Weithom
suggested could be handled by an affidavit in lieu of an audit in the agreement, 3) a
history of Mount Sinai's cash on hand (see attached), 4) the fiscal impact of a $1 million
payment each year for fifteen years, and 5) that the grant agreement specifically spell
out the public benefits. The Commission agreed to bring the item back to its May 28,
2014 meeting.
The Manager and Commissioner Weilhorn met with Mount Sinai representatives and
have agreed on the following terms:
1- that the annual payments from the City would be $1 million for filteen years
totaling $15 million;
2- that in lieu of interest, the City would either waive or make a payment to
Mount Sinai in an amount equivalent to, the City's building permit fees paid
by Mount Sinai on the 2014 projects subsequent to their payment; and
3- that Mount Sinai would provide to the City as a public benefit, a permanent
public access easement (minimum 15 feet width) along the northem and
westem boundaries of the Mount Sinai property where the City could extend
the bay walk and also provide a possible bike path and connection to the
proposed Atlantic Greenway Network and to our planned Blue Way with a
kayak ramp, and fishing pier.
The attached resolution authorizes the City Manager to negotiate the specffic terms of
this gnant in a separate Grant Agreement.
The resolution further authorizes the City Manager to negotiate a Lease Agreement (or
"Lease") with Mount Sinai for the City's use of a minimum of 2,000 square feet of space
of the Emergency Operations Center on the Mount Sinai campus. This lease shall be for
the operation of the City's Emergency Management Office for an initial minimum term of
50 years and a rental amount of $1 per year (the City's considenation for rent on the
Lease being the Grant Contribution). The City shall be responsible for all costs
associated with the tenant build-out of the Lease premises,
The attached resolution makes the covenant to budget and appropriate funds subject to
successful negotiation and execution by the City and Mount Sinai of the Grant
Agreement and Lease Agreement, and shall be further subject to the terms and
conditions negotiated in the final Grant Agreement.
The Mayor, City Clerk, City Manager, City Attomey, and Chief Financial Officer are also
authorized and directed to do all things and execute any and all documents necessary to
carry-out the intent of the attaches resolution including, without limitation, engaging the
City's bond munsel (or other outside counsel selected by the City Attorney) and financial
advisor to assist in the negotiation and execution of the Grant Agreement and Lease
Agreement. ln the event that the City retains bond counsel (or other outside counsel) to
assist in the negotiation and execution of the Grant Agreement, Mount Sinai shall pay
any and all costs associated with the City's legal fees with respect thereto. Upon
conclusion of successful negotiation by the City and Mount Sinai of the Grant Agreement
and Lease Agreement (the "Agreements") the Mayor and City Clerk are hereby
authorized to execute such Agreements.
CONGLUSION
The Administration recommends that the City Commission approve the resolution.

WHEREAS, Mount Sinai has over 200,000 inpatient and outpatient admissions

WHEREAS, Mount Sinai is currently the only hospital and emergency healthcare
services provider on the banier islands to service Miami Beach's more than 5 million annual
visitors; and
WHEREAS, the Emergency Room ("ER') was constructed in 1972 and is comprised of
approximately 16,000 square feet ofspace; and
WHEREAS, ER utilization increased 46Vo, from 28,917 visitors in 2002, to 42,238
visitors in2072, and is anticipated to increase approximately 49Yo, to a total of 62,800 visitors by
2020: and
WHEREAS, the aforementioned ER utilization rates occurred during a period of time in
the City's history when its resident population remained static or experienced slight declines; and
WHEREAS, ER utilization rates are highly correlated to increase in average daily
visitors, with visitor rates during the same ten-year period between 2002 and 2012 experiencing
similar annual growth trends, yielding a .969 correlation co-efficient between growth in the
tourism industry and ER usage; and
WHEREAS, the Mayor and City Commission hereby find and declare that the Project
(as defined in this Resolution) is a capital improvement to a physical asset which is essential to
the welfare, safety, and well-being of the residents of, and visitors to, the City, and that, as such,
the Project seryes a vital public purpose to the City; and
WHEREAS, non-ad valorem revenues may, in part, be utilized to fund capital
improvements and the maintenance of all physical assets which are essential to the welfare,
safety, and well-being of the residents of, and visitors to, the City, and which serve a public
purpose to the City.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that, subject to and
conditioned upon the successful negotiation of the Grant Agreement and Lease Agreement (both,
as defined in this Resolution), the Mayor and City Commission hereby approved and authorize
the following actions:
Section 1 The City is hereby authorized to provide Mount Sinai with a grant, to be
funded as provided in Section 2 below, in an amount between $15,000,000 and $18,750,000,
paid in annual installments over a l5-year term of not less than $1,000,000 (the "Grant
Contribution"). Provided the City and Mount Sinai successfully negotiate the final terms of, and
execute, the Grant Agreement and Lease Agreement, the term of the Grant Agreement shall
commence at the start of the City's 2014-2015 Fiscal Year. The Grant Contribution shall be used
for the sole purpose of reimbursing Mount Sinai for costs associated with the Project.
Section 2. The City is hereby authorized to covenant to budget and appropriate in its
annual budget, by amendment if necessary, from legally available non-ad valorem revenues in
the then culrent hscal year, amounts sufficient to pay the Grant Contribution coming due in such
fiscal year, until paid in full. Such covenant to budget and appropriate funds shall be subject to
successful negotiation and execution by the City and Mount Sinai of the Grant Agreement and
Lease Agreement, and shall be funher subject to the terms and conditions negotiated in the final
Grant Agreement.
Section 3. The City Manager is authorized to negotiate the Grant Agreement,
consistent with the business terms set forth in this Resolution. Said Agreement shall also reserve
to the City, at is sole option, the right to pre-pay the Grant Conhibution, without penalty or
premium and with such discounts as may be reflected in the Grant Agreement.
Section 4. The City Manager is further authorized to negotiate a Lease Agreement
(or "Lease") with Mount Sinai for the City's use of up to 2000 square feet of space in the new
expanded Emergency Room Facility. Said Lease shall be for the operation of the City's
Emergency Management Office for an initial minimum term of 30 years and a rental amount of
$l per year (the City's consideration for rent on the Lease being the Grant Contribution). The
City shall bear all costs associated with the tenant build-out of the Lease premises.
Section 5. The Mayor, City Clerk, City Manager, City Attorney, and Chief Financial
Officer are hereby authorized and directed to do all things and execute any and all documents
necessary to carry-out the intent of this Resolution including, without limitation, engaging the
City's bond counsel (or other outside counsel selected by the City Attorney) and financial advisor
to assist in the negotiation and execution of the Grant Agreement and Lease Agreement. ln the

The attached Resolution has been prepared calling for a City of Miami Beach Special Election to be
held on August 26,2014 for the purpose of submitting to the City's voters the following ballot question:

This Charter amendment is being presented for placement on a City ballot in order to address issues
previously faced by the City in filling vacancies in the City Commission. Specifically, although Charter
section 2.02 currently establishes a procedure for the filling of such vacancy (via Commission
appointment or electorate vote), its language has presented obstacles to the City's ability to conduct
such elections on a date concurrent with the City's regularly-scheduled General Election; inasmuch as
the vacancies that were the subject of these scheduling issues all stemmed from the filing of an
incumbent City Commission member's resignation, the proposed Charter amendments primarily
address specific procedures for filling vacancies ln the Commission so caused by an incumbent's
resignation.
Finally, pursuant to directive of the Miami-Dade County Elections Department, the final date by which
the City may adopt its Resolution placing a ballot measure on the Augusl 26, 2014 ballot is June 6,
0214. Accordingly, this matter is timely presented to the City Commission and adoption of the attached
Resolution may take place at today's meeting.

BEACH, FLORIDA CALLING FOR AN AUGUST 26,2014 SPECIAL ELECTION, FOR

NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH:
SECTION 1.
In accordance with provisions of the Charter of the City of Miami Beach, Florida and the
general laws of the State of Florida, a Special Election is hereby called and directed to be held
in the City of Miami Beach, Florida, from 7:00 a.m. to 7:00 p.m. on Tuesday, August 26,2014,
for the purpose of submitting to the electorate the question as set forth hereinafter.
SECTION 2.
That the appropriate and proper Miami-Dade County election officials shall conduct the
said Special Election hereby called, with acceptance of the certification of the results of said
Special Election to be performed by the City Commission. The official returns for each precinct
shall be furnished to the City Clerk of the City of Miami Beach as soon as the ballots from all
precincts have been tabulated.
SECTION 3.
That the said voting precincts in the City of said Special Election shall be as established
by the proper and appropriate Miami-Dade County Election Officials. All electors shall vote at
the polling places and the voting precincts as determined by the Miami-Dade County Election
Officials as set forth in the attached Exhibit "A".
SECTION 4.
Not less than thirty days notice of the adoption of this Resolution and of its provisions
calling this Special Election shall be given by publication in the Miami Herald, a newspaper of
general circulation in Miami Beach, Miami-Dade County, Florida. Such publication shall be
made in accordance with the provisions of Section 100.342, Florida Statutes, and Section 38-3
of the Code of the City of Miami Beach.

The Notice of Election shall be substantially in the following form:

Remediation Proiect (Proiect). The purpose ofthe Projectwas to rehabilitate he numerous difecs and deficiencies arising from he impropei
design and construction of ttre sod and other landscaping, among other things, during the South Polnte park lmprovemeit project, wirich is
cunenUy the subiect of pending litigation brought by he City against the prime consultant and general contractor for that projett.
The original bid opening date for the ITB was February 10, 2014. Based on the issuance ofthree addenda, the bid opening date for the ITBwas exlended until Febn/ary 19,2014. On February 19,2o14, Superior Landscaping & Lawn Service, lnc. (Suieriorfand Valleycrest
Landscape Development, lnc. submitted bids. Through the Departrnent of Procurement Management's review of ihe bid foi responsiveness,
Superior was deemed responsive and its bid was the lowest. Superior was determined to be the lowest responsive, responsible bidder.
On March 5, 2014, tle City Commission authorized the award of the contract to Superior, in the amount of 92,656,104.1S, plus an approved
Project contingency fund of ten percent (10%), for a not-to-exceed grand total amount of $2,921 ,715.00
On or about March 15, 201'1, the City retained Rosenberg Gardner Design (RGD) to develop a proposed plan to rehabilitate the defects and
deflciencies identified with the sod, other landscaping, inigation and walliways, among otrerttings, im properly O esig n eO and insialled at South
Pointe Park during the Souh Pointe Park lmprovement Project. Based upon recomliendationJ set forth in lhe R6D rehabilitation plan, the
original scope ofthe remediatjon Project included, but was not limited to: Removal and replacement of sod and shrubs and rehabilltation of
shrubs, fees and palms; Reconfiguration, replacement and installation of the irrigation system; lnstallation of underground drainage system
and connection to existing storm system; lnstallation of new and/or exisUng paverwalkGys, sidewalks, steps, curbi, borders, unjergiound
conduits, etc.; Removal and replacement ofsoil material and properdisposal of removed soil materials, debris, landscape, etc.; Protectio-n ofall
existing structures, trees, landscape, walks, fountains, utilities, signs, striping, fences, benches; etc.; and Reconfiguration of slopes, mounds,
walks, landscape, etc.
The original Project scope also included only the selective removal and replacement of soils and vegeiation (shrubs) in lhe landscape beds.
However, City staff has recenfly observed that the majority of shrubs in the landscape beds are deteriorating and/ordiling b adequatelythrive
due to' among oh,er things, the improper soil composition specified and installed during the South PointeFark lmprove-ment Piolect. nt he
request of City staff, RGo prepared a summary of lhe expanded scope of work to remediate fre Iandscape beds. The expanded scope ofwork
would include the removal of up to 24 inches of plantjng soil and existing shrubs, replacemant of up to 24 inches of planiing soil, insiallation ofplantings {including mulch and new, healthy shrubs) and installation oi associated irrigatjon for the landscape beds. Su-perior submitted aproposal for this expanded scope ofwork in the amount of$487,050 (see Attach ed) and a 1O% owner's contngenry in fie amount of MB,7Os,has been added for a grand total of g 535,755.
To mitigate unnecessary increased damages to the City, which would be ino.rned with having to remove and replacetlese landscape beds andmodify the inigation system after the Pro.ject has completed consfuction, tre Adminiltration is requesting additional funds to more
comprehensively address these defective conditions as part of the proiecfs scope.
RECOMMENOATION
The Administratjon requests approval and authorization to execute Change Order No. 'l to the exjsting conbactwith Superior, for tire additional
scope ofwork which includes the removal and replacement of soils and vegetalion (shrubs) in the lan-dscape beds and associated inigatjon, in
the negotiated not-to-exceed amountof $487,050;with previously approprilted funbing in ihe Fy z1l3lz1;4 e,apital Budget, in hea-mountof
$487,050 for construction, and $48,705 for contingency, for a grand totit of $S35,7SS.

The City of Miami Beach (City) issued lnvitation to Bid (lTB) 2014-093-SR on January 9,2014,
pertaining to the South Pointe Park Landscaping Remediation Project (Project).
The purpose of the Project was to rehabilitate the numerous defects and deflciencies arising from
the improper design and construction of the sod and other landscaping, among other things, during
the South Pointe Park lmprovement Project, which is currently the subject of pending litigation
brought by the City against the prime consultant and general contractor for that project.
The original bid opening date for the ITB was February 10,2014. Based on the issuance of three
(3) addenda, the bid opening date forthe ITB was extended until February 19,2014. On February
19, 2014, Superior Landscaping & Lawn Service, lnc. (Superior) and Valleycrest Landscape
Development, lnc. submitted bids. Through the Department of Procurement Management's review
of the bid for responsiveness, Superior was deemed responsive and its bid was the lowest.
Superior was determined to be the lowest responsive, responsible bidder.

After considering the review and recommendation of City statf, the City Manager exercised his due
diligence and recommended to the Mayor and City Commission that the contract for the Project be
awarded to Superior.
On March 5,2014, the City Commission authorized the award of the contract to Superior, in the
amount of $2,656,104.15, plus an approved Project contingency fund of ten percenl (10%), for a
not-to-exceed grand total amount of $2,921,715.00.
The City issued the first Notice to Proceed to Superior on May 8,2014. The Second Notice to
Proceed has not yet been issued.
BACKGROUND
On or about March 15, 201 1, the City retained Rosenberg Gardner Design (RGD) to develop a
proposed plan to rehabilitate the defects and deflciencies identified with the sod, other landscaping,
irrigation and walkways, among other things, improperly designed and installed at South Pointe Park
during the South Pointe Park lmprovement Project.
Based upon recommendations set forth in the RGD rehabilitation plan, the original scope of the
remediation Prolect included, but was not limited to:
. Removal and replacement of sod and shrubs and rehabilitation of shrubs, trees and palms;. Reconfiguration, replacement and installation of the irrigation system;. lnstallation of underground drainage system and connection to existing storm system;. lnstallation of new and/or existing paver walkways, sidewalks, steps, curbs, borders,
underground conduits, etc. ;o Removal and replacement of soil material and proper disposal of removed soil materials,
debris, landscape, etc.;. Protection of all existing structures, trees, landscape, walks, fountains, utilities, signs,
striping, fences, benches; etc.; andr Reconfiguration of slopes, mounds, walks, landscape, etc.
The original Project scope also included only the selective removal and replacement of soils and
vegetation (shrubs) in the landscape beds. However, City staff has recently observed that the
majority of shrubs in the landscape beds are deteriorating and/or failing to adequately thrive due to,
among other things, the improper soil composition specified and installed during the South Pointe
Park lmprovement Project.
At the request of City staff, RGD prepared a summary of the expanded scope of work to remediate
the landscape beds. The expanded scope of work would include the removal of up to 24 inches of
planting soil and existing shrubs, replacement of up to 24 inches of planting soil, installation of
plantings (including mulch and new, healthy shrubs) and installation of associated irrigation for the
landscape beds. Superior submitted a cost proposal for this expanded scope of work in the amount
of $487,050 (see Attached). A 10% owner's contingency in the amount of $48,705, has been added
for a grand total of $ 535,755.

To mitigate unnecessary increased damages to the City, which would be incurred with having to
remove and replace these landscape beds and modify the irrigation system after the Project has
completed construction, the Administration is requesting additional funds to more comprehensively
address these defective conditions as part of the Project's scope.
GONGLUSION:
The Administration requests approval and authorization for the Mayor and City Clerk to execute
Change Order No. 1 to the existing contract with Superior for the additional scope of work, which
includes the removal and replacement of soils and vegetation (shrubs) in the landscape beds and
associated irrigation, in the negotiated not-to-exceed amount of $487,050; with previously
appropriated funding in the FY 201312014 Capital Budget, in the amount of $487,050 for
construction, and $48,705 for contingency, for a grand total of $535,755.
