Morales, City Manager DATE: July 18,2014 SUBJECT: Request for Waiver of Conflict by Holland & Knight LLP The City Attorney's Office is considering entering into a representation agreement with Holland & Knight (H&K) related to the following two matters: We wish to retain Rodolfo Sorondo, Jr. to represent the City (in a consulting role) in the matter of Chakra 5, lnc. v. City of Miami Beach. We are also considering retaining Joseph Goldstein to represent the City on a prospective transaction involving the Terminal lsland project. Before further discussions regarding these potential representations, H&K has requested a waiver of conflict of interest related to the following matters, should we decide to retain their services: 1. H&K's real estate and land use department currently represents the Bass Museum, CVS, and Verizon Wireless handling legislative, quasi-judicial, and propriety matters (related to municipal grants and leases in the City). 2. H&K currently represents parties adverse to the City in the following matters: a. adverse party Verizon Wireless - South Florida re: City of Miami Beach (Site 68285); b. adverse party IBF Holdings, LLC re: purchase from Seville Acquisition at lndian Creek Drive. Florida Bar Rule 4-1.71 requires that the City waive these conflicts of interest if we wish I Florida Bar Rule 4-1.7 Conflict of Interest: General rule (a) Representing Adverse Interests. The H&K clients with the conflict with the City in the listed matters have already waived their conflict of interest. Finally, H&K requests that the City agree to waive any potential, future conflicts of interest that might arise from H&K representing any client in zoning, land use and/or code violation matters that are adverse to or before the City. This waiver, if the Commission wishes to grant it, can be accomplished by a simple motion and vote by the Commission.
