North Miami, Flonda 33181 WHEREAS, on or about May 15, 2024, FIU and RASG entered into that certain Duai Enroliment ArticulaUon Agreement (as may be amended from time to time, the Articulation Agreement'l. attached hereto as Exhibit A, to promote educational opportunities through dual enrollment: and WHEREAS, m parinership with RASG and FIU, CMB seeks to combme�ts resources with RASG and FIU �n order to increase the competitiveness of the students in Miami Beach by nurtunng and supporting the RASG dual enrollment program; and WHEREAS, th�s Agreement prov�des the guidelines for CMB to financially support the dual enro!Iment r,ourses at RASG; and WHEREAS on May 15. 2024, the Mayor and Gty Commission adopted Resolution No. 2024-33016. approving the funding of educational enhancements, including dual enrollment, for private and charter schools NOW, THEREFORE. �n consideration of the mutual promises and conditions contamed herein, and other good ar,d valuable consideration, the suff�ciency of which �s hereby acknowledged RASG. CMB Residents or CMB Employees The appo�ntment and credenUaling of Adjunct Instructors shall be as provided in the Articulation Agreement and Section 2 Q3(C) of this Agreement. except that, FIU shall provide opportunibes to applicants for Ad�unct Instructor posit�ons as fol�o�vs first, FIU Facutty: second. Cti�6 Residents; and third, CMB Employees. "Fee for the Provision of Educational Services' shall be tlefined as provided in SecUon 2 03(Bj(�►or Sect�on 2.03(B)(u), as applicable. 'Agreement" shall be defined as provided in the preamble. Articulation Agreemenf shali be defined as provided in the recitafs. "FIU Faculty' shall be defined as any fullt�me or part-time member of the teaching faculty of FIU. CMB Contributions�� shall be defined as provided in Section 2.03(B)(v). CMB Employee(s)� shall be defined as any individual who is employed by CMB, whether on a permanent, prov�sional, onginal proba6onary or other temporary status under the civil service regulations CMB Resident(s) shall be defined as any person who has res�ded in the City of Miami Beach for longer than s�x consecutive months. Proof of residency may be established by presenting any two of the following documents a drive�'s license, voter's registration, automobile registrabon, a recorded deed, a lease for pface of residence, a utility b�ll and other sim�tar documents. Courtesy Lecturer' shall be defined as any School Teacher who is credentialed by FIU and appo�nted, pursuant to the terms of the Articulat�on Agreement, to teach dual enrollment courses at the School. Effective Date" shall be defined as provided in the preamble. E-Verify Statute" shall be defined as provided in Section 3.24{A). Oversight Fee' shall be defined as provided i� Section 2.Q3(B)(ii). Prohibited Entity shall be defined as provided in Section 3 30. School Teacher(s)" shall be defined, individually or collectivety, as any futltime member of the teach�ng faculty af the School ARTICLE 2 - SPECIAI, CONQITIONS 2.01 ?erm of Aareement. RASG and FIU sha11 maintain responsibihty for implementmg the vanous companents of this Agreement as delineated �n th�s Agreement and in the Articulation Agreement 2.03 FIU Courses Offered on the Schoai Camquses. CMB will provide financial suppo�t, as set forth belaw, for eligibie students to engage �n a ngorous cumiculum at the School, which curr�culum offers FIU co�lege credit and alsa counts toward a high schaol d�ploma Reg+straUon far students at the School wiil be fac�litated via FIU's off-campus program RASG agrees to permit students enrolled at such schools(or who otherwise quaGfy pursuant to Section 1007_271, Flonda Statutes)who have been cert�fied by the�r school pnncipal or designee as qualified, to dually enrnll in regularly offered FIU courses at the Sehool. Dual en�oliment courses available to School studenTs are limited to those courses described in the Articulation Agreement Only courses prpviding a minimum and maximum of three (3� credits per course wiil be funded by CMB. Additionalfy, no courses that require a pre-requ�site class will be tunded by CMB, only general dual enrollment Gasses w�th no pre-requis�te class may be funded by CMB. CMB Contributions shall not exceed $20,6Q4 in a g�ven fiscal year (from Octaber 1 or a given year to September 30 of a subsequent year)and shaEl be subject to budget appropriaUon and funding approvai by the CMB City Commiss�on for each fiscai year. (vi)Future annual dual enrollment agreements, academic monitonng and oversight fees, FIU faculty/adjunct cost, and�or the introduction of other fees wiil be re-evaluated annually in spring terms within the context of FIU's availability of resources. Furthermore, depending on the availability of such resources, any proposed change in the fee structure will be communicated in advance, and in writing, to RASG and CMB prior to the renewa(of dua!enrollment agreemenl(s). C Teacher Credentiaiing fo� School Teachers, CMB Residents and CMB Employees. In order to �ncrease the paoM oi qualified teachers, quaf�fied Schaol Teachers, CMB Residents and CMB Employees may become credentialed as Adjunct Instructors by their respective academic depariments at FIU In accordance with the provisions of the Articulat�on Agreement. As prov�ded in the Art�culation Agreement, the credenUaling of Adjunct Instructors is at FIU's sole d�scretion The pnncipal of the School shall be respansible for proposing prospective teachers for the credentialing process. D Policies and Pracedures at the School(s). Prior to commencing any class at a School, an Adjunct Instructo� shall meet with the pnncipal of the School to discuss and acknowledge any site spec�fic pol�c�es and procedures of the School, including, without limitat�on, the School attendance policies and procedures, with which the Adjunct Instructor shafl comply E Course Selection and Scheduling.The Schaol principal shall select the dual enrollment courses to be taught at the Schoai, prov�ded that the courses are selected from the dual enrallment courses identified in the Articulaiion Agreement (the list of courses is subject to change) Any dual enrollment courses offered at School shall be accessible to a!I university/coliege-elig�b(e students,may not be restncted to students enrolled m a specific high school academy or program and must be offered as courses accessible to the ent�re student population based on univers�ty elig�biliiy All Adjunct lnstructars shall str�ctly adhere to the Schoo!calendar and schedule for each school year, a copy of which is attached hereto as Exhibit B and incarporated herein. (ii} RASG s fa�lure to comply w�th a request from GMB and/or FIU for records shall consUtute a breach of this Agreement, and CMB andJor FIU, as appiicable, at its sole discretion,may (1)unilaterally term�nate the Agreement;(2)avail itself of the remedies set fo�th under the Agreement; andlor(3)avail itself of any ava�lable remed�es at law Qr m equity. Civil Action (�) If a civil action is filed against RASG to campel produet�on of public records relat�ng to G1416`s andror FIU's contract for services, the court shall assess and award against RASG the reasanable costs of enforcement, incsuding reasonable attorneys fees, if: a The court determines that RASG unlawfully refused to comply w�th the publ�c records request wrthin a reasanable time; and b At least 8 b�siness days before filing the acUon, the plamUff prov�ded wntten natice of the public records request, including a stalement that RASG has not c4mplied wRh the request, to afl other parties to th�s Agreement, including RASG. (u) A notice campl�es with Section 3 Q5(E}(i}(b) if it Is sent to the CMB's and FIU's custodian of pubHG records and to RASG at RASGs address listed in this Agreement or to RASG's registered agent Slich not�ces must be sent by common carrier delivery serv�ce or by registered, Global Express Guaranteed, or certified marf, with postage o� shipp�ng paid by the sender and with evidence of del�very, which may be �n an electronic format. To the extent and the limits of Section 768 28, Flor�da Statutes, each such party agrees, for itself, its officers, employees, agents, representaUves, contractors or subcontractors, to fuily indemnify and hold harmless CMB and its officers and employees for any violatian of this Section 3.06, includin�, without limitatian, dePending CMB and its officers and employees agafnst any compiaint, administrative or judicial proceeding, payment af any penalty imposed upon CMB, or payment of any and ali costs, damages,judgments or losses incurred by or imposed upon CMB arising out af a breach of this covenant by the party,or an off�cer,employee,agent, representative, coniractor, or sub- contractor of the party to the extent that the pa�ty or an officer, empfoyee, agent, representative, contractor, or sub-contractar of tne pa�ty sha�l either �ntentionally or negliger�tly v�alate the prov�stons of ihis Sect+on 3.06 ar af Section 1002.22, Florida Statutes.
