A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF
MIAMI BEACH, FLORIDA, (I) APPROVING AN INCREASE IN THE CITY
CONTRIBUTION FOR THE MIAMI BEACH NURSE ENHANCEMENT
INITIATIVE FOR THE 2025-2026 SCHOOL YEAR FROM AN AMOUNT NOT TO
EXCEED $139,000.00, AS SET FORTH IN RESOLUTION NO. 2019-30957, TO
AN AMOUNT NOT TO EXCEED $169,000.00; (II) APPROVING AN INCREASE
OF THE CITY CONTRIBUTION FOR THE MIAMI BEACH NURSE
ENHANCEMENT INITIATIVE TO AN AMOUNT NOT TO EXCEED $169,000 FOR
EACH SUBSEQUENT SCHOOL YEAR, ON A RECURRING BASIS, SUBJECT
TO FUNDING APPROVAL DURING THE CITY'S BUDGETARY PROCESS; (III)
APPROVING, IN SUBSTANTIAL FORM, AMENDMENT NO. 9 TO THE
MEMORANDUM OF UNDERSTANDING DATED JULY 26, 2016 BETWEEN THE
CITY AND THE MIAMI BEACH CHAMBER EDUCATION FOUNDATION, INC.
(MBCEF) FOR THE PROVISION OF THE MIAMI BEACH NURSE
ENHANCEMENT INITIATIVE FOR THE 2025-2026 SCHOOL YEAR IN AN
AMOUNT NOT TO EXCEED $169,000; (IV) AUTHORIZING THE CITY
MANAGER AND CITY CLERK TO EXECUTE SAID AMENDMENT NO. 9; AND
(V) AUTHORIZING MBCEF, AS THE CITY'S FISCAL AGENT, TO NEGOTIATE
AND EXECUTE ANY REQUIRED AGREEMENTS WITH THE CHILDREN'S
TRUST AND A PROVIDER AUTHORIZED BY THE CHILDREN'S TRUST TO
FUND THE SERVICES PROVIDED PURSUANT TO THE MOU.
WHEREAS, the City of Miami Beach (the "City"), North Bay Village, the Town of Bay
Harbor Islands, the Town of Surfside and Bal Harbour Village (collectively, together with the City,
the "Participating Municipalities") determined that students at North Beach Elementary, Treasure
Island Elementary, and Ruth K. Broad Bay Harbor K-8 Center did not have full-time, on-site
healthcare services and were, thus, underserved as compared to other public schools in the
feeder pattern that falls within the City of Miami Beach; and
WHEREAS, on August 19, 2013, the Participating Municipalities, the Miami Beach
Chamber Education Foundation, Inc. ("MBCEF"), and The Children' s Trust ("The Trust") entered
into a Memorandum of Understanding, to provide healthcare services through a nurse for these
participating schools (the "Nurse Initiative") during the 2013- 2014 school year; and
WHEREAS, the Nurse Initiative was extended to the 2014-2015 school year; and
WHEREAS, due to the success of the Nurse Initiative, and because the basic healthcare
services previously funded through the Nurse Initiative were being provided by The Trust via the
new school health programs, on April 13, 2016, the Mayor and City Commission adopted
Resolution No. 2016-29345, approving the enhancement of the Nurse Initiative by providing
behavioral health/mental health services for the participating schools through a licensed clinical
social worker(the "Nurse Enhancement Initiative") for the 2016- 2017 school year; and
WHEREAS, pursuant to Resolution No. 2016-29345, on July 26, 2016, the City and
MBCEF entered into a Memorandum of Understanding ("MOU"), which continued the Nurse
Enhancement Initiative for North Beach Elementary, Treasure Island Elementary, and Ruth K.
Broad Bay Harbor K-8 Center, and expanded the Nurse Enhancement Initiative to include Miami
Beach Senior High School, Nautilus Middle School, Fienberg Fisher K-8 Center, Biscayne
Elementary School and South Pointe Elementary School (collectively, together with North Beach
Elementary, the "City Participating Schools"), by providing for a licensed clinical social worker one
day a week at each of the participating schools; and
WHEREAS, on May 25, 2017, the City and MBCEF executed Amendment No. 1 to the
MOU, continuing the Nurse Enhancement Initiative for the 2017-2018 school year; and
WHEREAS, on April 11, 2018, the Mayor and City Commission adopted Resolution No.
2018-30259, approving the expansion of inental health services at all public City elementary and
middle schools, in an amount not to exceed $60,000.00 per year; and
WHEREAS, pursuant to Resolution No. 2018-30259, the City increased funding for the
Nurse Enhancement Initiative for the 2018-2019 school year, providing funding for two licensed
clinical social workers, or agreed upon equivalent professional, at each of the City Participating
Schools for the indicated number of days: (a) Miami Beach Senior High School, one day, (b)Miami
Beach Nautilus Middle School, two days, (c) Miami Beach Fienberg Fisher K-8 Center, two days,
(d) Biscayne Beach Elementary School, two days, (e) Miami Beach South Pointe Elementary
School, two days, (f) and North Beach Elementary, one day, in a total amount not to exceed
$114,000.00 per year (the Nurse Enhancement Initiative for the City Participating Schools shall
be referred to herein as the "Miami Beach Nurse Enhancement Initiative"); and
WHEREAS, on August 30, 2018, the City and MBCEF executed Amendment No. 2 to
the MOU, continuing the Miami Beach Nurse Enhancement Initiative for the 2018-2019 school
year; and
WHEREAS, on September 11, 2019, the Mayor and City Commission adopted Resolution
No. 2019-30957, approving Amendment No. 3 to the MOU for the extension of the Miami Beach
Nurse Enhancement Initiative, in the amount not to exceed $139,000.00 per year (the "City
Contribution") for the 2019- 2020 school year and each subsequent school year, on a recurring
basis, subject to funding approval during the City's budgetary process; and
WHEREAS, MBCEF also provided funding, in an amount not to exceed $40,000.00, to
support the Miami Beach Nurse Enhancement Initiative services for the 2019-2020 school year,
with funds to be used from August 5, 2019 to June 5, 2020 and remaining funds to be used from
August 5, 2020 to June 5, 2021; and
WHEREAS, on August 12, 2019, Amendment No. 3 was executed, extending the Miami
Beach Nurse Enhancement Initiative services for the 2019-2020 school year, increasing the City
Contribution from $114,000.00 to $139,000.00, and providing for the execution of a separate
agreement among MBCEF, The Trust and a healthcare provider approved by The Trust for the
provision of staffing and the payment of certain costs associated with the Nurse Enhancement
Initiative for all of the participating schools, for a total minimum global sum of $232,600.00,
pursuant to which the City Participating Schools may also receive additional days of service; and
WHEREAS, on August 19, 2020, the City and MBCEF executed Amendment No. 4 to the
MOU, continuing the Miami Beach Nurse Enhancement Initiative for the 2020- 2021 school year;
and
WHEREAS, on June 21, 2021, the City and MBCEF executed Amendment No. 5 to the
MOU, continuing the Miami Beach Nurse Enhancement Initiative for the 2021-2022 school year;
and
WHEREAS, on May 5, 2022, the City and MBCEF executed Amendment No. 6 to the
MOU, continuing the Miami Beach Nurse Enhancement Initiative for the 2022-2023 school year;
and
WHEREAS, on May 16, 2023, the City and MBCEF executed Amendment No. 7 to the
MOU, continuing the Miami Beach Nurse Enhancement Initiative for the 2023- 2024 school year;
and
WHEREAS, on July 1, 2024, the City and MBCEF executed Amendment No. 8 to the
MOU, continuing the Miami Beach Nurse Enhancement Initiative for the 2024-2025 school year
and adding Hazel Heath as a provider of telehealth-based primary care, therapy and counseling
services; and
WHEREAS, Hazel Health, the provider for the Nurse Enhancement Initiative for the 2023-
2024 and 2024-2025 school years, was not selected to continue providing said services at the
City Participating Schools by The Trust; and
WHEREAS, the City seeks to utilize the services of certain providers as may be approved
by The Trust from time to time ("Authorized Providers") for the Nurse Enhancement Initiative to
enhance these services at the City Participating Schools for the 2024-2025 school year and every
year thereafter, as may be needed; and
WHEREAS, in order to utilize these services, MBCEF will execute agreement(s) with The
Trust and one or more Authorized Providers, which agreements shall allow MBCEF, as the City's
fiscal agent, to fund the primary care, therapy, and counseling services provided, as needed; and
WHEREAS, the current City Contribution for the Nurse Enhancement Initiative is
$139,000.00, as approved in Resolution No. 2019-30957, but the Administration requests an
increase to an amount not to exceed $169,000.00; and
WHEREAS, the City Manager recommends the following: (i) approval of an increase in
the City Contribution for the Miami Beach Nurse Enhancement Initiative for the 2025-2026 school
year from an amount not to exceed $139,000.00, as set forth in Resolution No. 2019-30957, to
an amount not to exceed $169,000.00, (ii) approval of an increase of the City Contribution to an
amount not to exceed $169,000 for each subsequent school year, on a recurring basis, subject to
funding approval during the City's budgetary process, (iii) approval, in substantial form, of
Amendment No. 9 to the MOU, attached to the City Commission Memorandum accompanying
this Resolution, for the provision of the Miami Beach Nurse Enhancement Initiative for the 2025-
2026 school year in an amount not to exceed $169,000; (iv) authorization for the City Manager
and City Clerk to execute said Amendment No. 9; and (v) authorization for MBCEF, as the City's
fiscal agent, to negotiate and execute any required agreements with The Children's Trust and an
Authorized Provider to fund the services provided pursuant to the MOU.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND THE CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA,that the Mayor and City Commission
hereby (i) approve an increase in the City Contribution for the Miami Beach Nurse Enhancement
Initiative for the 2025-2026 school year from an amount not to exceed $139,000.00, as set forth
in Resolution No. 2019-30957, to an amount not to exceed $169,000.00; (ii) approve an increase
of the City Contribution for the Miami Beach Nurse Enhancement Initiative to an amount not to
exceed $169,000 for each subsequent school year, on a recurring basis, subject to funding
approval during the City's budgetary process; (iii)approve, in substantial form, Amendment No. 9
to the Memorandum of Understanding dated July 26, 2016 between the City and the Miami Beach
Chamber Education Foundation, Inc. (MBCEF) for the provision of the Miami Beach Nurse
Enhancement Initiative for the 2025-2026 school year in an amount not to exceed $169,000; (iv)
authorize the City Manager and City Clerk to execute said Amendment No. 9; and (v) authorize
MBCEF, as the City's fiscal agent, to negotiate and execute any required agreements with The
Children's Trust and a provider authorized by The Children's Trust to fund the services provided
pursuant to the MOU.

RECOMMENDATION
The City Manager recommends approving Amendment No. 9 to the Memorandum of
Understanding (MOU); dated July 26, 2016, between the City and The Miami Beach Chamber
Education Foundation (MBCEF). This Amendment will approve the utilization of Jessie Trice
Community Health System. INC., a primary care, therapy and counseling services provider for
The Children's Trust for the Miami Beach Feeder Pattern.
The City Manager also recommends amending the city's contribution cap, as set forth in resolution
2019-30957, from an annual amount not to exceed $139,000 to an annual amount not to exceed
$169,000; and authorizing MBCEF, as the City's fiscal agent, to negotiate and execute any
required agreements to fund the services, as needed, for the participating schools; and further
recommends authorizing MBCEF to execute future funding agreements, which may include other
providers, approved by The Children's Trust for similar services, in connection with the fulfillment
of the Nurse Enhancement Initiative.
BACKGROUND/HISTORY
The City of Miami Beach, North Bay Village, the Town of Bay Harbor Islands, the Town of
Surfside, and Bal Harbour Vilfage determined that students at North Beach Elementary, Treasure
Island Elementary, and Ruth K. Broad Bay Harbor K-8 Center did not have full-time, on- site

feeder pattern that fails within the City of Miami Beach.
On August 19, 2013, the Participating Municipalities, the Miami Beach Chamber Education

On August 19, 2020 through July 1, 2024, the City and MBCEF executed Amendments No. 4-8
to the MOU, continuing the Miami Beach Nu�se Enhancement Initiative for school year 2020-
2021 through 2024-2025 (Attachment A).

Hazel Health, a provider for the Nurse Enhancement Initiative for the 2024-2025 schooi years,
was not selected to continue providing said services during the 2025-2026 school year at the
City's Participating Schools by the Children's Trust.
The Children's Trust has an existing agreement with Jessie Trice Communiry Health System
(JTCHS) to provide primary care, therapy, and counseling and selected JTCHS for the Miami
Beach Feeder Pattern Schools.
The City seeks to utilize the services of The Children's Trust approved provider for the Nurse
Enhancement Initiative to enhance services at the City's Participating Schools, and every year
thereafter, as may be needed.
In order to utilize these services, MBCEF will execute an agreement with The Children's Trust
and duly authorized provider, which agreement would allow MBCEF, as the City's fiscal agent, to
fund the primary care, therapy, and counseling services provided.
The City's current contribution for the Nurse Enhancement Initiative is $139,000.00, as approved
in Resolution No. 2019-30957 and has increased to a not to exceed $169,000.00.
ANALYSIS
Mental health support was sustained in 2025 with 252 youth receiving a total of 1,370 sessions,
up from 131 youths and 779 sessions in the previous year (Attachment B). Several schools
received telehealth services through a partnership with Hazel Health. The table below indicates
the number of sessions provided to youth at on-site at select Miami Beach feeder schools
receiving services during the 2024-2025 school year through a partnership with neighboring
municipalities, Borinquen Medical Centers, The Children's Trust and the Miami Beach Chamber
Education Foundation:

For the 2025-26 school year, The Children's Trust has selected Jesse Trice Communiry Health
Services as the provider for the Miami Beach public schools. As such, the city will execute
agreements with the Miami Beach Chamber Education Foundation and our neighboring
municipalities to continue these much needed and heavily utilized mental health services with our
new provider.
FISCAL IMPACT STATEMENT
FY 2026 $169,000.00 which is a $30,000 increase from prior years as funding has remained flat
for the past 8 years.

CONCLUSION
To continue supporting the Nurse Initiative for behavioral health services in FY 2026, the
allocation will increase to an annual amount not to exceed $169,000 per fiscal year to fund the
aforementioned services. All neighboring municipalities and the Miami Beach Chamber of
Commerce Education Foundation have requested to sustain the partnership for the upcoming
school year.

Amendment No. 8 ("Amendment") is made and entered into this day

WHEREAS, on May 25, 2017, the CITY and MBCEF executed Amendment No. 1 to the
AAOU, continuing the Nurse Enhancement Initiative for the 2017-2018 school year; and
WHEREAS, on April 11, 2018, the Mayor and City Commission adopted Resolution No.
2018-30259,approving the expansion of inental health services at all public CITY elementary and
middle schools, in an amount not to exceed $60,000.00 per year; and
WHEREAS, pursuant to Resolution No. 2018-30259, the CITY increased funding for
behavioral health services for the Nurse Enhancemerrt Initiative fo�the 2018-2019 school year
providing funding for two (2) licensed clinical social workers, or agreed upon equivalent
professional, at each of the CITY schools for the indicated number of days: Miami Beach Senior
High School, one (1} day; Miami Beach Nautilus Middle School, two (2) days; Miami Beach
Fienberg-Fisher K-8, two (2) days; Biscayne Beach E{ementary School, two (2) days; Miami
Beach South Pointe Elementary School, two (2)days; and Nortli Beach Elementary School, one
(1) day, (collectively, the "CITY's Participating Schools"), in a total amount not to exceed
$114,000.00 per year(the Nurse Enhancement Initiative for the City's Participating Schools
shall be referred to herein as the"AAiami Beach Nurse Enhancement Initiative"); and
WHEREAS, on August 30, 2018, the CITY and MBCEF executed Amendment No. 2 to
the MOU, continuing the Miami Beach Nurse Enhancement Initiative for the 2018-2019 schoal
year; and
WHEREAS, on September 11, 2019, the Mayorand City Commission adopted Resolution
No. 2019-30957, approving Amendment No. 3 to the MOU; said Amendment continuing the
Miami Beach Nurse Enhancemerrt Initiative, in the amount not to exceed�139,000.00 per year
(the °City's Contribution")for the 2019-2020 school year and each subsequent school year, on
a recurring basis, subject to funding approval during the CITY's budgetary process; and
WH�REAS, on August 12, 2019, Amendment No. 3 was executed, extending the Miami
Beach Nu�se Enhancement Initiative services for the 2019-2020 school year pursuant to a
separate agreement to be entered into among MBCEF, The Trust and a healthcare provider �
approved by The Trust (the "Provide�'); said agreement providing for the staffing and the
payment of certain costs associated with the Nurse Enhancement Initiative for all of the
participating schools, for a total minimum global sum of$232,600.d0, pursuant to which the City's
Participating Schools may also receive additional days of service; and
WHERE�4S, on August 19, 2020, the CtTY and MBCEF executed Amendment No. 4 to
the MOU, continuing the Miami Beach Nurse Enhancement Initiative for the 2020-2021 school
year; and
WHEREAS, on June 21, 2021, the CITY and MBCEF executed Amendment No. 5 to the
MOU, continuing �the Miami Beach Nurse Enhancement Initiative for the 2020-2021 school
year; and
WHEREAS, on May 5, 2022, the CITY and AABCEF executed Amendment No. 6 to the
MOU, continuing the Miami Beach Nurse Enhancement Initiative for the 2022-2023 school
year; and

2. MODIFICATIONS.
The MOU is hereby amended (deleted items s#�ask--�e�g# and inserted items
underlined} as foliows:
(a) Commencing as of the Effective Date of this Amendment, Hazel Health, as the
cuRent provider of telehealth-based primary care, therapy and counseling services
for the School Board, is hereby added as a provider of Hazel Health Initiative
services for the City's Pa�ticlpating Schools, for a period of one (1) year from
the date of execution of the School Board Initiative Funding Agreement, in
order to fill current vacancies for these services, and thereafter continuing for
additional one-year periods, as needed and agreed upon by the parties in order to
fulfill the Miami Beach Nurse Enhancement Initiative. MBCEF shall pay Hazel
Health in advance for the initial one-year term of the School Board Initiative
Funding AgresmeM. �
(b) The term of this MOU is hereby extended through and including Septembe� 30,
2025 for The Trust Initiative Funding Agreement,and for one full year from date
of execution of the School Board Initiative Funding Agreemerrt.
(c) Paragraph 3 of the MOU is hereby deleted in its entirety and replaced with the
following:

CITY's budaetary process, on or before October 31 st of each school year, the
CITY will provide funds("CITY'S Contribution")to MBCEF for Initiative services

Municipalities°) deteRnined that students at North Beach Elementary, Treasure Island
Elementary, and Ruth K. Broad Bay Harbor K-8 Center did not have fufi-tlme, on-site healthcare
services and were, thus, underserved as compared to other public schools in the feeder pattem
that fa!!s within the City of Miami Beac�; and t
� � WHEREAS, on August 19, 2013, the Participating Municipalities, the Miami Beach
Chambe�Education Foundation, lnc. ('MBCEF"), and The Children's Trust("The TrusY)entered
into a�Memorandum of Understanding, to provide healthcare services through a nurse for these
participating sctiaols(the"Nurse Initiative") during the 2013-2014 school year, and
WHEREAS, the Nurse Initiative was extended to the 20142015 school year, and
WHEREAS, due to the success of the Nurse Initistive, snd because the basic healthcare
senrices previousty funded through the Nurse Initiative were being provided by The Trust via the
new school health programs, on April 13, 2016, the Mayor and City Commission adopted
Resolution No. 2016-29345, approving the enhancement of the Nurse Initiative by providing
t3ehaviora! healthlmental health services for the participating schools through a licensed clinical
socia!worker(the "Nurse Enhancement Initiative°)for the 2016-2017 school year; and

WHEREAS, pursuar�t to Reso(ution No. 2016-29345, on July 26, 2016, the City and
MBCEF entered into a Memorandum of Understanding ("MOU'), which continued the Nurse
Enhancement lniriative for North Beach Elementa.ry, Treasure Island E(ementary, and Ruth K.

WHEREAS, the Miaml Beach Nurse Enhancement Ini�ative servioes were not provided
to the following City's Participating Schools during the 2022-23 school year due to staffing
challenges of our partners: Miami Beach South Pointe Elementary School, Miami Beach Fenberg
Fisher K-8, Miami Beach Nautilus Middle School, and Biscayne Beach Elementary School; and
WHEREAS, altemate service models are being explored to fill the open menta! health
professional position for the 2023-24 school year to ensure services are available for all youth;
and
WHEREAS, as of August 30, 2021, Miaml-Dade County Public Schools ("School Board")
entered into an agreement with Hazef Health, Inc., a Delaware corporation ("HazeY') and
Telehealth Services USA, Inc., a California corporation, d/b/a Hazel Health Services ('Hazel
Health Services')(collectively, `Haze!Heatth")to provide telehealth-based primary care, therapy,
counsefing, and non�linica( senrices, such as telehealth technoiogy, training, and technobgy
support services; and �
WHEREAS+ as o,f December 8, 2023, the School Board er�te�c! into an agreement to �
extend the terms of the agreement with Hazel Health through the remainder of 2024; and
WHEREAS, the City seeks to add Hazel Health as a provider for the Nurse Enhancement
Inftlative, commencing fo� the 2023-2024 school year, to fiN in the gap for these services at the
Cityrs Participating Schools, and every year tt�ereafter, as may be needed, to fulfill the Nurse
EnhanCement Initiative for behav(oral heatth services for all of the participating schools; and
WHEREA3, in order to utilize the services of Hazel Health,MBCEF would need to execute
an agreement with the School Board and/or Hazel Health,which agreement would allow MBCEF,

fo� behavioral health services for the Miami Beach Nurse Enhancemerrt Initiative for Ehe 201&
2019 school year, providing funding for two (2) licer�sed clinic� social workers, or agreed upon
equivalent professanal, at each of the following�City schooFs for the indicated number of days:

South Pointe ElemeRtary to Miami Beach South Pointe Elementary; Nautilus Middle School to
Miami Beach Naiublus M�ddle Schoot; and Fienberg Fisher K-8 Center to Miami Beach
Fienberg Fisher K-8.

$40,000.00, t,o supp�rt the Miarrr Beach Nurse Enhancement Initiative for the 2019-2020
school year with funds to be used from A«gust 5, 2019— June 5, 2020 and remaining fwids to
be used from August 5, 2020 to June 5, 2021. The City contributed fcmding in the amount of
$139,000 (the "Cit�s Contribution") to support the M'rami Beact� Nurse Enhancemerrt lnitiative
for the 2019-2020 sc�ool year.

to util'ize the serrices of Hazel Heatth,the Miami Beach Chamber Education Foundation, Inc.

thereiore, the Participat�ng Municipalities, tt�e MBCEF and The Children's Trust ("Tfte Trust"
o�"TCT)er�tered into a 11�er'rsorandum of Understanding on Au�gust 19,2013 to provide heal!hcare
services, thraugh a nurse`,for these paRicipating schools (the`Nurse Initiative")during the 2013-
2014 schaol year, and thereafter extended tfie Nurse Initiative to the 2014-2015 schooi year;

WHEREAS, due to 1he success of the Nurse Initiative, and because the basic healthcare
services previously funded through the Nurse Initiative were being provided by The Trust via
the new Schoal Health Programs, on April 13, 2016, the atayor and City Commission adopted
Resolution No. 2016-29345, approving the enhancement of the Nurse (nitiative by providing
behavioral healthlmentat health services for the participeting schools through a licensed clinic2l
social woricer(the 'Nurse Enhancement(nitlative"}for the 2016-2017 school year; and
WHEREAS, pursuant to Resolution No. 2016-29345, on July 26, 2016, the City and
MBCEF entered into a Memorartdum of Understanding ("MOU"), which continued the Nu►�se
Enhancement Initiative fa North Beach Elementary, Treasure Istand Elementary, and Ruth K.
Broad Bay Harbor K-8 Center, and expanded the Nurse Enhancernent Initiative to inGude
Miami Beach Senior High School, Miam; Beach Nautilus Middle School, Miami Beach Fienberg-
Fisher K-8, Biscayne Beach Elementary School, and Miami Beach Sfluth Pointe Elementary

WHEREAS, on May 16, 2023, the CITY and MBCEF executed Amendment No. 7 to the
MOU, continuing the Mlami Beach Nurse Enhancement Initiative for the 2023-2024 schooi
year; and

as the City's fiscal agent, to negotiate and execute any required agreements with the School

1.� Applicablc Standards and Staffing. To enable Haze! Hcalth to provide the Services, District shall
statT and equip its la:atiun(s) in aceordancc with: {i) app(ieable s[andards of care; (ii) applicable statutes and
rcb*��lat;ons; (iii) District's schoc�l districts written p�licies; and (iv) any protocols developcd by the parties.
1.6 Tclehealth Technology and 5upport. Disirict shali pr�vidc the tcchnology and suppon as set forlh

Subject to parental cdnscnt, Distriet agrees ta provide a regular �iata feed to Prc�vider with demographic and :

hcrein as Cxhibit (3. Disrrict ti��il1 also provide printing ca{�abilities as neecied with the requisite suppties, inelucling
hut i�ot limited ta printer,toner and printing paper.
1.7 Teleprescnter/Initiator_ Dislrict shall make �n onsite individual avaiiable [o Hazel Health tor
purposes of serving as a telepresenter/initiator who ��i[I assist wid� �rtain ��ministrative and basic clinical
funetions under the direction and supervision of the I-(azel Hcafth's provider as required by applicable state law.
The duti�� of Initiators include, but 3re not limited to, (a) verifying that the student's parents/�uardians have
conscnted to trcatmcnt by provider and (b) launching the application to start the visit.
1.8 Disirict's Represeotatioas. District rcpr��sent� as fallo�vs, and shall notify Hazei Health
immediately upon t�ecomin�aware any of tlte represcntations below is no longer cocrect:
(a) District is in �ood stan�lin� under the la�cs of the 5tate of Florida,and has the au�hority to enter into
this A�rrement;
(b) District is not baund tay any agreement or arrangemrnt that ��ould precluc�e it from enterinb intu, or

�. Billin� and Collection. Except to the extent inconsiscent with fedcral or state law, Hazel Heatth and its
providers shail have the sole and exclusive nght to bill and coilect for the Services from all patients, health plans,
bovcrnmental agcncies, third party payen, and other financially-responsible parties.
5.Tcrm and 'Tetmination,
�.1 Term. "fhe term of this A�;ceement shall cummence on Sept�mbc;r 1, 2023 and shall continue until
Au�ust 31, 202�. Upon ehe condusion of the Initial Term, this Agreement shal! renew for a subsequent hvo
surce:ssive one (i) year trrms unless either party gives the other parties written notice of non-renewal at lcust
ninety (90)days prior to the expiration of the then-curcent term ar d�e A�,�ement is tcrminated by the District.
Thc parties recogni�e there may br a ramp-up period foll�►�ving the Et7ective Date,and the actual commencement
of Serviczs under this Agrccment is contingent upon the parcies jointly determining a mutually-agreeable Service
schedule. NotH�ithstandinb the foregving,this Agreement may be tertninated as folla���s:
5.2 Tcrmination.
(a) Terniination for Cause. Either party may tcrminate this �lgmcment for esiuse upon material
brcach by the other part.y, provided such muterial bceach co��tinues uncured for thin�� (30).days after reccipt by
the breaching party of written notice from the uther party specifying such breach.The notice of breach under this
Section shal! spccify with reasonable particularity the nature and extent of the breach for which comp(aint has
been made.
(b) Immediate Terniination. F,ither }rdrty may terminate this Aorcemcnt immediately by written
notice to the alher party upon lhe �x:currence of any of the following e�ents: (i) the otlier party is listed by a
fcderul agency as being dcbarred, excluded, terminated, or otherwise ineligible for fecleral healthcare program
participation:(ii)the other purty discontinues operations for at least fifteen(l 5)days or I�ses its required licensure
or accreditation; or (iii) die othcr party files a petiticin in bankruptcy, or makes an susignmcnt for thc bcnefit of
crcditors; if Any inv�luntary petition in bankruptcy or petition for an arrangement pursunnt to any b�nkruptcy
la���s is filed against the othcr party and such petition or assignment is not dismissed or rescinded, as applicable,
�vithin ninety(90)days.
(c) Termination for Convei�icnce. Uistrict resc:rves the right to terminate this A�ecment at any
`time and for any resison, upon �;iving thirty (30)�da}�s prior written notice to other Parties. tf said Agreement
should b�;terminated for convenience as provided herein,the nistrict will be relieved ot all obligations under this
Agrcement.
(c j Change in Law. If any state or federal laws or rcgulations, now existing or enacted or
promulgated aRer the EfTective Date, are interpreted by a judicial dc;cision, a re}�*ulatory agency or legal counsei
in such a manner that this Ag-e.�e:ment or any provision hereof may be in violation of such laws c�r regulations, the
partics shall amend this.4r,,�reement as necessary to preserve tfie underlying economic and financial arran�;ements
behveen the parties and without substantial economic detriment to eithe� party. If, in the written opinion of a
pariy's (e�al counsel, this ca�not be dune, thcn such party mny provide lhirty (30) days' pnor written notice to
the other party of thc A�rccment's termination.
(d) Et�fect of Termination. The parties shall cooperatc to ensure the srnaoth transition of patiene
carc during termination ot'this Agreement.To the cxtent the partics entcred into any licensing or other agreeincnts
regarding the Servicc.s, such agreements shali immcdiately anci automati�:ally terminate co+�current with this
Agreement. Each provider or Profcssional's credentialing with District and its Covered School(s) shatl

1 l. Third Yart�• Disclaimer. Neither Hazel nor Hazel H�alth make any warranty of any kind, �ti�hether express
or irnplicci with resard to the third party content or any software, cquipmcnt, or hardware obt�ined from third
p�rti�s (collectively, the "third party iten�.i"). Hazel and Hazcl Health erpressly disclaim all warranties, �xpress
and implied, including, but not limited to, the implied warranties of inercltiai�tabiliry, fit�ess for a particular
purposc. and titlelnun-infringemcnt with regard to the third party items. Nothin� in this abrcement shall be
interpreted as a warranty, either express �r implicd, by Hazel or Hazel He�lih that ��Jould expand in any «�ay a
standard end-uscr�varranty�.
12. ReQnlatic►ns & Ordinanees. Hazel and Hazel Health shall comply with al) applirable laws, ardinances,
codes, rules and regul�tions of federal, state and loca! governments being licensed, if required, For perf'ormance
of any work undec this Agreement. Hazei and ffazel Health shall be fully and complctcly r�ponsible for ensuring
i'ull and cornplete compliance with all Center for Disease Gontrol, Fecleral, State,and Local regu(ations regarding
the navel coronavirus known as CUVII�-19 and relatrd conditions as msy be amended from time to time. As per
Florida Stau�tes, as amended from time to time, Hazel and Hazcl Hcalth shall re�;ister��-ith and use thc E-Verify
system to verify the work authorization status of all new(y hircd employees. Should Hsizet and Hazel Health
utiti7e a subcontractor to perform secvices under this Agrcement Hazel or Hazel Health shall abtain an afTidnvit
statin� that the subcontracior dues not employ, coniract with, or sube�ntr�ct �vith an unauthorir_ed alien. If
subcontractor Affidavit is not obtuined and/ur cegister ��ith and use the E-Verify system District shaU tertninate
this Agreement immediately. in addition, Hazcl and Nazcl Health may not be awarded a public contract for at
lcast one(!) year after the date on ���hich the cantract was te;rniinated.
13. Compliance• No Referrals Required. Each party a�rc.�cs to compiy with till applicabte Iaws and re�ilntions
in performinb its obligations hereunder, includin� but nut limitcd ro the federal and stat�anti-kickback and self-
refe�ral laws and regulations, at all timc,�s during the t�rn� ��f this Agrecment. r�ltl�uugh Hazel Health is obligated
to provide the Senrices to the District's school districts s�c:cificd in this Agceement, no party is required to refer
patients to, or otfien;�isc senerate business for, the o�fier par�y.The parties intend this A�rc.�ement to comply with
�Z U.S.C. § 1320�a-7b(b)(the Anti-Kickback Statute),-1? U.S.C. � 1395 (the Stark I_aw) and any other federal or
statc Iaw provision governing hcalth�are t�aud and abuse.The Compensation hcrcin has been determined through
good faitl� and aRn's lenbth bargaininb to Ix:cammercially reasonable an� cansistent with the fair market��alue
c�f the 5erviees. The Compensation does not include any discount, rehate,nr kickback,nor is it intended to be an
induce►i�:nt �r payment Cor n�ferral oF patients from one Qarty to another. This AbTrcemcnt shall be interpreted
and construed at �il times in a mAnner cc���sistent with a�plicable laws and regutations governing thc financiAl
relationships amang individuals�nd entities that provide c�r arrange for thc provision of items or services that an:
rcimbursable by governmc:ntal health care programs or athcr third party payers. "The parties ackno�vledgc that
none of the benefits hereunc3er are conditioned on any reyuirement that one party make referrals to,be in a position
to makc: or iniluence referrals to, ar othen��ise generate business for the other pariy. The parties further
acknoN'led�e that Hazel Hcalth i�nd its pro�ider or Professionals arc not restrictcd and can rendcr sCrvices for
another school district of thcir own choosing, nor do Ihe services under this A�reement include, directly or
indirectly, marketing serviees by either pariy. There is na agreement, express or implied, bct�•een District and
Hazel Hea(th regurding the referral oFpatients or business among them.
14. Publicitv.Neither party will use for publicity, nromotion or othenvise, any logo, name, trade name, service
mark or tr.�demark of the other party or its aftiliates, or uny simu(ation, abbreviation or adaptation of ihe same,
or the name of any employee or agcnt of the other party, withoul that party's prior, ���ritten, express consent.
Nonvithstanding the foregoing, Hazel Health may publiciy identify Distriet as a user of the Services, and District
rnay publicly identify Haze! Heatth as i�5 provider or Professional of tfie Services. Thc parties may publicly
announce lhey have entercd intn this Agreement, but neithCr shal( disclose the specific tem�.5 of this Agreement
(includinb pricing) to any third pariy, except as is rcyuired ro comply with applicable laµ�.

Hazel Health is prohibited fram using, dixlosing, ar sening Student Data to inform, influence, or enable
Targeted Advertising; or develop a profile of a student, family member/guardian or group, for any purpose
other than providing the Service to District. This section doe5 not prohibit Hazel Health from using Siudent
Data (i) for adapiive learning or customized student leami�g (including generating personalized learning
recommendatians; or(ii) to make produd recommendations to teachers or Oistrict empioyees; or(iii)to notify
account ho(ders about new education praduct updates, features, or services or from otherwise using Student
Data as permitted in this DSA. �
CONFIDENTIALITY AND SECURlTY
a. As part of the Services, Hazel Health will be responsible fvr safekeeping al{ keys, aa;ess codes,
combinations, access cards, personal identification numbers, and simiiar security codes and
idenfifiers issued to Hazel Health's employees, agents, or subcontracor. Hazel Health agrees to
require its employees to promptly report a losi o�stolen access device or information.
b. Hazel Health understands and agrees that it is subject to all federal and state laws and District
Policies relating to the confidentiality of studerrt information. District wil{allow the Hazel Health access
to limited data as identified in this Data Sharing Agreement as necessary to perform the Services
and pursuant to the terms of this Agreement in campliance with`FERPA, COPPA, PPRA, 34 CFR
99.31(b}and Florida Statutes sections 1001.41 attd 1 Q02.22 atl other privacy statutes as it relates to
data privacy and security. Hazel Health shall only use the data and infom�a6on provided by District
for the purpose spec�ed in this Agreement, and shall not disclose, copy, reproduce or transmit such
datalinformation obtained under this Agreement and/or any portion thereof, except as necessary to
fulfill the Agreement or as may be required by law.
c. Hazei Health shall regard all student infonnation as confidential and wtll not disclose the student
information to any third party without prior written approval by The District.
d. Hazel Heaith, subcontractor, and sub processors shall fuliy comply with the requirements of Seciion
1002.22 and Se�tion 1002.221, Florida Statutes, or any other taw or regulation,either federal or State
of Florida, regarding confldentiality of student i�farmation and records.
e. Hazel Health will not sell Student Data to any third party.
f. Both parties shall not disdose any confidential information except as required by Chapter 119, F(orida
Statutes or other applicable law.
g. All written information submitted by District to Hazef Health in connection with the Services or which
is stared on the Site is deemed confidential and trade secret.
h. D�ta Privacy. Confidential information will be kept s�cured, the identity of all persons having acceu >
to the confidential information will be documented and access will be lagged. In the event of a breach
of con�dentiafity the breaching party will immediatety notify the non-breaching pa�ty.
i, Hazel Health represents and warrants that its cotlection access, use, storage, disposal and disclosure of
District or user information daes and will comply with a11 applicabte federal and state privacy and data
protection laws, as well as al� other applicab(e regulations and directives.

will be stored, backed up and served only on servers located within the continental UnKed States. Hazel

provide the District with a copy of the hosting agreement. Hazei Health shall noti�y the District in writing fifteen
(15) days p�or ta any changes to the hosting provider. Hazel Heatth shali suppfy the District with proof of a
pen test (ar proo� of SOC li compliance) and the abitity to tesf the security parameters of the tenant
configuration.
Hazel Heafth agrees that any and atl District data wili be stored, processed, and maintained sole{y on
designated servers and that no District data at any time will be processed on or transfecred to any portabfe
or laptop computing device or any portable starage medium, unfess ihat storage medium is in use as part of
Hazel Health's designated backup and recovery processes.All servers,storage, backups, and network paths
utilized in the delivery of the service shall be contained w�thin the states of the United 5tafes. Hazel Heafth
agrees to store ati District backup data stored as pa�t of its bacicup and recovery prpcesses in encrypted
form, using no tess than 128 bit key,
Hazel Health will ensure that Distrrct Data is encrypted and that all device/mediurn will be scanned at the
compietion of any cor�tract ar service Agreement andlor research study or project to ensure that no District
Data, PIl, persona! inforrnaf�on and/or studsr�t recard inforrnation is stor�ed on such efecironic
devices/medium. Furthermore, Nazel Health will have in place a service that will allow Hazel Health to wipe
the hard drive on any stoten laptap or mobile electronic device remotely and have a protocol in place to
ensure compliant use by empfoyees.
1. If District rece+ves a subpaena, warrant, or other legal order, demand (induding an application for
public informakron fiied pursua�t ta Florida public rect�rds laws, or request seeking Data maintained
by Hazel Health, the District wil{ prompUy provide a copy of the application to Hazel Health. Hazel
Health will promptly supply District with copies of records or infarmation required in order for the District
to respond, and will cooperate with the DistricYs reasonable requests in connection with its response.

SUBJEC7: Nurse Enhancement Initiative Behavioral Health Services Summary Report and
Provider Update
The purpose of this Letter to Commission is to update the Mayor and City Commission on the status
of our Nurse Enhancement Initiative dedicated to improving youth behavioral and mental health
suppoR from August 2024 through May 2025 for North Beach Elementary, Miami Beach South
Pointe Elementary,Miami Beach Fienberg Fisher K-8, Biscayne Beach Elementary,Treasure Island
Elementary, Ruth K. Broad Bay Harbor K-S Center, Miami Beach Nautilus Middle School, and
Miami Beach Senior High School.
Mental health support was sustained in 2025 with 252 yauth receiving a total of 1,370 sessions,up
from 131 youths and 779 sessions in the previous year. Several schools received telehealth
services through a pa�tnership with Hazel Health. The table below indicates the number of
sessions provided to youth at on-site at select Miami Beach feeder schools receiving services
during the 2024-2025 school year through a partnership with neighboring municipalities, Borinquen
Medical Centers, The Children's Trust and the Miami Beach Chamber Education Foundation:

TO THE MEMORANDUM OF UNDERSTANDING
BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA
AND
THE MIAMI BEACH CHAMBER EDUCATION FOUNDATION, INC.
TO IMPLEMENT A MIAMI BEACH NURSE ENHANCEMENT INITIATIVE
FOR BEHAVIORAL HEA�TH SERVICES
FOR SCHOOL YEAR 2025-2026
This Amendment No. 9 ("AmendmenY') is made and entered into this day of
, 2025, by and between the City of Miami Beach, Florida, a municipal corporation
organized and existing under the laws of the State of Florida, having its principal place of business
at 1700 Convention Center Drive, Miami Beach, Florida 33139 (the "City") and the Miami Beach
Chamber Education Foundation, Inc., a Florida not-for-profit corporation organized and existing
under the laws of the State of Florida, having its principal place of business at 1920 Meridian
Avenue, 3rd Floor, Miami Beach, Florida 33139 ("MBCEF") (together with the City, the "Parties"),
to modify that certain Memorandum of Understanding dated as of July 26, 2016 (as amended by
• Amendments No. 1 through 8, the "MOU"). All capitalized terms used in this Amendment but not
othenivise defined herein shall have the meanings given to them in the MOU.
RECITALS
WHEREAS, the City, North Bay Village, the Town of Bay Harbor Islands, the Town of
Surfside, and Bal Harbour Village (the "Participating Municipalities") determined that students at
North Beach Elementary, Treasure Island Elementary, and Ruth K. Broad Bay Harbor K-8 Center
did not have full-time, on-site healthcare services and were, thus, underserved as compared to
other public schools in the feeder pattern that falls within the City of Miami Beach;
WHEREAS, to address this disparity, the Participating Municipalities, MBCEF and The
Children's Trust entered into an initial Memorandum of Understanding on August 19, 2013 for the
provision of nurse-led healthcare services at the identified schools (the "Nurse Initiative"), a
second Memorandum of Understanding on April 23, 2014, to contin�e the Nurse Initiative during
subsequent school years at the identified schools, and a third Memorandum of Understanding on
May 17, 2018 to provide enhanced nurse-led healthcare services (the "Nurse Enhancement
Initiative") and continue provision of the services for subsequent school years at the identified
schools;
WHEREAS, concurrently, desiring to expand the program into additional Miami Beach
schools, the City and MBCEF executed the MOU for the provision of the Nurse Enhancement
Initiative at Miami Beach Senior High School, Miami Beach Nautilu� Middle School, Miami Beach
Fienberg-Fisher K-8 Center, Biscayne Beach Elementary School and Miami Beach South Pointe
Elementary School (together with North Beach Elementary, the "Participating Schools") for the
2016-2017 school year;
WHEREAS, on May 25, 2017, the City and MBCEF executed Amendment No. 1 to the
MOU continuing the Nurse Enhancement Initiative for the 2017-2018 school year;
WHEREAS, pursuant to Resolution No. 2018-30259, on August 30, 2018, the CITY and
MBCEF executed Amendment No. 2 to the MOU continuing the Nurse Enhancement Initiative for
the 2018-2019 school year and increasing the funding for the Nurse Enhancement Initiative to
$114,000.00, among other things;

WHEREAS, pursuant to Resolution No. 2019-30957, on August 12, 2019, the City and
MBCEF executed Amendment No. 3 to the MOU continuing the Nurse Enhancement Initiative for
the 2019-2020 schaol year and increasing the funding for the Nurse Enhancement Initiative to
$139,000, among other things;
WHEREAS, on or about August 19, 2020, the City and MBCEF executed Amendment No.
4 to the MOU continuing the Nurse Enhancement Initiative for the 2020-2021 school year;
WHEREAS, on June 21, 2021, the City and MBCEF executed Amendment No. 5 to the
MOU continuing the Nurse Enhancement Initiative for the 2021-2022 school year, among other
things;
WHEREAS, on May 5, 2022, the City and MBCEF executed Amendment No. 6 to the
MOU continuing the Nurse Enhancement Initiative for the 2022-2023 school year, among other
things;
WHEREAS; on or about May 16, 2023, the City and MBCEF executed Amendment No. 7
to the MOU continuing the Nurse Enhancement Initiative for the 2023-2024 school year, among
other things;
WHEREAS, on or about July 1, 2024, the City and MBCEF executed Amendment No. 8
to the MOU continuing the Nurse Enhancement Initiative for the 2024-2025 school year and
adding Hazel Heath as a provider of telehealth-based primary care, therapy and counseling
services; and
WHEREAS, pursuant to Resolution No. , the City and MBCEF desire to
(i) modify the MOU to increasing funding for the Nurse Enhancement Initiative from $139,000 to
$169,000, (ii) modify the MOU to remove Hazel Health as a provider, and (iii) continue the Nurse
Enhancement Initiative for the 2025-2026 school year.
NOW, THEREFORE, in consideration of the mutual conditions and promises contained
herein, the Parties agree to amend the MOU as follows:
1. ABOVE RECITALS. The above recitals are true and correct and are incorporated as
part of this Amendment.
2. MODIFICATIONS. The MOU is hereby amended (deleted items sk�s�-�et�� and
inserted items underlined) as follows:
i) Sections (a) and (b) of Amendment No. 8 are hereby deleted in their entirety:

ii) Paragraph 3 of the MOU is hereby deleted in its entirety and replaced with the
following:
Subiect to funding appropriation and approval bv the Citv Commission durinq the City's budqetary
process, on or before October 31 st of each school vear, the City will provide funds ("Citv's
Contribution") to MBCEF for Initiative services on behalf of the CITY's Participatinq Schools,
in the amount of up to $169,000.00 for the period from October 1, 2025 to June 30, 2026 and
from Auqust 1, 2026 to September 30, 2026.
iii} The following Paragraphs 17-20 are hereby added to the MOU:
17. MBCEF aqrees to complv with Section 787.06, Florida Statutes, as mav be amended from
time to time, and has executed the Anti-Human Traffickinq Affidavit, containinq the certification of
compliance with anti-human traffickinq laws, as required bv Section 787.06(13), Florida Statutes,
a copv of which is attached hereto as Exhibit A.
18. MBCEF warrants and rearesents that it is not currently engaged in, and will not enqaqe in, a
bovcott, as defined in Section 2-375 of the Citv Code. In accordance with Section 2-375.1(2)(a)
of_the City Code, MBCEF herebvi certifies that MBCEF is not currentiv enqaqed in, and for the
duration of the Agreement, will not engage in a bovcott of Israel.
19. MBCEF warrants and represents that, within two (2) years prior to the Effective Date, MBCEF
has not received compensation for services performed for a candidate for Citv elected o�ce, as
contemplated bv the prohibitions and exceptions of Section 2-379 of the Citv Code.
For the avoidance of doubt, the restrictions on contractinQ with the Citv pursuant to Section 2-
379 of the Citv Code shall not applv to the followinq:
(a) Any individual or entitv that provides qoods to a candidate for office.
(b) Any individual or entity that provides services to a candidate for office if those same
services are reQularly performed by the individual or entity in the ordinary course of
business for clients or customers other than candidates for office. This includes, without
limitation, banks, telephone or internet service providers, printinq companies, event
venues, restaurants, caterers, transportation providers, and office supply vendors.
(c) Anv individual or entity which performs licensed professional services (including for
example, leqal or accountinq services).
20. MBCEF herebv a9rees to complv with Section 287.138, Florida Statutes, as may be
amended from time to time, which states that as of January 1, 2024, a qovernmental entity mav
not accept a bid on, a proposal for, or a replv to, or enter into, a contract with an entity which
would qrant the entitv access to an individual's personal identifyinq information (PII), unless the
entitv provides the qovernmental entitv with an a�davit siqned bv an officer or representative of
the entitv under penaltv of periury attestinq that the entitY does not meet anv of the criteria in
Paraqraphs 2(a)-(c) of Section 287.138, Florida Statutes: (a) the entitv is owned by a
government of a foreiQn country of concern; (b) the qovernment of a foreiqn country of concem

has a controllinq interest in the entitv; or (c) the entity is orqanized under the laws of or has its
principal place of business in a foreiqn country of concern (each a "Prohibited Entity"). A
foreiqn country of concern is defined in Section 287.138 (1)(c), Florida Statutes, as mav be
amended from time to time, as the People's Requblic of China, the Russian Federation, the
Islamic Republic of Iran, the Democratic People's Republic of Korea, the Republic of Cuba, the
Venezuelan reQime of Nicolas Maduro, or the Svrian Arab Republic, includinq anv aqencv of or
anv ather entitv of siqnificant control of such foreic]n country of concern. Additionally, beginning
July 1, 2025, a qovernmental entitY may not extend or renew a contract with a Prohibited Entitv-
MBCEF warrants and represents that it does not fall within the definition of a Prohibited Entitv,
and as such, has caused an authorized representative of MBCEF to execute the "Prohibition
AQainst Contractinq with Entities of Foreign Countries of Concern Affidavit", incorporated herein
bv reference and attached hereto as Exhibit B.
iv) Exhibit A attached hereto is hereby attached to the Agreement.

3. RATIFICATION. Except as amended herein, all other terms and conditions of the MOU
shall remain in full force and effect. In the event there is a conflict between the provisions of this
Amendment and the MOU, the provisions of this Amendment shall govern.
