RESOLUTION NO.
A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF
MIAMI BEACH, FLORIDA, DIRECTING THE ADMINISTRATION TO REQUEST
THAT GLOBAL SPECTRUM, L.P. D/B/A OVG360 ALLOW CSW EXPO (CSW)
TO APPLY THE SUM OF $19,355.99, CURRENTLY HELD AS A DEPOSIT,
TOWARD A NEW DATE FOR ITS EVENT AT THE MIAMI BEACH
CONVENTION CENTER, AND TO WAIVE THE FEE OF $27,582.98 INCURRED
DUE TO CSW'S CANCELLATION OF ITS EVENT THAT WAS SCHEDULED TO
TAKE PLACE ON AUGUST 1�16, 2025.
WHEREAS, CSW Expo ("CSW") entered into a license agreement (the "Agreement")
dated July 7, 2023, with Giobal Spectrum, L.P. d/b/a OVG360 ("OVG360") to hold a Cosmetic
Surgery & Wellness Medicai Expo at the Miami Beach Convention Center (MBCC) on May 10—
11, 2024; and
WHEREAS, pursuant to Addendum No. 1 to the Agreement, issued on March 20, 2024,
OVG360 agreed to change the event dates to May 23-24, 2025, without charging a cancellation
fee, as an exception; and
WHEREAS, pursuant to Addendum No. 2 to the Agreement, executed on August 6, 2024,
OVG360 agreed to modify the deposit schedule; and
WHEREAS, pursuant to Addendum No. 3 to the Agreement, executed on March 4, 2025,
OVG360 agreed to change the event dates to August 15-16, 2025, again without charging a
cancellation fee, as an exception; and
WHEREAS, on July 31, 2025, CSW requested to postpone the event once more; and
WHEREAS, the Mayor and City Commission recognize the challenges faced by event
organizers and, in the interest of supporting continued partnership and economic activity at the
MBCC, wish to provide CSW with one final reprieve from payment of the cancellation fee of
$27,582.98; and
WHEREAS, the Mayor and City Commission further desire that CSW be permitted to
apply the sum of$19,355.99, currently held by OVG360 as a deposit, toward a future date for its
event at the MBCC.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby direct the Administration to request that Global Spectrum, L.P. d/b/a OVG360
allow CSW Expo ("CSW") to apply the sum of $19,355.99, currently held as a deposit, toward a
new date for its event at the Miami Beach Convention Center, and to waive the fee of$27,582.98
incurred due to CSW's cancellation of its event that was scheduled to take place on August 15—
16, 2025.
