THIS EASEMENT is hereby granted by the Board of'I'rustees of the Internal[mprovement Trust Fund of
the State of Florida,hereinafter refcrred to as the Grantor.
W f"1'NESSETH: That for the f'aithtul and timely performance of and compliance with the terms and conditions stated
herein,the Grantor does hereby grant to Citv of Miami Beach.Florida,hereinafter referred to as the Grantee,a nonexclusive
easement on,under and across thc sovereignty submerged lands,as defined in Rule 18-21.003, Florida Administrative Code,
if any,contained within the following legal description:
A parcel of sovereignty submerged land in Section 14,
'(ownship 53 South,Range 42 East,in Indian Creek,
Miami-Dadc County,Florida,containing 6,281 square feet,
more or Iess,as is more particularly described and shown on
Attachment A,dated April 25,2023.
"TO HAVE"I'HF,USE OF thc hereinabove described premises for a period of 50 years from September 11.2024,the
effective date of this easement. Thc terms and conditions on and for which this easement is granted are as fo(lows:
l. [1SI;OP PROPLR"i'Y: The above dcscribed parcel of land shall be used solely for the installation and o�eration of

conditions of this easement.
2. EASF.MFN7' CONSIUERATION: In the event [he Grantor amcnds its rules related to fees and the amended rules
provide the Grantee wiil be charged a fee or an increased fcc for this activity,thc Grantee agrees to pay all charges required by
such amended rules within 90 days of thc date the amendcd rules become effective or by a date provided by an invoice from the
Department, whichever is later. All fces chargcd under this provision shall be prospective in nature; i.e. they shall begin to
accrue on the date that the amendcd rufes becomc eFfective.
3. WARRANTY OF"I'[TLE/GUARANTEE OF SUITABILITY OF USE OF LAND: Grantor neither wamants title to the

lands described herein nor guarantees the suitability of any of the lands for any particular use.

4. RIGHTS GRANTED: The rights hereby granted shall be subject to any and all prior rights of the llnited States and
any and all prior grants by the Grantor in and to the submcrged lands situated within the limits of this easement.
5. DAMAGE TO EASEMENT PROPER'I'Y AND IN"1'ERf'LKL;NCL; WITH PUBLIC AND PRIVATE RIGHTS_
Grantec shall not damage the eascmcnt lands or unduly interfere with public or private rights therein.
6. GRANTOR'S RIGHT T'O GRANT COMPATISLL US�S OF "fHE I;ASk3MGN"1' PROPF,RTY: This easement is
nonexclusive,and the Grantor,or i�s duly authorized agent,shall retain the right to enter the property or to engage in management
activitics not inconsistcnt with the usc hercin provided for and shall retain the right to grant compatible uscs of the property to
third parties during the term af this eascment.
7. RIGEi"F TO INSPECT: Grantor,or its duly authoriud agent,shall have the right at any time to inspect the�vorks and
operations of the Urantee in any matter pertaining to this easement.
8. L.IABI[,(TY,�INVESTIGATION OF ALL CLAIMS: The Urantez shall investigate all claims of every• nature at its
expense. F',ach party is responsible for all penonal injury and property damage attributable to the negligent acts or omissions of
that party and the officers, employees and agents thereoL Nothing herein shall be construed as an indemnity or a waiver of
sovereign immunity enjayed by any party hercto,as provided in Section 768.28,Plorida Statutes,as amended from time to time,
or any other law�providing limitations an claims.
9. ASSIGNMENT Ol'EASGML:NT: This easement shall not be assigncd ur utherwise transferred withaut prior writien
consent of the Grantor or its duly authorized agent and which consent shall not be unreasonably withhe(d. Any assignment or
other transfer without prior written consent of the Grantor shall be nult and void and wilhout legal effect.
10. T�RMINA1'iON: The�irantee,by acceptance ofthis casement,binds itself,its successors and assigns,to abide by the
provisions and conditions herein set forth, and said provisions and conditions shatl be deemed covenanu uf the Grantee, its
successors and assigns. (n the event the Grantee fai(s or rcfuses to comply with thc provisions and conditi�ns herein set fofth or
in the event the Grantee violates any of the provisions an�conditions herein,this easemen[may be terminated by the Urantor
upon 30 days written notice to the Grantee. If terminated,all of the above-describcd parcel of land shall revert to the Grantor.
Any cosls or expenses incurred by the Grantor in removing the Grantec or iGs property from thc eascment area shall be paid by
thc Urantee. All notices required to be given to the Grantee by this easement or applicablc law or administrative rules shall be
sufficient if sent by li.S.Mail to the following address:

The Grantee agrees to notify the Grantor by certified mail of any changcs to this address at lcast ten(10)days berore the change

1�. TAXES AND ASSESSMENI'S: The Grantee shall assume all responsibility for liabili2ics that accrue to the subjcct
properiy or �o the improvements thereo�, including any and all drainagc or special assessments or taxes of every kind and
description which are now or may be hereafter lawfully assessed and levied against the subject property during the effective
period of this easement which result from the grant of this easement or the activities ol'Grantee hercunder.
12. REMOVAL OF STRUCTUR};S/ADMINIS"1'KA"1'1V1: PINES: If thc Grantee does not remove said slructures and
equipment occupying and erected upon the premises after expiration or canccllation of this easement, such siructur�.�s and
equipment will bc decmed forfeited to the Grantor,and the Crantor may authorize removal and may scll such forCcited stntetures
zind cquipment atter ten(10)days written notice by certified mail addressed to the Grantee at the address specified in pazagraph
10 or at such address on record as provided t�the Grantor by the Urantee. Howevcr, such rcmedy shall be in addilion to all
other remedics available to Grantor under applicable la�vs, rules and regulations induding thc right to cc�mpcl removal of all
structures and thc right to impose administrative fines.

13. ENFORCEMENT OF_PROVISIONS: No failure, or successive failures, on the part of the Grantor to enforce any
provision,nor any waiver or successive waivers on its pari of any provision herein,shall operate as a discharge thereof or render
the same inoperative or impair the right of the Grantor�o enforce the same upon any renewal thereofor in the event of subsequent
breach or breaches.
14_ AMENDVIENT/MODIFICATIONS: This easement is the entire and only agreement between the parties. Its
provisions aze not severable. Any amendment or modification to this easement must be in writing and must be accepted,
acknowledged and exccutcd by the Grantee and Grantor.
t5. USACE AUTHORIZATION: Prior to commencement of construction and/or activities authorized herein,the Grantee
shall obtain thc U.S. Artny Corps of Engineers (USACE) permit if it is required by the USACF,. Any modifications to the
construction and/or activitics authorized hercin that may be required by the USACE shall require consideration by and the prior
written approval of the Grantor prior to the commencement of construction and/or any activities on sovereign,submerged lands.
16. ADDITIONAL STRUCTURES OR ACTIVITIESlEMERGENCY STRUCTURAL Rf�,PAIRS: No additional
structures shall be erected and/or activities undertaken,including but not limited to,dredging,relocation/realignment or major
repairs or renovations made to authorized structures, on, in or over sovereignty, submerged lands without the prior written
consent from the Grantor,with thc cxccption of emergency repairs. Unless specifically authorized in writing by the Grantor,
such activities or structures shall be considered unauthorized and a violation of Chapter 253,Florida Statutes,and shall subject
the Urantee to administrative fines under Chapter 18-14,Florida Administrative Code. If emergency repairs are required to be
undertaken in the interests of public health,safety or wclfare,the Grantee shali notify lhe Grantor of such repairs as quickly as
is practicable;provided,however,that such emergency activities shall not excccd the activities authorized by this easement.
17. liPLAND RIPARIAN PRQPER7'Y IN'i;F_.RFST: During the term of this easement, Grantee must have satisfactory
evidence of sufficient upland interest as defined in subsection 18-21.003(65),Florida Administrative Code,to the extent required
by paragraph 18-21.004(3)(b), Florida Administrative Code, in ordcr to conduct the activity described in this easement. If at
aoy time during the term of this easement,Grantee fails to comply with this requirement,use of sovereignty,submerged lands
described in this easement shall immediately cease and this easement shatl terminate and title to this easement shall reveri to and
vest in the Grantor immediately and automatically.

WHEREAS,the City of Miami Beach plans to construct,install and operate a new 36-inch diameter
sewer line as part of a citywide comprehensive pian to renew and replace the existing sewer infrastructure,
with the force main crossing Indian Creek identified as a high-priority project in the City's Sewer Master
Plan; and
WHEREAS, the Florida Qepartment of Environmental Protection (FDEP) has determined that the
construction, installation and operation of this new sewer force main will require a public Sovereignty
Submerged Lands Easement("Easement"); and
WHEREAS, the new Easement will have a term of 50 years, commencing retroactively from
September 11, 2024; and wifl be 10-feet wide,with an approximate total area of 6,281 square feet; and
WHEREAS, the City and FDEP have both reviewed and approved the proposed easemeni layout,
which wil! be located within a partion of the submerged lands of Indian Creek, traveling along an
easterly/westerly line, approximately parallel to W 60'"Street, lying in a portion in Section 14, Township 53
South, Range 42 East, Miarni Dade county, Florida, as shown on the foilowing Piats recorded in Miami-
Dade County, Florida: the Bath Ciub Property, recarded in Plat Book 40, at Page 14; Beach View Addition,
recorded in Plat Book 16,at Page'10; and the Amended Plat of Second Ocean Front Subdivision, recorded
in Plat Book 28, at Page 28, as more particularly described in the new Easement (Easement No. 42998),
attached hereto as Exhibit"A"; and
WHEREAS, the City Manager recommends the approval of this Easement, which is necessary to
construct, install and operate a 36-inch diameter sewer line related to the Indian Creek Canal Force Main
Project.
NOW, THEREFORE, BE IT �ULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FIORIDA, that the Mayor and City Commission hereby, approve and
authorize the City Manager and City Clerk to execute, in the form attached to this Resolution as Exhibit"A",
the Sovereignty Submerged Lands Easement (Easement No. 42998), by and between the City (Grantee)
and Ehe Board of Trustees of the Internal Improvement Trust Fund of the State of Florida (Grantor), for a
term of fifty (50)years, commencing retroactively on September 11, 2024, for the non-exclusive use of a
10' Easement, having an easement area of approximately 6,281 square feet (Easement Area): said
Easement Area located within a portion of the submerged lands of indian Greek, traveling along an
easterly/westerly fine, approximately parallel to W 60'h Street, lying in a portion in Section 14,Township 53
Souih, Range 42 East, Miami Dade counry, Florida, as shown on the foliowing Plats reeorded in Miami-
