Amendment No. 2 to lease between The Miami Beach RDA and Collins 1560, LLC Docusign Envelope ID:SOBEFD3F-8E7D-466C-BFFE-534FE606624D ��� � `� 1 ��� AMENDMENT NO. 2 TO LEASE BETWEEN THE MIAMI BEACH REDEVELOPMENT AGENCY AND COLLINS 1560, LLC This Amendment No. 2 (Amendment)to the �ease, dated March 23, 2023 (Agreement), by and between the Miami Beach Redevelopment Agency (RDA), a Public Body Corporate and Politic and exist+ng under the laws of the State of Ffo�ida, having its principal place of business at 1700 Conventian Center Drive, Miami Beach, Florida 33139 (Landlord}, and Collins 1560, LLC , a Florida limited liability company, having its principai place of busfness at 1560 Collins Avenue, Suites 1 and 2, Miami Beach, FL 33139 (Tenant), is entered into this�day of O��,hc.( , 2025: RECITALS WHEREAS, on December 14, 2022, the Miami Beach Redevelopment Agency ("RDA" or �andlord") and Collins 1560 LLC d,'b/a Lime Tree Cafe("Tenant") entered into a Lease for use of approximately 2,697 square feet of ground floor retail space located at 1560 Collins Avenue, Suites 1-2,for the operation of a fine dining concept; and WHEREAS, the Lease term is for nine (9} years and 272 days, commencing on April 6, 2023, when Tenant taok possession of the Premises, and expiring on January 3, 2033; and WHEREAS, under the Lease, Tenant received the following concessions: • For months 2-7 from Commencement Date (May 6, 2023-November 5, 2023), the Minimum Rent and �perating Expenses were abated (Minimum Rend and Additional Rent Abatement Period); and • For months 8-18 from Commencement Date (November 6, 2023-October 5, 2024), the monthly Minimum Rent payment(at the time, $16,856.25 plus applicable sales tax) was abated (Rent Abatement Period); however, during the Rent Abatement Period, Tenant was still required to pay the monthly payment for Operating Expenses; and WHEREAS, on June 26, 2024, the Chairman and Members of the RDA adopted Resolution No. 690-2024, approving and extension of the Rent Abatement Period for an additional elght (8) months, from October 6, 2024 to June 5, 2025, during which time Minimum Rent was $17,361.94 plus applicable sales tax; and WHEREAS, on Apnl 1, 2025, the Tenant submitted a formal request for an additional eight-month extension of the Rent Abatement Peri�d, from June 6, 2025 through February 5, 2026, or when Tenant apens for business, citing ongoing permitting issues, particularly with the DERM review process for a shared grease trap; and WHEREAS, during the proposed extended Rent Abatement Period, the Tenant shall continue paying Operating Expenses estimated at $3,146.50 per month, wh�le remaining exempt from Minimum Rent payment and any applicable Concessfon Fee and Percentage Rent payment; and 1 Docusign Envelope ID:80BEFD3F-SE7D-46BC-BFFE-534FE606624D WHEREAS, this Amendment does not alter the Lease s expiration date ihe �scafation dates of Minimum Rent or the Concession Fee; and WHEREAS, on June 25, 2025, the Chairman and Members of the Miami Beach Redevelopment Agency adopted Resolution No 710-2025, approving Amendment No. 2 to the Lease, granting Tenant the requested Abatement Period. NOW THEREFORE, in consideration af the mutual promises and conditions contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the �andlord and Tenant hereby agree to amend the Lease as follows: 1. ABOVE RECiTAIS. The above recitals are true and correct and are incorporated as part of this Amendment. 2. MODMFiCATIONS. The Agreement is hereby amended (deleted items s�s�-t#�e�# and inserted items underlined)as follows: Paragraph 14 of the �ease Summary is hereby amended as foflows: 14. Term of Leas�(Section 1.1�: Lease Term is nine (9j years and 272 Days from the Commencement Date. "Commencement Date": The date Landlord delivers Premises to the Tenant. "Rent Commencement Dete": 1) Following the earlier of one hundred and eighty (180) days fram Cammencement Date; or 2)the date any portian of the Premises opens for business. Rent and Additional Abatement Period: During Months 2 - 7 from the Commencement Date("Rent and AdditionaM Abatement Period"), Tenant shall not be required to pay the monthly Minimum Rent or any Additional Rent payment( as such term is defined in subsectian 2.1 of the Lease)that would otherwise be due; however, Tenant shaMl be required to pay far all Additiona! Rent payments that would otherwise be due during the Minimum Rent and Addilional Rent Abatement Period. Rent Abatement Period: During Months 8-��6 34 following the Commencement Date, or until the earlier of Tenant's opening for business (the "Rent Abatement Period"), Tenant shall not be required to pay the monthly Minimum Rent, Percentage Rent, or Concession Fee payments that would otherwise be due; however, Tenant shal! remain responsible for the monthly Operating Expense payment. Except as amended herein, all other terms and conditions of the Lease shall remain unchanged and in full force and effect.
