This Assignment and Assumption of Agreement (the "Assignment"} is entered into as of
this day of , 2025 ("Effective Date"), by and among the CITY OF MIAMI
BEACH (the "City"), a Flarida municipai corporation, whose address is 1700 Convention Center
Drive, Miami Beach, Flo�ida 33139 (the City); MUNICIPAL EMERGENCY SERVICES, INC., a
Nevada corporation("Assignor"),whose principal address is 12 Turnberry Lane, 2nd Floor, Sandy
Mook, Connecticut 06482; and MES SERVICE COMPANY, LLC, a Delaware limited liability
company, whose principal address is 12 Turnberry Lane, 2nd Floor, Sandy Hook, Connecticut
06482 ("Assignee"). Any defined terms used but not defined herein shall have the meaning set
forth in the Aqreement (defined below).
WITNESSETH:
WHEREAS, on March 9, 2022, the Mayor and City Commission approved the City
Manager's recommendation to award a cantract to the lowest responsive and responsible bidder,
as primary and secondary vendors for grouped items re{ated to police and fire department
uniforms and accessories, pursuant to Invitation to Bid No. 2022-113-UF (the "ITB"), and
autharized the Administration to negotiate an agreement with Assignor pursuant thereto;
WHEREAS, the City and Assignor entered into an agreement dated March 9, 2022 (the
"Agreement") with an initial term of three (3) years and up to two (2} additional one (1) year
renewai options at the sole discretion of the Gity Manager, for the provision of Police and Fire
Department uniforms and accessories, pursuant the ITS, attached hereto as Exhibit A and
incorporated herein by reference;
WHEREAS, on October 31, 2024, Assignee completed an acquisition of Assignor;
WHEREAS, pursuant to Section 24 of the Agreement, any assignment of the Agreement
by Assignor requires the written consent of the City;
WHEREAS, accordingly, Assignor and Assignee seek the City's consent to the
assignment and assumption of the Agreement from Municipal Emergency Services, Inc. to MES
Service Company, LLC; and
WHEREAS, Assignee is authorized to do business in Florida.
NOW, THEREFORE, the City, Assignor and Assignee, for and in consideration of the
mutual cavenants, agreements, and undertakings herein contained, do by these presents
mutually covenant and agree as foilows:
1. The above recitals are true and correct and are incorporated herein as part of this
Assignment.
2. Assignor hereby assigns and transf�rs to Assignee all of its rights, title, interest and
obligations in and to the Agreement.

3. Assignee hereby accepts the assignment of the Agreement and further assumes and agrees
to perform all af the duties and obligations of Assignor under the Agreement. Assignee
further agrees to be liable and subject to all conditions and restitutions which Assignor is
subject to under the Agreement.
4. Upon execution of this Assignment, and for purposes of interpreting the Agreement, all
references to Municipal Emergency Services, Inc., Propaser or Contractor under the
Agreeinenk shall hereinafter be dsemed to refer to Assignee.
5. Assignee agrees ko honor and maintain aEl required warranties and responsibilities for all
projects previously campleted by Assignor, and any ongoing projects it has with the City, as
of the Effective Date.
6. Notwithstanding the execution of this Assignment, Assignor and Assignee shall remain
jointly and severally liable under the Agreement for services prior to the Eff�ctive Datc of
this Assignment.
7. Simultaneousiy herewith, Assigneo shail furnish to the City's Risk Manager Certificates of
Insurance or endarsements evidencing the insurance coverage as specified in the
Agreement.
8. All written notices given to Assignee under the Agreement shaii be addressed to:

On March 9,2022,the City Commission approved the award and execution of an Agreement with Municipal Emergency Services, Inc. (the
"Contractor")for the suppiy of uniforms and accessories for the Police and Fire Departments.This Agreement was estabiished under Invitation
to Bid(ITB)No.2022-113-DF.
On February 11,2025,the Contractor informed the City of its merger into MES I Acquisition,Inc.,doing business as MES Service Company,LLC.
This merger led to a proposed assignment of the Agreement Keeping the Agreement in place under ITB No. 2022-113-JC with MES �
Acquisition, Inc.,d/b/a MES Service Company,LLC,is critical to ensure uninterrupted delivery of uniforms,apparel,and accessories to first
responders.
Section 24 of the Agreement,titled"Assignment,"requires written approval from the City Commission for any transfer of the Agreement to
another party.City staff reviewed ali necessary documentation from the new company and confirmed that MES��lcquisition,Inc.,d/b/a MES
Service Company,LLC,met all original bid requirements.As a result,the City Commission approved the assignment at its meeting on September
3,2025.
Following the City Commission's approval,and in accordance with Administrative Order 03A2(B4),the City Manager is authorized to sign the
Consent of Assignment(see Attachment B),which formally transfers the Agreement from Municipal Emergency Services,Inc.(the"Assignor")
to MES � Acquisition,Inc.,d/b/a MES Service Company,LLC(the"Assignee"�.
Based on this justification and pursuant to the authority granted by City Commission and Administrative Procedure 03A2 (B4), this item
requests the City Mana�;er's signature on the Consent of Assignment.
