This Assignment and Assumption of Agreement (the "Assignment") is entered into this
day of ___, 2025 (°Effective Date"), by and among the CITY OF MIAMI
BEACH (the "City"), a Florida municipal corporation, whose address is 1700 Convention Center
Drive, Miami Beach, Fiorida 33139 (the City); ESTRADA FIINOJOSA 8� COMPANY, INC.
("Assignor'), a Texas corporation, whose principal address was 2937 Southwest 27'" Avenue,
Suite 200B Miami, Florida 33133; and TRB GAPITAL MARKETS, LLC d/b/a ESTRADA
HINOJOSA a Texas limited liability company, whose principal address is 677U West Interstate 2,
Harlingen, Texas 78552 ("Assignee"). Any defined terms used but not defined herein shall have
the meaning set forth in the Agreement(defined below).
WITNESSETH:
WHEREAS, on January 17, 2018, the Mayor and City Commission adopted Resolution
No. 2018-30137, pursuant to Request for Qualifications No. 2017-163-WG (the "RFQ") for
Underwriter Services, authorizing the Administration to negotiate an agreement with Assignor,the
top-ranked proposer, to establish a pool of underwriters to provide underwriting services to the
Ciry;
WHEREAS, on or about January 17, 2018, the City and Assignor entered into an
Agreement for underwriter services pursuant to the RFQ(the"Agreement"), with an initial term of
five (5) years and an additional five (5) year renewal option, at the sole discretion of the City
Manager, which Agreement is attached hereto as Exhibit A and incorporated herein;
WHEREAS, on August 2, 2�24, Assignor and Assignee completed a merger, with
Assignee being the surviving entity;
WHEREAS, pursuant to Section 35 of the Agreement, any assignment of the Agreement
by Assignor requires the written consent of the City;
WHEREAS, accordingly, Assignor and Assignee seek the City's consent to the
assignment and assumption of the Agreement from Estrada Hinojosa & Company, Inc. to its
successor in interest, TRB Capital Markets, LLC; and
WHEREAS, Assignee is authorized to do business in Florida.
NOW, THEREFORE, the City, Assignor and Assignee, for and in consideration of the
mutual covenants, agreements, and undertakings herein contained, do by these presents
mutually covenant and agree as follows:
1. The above recitals are true and correct and are incorporated herein as part of this
Assignment.
2. Assignor hereby assigns and transfers to Assignee all af its rights, title, interest and
obligations in and to the Agreement.

3. /�ssignee hereby accepts the assignrnent af the Agreement and further assumes and agrees
to perform all of khe duties and obligations of Assignor under tho AgrPemont. Assignee
further agrees to be liable and subject to all conditions and restitutians which Assignor is
subject to under the Agreement.
4. Upon execution of this Assignn�ent, and far purposes of interpreting the Agreement, all
references to Estrada Ninojosa & Company, lnc., Proposer or Contractor under the
Agreement shall hereinafter be deemed to refer to Assignee.
5. AssigneP agrees to honor and maintain ali required warranties and responsibilities for ail
projects previously complet�d by Assignor, and any ongoing projects it has with the Gity, as
of the Effective Date.
6. Notwithstanding the execution of this Assignmer�t, Assignar and Assignee shall remain
jointly and severally liabie under the Agreernent for services prior to the Effective Date of
this Assignment.
7. Simultaneausly herewith, Assignee shall furnish to the City's Risk Manager Certificates of
Insurance or endorsements evidencing the insurance coverage as specified in the
Agreement.
8. Ail written notices given to Assignee under the Agreement shall b�addressed to:

pn April 14, 2010,the City Commission approved the award and execution of an Agreement with Estrada Hinojosa&Company, Inc. (the
"Contractor")for Underwriter Services(Prequalification Poolj,pursuant to RFQ No.2017-163-WG("the AgreemenY'�.
On June 16,2025,the Contractor formally notified the City of its merger into TRB Capitai Markets,LLC d/b/a Estrada Hinojosa,resulting in a
proposed Assignment of the Agreement. Maintaining the existing Agreement under RFq No. 2017-163-WG is essential for the Finance
Department to continue supporting the City and its financial advisor with critical financial processes,including the development of financing
plans,preparation of official statements,bond resolutions,pricing,marketing,underwriting,and the sale of bonds to investors.These services
are vital to the City's ability to execute timely and cost-effective bond transactions.
Section 35,"Assignment"of the RFQ requires written approval from the City Commission for any transfer of the Agreement to another party.
City staff reviewed all necessary documentation from the new company and confirmed that TRB Capital Markets,LLC d/b/a Estrada Hinojosa,
met all original bid requirements.As a result,the City Commission approved the assignment at its meeting on September 3,2025.
Following the City Commission's approval,and in accordance with Administrative Order 03.02(64�,the City Manager is authorized to sign
the Consent of Assignment(see Attachment B),which formally transfers the Agreement from Estrada Hinojosa&Company,Inc.("Assignor")
to TRB Capital Markets,LlC d/bfa Estrada Hinojosa("Assignee").
Based on this justification and pursuant to the authority granted by City Commission and Administrative Procedure 03.02(84), this item
requests the City Manager's signature on the Consent of Assignment.
