FIRST AMENDMENT

G.O. BOND FOR ARTS & CULTURE
GRANT AGREEMENT
This FIRST AMENDMENT ("First AmendmenY') to the Agreement (as defined below) by
and between the City of Miami Beach, a municipal corporation duly organized and existing under
the laws of the State of Florida (the "City'), and Miami City Ballet, Inc., a Florida not-for-profit
corporation ("Grantee") (the City and Grantee each, a "Party" and collectively, the "Parties"), is
made and entered into this day of , 2025 ("Effective Date").

WHEREAS, at the July 20, 2022 City Commission meeting, the Mayor and City
Commission adopted Resolution 2022-32261, authorizing a special election, submitting to the
electorate of the City of Miami Beach the question asking whether the City shall be authorized to
issue general obligation bonds (GOB), not exceeding $159,000,000, to improve facilities for
resiliency of arts and cultural institutions throughout the City, including museums, performance
venues, artistic playgrounds, senior/cultural centers, botanical garden, aquatic sculpture park,
and related artist/workforce housing;
WHEREAS, on November 8, 2022, the voters of the City of Miami Beach approved the
issuance of a General Obligation Bond for Arts & Culture in the not to exceed amount of $159
million;
WHEREAS, the final list of projects approved as part of the General Obligation Bond for
Arts & Culture inciuded a $12 million allocation for the Miami City Ballet facility;
WHEREAS, the total allocation for the Miami City Ballet facility was subdivided into two
parts: (i) a grant in the amount of $7,518,000 was awarded to Grantee for technology related
scope of work, and (ii) $4,482,000 was budgeted for capital renewal & replacement ("CR&R")
projects to be managed by the City's Facilities Management Division;
WHEREAS, on October 31, 2023, the City and Grantee entered into that certain G.O.
Bond for Arts & Culture Grant Agreement dated October 31, 2023 (the "AgreemenY'), in the
amount of $7,518,000, for the technology related scope of work;
WHEREAS, in February 2024, the Grantee requested that the City allow Grantee to
manage the full scope of CR&R work, citing the complexity of coordinating interconnected projects
while maintaining the school and production facilities operational;
WHEREAS, additionally, the Grantee identified opportunities to leverage cost savings
from consolidating construction management, allowing for potential enhancements beyond the
originally contemplated scope, including improvements to rehearsal studios for public
performances;
WHEREAS, the Parties determined that allowing the Grantee to oversee the CR&R work
would serve the best interests of both parties, provided that terms and scope could be properly
supervised by the City;

WHEREAS, over the following 15 months, the Grantee collaborated with its design team
and the Administration to develop a comprehensive project integrating the new CR&R projects
(collectively, the "CR&R ProjecY') with the technology related upgrades, and expanded
enhancements to improve performance spaces and enable remote interactive classes;
WHEREAS, to date, $74,585 has been expended from GO Bond funds on CR&R projects;
WHEREAS, on June 25, 2025, the Mayor and City Commission adopted Resolution No.
2025-33794 authorizing the following: (i) the addition of the CR&R Project to the scope of the
Agreement, in the amount of �4,407,415, from previously awarded GOBAC funding; (ii) an
increase of the total GOBAC grant amount in the Agreement from �7,518,000 to $11,925,415,
including a contingency of $1,163,132; and (iii) the Grantee to undertake the construction
management responsibilities for the new CR&R Project, subject to oversight from the City; and
WHEREAS, there is no additional cost to the City for this request — the Grantee will be
responsible for all costs in excess of amounts approved by the City and will remain in full
compliance with the terms and conditions of the Agreement.
NOW, THEREFORE, in consideration of the mutual promises and conditions contained
herein, and other good and valuable consideration, the sufficiency of which is hereby
acknowledged, the City and Grantee agree to amend the Agreement as follows:
1. Recitals: Section Headinqs; Defined Terms. The above recitals are true and correct
and are incorporated as part of this Amendment. The paragraph headings of this First Amendment
are for convenience and reference only and none of such headings shall limit or amplify the
meaning, application or construction of any of the provisions of this First Amendment. Unless
specifically defined in this First Amendment, capitalized terms used in this First Amendment shall
have the meanings ascribed to such terms in the Agreement.
2. Modifications. The Agreement is hereby amended (deleted items s�e�g# and
inserted items underlined) as follows:
a) Section 1.2 is amended as follows:
The City hereby awards a grant to Grantee in the aggregate sum of $�7-��;489-89
$10,762,283.00 (the "Grant Award"), to be funded by the City solely from the Bonds
proceeds on a reimbursement basis, to design and construct the Project and/or to
acquire equipment. The City shall have no obligation to disburse to Grantee any
portion of the Grant Award which remains unused at the completion of the Project and
Grantee shall have no claim to such unused portion of the Grant Award. The City
Manager(or her designee) may increase the Grant Award by an amount not to exceed
$�35;69�:88 $1,163,132.00 (the "Contingency,�) if the Grantee establishes to the
reasonable satisfaction of the City Manager (or her designee) with appropriate
documentation that unfareseen conditions or other factors beyond the reasonable
control of the Grantee have resulted in increased costs for the Project, provided (a)
the use of Contingency funds must satisfy all requirements and comply with all
restrictions applicable to the use of Grant Award funds, including without limitation the
requirements set forth in Section 1.5 below and (b) the Contingency may not be used
by Grantee to alter or expand the Project scope as set forth in Exhibit B.
b) Section 4.2(e)of the Agreement is deleted in its entirety.

c) Exhibit B to the Agreement is deleted in its entirety and replaced with the attached
Amended Exhibit B.
3. Counterparts. This First Amendment may be executed in counterparts and by electronic
signature (e.g. via DocuSign, accompanied by the confirming e-signature certificate)and may be
transmitted by facsimile copy or e-mailed PDF file, each of which when so executed and delivered
shall be deemed to be an original and all of which, when taken together, shall constitute one and
the same instrument. Upon request by any party receiving an executed counterpart by facsimile
or PDF (by e-mail) to also receive an ink-signed original, the other party shall provide original ink-
signed signature pages as soon as practicable, but failure to do so shall not affect the validity,
enforceability, or binding effect of this First Amendment.
4. Entire Amendment. This First Amendment sets forth the entire agreement of the parties
with respect to the subject matter hereof. Except as amended herein, all other terms and
conditions of the Agreement shall remain unchanged and in full force and effect. In the event there
is a conflict between the provisions of this Amendment and the Agreement, the provisions of this
Amendment shall govern..
