HomeMy WebLinkAboutResolution 2025-33979RESOLUTION NO. 2025-33979 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, (1) APPROVING A SIX (6) MONTH EXTENSION OF THE MANAGEMENT AGREEMENT BETWEEN THE CITY OF MIAMI BEACH AND THE MIAMI DESIGN PRESERVATION LEAGUE, INC. (MDPL), FOR THE OPERATION OF THE MIAMI BEACH OCEAN FRONT AUDITORIUM, LOCATED AT 1001 OCEAN DRIVE, MIAMI BEACH, FLORIDA 33139; (II) APPROVING, IN SUBSTANTIAL FORM, A LETTER AGREEMENT BETWEEN THE CITY AND MDPL MEMORIALIZING SAID SIX (6) MONTH EXTENSION; AND (III) AUTHORIZING THE CITY MANAGER TO EXECUTE SAID LETTER AGREEMENT. WHEREAS, the Ocean Front Auditorium, also known as the 10th Street Auditorium, located at 1001 Ocean Drive (the "Premises"), is a City -owned historic landmark situated in the heart of the Art Deco Historic District; and WHEREAS, since 1993, the Miami Design Preservation League, Inc. ("MDPL"), a Florida not -for -profit corporation, has operated the Premises in collaboration with the City; and WHEREAS, the City and MDPL formalized this arrangement on January 1, 2010 by entering into that certain Management Agreement for the operation of the Premises (the "Agreement'); and WHEREAS, the Agreement was for an initial term of five years, beginning on January 1, 2010 and ending December 31, 2014, with two optional five-year renewal periods; and WHEREAS, the first renewal was exercised in 2014, extending the term through December 31, 2019; and WHEREAS, the City then authorized a month -to -month extension through June 30, 2020 via Amendment No. 1 to the Agreement, followed by Amendment No. 2 which extended the term of the Agreement through July 31, 2020; and WHEREAS, the Agreement was ultimately extended through December 31, 2025, via Amendment No. 3, which activated the second and final renewal term authorized pursuant to the terms thereof; and WHEREAS, accordingly, the Agreement is scheduled to expire on December 31, 2025; 7M WHEREAS, to allow the Administration sufficient time to evaluate and present to the Mayor and City Commission potential options regarding the continued management of the Premises, including entering into an agreement with a new management entity through a competitive procurement process or waiving such process and continuing the existing relationship with MDPL the Administration requests that the Mayor and City Commission approve a six (6) month extension of the Agreement, approve, in substantial form, the Letter Agreement attached to the City Commission Memorandum accompanying this Resolution, and authorize the City Manager to execute said Letter Agreement; and WHEREAS, the proposed extension preserves all terms and conditions of the Agreement and reinforces the City's public -private partnership with MDPL. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA that the Mayor and City Commission hereby (i) approve a six (6) month extension of the Management Agreement between the City of Miami Beach and the Miami Design Preservation League, Inc. (MDPL), for the operation of the Miami Beach Ocean Front Auditorium, located at 1001 Ocean Drive, Miami Beach, Florida 33139; (ii) approve, in substantial form, a Letter Agreement between the City and MDPL memorializing said six (6) month extension; and (iii) authorize the City Manager to execute said Letter Agreement. The Administration recommends adopting the Resolution approving a six (6) month extension of the Management Agreement for the operation of the Miami Beach Ocean Front Auditorium. BACKGROUND/HISTORY The Miami Beach Ocean Front Auditorium, also known as the 10th Street Auditorium, is a City - owned historic landmark located at 1001 Ocean Drive, in the heart of the Art Deco Historic District. Since 1993, and operating under a formal Management Agreement since 2010, the Miami Design Preservation League, Inc. ("MDPL"), a Florida not -for -profit organization, has operated the facility in collaboration with the City of Miami Beach. The Management Agreement, which was executed on January 1, 2010, provided an initial five- year term ending December 31, 2014, along with two optional five-year renewal periods (the "Agreement"). The first renewal was exercised in 2014, extending the term through December 31, 2019. To allow time for continued evaluation, the City authorized a month -to -month extension via Amendment No. 1 through June 30, 2020, followed by Amendment No. 2, which extended the term through August 31, 2020. The Agreement was ultimately extended through December 31, 2025, via Amendment No. 3, which activated the second and final renewal term. Over the years, MDPL has developed and delivered a wide range of cultural, educational, and tourism programs that reflect the City's values of historic preservation and civic enrichment. These include the Art Deco Museum, Visitor Center, public lectures, archival research, guided lours, and a retail gift shop, all of which contribute to the cultural vitality and tourism appeal of the area. ANALYSIS In anticipation of the current lease expiration on December 31, 2025, this item was discussed at the September 26, 2025. Finance and Economic Resiliency Committee ("FERC" or the "Committee") meeting. The Committee recommended in favor of approving a six (6) month extension to the existing Management Agreement governing the City -owned historic property 1057 of 3458 located at 1001 Ocean Drive. This interim measure is designed to ensure continuity of operations while the City evaluates long-term stewardship options —either through a competitive procurement process or direct negotiation of a successor agreement with the Miami Design Preservation League, Inc. The proposed extension preserves all terms and conditions of the original Management Agreement and reinforces the City's public -private partnership with MDPL, which has consistently delivered high -valve management of this landmark cultural asset. Continued oversight by MDPL during the extension period will: -Guarantee uninterrupted access to educational and cultural programming -Facilitate strategic planning for future grant opportunities -Strengthen community engagement initiatives -Sustain the district's prominence as a heritage tourism destination This action aligns with the City's broader objectives of historic preservation, culturally driven economic development, and the reinforcement of civic identity through stewardship of its architectural legacy. This letter serves to grant an extension of six (6) months, extending the current agreement through June 30, 2026 (the "Extension Term"). During the Extension Term, the City, through its City Manager, and for its convenience and without cause, may terminate the Agreement at any time by giving written notice to MDPL of such termination, which shall become effective within thirty (30) days following receipt by MDPL, or refusal to accept by MDPL, of such notice. Additionally, in the event of a public health, welfare or safety concern, as determined by the City Manager, in the City Manager's sole discretion, the City Manager, pursuant to a verbal or written notification to MDPL, may immediately suspend the use of the Premises for a time certain, or in the alternative, terminate the Agreement on a given date. If the Agreement is terminated for convenience by the City, the City shall be discharged from any and all liabilities, duties, and terms arising out of, or by virtue of, the Agreement.
