AMENDMENT NO. 1 TO THE GRANT AGREEMENT
FOR YESHIVA ELEMENTARY, INC.
BETWEEN
THE CtTY OF MtAMI BEACH, FLORIDA
AND
MIAMI CITY BA�LET, INC.
This Amendment No. 1 ("Amendment") to the Grant Agreement(the"Agreement"), dated July 30,
2025, by and between the CITY OF MIAMI BEAGH, FLORtDA, a municipaf corporation organized
and existing under the laws of the State of Florida, having its princfpal place of business ai 1700
Convention Center Drive, Miami Beach, Fiorida 33139 (the "City"), and MIAMI CITY BALLET,
INC., a Florida not-for-profit corporation, whose � erty Avenue, Miami Beach,
Florida 33139 ("Grantee"), is entered into this���d"a�'�b���E�� , 20_, and is effective
retroactively as of August 1, 2025 ("Effective Date") and hereby amends the Contract as follows:
RECITALS
WHEREAS, on May 15, 2024, the Mayor and City Commission adopted Resolution No.
2024-33016, allacating $189,252 in educational enhancements for private and charter schoals
during the FY 2025 budget and on a recurring basis thereafter, for the seven (7) private and
charter school5 active on the Quality Education Committee (the "QEC");
WHEREAS, Yesh�va Elementary, one of the seven private and charter schools active on
the QEC, allocated its 2024-2025 annual recurring funds to the C�ty's STEAM Plus program;
WHEREAS, on July 30, 2025, the City executed the Agreement with Grantee io provide
services for Yeshiva Elementary for the remainder of the 2024-2025 fiscal year.
WHEREAS, the Agreement title erroneously references fiscal year 2025-2026;
WHEREAS, Exhibit 2 to the Agreement includes a budget line item detailing the maximum
amount payable to Grantee for gaods and services rendered:
WHEREAS, Section 3 of the Agreement, entitled Grant Pro�ect Budget, provides that line-
item changes to the Project Budget shall not exceed ten percent(10%)per category, and that any
modification (including, but not limited to, a line-item change below ten percent (10%)) shall not
be effective unless approved, in writing, by the City and Grantee; and
WHEREAS, this Amendment seeks to {i) correct the scrivener's errors in the title of the
Agreement, and (ii)revise the Project Budget and reallocate$1,350 from the line item designated
as 'In-house/W-2 Personnel" to the tine item designated as '1099 contractors: Artistic
feeslservices'
NOW THEREFORE, in consideration of the mutual promises and conditions contained
herein, and other good and valuabte considerations, the sufficiency of which is hereby
acknowledged, the City and Grantee hereby agree to amend the Agreement as follows:
1.ABOVE RECITALS. The above recitals are true and correct and are incorporated as
part of this Amendment.
2. MODIFICATION. The Agreement is hereby amended (deleted items struck through
and inserted items underiined)as follows:

A) The title of the Agreement is hereby amended as foliows:

Agreement shall remain unchanged and in fuil force and effect. In the event there is a conflict
between the provisions of this Amendment and the Agreement, the provisions of this
Amendment shali govern.

ARTICLE II/GENERAL CONDlTIOhtS
1 PARTIES: The parties to this Agreement are the Grantee listed in Artiele 1, and the City, a
murncipai corporation organized under the Iaws of the State of Ftorida. The C�ty has delegated the
responsib�iity of administe�ing this Grant to the City Manager or the City Manager's authorized deslgnee
(the "Gity Contract Administrator'}
2 PROJECT DESGRIPTION: The City has delegated the responsibility of administering the
pro�ect 1the Project")descnbed in the Projeci Descnpt�on set`o�th in Exhibit i (the'Project Descripi�on )
to Ihe Grantee The G�antee rnay anly use the Grant for the purposes that are specificaliy descnbed �n
the Praject Description Any modification to the Pro�ect Descnptian shaii not be effective unless
approved by a wr�tten amendment to this Agreement signed by the City and Grantee Grantee agrees
that ail funding provided by the City pursuan; to this Agreement wiii be used exclusively for goods or

3 GRANT PR�JEGT BUDGET Subject to the availabifity of City funds, the maximum amount
payable to Grantee ior goods or services rendered under this Agreement shali not exceed the Grant

5 REIMBURSEMENT REQUESTS: Gra�itee shali submit reimbursement requests to the City on
a quarterly basis by {ne follo��.�!ng dates: January 15'". April 15`". Jusy15'" and the final reimbursement
request by October 15'' Additionaf ad hoc reimbursement requests may be submitted to the Gty at any
time during the Grant Term, hawever, the City may require Grantee to submit an interim wr�tten report

expenditures have occurred.Ail reimbursement requests for funds must be submitted on bath Ihe Grant

with copies af ail receipts, invoices, cancefled checks (wfth copies of bath front of backl and proof of
expend�tures of Grant mon�es. Grantee shal! provide t�e City with and shall categorize all receipts,
invoices, canceNed checks,and attler documentation, accord�ng to the categories set (orth in the grant
budget Invoices and checks must be directly related to expenses for Grant-funded activiUes taking
place wrtn�n the 2025-2Q26 Fiscai Year. For the avoidance of doubt. a�! reimbursement requests shall
mciude the foliowing (1)the fully completed Grant Reimbursement Request Form, (2)the Smartsheet
form;�3)an accompanying comprehensive quarterly report. �vhieh report shali clearly detafl the number
of students, cfasses and student interactions,broken down by school and grade level;and(4;any other
supporting documentation required under this Section 5.
A, Suppfies and Equipment The GiEy may, in its soie d�scretion, eiect to d�rectly purchase ali
supp6es and equ+pment r�ecessary for Grantee to complete the Project{"Supplies and Equipment")on
behalf of Grantee, usl�g funds from the appropriate line item(s)of the Project Budget,or permlt Graniee
to purchase the Supplies and Equipment. Whether or not the C�fy has elected to d�rectly purchase the
Supplies and Equipment wi{I be indicated in the Project Budget Any purchases of Supplies and
Equipment by the City shall be charged against the totai Grant Amount. and wiil reduce the balance of
the Grant Amount accordingry. Grantee sna�l pick up al! Supp�ies and Equipment ordereU by the City at
an address to be provided by the City Contrack Adm�nistralor. In add�t�on,Grantee shaii compiy with the
Ordering. Delivery and Retum Guidelines attached hereto as Exhibit 5 and incorporated herein.
All Suppfies and Equipment,�vhether purchased by Grantee or directiy by the C�ty,shaii remain property
of the City at ali times. Any non-cansumed Supplies and Equ+pmenl,whether purchased by Grantee or
directiy by the City, shail be returned to the City at the end of the Te�m or upon earlier termination of
this Agreement. If Grantee fails tc return any nan-consumed Supplies and Equiprrent. the City may
deduct the cost of the missing Supp�ies and Equ�pment from the f�nal payment due to Grantee. ar

6. AMC?UNT OF GRANT ANQ PAYMENT SGHEDULE: The total amount of the Grant is set forth
in Articie I, subJect to the restrichons set forth herein �r, awarding this Grant, the City assumes no
obligation to prouide financial support of any type�vhatsoeve�in exc�ss of the totai Grant Amount. Cost
overruns are the soie pnncipai responsib�lity of the Grantee Tne Grant funds wiii only be remitted to
the Grantee once the Ivtayar and City Commission have approved the grant ativard and once all part�es
have executed this Agreement.
7 GRANT RESTRICTIONS: Grant funds awarded pursuant ro this Agreement may not be used
for the fo�lowing expenditures remuneration of City empioyees for services rendered as part of a project
funded by this Grant; debt reduction; sacial and(or fundraising events; Cash prizes; lobby�ng or
propaganda mater�ais, charitable contributions; or events nat open ta the public.
8. NO GUARANTEE OF FUNDING: This Agreement is approved for the duraGon af the Term with
no guaranteed renewal options If invited to apply for the toliowing year, Grantee agrees to provide the
City with a funding r�quest f�r the Project,which wiii inciude a fine-item budget for the requested amount
of Grant funds(the"Funding Request"�na later than March 1��of the following fiscai year Upon receipt
af the Funding Request and the City's receipt of funds for the Project, the City wi�l advise whether the
Project �s approved Each approved Funding Request and corresponding renetiva� term wili be
memonafized, m writing, �n Ihe form of an amendment to the Agreen�ent executed by the City and
Grantee or the execution of a �ew agreement between the City and Grantee.
Notwiihstanding the foregoing. Grantee ackno�,uledges that the receipt of this Grant does not
�mply a commitment on behalf of the City ta canGnue to provide funding beyond the term specified m
this Agreement.
9 PROGRAM MONITORING ANQ EVALUATION: The City h-lanager or the C�ty Manager's
designee may mon�tar and conCuGt an eva�uat�an ot the Project under this Grant, �vh�ch may include.
with or wlthout limitation,visits by C�ty representat�ves to Grantee's oftices andror Ehe site of any pro�eci

18. INSURANCE REQUIREMENTS: The Grantee shail maintain the below requ�red insurance in
efFect prior to the execution of the Agreement and far the duration of the Agreement The ma�ntenance
of proper insurance coverage �s a material element of the Agreement and fa��ure ro mamtain or renew
coverage may be treated as a mafenai breach of the Agreement, :vhich couid result in withholding of
�ayments or termmaban of the Agreement.
A. Workers' Compensat�cn insurance for ail emplayees of the Grantee as required by Fiorida
Statute Ghapter 440 and Emalayer Liability lnsurance �vith a I;mit of no less than S1,000,000 per
accident fpr bodily injury or disease. Should the Grantee be exempt from this Statute, the Grantee and
each emplayee shali hold the City harm�ess from any in�ury incurred during performance cf the

Waiver of Subrogation- Gra�tee agrees to obtain any endorsement that may be necessary to affect
the �va�ver of subrogation on the caverages required. Nowever, th�s provision appl�es regardless of
tivhether the City has received a waiver of subroga6on endorsement from the Insurer.
Acceptability of Insurers - Insu�ance must be placed with insurers with a current A.M Best rating of

records disclosure requirements are not disclosed. except as authorized by law. for the
duraUon of the contract term and following complebon of the Agreement it the Grantee
does not transfer the records to the C�ry,
iv. Upon compleUon of the Agreement, transfer, at no cost to the Gty,ail public records in
possession of the Grantee or keep and maintain public records required by the Crty to
perform the service. If the Grantee transfers all public records to the City upon
completion of the Agreement, the Grantee shall destroy any duplicate public records
that are exempt or confidential and exempt from public records disclosure
requirements. If the Grantee keeps and maintains public records upon complet�on of
the Agreement,the Grantee shall meet all appticable requirements for retaining public
records All records stored electronically must be provided 10 the City, upon request
from the City's custodian of public records, in a format that is compatible with the
information technoiogy systems of the City.
D. RE�UEST FOR RECORDS; NONCOMPUANCE
i A request to inspect or copy public records relating to the City's cAntract for services
must be made directly to the City If the City does not possess the requested records,
the City shall immediately notify the Grantee of the request, and the Grantee must
provide the records to the City or aliow the records to be inspected or copied within a
reasonable time.
ii. Grantee's failure to comply w�th the C�ty's request for records shall constitute a breach
of this Agreement, and tne City, at its sole d�scretion, may (1)unilateraily terminate the
Agreement;(2)ava�l�tself of the remedies set torth under the Agreement;and�or(3)ava�l
itself of any availabfe remedies at law or in equ�ty

�. If the Gity has a good faith belief that Grantee has knowingly violated Section 448.09(1),
Florida Statutes, the C�ty shall term�nate th.s Agreement with Grantee for cause, and the
City shall thereafter have or awe no further obl�gat�on or liabihty to Grantee.
�i If the City has a good faith be:ief that a subcontracter has knowingly violated the
foregoing Subsection 20(A). but the Grantee other�vise complied with such subsect�on,
the C�ty wili promptly notify the Grantee and order the Grantee to immediately terminate
the agreemern w�th the subcontractor. Grantee's faifure to terminate a subcontractor
shall be an event of default under this Agreement, entitling City ro terminate this
Agreement for cause

21. BOARD TRAINING: Pursuant to Resolution 2018-30552, Grantee is required to have 51%
or more of its board membersh�p complete the City's trainmg for board members, if all three of the
following apply: 1}the agency is a non-profit, 2)the agency has an annual operatinC budget of less than
$5 m�ilion; and, 3) the grant award is for $25,000 or more in City funds. The Board Training must be
completed within the last two years prior to the receipt of City funds.
22. WRITTEN NOTICES: Any notices requ�red under this Agreement will be effeclwe when
deiivered to lhe Gty, addressed to the City Contract Adminlstrator(as �dentified in Seclion 23 of this

support. As such, use of Grant funds for any program component not meeting this condition will be

34 FORCE MAJEURE:

such party unabie to perform�he obligation, and (i�i)is r,ot due to an;nt�ntionai act, error. om�ssion, or
negl,gence of such party, and (iv)couid not have reasonabiy been foreseen and prepared far by such
party at any time pnor to the occurrence of the event. Sub�ect to the foregoing cnteria, Force ti4a�eure
may include events such as tivar, civil insunectaon nat, fires, epidemics, pandemics, terror+sm.
sabotage, explosions, embargo restrictions, quaranUne restrictions, transportation acciCents, strikes.
strong hurricanes or tomadoes, earthquakes, or otner acts of God which prevent performance Force
Majeure shali not include technological impossibility, inclement weather, or failure to secure any of the
required permits pursuant ta the Agreement.
B. If the City or Grantee's perSormance af its contractual obligatians is prevented or delayed
by an event believed to be Force Majeure. such party shall immediately,upon learrnng of the occurrence
of the event or qf the commencement of any such delay. but in any case with�n fiiteen (15} business
days thereof, provide notice ('Force ktajeure Notice') The Force Ma�eure Not,ce shail �nclude the
follow�ng: (} the occurrence of an event of Force M1�ta�eure, (ii) the nature of the event and the cause
thereof, (iii) the anticipated impact on the Agreement, (iv} the anticipated periad of the delay, and (v)
what course of action such party pians to take in order to mitigate the detnmental effects of the event.
The timely deiivery of the Force Majeure Natice is a condition precedent to aliowance of any re6et
pursuant to this Sectian; however, receipt of a Force Ma�eure Nottce shaMl not constitute acceptance
that the event cla�med to be a Force M1;1ajeure event is�n fact Force Majeure under this Agreernent. and
the burden of proof oE the occurrence of a Force Majeure event shaii be on the requesting pa�ty.
C No aarty hereto shail be liabie for its failure to carry out its obligations under the
Agreement during a penod when such party �s rendered unable, in whole or in part, by Force Ma�eure
to carry out such obligations. The suspensian of any af the abiigations under this Agreement due to a
Force t�taj�ure event shall be of no greater scope and no longer d�,rafion than �s required. The party
shaU use �ts reasonable best efforts to continue to perform �ts obligaUons hereunder to the extent such
abligations are not affected or are only partially affected by the Force Majeure event, and to correCt or
cure the event or conditlon excusing performance and othenuise to remedy its inabihty to perform to the
extent its inability to perform is the direct result of ihe Forr..P Majeure event with all reasonable dispBtCh.
D Obiigations pursuant to the Agreement that arose beFore the occurrence of a Force

payment obligations under the Agreement, and may take such action �vithout regard to the nohce
requirements herem Additionaily, in the event that an event of Force Majeure delays a party's
performance under the Agreement far a time �eriod gr�ater than thirty(30a days, the Cily may, at the
sole discretian of the City Manager, terminate the Agreement on a given date, by giving wntten notice
ta Grantee of such termination. If the Agreement is terminated pursuant to this section, Grantee shall
be paid for any Senrices satisfactonly pe�formed up to the date of termination; foAawing which the Gty

executed the Anti-Human Trafficking Affidavit,cantaining ihe certification of compi�ance with anti-human

WHEREAS, in January 2008, the City of Miami Beach entered into an Education
Compact wifh the Miami-Dade County Rubiic Schools to Enhance Leaming Opportunities
for Youth;and
WHEREAS, the Education Compact reflects the desire of the Miami Beach
community to support exceltence in the Ciry's public schoo(s and enhance the health and
well- being of our Ci#y's youth; and
WHEREAS, the City of Miami Beach's advisory Committee for Quality Education
in Miami Beach Schools was established in 1999 to make recommendations to the City
Commission and to investigate, develop, and carry out plans to promote and ensure the
provision of quality education in Miami Beach schoois; and
WHEREAS, the City of Miami Beach through the Office of Education and
Performance Initiatives provides programming to sfudents enrolled in six local Miami-
Dade County Public Schools: Biscayne Beach Elementary, North Beach Elementary,
Miami Beach Fienberg Fishe� K-8 Center, Miami Beach Nautilus Middle, Miami Beach
South Pointe Elemerrtary, and Miami Beach Sr. High; and
WHEREAS, Ordinance 2023-4540, codified in Sections 2-190.134 through 2-
190.138 of the City Code, was recently expanded to include twenfy-six (26) voting
members, including eleven private/charter Miami Beach schools who have inquired about
existing City funded edueational enhancements; and
WHEREAS, existing City funded educational enhancements include the purchase
of Agenda Planners, STEM Equipment, STEAM+ Programming, College Prep
Programming, Duaf Enrollment, College Transcripts, Mental Health, Stop the Bleed Kits,

Mesivta of Greater Miami), Montessori Academy at St. Johns, Rabbi Alexander Gross

innavative Schoal, and Yeshiva Elementary School; and
WHEREAS, this item was referred far a discussion at the Finance and Economic
Resiliency Committee by Commissioner Rosen Gonzalez at the July 26, 2023
Commission Meeting,to discuss funding for educational enhancernents; and
WHEREAS, the item was presented at the February 23, 2024 Finance and
Economic Resiliency Committee meeting and retumed to the March 22, 2024 meeting
with additional information from the private/charter schools who have active Quality
Education Comrnittee (QEC) members regarding iheir interest in existing educationa!
enhancement programs develaped, implemerrted, funded and managed by the City's
Educatian and Perfarmance Initiatives Division; and
WHEREAS, the City of Miami Beach Chief Education officer met with
privatelcharter Miami Beach schoals between February 29, 2024 and March 8, 2Q24 to
discuss current educationa! enhancements available to youth in Miami Beach through
various partnerships, including the public schools. Following each meeting, individual
school Quality Education Committee representatives provided a ranking of current
ec3ucational enhancements of interest for their school; and
WHEREAS, according to schao( administration-provided enrollment information,
there are currently 2,612 youth from early childhaod to grade 12 attending seven (7)
private/charter schools in Miami Beach ofwhich 54%(1,499)are Miami Beach residents;
and
WHEREAS, currently, there are 6,148 Miami Beach K-12 youth attending pubfic
schoots across Miami-Dade County. As of March 2024, 4,839 ar 78.7% are attending
public schools in Miami Beach; and
WHEREAS, an estimated �908,508 is alloeated annual(y to various city funded
and implemented educational enhancements; and
WHEREAS, at the March 19, 2024 meeting, a 15-0 motion was passed
unanimously by the Committee for Quality Education members for to request the Mayor
and Commission continus to sustain current public school educational enhancements and
support the newly prioritized educational enhancements for the private and charter

schools. The amount reflected for the private and charter schools is estimated based
upon current public school enhancement programs and may not be reflective of actual
funding needs. The public, charter and private school representatives are united and
comrnitted to all improvements and enhancements for the educational needs of all Miami
Beach children.These enhancements should only be an expansion and never a reduction
of currently funded public school enhancement programs; and
WHEREAS,Vice-Mayor Rosen Gonzalez motioned at the March 22,2024 Finance
and Economic Resiliency Committee to discuss this item at the upcoming Commission
meeting, with a second from Commissfoner Bhatt, and favorable recommendation of
making this a priority during the FY 2025 budget process for �189,252 on a recurring
basis and$393,163 as a one-time enhancement for the seven(7)private/charter schools
with active membership on the Quality Education Committee; and
WHEREAS, the Administration also recommends that any new program be
considered as part of the FY 2025 budget process; and
WHEREAS, additfonally, implementation of any combination of the requested
educational enhancements at private/charter schools will require an educational
specialist position to develop, implement, and manage all programs for each individual
private and charter school. Funds for this position may partially come from allocated
administrative funds for other educational programs currently underway.
NOW, THEREFQRE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby accept the recommendation of the Finance and Economic Resiliency
Committee at its March 22, 2024 meetfng to prioritize $189,252 in educational
enhancements for p�ivate and charter schools during the FY 2025 budget process and
on a recurring basis thereafter for the seven private and charter schools currently active
on the Quality Education Committee; and further prioritize $393,163 as a one-time
enhancement for the seven private and charter schools currently active on the Quality
Education Committee; and further authorize the City Clerk and City Manager or his/her
designee to execute all agreements or documents necessary to support the educational
enhancements contemplated under this resolution.

The attad�ed Ordinance was prepared at the request of Cammissioner Kristen Rasen
C3onzalez. The Mayar and City Commission approved the �dinance o� first reading at
the February 1, 2023 City Commission meeting. No changes have been made between
Fi�st and Second Reading. A Summary of the propased Ordinance fs set forth below.
The Cityyr of Miami Beach's advisory Committee For Quafitty Education In Miami Seach
Schoals was establ�hed in 1899 to make recommendations ta tlte Gity Commission and
to investiga�e,devetop,and carry out plans to pfomote and ensure the provision of quality
education in Miami Beach pub{ic schools.
The Ordinance, cadified in Seatiyons 2-190.134 through 2-190.138 of City's Code of Laws
and Ordinances("City Code'�, requires for the Commit�ee to be composed of fifteen (15)
vctiny members ar�thres nonvating ex-officio members.
The proposed Ordinance wouki amend tl� camposition of the Committee to inGude
rep��se�a�ves from ait K through 12 schools in the City of Miami Beach, includin8 private
and chetter schtw4s, to bettef serve the interests of all studeMs in the City, for a toCal
nurt�ber of 27 members.

The Committee for Quality Education would like to request the Mayor and Commission continue
to sustain current public schaol educationa!enhancements and support the newly prioiitized
educational enhancements for the private and charter schools.The amount reflected for the
private and charter schoais is estimated base�upan current public school enhancement
programs a�d may not be reflecGve of actual funding needs.The public,charter and private
scfiool representatives are united and committed to atl improvements and e�hancements for the
educational needs of all Miami Beach children.These enhancements should onty be an
expansion and never a reduction of currently funded public school enhancement programs.
The Committee for Quality Education urges the Mayor and Commission to support the above
request.
