BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA
AND
CLEAN MIAMI BEACH, INC.
This Amendment No. 1 (the "Amendment") to the Grant Agreement, dated January 17,
2025 (the "Agreement"), by and between the City of Miami Beach, Florida, a municipal
corporation organized and existing under the laws of the State of Florida, having its
principal place of business at 1700 Convention Center Drive, Miami Beach, Florida 33139
("City'), and Clean Miami Beach, Inc., a Florida not -for -profit corporation, having its
principal place of business at 2395 Lake Pancoast Dr., Apt. 10, Miami Beach, Florida
33140 ("Grantee"), is entered into this _ day of 2025:

WHEREAS, on June 26, 2024, the Mayor and City Commission adopted Resolution
No. 2024-33094, approving the award of a grant in the amount of $45,000 to Grantee;
WHEREAS, on November 20, 2024, the Mayor and City Commission adopted
Resolution Number 2024-33364, approving the revised scope of services for the awarded
grant;
WHEREAS, on January 17, 2025, the City and Consultant executed the Agreement,
effective retroactively to January 1, 2025, in support of Grantee's programming efforts to
keep Miami Beach and its natural habitats free of garbage and harmful pollutants, which
services include the planning and execution of seventeen (17) clean up events, ten (10)
Classroom on the Sand workshops, five (5) Microplastic Art workshops, five (5) school
presentations, and one (1) Ecofest, as more particularly set forth in Exhibit 1 of the
Agreement; and
WHEREAS, the City and Consultant wish to amend the Agreement to extend the
term through February 28, 2026, to allow Consultant additional time to complete the
Services.
NOW THEREFORE, in consideration of the mutual promises and conditions
contained herein, and other good and valuable consideration, the sufficiency of which is
hereby acknowledged, the City and Consultant hereby agree to amend the Agreement as
follows:
1. ABOVE RECITALS. The above recitals are true and correct and are incorporated
as part of this Amendment.
2. MODIFICATIONS, The Agreement is hereby amended (deleted items struek
ihreugh and inserted items underlined) as follows:
(a) The section of Article I of the Agreement, entitled "GRANT TERM," is hereby
amended to read as follows:
GRANT TERM: January 1, 2025- BesembeF37-4024 February 28. 2026
(b) The section of Article I of the Agreement, entitled 'EXPENDITURE
DEADLINE," is hereby amended to read as follows:
EXPENDITURE DEADLINE: December-3l, 2026 February 28. 2026
(c) The section of Article I of the Agreement, entitled 'PROJECT COMPLETION
DATE," is hereby amended to read as follows:
PROJECT COMPLETION DATE: Decem§eF30, 2926 February 27

(d) The section of Article I of the Agreement, entitled "FINAL REPORT
DEADLINE," is hereby amended to read as follows:
FINAL REPORT DEADLINE: Besember-30, 2025 February27. 2026
3. RATIFICATION. Except as amended herein, all other terms and conditions of the
Agreement shall remain unchanged and in full force and effect. In the event there
is a conflict between the provisions of this Amendment and the Agreement, the
provisions of this Amendment shall govern.
