WHEREAS, the Event is a competitive functional fitness event series and fitrimrspais bind focused un testing all-around athletic ability 1hro"gh structured, high intensity workout, and community - driven competitive events: WHEREAS, the series, which wigira8ted in Europe and now comprises morn than 18 global events will «e Miami Beach as Its first entry point into the U S market, WHEREAS, the competition is structured to accommodate all fitness levels, with categories or versions like 'Lire." 'Standard," and "tiro' W beginners and elite competitors alike can p3rliCap0lee; WHEREAS, the Adidas ATHX Showcawe Edition will include some of fitness racing's tco athletes, influencers and open community competitors.; WHEREAS, the Event will take ice during the third week of March 2026, as part of the 202b Miami Beach Fitness Festival, a month -long fitness-tocu5ed program aimed at replicabng the impact that the Arts economy has on Miami Beach during Art Week Miami Beach, WHEREAS, the Event will utilize an approxirrtateiy 50.000- to 70,000-square-toot Footprint within they Lummus Park be;achfront, betwee+rs 10 and 13 Streets, WHEREAS, Event Organizer has mtablished a partnership with ATKX and will serve as their local production and promotion agency, WHEREAS, on Apnl 3, 2024. the Mayor and City Commission approved 3 referral item to the Finance and Economic Resiliency Committee (FERC), to discuss a Fitness Festival reacognizing, the potential of fitness programming to attract international participants and promote health and wellness, - WHEREAS, on June 28, 2024, FERC recommended focusing on March 2026. with funding priorities estabirshod during the FY 2025 and F1' 2028 budget pr�xx�, and on July 24. 2024, the3 Mayor and City Commission adopted Resolution No. 2024-33198, directing the Administration to engage vendors to bring a Fitness Festival to Miami Beach; WHEREAS, on Sefrtember 30, 2Q25, the Mayor and City Commission adopted the City's I=Y 2026 Operating Budget that included the. $600,000 sponsorship funding for ttte Event, WHEREAS, on December 17. 2025. ttwt Mayer and City Commission adopted Resolution No. 2025-34010, (1 } approving sponsorship funding for the Evwt as part of Miami Bianco F.trw-kss Month in March 2026, including (a) a special event cash sponsorship in an amount not to exceed $6fl0, 000. to reimburse Event Organizer for third -party event cases and aty services, and (b) a waiveir of spocal event 0 Docusign Envelope ID: 0372D290-5474-47D5-A83A-D82566B413F3 pernut fees, square footage fees, vehicle beach access pass fees, and Lummus Park user foes in an amount not to exceed $120,000, and (2) authorizing the City Administration to nc goWe and hn,3l0ee a sPOcial event sponsorship agreement with Event Organizer; and WHEREAS, the City's sponsorship funding for the Event is to he paid directly to Event Organizer, as more particularly set forth herein, to offset expenses for producing and presenting the Event NOW. THEREFORE, in owsideration of tho mutual promises and covenants made herein, City and Event Organizer :xtrse as folloays, Recitals. The above recitals are true and correct and are mcorporalw by reference herein. 2 Turn,. The term of this Agreement (the 'Term') will commence on the Effective Date set forth above, and shall expire following the conciLlsion of the Event and Event Organizer's completion of all of its oblQaations hereunder. unless torminstcsd earbor in accordance with this Agreement. 3- went. Event Organizer shall be solely responsitAe for producing and promoting ail aspects of the Event, including securing private sponsors and vendors to pupate in the Event The Fvent Organizor has advised the City that the Event shall be known and promoted under the title of the "2026 ADIDAS ATHX GAMES_' The Event Organizer sttall be responsible for the conduct and opQration of the Event and will provide the appropriate personnel to conduct the Event. The City is i.r4er no obligation to fund subscgieni Events. Event Organizer shall be responsible for any and all compensatcon that may be due to any and all performers, entertainers, vendors, Organizations, event sanctioning bodies, vendors, and participants, and the City shall have no such responsib,idy, obligation, or habibly. The City shall nol be responsible or liable to competitors for prize money payments. or to any third party for any aspect of the production of the Event Further, the City shall riot be a party to any indapencont contracts that She Event Organizer may enter into with other organizations, contractors, or participants in the Event andtor supporting activities, nor shall tho City be Gable to such third parties. Notwithstanding the above, the requirements of Section 82.8 shall not re3striLt Event OrganLzer from providing a beverage with, or uttering the use of, a single -use ptastic beverage straw or single -uses plastic stirrer to are irxlividual with a disability or medical' co 4ilron that impairs the consumption of beveragios without a single -use plastic beverage straw or single -use; plastic staror. 3. Event Organizer agrees to comply with Section 46-92(c) of the City Code, whim provides that it is unlawful for any perin to carry any expanded polystyrene product, single -use plastic boverage straw, or single -use ptaslic stirrer onto any beech or park within the City. It is also uniawTul for any business to provide single -use plastic beverage straws or single -use plastic stirrers with the service or delivery of any teem tv patrons on any beach within the City. Notwithstanding the move, the provisions in Section 46-92(c) that pertain to single-usc plastic beverage straurs and sir gle-use plastic stirrers shall not apply to a person or patrort with a disability or medical condition that impairs the cormumption of beverages -without a singles -use plastic beverage straw or sirxgle-use plastic stirrer. 4 Event Organizer hereby agrees and acknowtedqet. that. pursuant to Section 82 of the City Coda, as may be arnendod from time to time, Event Organizer shall adhere to City prohibition regarding the sale or use of expanded potystyra* food service articles, single use plastic beverage; straws, and sjngk use plastic stirrers B. Event Organizer$hall pay all Claims and losses in connection therewith and shag investigate and defend all claims, suits, or actions of any kind or nature in the name of the City, where applicable, including appellate proceedings, and shall pay all casts, judgments, and attorneys' fees which may issue thereon. The connection between cultural and sporting activities as key drivers of economic impact, attracting visitors. and generating income served as a programming blueprint. Fitness Festival in March On April 3. 2024. at the request of Commissioner David Suarez. the Mayor and City Commission referred a discussion item (C4 J) to the Finance and Economic Resiliency Committee (FERC), regarding a Fitness Festival (the Festival) in March 2025 or 2026 The referral memorandum recommended the Administration to engage prominent fitness organizations, television programs. and brands such as CrossFlt, American Ninja Warrior. The Administration would set aside $500.000 allocated annually in FY 2025 and FY 2026 for $ 1.0 million from the Large -Scale Community Events budget.
