THIS SPONSORSHIP AGREE��NT • GROUNqUP MUSIC 6ESTIVAL (the 'AQreement'j �s
made end entered into th�s day of , 2026, with an effective date of October 1,
2025 (`EKective Date'), by �between the City f M�ami 8each, Fbrida, a Fbrida muMcipa!
carporation, with o�ices at 1700 Convention Centar Dme, Mfami Beach, FL 33139(the'Gty'),
and GroundUP Mus,c Foundatbn, Inc., a� Florida not-for-profit o�anization, whose addresa is
4707 North Bay Road, M�ami 8each, Flor�da 33140 ('Event Organize�').
WITNESSETH:
WHEREAS, the City desires to sponsor the GroundUP Adusic Festiva!(the 'EvenY'), an
�mmersive, authent�c and opt�mal expenence for both mus�cians and fans with a line-up ot artfsts
such as Snarky Puppy, Flying Lotus, Patrice Rushen, Ridcie lee Jones,Bilal, Julian Lage, Isaiah
Sharkey,Vari�ashree Venugopal, A�oo�Aftab, Alam Perez, and others;
WHEREAS, the Event wdl take place March 13-15, 2026, at the Miami Beach Bandsheil
and the adlacent Bandshell Park,
WHEREAS, one of the central aspects of the Event ethos is divarsity in every sense of
the word - divers�ry ot genre, style, geography, culture, race, age, and gender - as well as
remarkable d�vers�ty amonq art�sts and attendees,with the Festival reqularly drawing crowds of
passionate music bvers and musicians from SQ states and 55+countnes,
WHEREAS, Event Orgarnzer appl►ed for sponsorship tundinfl through the FY 2026 Mlam�
8each Special Event Sponsorsh�p Program, designed to provide financial assistance to M�am�
Beach-based special events under the Mapr Spec�al Event Category;
WHEREAS. on Apnl 23, 2025, the Mayor and City Commission adopted Resolution No.
2025-33113, accepting the recommendaGon ot the Tourism and Culture Department tor the
approval of a sponsorship, in a recommended award amount of 544,125.00 tor the 2026 Event,
and
WHEREAS, the Cit�s sponsorship lu�ding for the Event is to be paid directly to Eve�t
Orgarnzer, as more particularly set Forth herein, to oAset expenses for producing and
presenting the Eveni.
NOW,THEREFORE,in considerat�on ot the mutual promises and cov�enants made herein,
Gry and Event Organizer agree as folbws

2 T�rm Tha term o( this Agreement (the 'Tenn'a w�ll commence on the Eftective Date sat forth
above, and ahall expire folbwinq the conGus�on of the Event and Event Oryanizers campletion
of all of its obhflatrons hereunder, unless terminated ea�l�er in accordance with this Agreement.
3. Event. Event Orpanizer shall be solely respons�ble for producinQ and promotinfl ali aspects of
the Event, includinfl securing pnvate spansors and vendor� to participate m the Event. The
Event Orqanizer has adwsed the City that the Event shall be known and promoted under the
title of the'GroundUp Mus�c Festival'The Event Orflarnzer shall be rasponsible tor the conduct

and operation of the Event and will provide the appropnate personnel to conduct the Event.
The Gity is under no obligation to lund subsequent Events
Event Organizer shail be responsibie for any and all compansation that may be due to any and
all performers, entertainers, vendors, organizations, event sanctioning bodies, vendors, and
participants, and the City shall have no such responsibfllty, obl�gation, or liability. The City sha!!
not be responsfble or Iieble to competitors for prfza money payments,or to any third party for any
aspect of Ihe production ot the Event. Further, lhe City shefl not be a party to any Independent
contracts that th� Event Organizer may enter Into wllh other organizations, conVactors, or
pa�ilcipants in the Event and/or supporting activities, nor shall the City be Ilable to such th�rd
partles. Event Organlzer shall not represent that It 1s an agent,offlcial,authonzed representative,
or employee o(City.
4 Soonsorshio Fundina. Subject to Event Orgarnzers camplianoe with its obl�gations under this
Agreement and an ennual approprie6on of funds et the City Commission's sole discretion, the
City shall provide Evenl Organizer with sponsorship fund�ng tor the purposes specified herein, in
the amount of$44,125.00 for the 2026 Event; prowded, however, that no more ihan 15 percent
(15°�)of the Ciry's total sponsorship contrlbution may be disbursed in advance of the Event. Alt
remaining cash contributions shall be made on a reimburseme�t basis, follow+ng (Ij the
conclusion of the Event, (n)the City's rece�pt and approval of production development matenals
and required supporting documentation (e.g. lnvoices, canoeled checks and photographs)
demonstrating that Event Organi2er has actually ►ncurred such third-party expenses, and (iii)
Event�rganizers submission, and the Citys acceptanoe,of the Final Report.
5 Warranties. Event Organizer warrants and represents that it has a41 necessary rights,authoriry,
licenses and permits necessary to enter Into this Agreement, to grant lhe rights and liCenses
herein granted, and to carry out its responsibilities as set forth herein. Event Organizer shall
utilize the sponsorship benefits to conduct and flpefate the Event in a safe and �espectfui
manner,in accordance with all applicable laws,and without endanc�ering others or violating their
rights.
6. Saonsorshiq Benefits. In consideration of the City sponsorship funding described in this
Agreement, and the mutual promises made herein, Event Organizer shall p�ov{de sponsorship
benefits to the City which, at a minimum, shall include the sponsorship requirements/benefits
set forth In Section 9 of this Agresment and in Exhibit A. attached hereto and incorporated
herein.
T Publfc Benefi� Proaram. Event Organizer shall provide a publlc benefit program (the "Public
Benefit Progrem'j to be mede evailable to City of Miam� Beach residents. The EvenYs Pubfic
Benefit Program shell indude the following,wherever permissible erd applicable within the Event
footpnnt:
A. Event Orgenrzei wlll give 20 Compllmentary Passes to the Unidad Seniw Center for the
Event to be drstributed to senias.
B. M/emi Beach Resfdenfs wlfl recehre 15%oNadmission passes with the code LOCALS�NLY.
C. Mutti-Grammy award-wlnning/aiz fusion band, Snarky Puppy, wll!hosf an Open Rehearsal
and Q6A in preparetion tor thetr Family Drnner'set at the Event. This Open Rehearsal end
Q&A is bea to the public and will Include over 300 studenfs lrom MDCPS end Young Musicians
Unlfe, a non-prort organization fh�t providas frea in-school musfc education in over 40 partner
schoo/s aiound Mfami-Dade.

all soda end water must be served in norrplastic oontainers.

10 Event O�arnzer is ResDonSible For the Followina
A. Event Organizer shall arrange for vendor concessions ic�side ihe encbsed area o1 the Event ,
Site All sales of soft dnnks or other beverages must be In compliance with the City's beverage
contract. Event Organizer wi11 collect all praceeds from Event concessions. City shall have no
respons�b�lity, obligation or liabitity relating ta vendor concessions. Event Organizer shatl be
solely responsibie for ensuring that ail vendors' services are provided in accordance with all
applicable laws, inciuding, without limitation, all food service, food handling, and alcohol�c
beverage and license regulations, including the folbwing.
1 Event Orgarnzer hereby agrees and acknowledges that, pursuant to Section 82-7 of the
City Code, as may be amended from time to time, Event Organizer shall not sell, use, provide
food in,or offer the use of expanded poiystyrene food service artiGes(as defined in Ciry Code
Sect�on 82-7) w�thin the Event Site or othen�v�se �n connection with the Event. A violaUon of
th�s section shall be deemed a default under the terms oi this Agreement. Notwithstanding the
above, this section shall not apply to expanded polystyrene food service articles used for
prepackaged food that have been tilled and sealed prior io receipt by Event Organizer.
2. Additionally, Event Organizer ag�ees and acknowledges that, pu�suant to Section 82-8 of
the City Code, as may be amended from time to time, Event Organizer shall not seU, use,
provide food in, or offer the use of single-use plastic beverage straws or single-use plastic
stirrers(as defined in City Code Section 82-8)within the Event Site or otherwise in connection
with the Event. A valation of this sectbn shall be deemed a default unde�the terms of this
Agreement. Notwithstanding the above, the requirements of Section 82-8 shall not �estnct
Event Organizer from providing a beverage with, or offering the use ot, a single-use plastic
beverage straw or single-use plastic stirrer to an individuai with a disabiliry or mediql
condition that impairs the consumption of beverages without a single-use plastic beverage
straw o�single-use plastic stirrer.
3. Event Organizer agrees to comply with Section 46-92(c)of the City Code, which provides
that it is unlawful for any person to carry any expanded polystyrene product,single-use plasGc
beverage straw, or single-use plastic stirrer onto any beach or paric within the City. It is also
unlawful for any business to provide single-use plastic bevera9e straws or single-use plastic
stiRers with the service or dellvery of any beverage to patrons on any beach within the City.
Notwithstanding the above,the provisions in Section 46-92(c)that pertain to singls-use plastic
beverage straws and single-use plastic sbr�ers shall not apply to a person w patron with a
disability or medical condition that impairs the oonsumpGon of beverages without a single-use
plastic beverage straw or single-use plastic stirner.
4. Event Or�anizer hereby agrees and acknowledges thai,pursuant to Sectan 82 of the Crry
Code, as may be amended irom time ta time,Event Organizer shall adhere to City prohibition
regarding the sale or use of expanded polystyrene food service articles, single use plastic
bev�erage straws, and single-use plastic stirrers.
B. Event Organizer shall be responsible for handling all media vendors and organizaGons and
w�ll be solely responsible for handting all issues relating to the media vendors.

C. Event Organizer shall retafn eny and all rights to the Event, inciuding any rights assoclated
with Event-related apparel and/or p�oduct sales.
D Event Orgernzer shall keep the City apprised,on e monthly basis,of its progresa w�th respect
to the ec4ivation of the Event. City, at its sole discretion,may monMtor and conduct an evaivation
of Event Organrzer's implementation of the Event. Event Organizer agrees to cooperate w�th
City to promptly address any deflcfencies or concems the Clty may have In connection w�th the
Event
E. Event Organlze�hereby grants the City a non-exclusive license and nght to use the title of the
Event or any photographic, video,audia or other footage of the Event, in connect�on with any C�ty-
produced pubDcat�on, including the City produced magazine or any City medla outlets, such as
MBN This section shall survive the termination or expiration of this Agreement.
F Event �rganizer shall purohase and obtain all required Event lnsurance pol�cies for General
L�eb�lity coverage in the amount of at least $1,000,000.00 General Aggregate; $1,000,000 00
Products/Completed Operations; $1,000,000.00 Personal and Advertising tnfury; at
$1,000,000.00 per occurrence, covering City, and all participants, no later than 10 days pnor to
the Event,and Event Orgenizer shall provide a Certificate of Insurance evidencing sueh coverage
to the City's Risk Manager. Event Organizer shall also provide liquor liability insurance, in the
amount of$1,000,000.00, and Host liquor tiability insurance, in the amount$1,OQO,OOQ.00.
The ebove policies shall cover the City, and all participants, no later than 10 days prior to the
Event. Event�rganizer shall provide a Cert�cate of Insurance evldencing such caverage to the
City's Risk Manager no later than 10 days pnor to the Event. All insurance policies shall name
Ciry as additanal insured and Certificate Holder,as follows:

G. Event Organizar shafl obtain all applicabfe federal, state, and locat approvals, permits and
licenses relating to the Event and any activities refated thereto. Event Organizer shall maintain
its good standing in accordance with the laws of the Stata of Fbrida and the City of Miami Beach
Code of Ordinances("City Code'),and shall comply with any federal, state,caunty or City Code
requirement applicabfe to Event Organizer or to the Event Organizer's operation its business or
other activities in the City of Miami Beach, including, without limitation,obtaining any Cert�c.ate
of Use or Business Tax Receipt(s)that may be roquired�or any business activity,timety making
payment of all taxes,fees or charges that may be due to the City. Event Organizer shall promptly
take carrective action to correct any City Code violatfon or notice of vidation issued by any
govemmental agency with jurisdiction over Event Qrganizar. Further, Event O�ganizer agroes
to comply with the tertns and conditions of any lease, contract, or other grant agreement that
Event Organizer may have separately entered into with the City, if any('Other City Contracts')
Any failure by Event Organizer to camply with any provision of the City Coda appliqble to Event
Organizer, or any breach or default by the Event Organizer of any covenant or other term or
condition contained in any Other Clty Contracts (a(ter tha passage of any applicable notioe and
cure period set forth therein), shall, at the option of the Ciry, be considared an avent of Default
(as such tenn Is defined more fully below}, in which evenl the City shall be entitled (but in no
event required) to apply alf rights and remedies availabte to the City under the terms of this
Agreement by reason of an Event Orgarnzers breach o�failura to comply with said obligations.

liabilities, losses, expenses, or damages, Encluding, without limitation, attomeys'fees and costa
of defense, for personal, economic, or bodily injury, wrongful death, o� toss ot or damage to
property,wh�ch the City ar its oKcers, ampbyees, agents, and contractors may incur as a result
of claims, demands, suits, causes of action or proceedmgs of any kind or nature arismg out of,
relating to,or resulting from the performance of this Agreement by Event Organizer or�ts officers,
employ�ees,agents,se►vants, partners, principals or contractors, or Event Organfzer's use of the
Event Site, mcluding, without limitation, any claim that any aspect of the Event infnrt�ges upon
any thi�d-party's existing copyrights, trademarks, trade names, or other intelleCtual property or
propnetary nghts Event�rganizer shal! pay all claims and losses in connection therewith and
shall investigate and defend all claims, suits, or actions of any ktnd or nature in the name of the
City, where applicable, including appellate proceedings, and shalt pay all costs,judgments, and
attomeys' fees which may issue thereon. Event Organizer expressiy understands and agrees
that any insuranoe protection required by this Agreement,or otherwise provided, shall in no way
limit its obligaUon, as set forth herein, to indemnify, hold harmtess, and defend the Gty or its
officers, employees, agents, and contractors as herein provided.
11 Events of Default. Termination of Aareement for Cause and Rernadies.
A. The following shall constitute events of default:
�. Any material misrepresentation, wntten or oral, made by Event Organ�zer andlor
its representatives to Gity.
ii. Fatlure by Event Organizer to timely perform and/or observe any of the terms and
conditions of this Agreement.
iii. insolvency or bankruptcy on the part of Event Onganizer.
B. The occuRence of any event of default by Event Organizer may,at the sole option of City,
operate as an automatic forfeiture of a�y rights or benefits oonferred under this Agreement, and
accordingfy, City reserves the right to revoke the fee waivers, discontinue the funding provided
for herein, or request the retum of sponsorship funds.
C. In the event that Event Organizer is in defauft of any of its obligations under this
Agreement, Event Organizer shall be liable for all damages,costs and expenses arising out of or
related to its default. In the evant of a default, City reserv�es the right to pursue any and all legal
remedies availabie to it,inGudirtg but not limited to termination of this Agreement for cause,which
tertnination shall be effective upon ten(10)days written noGoe to Event Organizer. In the event
of any such termination,the Gity shail have no further obligation or liability to Event Organi�er.
12. Assianment. Event Organizer shall not assign its rights, interests or obligations under this
Agreement without the CitYs prior written consent. Any purported assignment in violation of this
section shall be void and shall constitute an event of default hereunder.
13.Audit and InscecUan�. Event Organize�shall keep accurate and compbte books and recorcfs of
all receipts and expenditures rela6ng to khis Agreerne�t, in acootdanca with genetally acoepted
accoun6r� principles, and shall retain such books and reoords for at least tour(4)years after
completion of the Event.At the request of the City, Event Orflanizer zhall provide the City(and/or
►ta desiflnated representatives) reasonable acceaa to ita files, reco�ds and perso�nel durinQ
regular business hours for the purpose of making financial audits, evaluations o� verifications,
proflram evaluations, or other venfications conceminp this Aqreement, as the Ciry deems
neceasary Furthermore, the City may, at its expense, audit or have audited, all the �nancial
records of the Event Or�anizer reiated to this Event.

the autho�iry to suspend all or eny part ot the activitfes of Event Organizer, upon verbal or wr►tten
notbe to Event Onganize�, when, in the Gty Manager's sole judgment snd discretlon, auch act�vit�ea
may be or are detnmentsl b the public or to the Cfty,or i(the City has reason to believe any Iaw or '
ordme►�oe is bemg vioteted by Event Organizer, its egents or empbyees The City reserves the right
thraugh the City Manager, to suspend or terminate use ol the Event Sfte �f visrtors become unrury,
and to releci any sponsor, presentation,matenal or item wh+ch is or may be,�n fhe soie opinion of the
Gty Manage�,hazardous,offe�sive,immorat or dispanaging to the image of the City,or to any person
or grrx�p of persons The deasion of the City Maneger in such regard ahall be final, birxi+ng, and
conausnre.
t 5 Tg�mmabon for Convenience.
A The Event Organizer may ooriduct the Event for the Term of this Agreement, unless the City
Manager deades to tertninate the Event,at the City Managers sale and absolute discretion, for arry
reaso�or no reason whatsoever, for the conv�enience of the City. The City Manager shaA notrfy the
Event Organizer,in writing,of the Citys tenninatbn of this Agreement.
B- The Event Organizer may elect, during the Term of this Agreeme�t, to terminate this
Agreement and no bnger conduct the Event. If the Event Organizer elects to terminate this
Agreement, the Event Organizer shall notify the City in writing prior to commencement of the
Event. If the Event Organizer elects not to conduct the Event or elects not to saek an extension
of the tertns of this Agreement, this Agreement will automaticalty terminate.
16. Noaoe.Whenever any party desires to give notice to any other party,it must be given by written notioe
sent by registered United States mail,with retum reoeipt requested,addressed to tt►e party for whom
it is intended at the plaoe designated bebw and the place so designated shaM remain such until they
shatl hav�e been changed by written notice in campliance with the provisions of this section. For the
present,the parties designate the following as the respectiv�e places lsor giving notice:

17. Insnec:ttor General Audit Ri9hts.
A. Purauant to Section 2-256 of the Code of the Clty of Miami 6each,the City has estabfished
the Otfice of the Inspector General whlch may, on a random basfs, perform reviews, audits,
inspections and tnveatigations on all City contrecta, throughout the duretion of said
oantracts This random audit is separate and distinct from any ather audil pe�formed by or on
behalf of the Ciiy.

to project des�gn, b�d specifications, (bidlproposal)submittals, activities of Event Orgarnzer, �ts

with the contract documents and to detact fraud and oorruption. Pursuant to Section 2-378 oi the
City Code, the City is allocating a percentage of its overall annual contract expend'+tures to fund
the activsties and operations of the O�ce of Inspector General.
C. Upon ten (10) days written notice to Event Organizer, Event O�ganizer shall make al!
requested records and documents available to the Inspector General for inspection and copyfng
The Inspector General is empowered to retain tha services of indepertdent private sector auditors
to audit, investigate, monitor,oversee, inspect and review operatians ac6vities,performance and
procurement process inGuding but not limited to p�oject design, bid specifications. (bid/proposal�
submitta{s, activities of Event Organizer its ofticers, agents and employees, lobbyists, City staff
and efected o�cials to ensure compliance with the contract documents and to detect fraud and
corruption.
D. The Inspector General shall have the right to inspect and capy aA documents and records
in Event Organizer's possession, custody or control which in the Inspector Gene�al's sole
judgment, pertain to perFormance of the contract, including, but not limited to original esGmate
files, change order estimate files, worksheets, proposals and agreements from and with
successful subcontractors and suppliers, a0 projed-re{ated correspondence, memoranda,
instructions, financial dacuments, construcUon documents, (bidlproposal) and co�tract
documents, back-change documents, all documents and records which involve cash, trade or
volume discounts, insurance p�oceeds, rebates, or dividends received, payral{ and personnel
records and supporting documentetion for the aforesaid documents and records.
E. Event Organizer shatl make available at its office at all reasonable times the records,
materials, and other evidence regarding the acquisition (bid preparation)and performance of this
Agreement, for examination,audit,ar reproduction,until three(3�years atter final payment under
tt�is Agreement or for any bnger period required by statute o�by other clauses of this Agreement.
In addition:
i. If this Agreement is completely or partially terminated,Event Organizer shait make
available records relating to the work terminated until three (3) years after any resuiting final
tennination settlement; and
ii. Event Qrganizer shall make available reoo�ds relating to appeals a to litigation or
the setitement of claims erising under ot relating to this Agraement until such appeals, litgalion,
or claims are tinally resolved.
F, The provis(ons ln th�s section shall apply to Event Organizer, its office�s, agents,
empbyees,subcontractors and suppliers. Event Organlzer shall incorporate the provisions m this
section in all subcontracts and all other agreemenEs executed by Event Or�anizer(n connectbn

'8 Event Ors�anizer's ComnNance with Fbricfa Public Recor�Lew.
A Event Organize� shail compiy with Flonda Public Records law under Chapter 119,
Flonda Statutes,as may be amended from time to time.
B The term 'public recads' shall have the meaning set forth in Section 119.011(12),
wh�ch means all documents, papers, letters, maps, books, tapes, photographs, films, sound
recordmgs, data processing soRware, or other material, regardless of the physical form,
characteristics, or means of transmission,made or received pursuant to law or ordinance or in
connection with the transaction of official business of the City.
C. Pursuant to Section 119,0701 of the Flonda Statutes, if Event Organizer meets the
definition of"Gpntracto�'as defined in Section 119.0701(1Xa),Event Organizer shatl:
1. Keep and maintain pubtic reoords required by the Ciry to perform the service;
2. Upon request from the City's custodian of puWic records, provide the City�rith
a copy of the requested records or allow the records to be inspected or copied within a
reasonable time at a cost that does not exceed the cost provided in Chapter 119, Florida
Statutes a as otherwise provided by law;
3. Ensure that public records that are exempt or confidential and exempt from
public recoMs disclosure requirements are not discbsed,except as authorized by law, for the
duration of the contract term and folbwing completion of the Agraement if Event Organizer
does not transfer the records to the Gty;
4. Upon completion of the Agreement, transfer, at no cost to the City, all public
records in possession of Event Organizer or keep and maintain pubtic records required by the
City to perform the service. If Event Organizer transfers all public reoords b the City upon
completion of the Agreement, Evant Organizer shall destroy any duplicate public►ecords that
are exempt or confidential and exempt from public records disclosuro requirements. If Event
Organizer keeps and maintains public recards upon compb6on of the Agreement, Event
Organizer shall meet alf applicable requirements for retaining public records.All records stored
eledronically must be provided to the Gy, upon request from the City's custodian of public
rec:ords, in a format that is compatibte with the infomiation technolosy systems uf the City.
D. Reauest For Records: Noncomoliance.
1. A request to inspect or copy public records relating to the Ciiy's contrect for

Agreement.
B. Termination Riqhts.
1. N the City has a good faith belief that Event Organi2er has knowingly violated
Sedan 448.09(1�, Florida Statutes, the City shall terminate this Agreement with EvenE
Organizer for cause, and the City shall thereafter have or owe rto further obligation or liabil�ty
to Event Organizer.
2. If the City has a good faith belief that a subcontractor has knowingly violated
the foregoing Subsection 3(A),but Event Organizer othen�visa complied with such subsection,
the City will promptly notify Event Organizer and o�der Eve�t Organizer ta immediate�y
terminate the Agreement with the subcontractor. Event Organizers failure to terminate a
subcantractor shaN be an event of default under this Agreement, entitling City to terminate
Event Organizer's contract for cause.
3. A contract terminated under the foregomg Subsection (BX1)or(Bx2)is not �n
breach of contract and may not be considered as such.
4. The City or Event Organizer or a subcontractor may file an action with the Circuit
or County Court to challenge a termination under the foregoing Subsection(Bj(1)or(B}(2)no
later than 20 calendar days after the date on which the contraci was terminated.
5. If the City terminates the Agreement with Event Organizer under the foregoing
Subsection(8)(1�, Event Organizer may not be awarded a public contract for at teast 1 year
after the date of termination of this Agreement.
6. Event Organizer is liable for any additio�al oosts incurred by the City as a result
of the termination of this Agreement under this Section.
20. No Discrimination. Event Organizer also accepts and agrees to comply with the following Special
Conditions:
A. Event Organizer hereby agrees that it will camply with Title VI ot the Civil Rights Act of
1964 (42 U.S.C. 2000d et seq.) prohibiting discriminatian on the basis of race, cobr, national
origin,handicap,or sex.
B. Event Urganizer he�eby agrees that it will comply with City of Miami Beach Human Rfghts
Ordinance as cod�ed in Chapter 62 of the City Code,and as may be amended from time to time,
prohibiGng discrimination in empbyment (including independent contractors), housing, public
accommodations, public services, and in connection with its membership or policies because of
actual or perceived race,cotor,national origin,refigion,sex,intersexuality,qeruier identity,sexual
oneniation,marital and familial status,age,disability, ancestry,height,weight,hair texture and/or
hairstyle, domestic partner status, {abor organization membership, familial situation, or political
affiliation.

27. Entire Aareement.This Agreement shall constitute the entire agreement belween the parties,and
supersedes aN pnor negotiations, representations, or agreements either written or oral. fVo
warranties, inducemants, considerations, promises or other references shall be implied or
impressed upon this Agreement that are not expressly addressed herein.
28. Goveminq Law and Attomev's Fees. This Agreement shall be construed in accordance with the
laws of the State of Flonda. This Agreement shall be enforceable fn Miami-Dade County, Florida,
and 'rf legal aciion is necessary by either party with respect to the enforcement of any or all of the
terms or condiGons herein, exclusive venue for the enforcement of same shall tie in Miami-Oade
County, Florida.BY ENTERING INTO THIS AGREEMENT,TNE CITY ANO EVENT ORGANIZER
EXPRESSLY WAIVE ANY RIGHTS EITHER PARTY MAY HAVE TO A TRIAL BY JURY OF ANY
CIVlL LiTIGATION RELATED TO, OR ARISING OUT OF, THIS AGREEMENT. In the event of
any dispute which arises out of this Agreement,the prevailing party shall be entiUed to reasonabte

only and that Event Organizer has no right or privilege other than that expressly provided herein.
30. No Partnership or As�encv. Event Organizer agrees that nothing herein contained is intencled or
should be construed as in any way creatin� or establishing the relationship of partners or joi�t
venturers between City and Event Organizer. In no event shall Event�rgani2er represent to any
third party that it is acting as an agent, representative or on behalE of Ciry for any purpose or in
any manner whatsoever.
31 Amendment. No modification, amendment or alteration of the terms or conditions containeci
here�n shall be effective unless contained In a wntten documant executed by the parties hereto,
with the same formality and of equal dignity herewith.
32. E�ctent of Aareement. Thls Agreement rapresents the entlre end integrated Aqreement between
City and Evant Organizer and supersedes ell prlor negotiations, representations, or agreements

WHEREAS, the Miami Beach Special Event Sponsorship Program ,the "Program") was
created in June 2021 to assisE the City in the review af event spansorship and fee waiver requests:
and
WHEREAS, the Pragram process is formalized and allows the Administratian to property
analyze and budget special eveni sponsorship requesEs; and
WHEREAS, the City's current sponsorship process is codified within Section 12-7 of the Gity
Code, which provides that "in considering approvai of a Sponsorship for an event, the City
Commission may consider:
i whether the Event C?rganizer has exercised gaod-faith, diligenf efforts to apply for grant
funding that may be available fram the City's Visitor and Convention Authonty VCA")
or Cuftural Arts Council("CAC');
ii. the Event Organ�zers hrstory and performance in delivering quality Events;
iii. any benefits being directly provided ko the genera( public with respect to the Event,
such as free ar discounted tickets to persons residing in the City of Miami �each;
iv seniors,veterans, or member of disadvantaged groups;whether the event is accessible
to the general public(either as a ticketed event or otherwise);
v. the demonstrable economic �mpacts associated with the Event;
vi. the demonstrable media commitments secured by the Event organizer for the Event;
or
vii. the efforts undertaken by the Event organizer to mitigate any quafity of life impacts
associated with the Event, including noise, littering, traffic or parking impacts
associated with an Event; and
WNEREAS, sponsorship requests are generally to be reviewed well in advance of the date of
each event, either as part of the City Commission' s annua! budget process, or through applications
to the VCA ar CAC; and
WHEREAS, any sponsorships request that falls autside of the standard review process is
subject to the Finance and Economic Resiliency Gorr�mittee (FERC) advisory reuiew, as well as
approval by 5/7 of the vote by the Gity Commission; anc!
WHEREAS, the Pragram addresses these elements and provides a platform for Event
Qeganizers to apply for Gity sponsorship in advance,and allows the Administration time to do a proper
due diligence and budget planning for the fiscal year, and
WHEREAS, since its inceptian, the Administration has witnessed a� increased interest in the
Program, both from producers of�arge-scale events and cammuniry event arganizers; and

WHEREAS, at the July 26, 2023, City Commission meeting, the Mayor and City
Commissioners voted to approve the revisions to the Special Event Guidelines via Resolution No.
2023-32701, with the approved revisions includinq the bifurcation of the Speciaf Event Sponsorship
Program, to allow the Program to be independent from the guidelines; and
WHEREAS, at the September 12, 2023 City Commission meeting, the Mayor and City
Commission adopted Resolution No. 2023- 32745 to amend and restate the City's Speciat Event
Sponsorship Program requirements by (1) creating two distinct event sponsorship categories,
including minimum requirements and evaluation criteria, for'Major Special Events" and "Community
Engagement Events", and an evaluation process to review and score sponsorship requests based
upan weighted criteria, and (2)establishing maximum sponsorship funding amounts per event; and
WHEREAS, accordingly, in its fourth year, the Program appfications opened on January 1,
2025, and closed February 28, 2025; and
WHEREAS, for the category of Major Special Event, thirteen (13) event organizers opened
the application, and nine (9) event organizers completed the appiication, while for the category of
Community Engagement Event, ten (10)event organizers opened the application, and six (6) event
organizers completed the application and qualified for review; and
WHEREAS, the fifteen (15) applicants who met all requirements, including deadlines, were
reviewed, and scored by a panel consisting of City staff, and members of the Greater Miami
Convention and Visitors Bureau and the Miami Beach Vsitor and Convention Autharity; and
WHEREAS, application review included an extensive review process that rev�ewed non-profit
status, length of event, history of event, hotel room block (when applicable), whether attendees are
regional, national and/or international, resident/community benefit, marketing, and public relations
exposure, utilizatian of local venues, tax documentation, and more; and
WHEREAS, applicants were required to have a mandatory dollar for dollar ($1 to $1) match
and demonstrate this match through cash, other matching sponsorships,and/or in-kind contributions,
and according to the Special Events Sponsorship Program, an application must score at least 65%
on the Sponsorship Score Card for the Administration to recommend that the sponsorship be
awarded; and
WHEREAS, only ten (1Q) met the threshold, and based on these gu�delines, the
Administration made the following funding recommendations:
• Miami Fashion VVeek in an amount of$72,750;
• Miami Beach Holiday Festival in an amount of$88,250;
• Queen & King of the Court Miami Beach in an amount of$77,750;
• Miami Takeover in an amount of$45,667;
• GroundUp Music Festival in an amount of$44,125;
• Simchas Bais tiashoeiva (SBH)in an amount of$18,040;
• Bike 4 Friendship in an amount of$13,440;
• Orchids and Arts Festival in an amount of$3.740;
• The Juneteenth Experience in an amount of$18,400;
• Miami Beach Safsa Festival in an amount of$17,750; and
WHEREAS, the Administration recomrrfends the approval of the Miami Beach Special Event
Sponsorship recommendation for Fiscal Year 2026, in an amount not to exceed $399,912 for the ten
(10)aforementioned events.

for 6oth musicians and fans with a line-up of artists such as Snarky Puppy, Fiying Lotus, Patrice Rushen, Rickie Lee�ones, Bilai,
Julian Lage,Isaiah Sharkey,Varijashree Venugopal,Arooj Aftab,Alain Perez,and others.The Event will take place March 13-15,
2026,at the Miami Beach Bandshell and the adjacent Bandshell Park.
The Event Organizer applied for sponsorship funding through the FY 2026 Miami Beach Special Event Sponsorship Program
designed to provide financial assistance to Miami Beach-based special events under the Major Special Event Category.
On April 23, 2025,the Mayor and City Commission adopted Resolution No. 2025-33113,accepting the recommendation of the
Tourism and Culture Department for the approval of a sponsorship,in a recommended award amount of$44,125.00for the 2026
Event.This agreement is funded from the Special Events Sponsorship Program budget allocation in the FY 2026 Resort Tax Fund.
