AMENDMENT NO. 1
This AMENDMENT NO. 1 ("Amendment") to that certain Grant Agreement dated as of
August 25, 2025 (the "Grant Agreement"), by and between the City of Miami Beach, Florida, a
municipal corporation organized and existing under the laws of the State of Florida (the 'City'),
having its principal place of business at 1700 Convention Center Drive, Miami, Florida 33139, and
Names, Not Numbers Inc., a New York not -for -profit corporation ("Grantee"), having offices at 90
Laurel Hill Terrace, Apartment 6-I, New York, New York 10033, is entered into this
day of An 1 3 2922026 (the "Effective Date").
RECITALS
WHEREAS, the Mayor and City Commission adopted Resolution No. 2025-33696,
approving a grant award to Grantee in the amount of $48,000 to fund a holocaust oral history film
documentary project to support the Citys educational documentary film initiative at four Miami
Beach schools;
WHEREAS, the City and Grantee entered into the Grant Agreement with an initial one-
year term expiring on September 30, 2025: and
WHEREAS, the City and Grantee desire to extend the term of the Agreement for one
additional one-year period.
NOW THEREFORE, in consideration of the mutual promises and conditions contained herein,
and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the
City and Grantee agree to amend the Agreement as follows:
1. ABOVE RECITALS. The above recitals are true and oomect and are incorporated as part
of this Amendment.
2. EXTENSION OF TERM. The Grant Term is hereby extended for one additional year,
through September 30, 2026.
3. MODIFICATIONS. The Agreement is hereby amended (deleted items GIFU&tHreagh and
inserted items underlined) as follows:
a. Article I of the Agreement is deleted in its entirety and replaced with the following:

b. Section 5 of the Agreement is modified as follows:
"All reimbursement requests must be submitted prior to October 1 O' , 2025 2002 .."
and
"Invoices and checks must be directly related to expenses for Grant -funded activities taking place
within the 2024-2025 Fiscal Year or the 2025-2026 Fiscal Year."
c. The following Sections 35 and 36 are hereby added to the Agreement:
35 CERTIFICATION OF COMPLIANCE WITH ANTIDISCRIMINATION AND ANTI -BOYCOTT
REQUIREMENTS:
As required by Section 2-375.2 of the City Code, Grantee has executed the Certification of Compliance
with Antidiscrimination and Anti -Boycott Requirements, a copy of which is attached hereto as Exhibit 7 and
inccrporated herein.
va CERTIFICATION OF COMPLIANCE WITH CITY ANTIDISCRIMINATION REQUIREMENTS.
As required by Section 2-375.3 of the City Code, Grantee has executed the Certification of Compliance
with City Antidiscrimination Requirements, a copy at which is attached hereto as Exhibit 7 and incorporated
herein.
d. Exhibit 7 attached hereto is hereby attached to the Agreement and incorporated
therein by reference.

4. RATIFICATION. Except as amended herein, all other terms and conditions of the
Agreement shall remain unchanged and in full force and effect. In the event there is a
conflict between the provisions of this Amendment and the Agreement, the provisions of
this Amendment shall govern.

CITY'S AFFIDAVITS AND CERTIFICATIONS
This Exhibit includes affidavits and certifications required under applicable Florida law and the Code of
the City of Miami Beach in connection with the execution and administration of this Agreement. To ensure
acknowledgment and understanding at each requirement, the Grantee shall initial each section included
in this Exhibit. The act of initialing confirms the Grantee's review of, and agreement to, the statements
contained thereon. The Grantee shall also sign and notarize the acknowledgment at the end of this Exhibit,
affirming tha truth and accuracy of all initialed statements.
This Exhibit must be completed by a person authorized to make the following attestations on behalf of
Grantee:
