HomeMy WebLinkAboutC7R Untitled Art LOI[2][3]INFORMA MARKETS ART, LLC April 17, 2026 Honorable Mayor and Members of the City Commission City of Miami Beach 1700 Convention Center Drive, Miami Beach, FL 33139 Re: Letter of Intent - Essential Terms for Multi-Year License Agreement for the Annual Untitled Art Show Mayor and Commissioners: Informa Markets Art, LLC (Licensee) submits this Letter of Intent outlining key business terms for a multi-year license with the City of Miami Beach (City) for the Untitled Art show (Show). For the City's benefit, and to streamline negotiations, Licensee notes that many of the provisions outlined herein reflect amounts and practices established since the Show's inception in 2012. 1. Parties and Premises a. Licensor: City of Miami Beach, a Florida municipal corporation. b. Licensee: Informa Markets Art, LLC, a Delaware limited liability company. c. Premises: Beachhead and spoil areas east of Ocean Drive between 10th Street and 13th Street; Premises approximately 201,060 sq. ft. of beach, 12,000 sq. ft. spoil area for back-of-house, and 3,000 sq. ft. spoil area for exhibitions. 2. Term, Renewal, and License Period a. Term: Five years (2026–2030). b. Renewal Option: Licensee holds option for additional five (5) years on same or similar financial terms and dates, exercisable by written notice no later than February 1, 2030. c. License Period: Up to forty-five (45) consecutive days, generally between November 5 and December 20, inclusive of load-in and load-out, with agreed written adjustments permitted. 3. Uses and Approvals INFORMA MARKETS ART, LLC a. Permitted Uses: Show, installation/removal of structures, related sales/displays, fencing/screening per approved permits. b. Spoil Area: 12,000 sq. ft. back-of-house; 3,000 sq. ft. for artistic exhibitions/activations. c. Approvals: Licensee responsible for securing required permits; applications to be submitted by July 1 each year; City to coordinate and enable FDEP application by September 1 each year. 4. License Fee, City Costs, and Security Deposit a. Approach: Fees and costs intended to reflect parties prior course of dealings. b. 2026 License Fee: 2026 fee based on 2025 fee plus standard adjustment and applicable taxes; due Nov 1, 2026. c. Annual License fee adjustment: starting with the 2027 license fee, the license fee will be increased annually by the higher of 3% or CPI-U (Miami–Fort Lauderdale), capped at 6%. d. City Costs: Licensee to reimburse City for all City-incurred costs related to Show, at then-prevailing rates, payable within fifteen (15) business days of invoice with reasonable documentation. e. Security Deposit: Up to 30% of License Fee, due 60 days before License Period, replenishable, and refundable within 90 days after end of License Period. 5. Discounted Tickets and Community Engagement a. Discounted Tickets: Licensee will provide the following discounted tickets: 1. Discounted tickets for students (with valid student ID); and 2. Discounted tickets for Miami Beach residents (with valid ID). b. Community Engagement: Licensee shall participate in an annual community webinar led by the City’s Neighborhood Division as part of the Special Event permitting process. 6. Non-Compete Window City will not license premises to other art shows 30 days before/after the Show. 7. Sponsorship and City Tickets a. Sponsorship: City to be recognized as a show partner level sponsor with logo recognition in the Untitled Miami catalogue(s) and event website (with link to City’s website). b. Tickets: Licensee to provide twenty (20) complimentary VIP passes and twenty-five (25) complimentary day passes to the City each year. INFORMA MARKETS ART, LLC 8. Maintenance and Restoration of Premises a. During Event: Daily housekeeping and trash removal during the event required. b. Post-event: Licensee to rake and sift beach sand and conduct other maintenance to return the Premises and surrounding areas to substantially the same condition as prior to the Show. 9. Termination for Convivence Either party may terminate the license prior to conclusion of the 2030 Show upon written notice no later than June 1 of the year of the Show to be terminated. If City terminates for convenience, Licensee shall be reimbursed any deposits made to the City and shall be entitled to recover all documented non-refundable costs and expenses as well as any exhibitor cancellation penalties incurred with respect to that year’s Show. The foregoing summarizes the essential terms intended for inclusion in a definitive License Agreement. We appreciate the Commission’s consideration and stand ready to collaborate with staff to finalize the License Agreement for the Commission's consideration.
