AMENDMENT NO.3
TO THE PROFESSIONAL SERVICES AGREEMENT
BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA
AND
GAMBACH ARCHITECTS, INC., AS ASSIGNEE
UNDER THE AGREEMENT DATED SEPTEMBER 13,1995,
IN THE AMOUNT OF $41,900.00
FOR THE PROVISION OF ADDITIONAL CONSTRUCTION ADMINISTRATION AND
CONSTRUCTION MANAGEMENT, BIDDING, AND OTHER RELATED PROFESSIONAL
SERVICES NECESSARY
TO COMPLETE THE MARSEILLE DRIVE STREETSCAPE PROJECT.
RECITALS
WHEREAS, on September 13, 1995, the City entered into a Professional Services
Agreement with Gambach-Sklar Architects, Inc., to perform Professional Architectural, Engineering,
and Land Surveying Services for Various Capital Projects Where Basic Construction Does Not
Exceed $500,000 per Project for a Two (2) Year Period (the Agreement); and
WHEREAS, subsequent thereto, a Service Order was issued to develop drawings and
specifications, and to provide construction documents to Gambach-Sklar Architects, Inc. for
Marseille Drive Streetscape Project (the Project); and
WHEREAS, the Agreement was amended (Amendment No.1) on January 26, 2000, in the
amount of $39,380; and
WHEREAS, the scope of the Project is comprised of improvements to the following streets:
Marseille Drive, from Bay Drive to Rue Notre Dame; Rue Versailles, from Marseille Drive to
Normandy Drive; and Rue Notre Dame, from Marseille Drive to Normandy Drive, including the
completion of the water main replacements and street lighting improvements; and
WHEREAS, on September 28,2001, Gambach-Sklar, notified the City that, as of August 1,
2001, the firm had ceased operations, and the City also learned of the creation of the two (2)
independent firms of Gambach Architects, Inc. and Sklar Arkitekts, Inc., lead by the former
principals of Gambach-Sklar Architects, Inc.; and
WHEREAS, in light of the above, the Administration reviewed the terms of the Agreement
with Gambach-Sklar Architects, Inc. and, on October 30, 2001, the Administration informed the
former principals of Gambach-Sklar Architects, Inc. of the City's intent to recommend the
assignment of the Agreement to Gambach Architects, Inc.; and

WHEREAS, on January 9, 2002 the Mayor and City Commission concurred with the
Administration, and adopted Resolution No. 2002-24701, approving and authorizing the assignment
of the Agreement from Gambach-Sklar Architects, Inc. (the Assignor) to Gambach Architects, Inc.
(the Assignee), to provide architectural and engineering services for the Project during the public
bidding process, construction management, and construction administration; and
WHEREAS, the Mayor and City Commission, as part of the same Resolution No.2002-
24701, also authorized and approved Amendment No.2 to the Agreement, in the amount of
$10,990, for the provision of construction administration and management, bidding and other
related professional services necessary to complete the water line replacement and street lighting
improvements portion of the Project; and
WHEREAS, on May 26,2004, the Mayor and the City Commission authorized and approved
Amendment NO.3 to the Agreement, in the amount of $41 ,900, for the provision of additional Basic
Services; the provision of Additional Services to prepare documentation for Change Orders
generated by field conditions and/or Owner's requests; and to extend the Construction
Administration Phase, pursuant to Article 7 of the Agreement, to reflect the term in the approved
updated Construction Schedule; and
WHEREAS, funding to complete the Scope of Work, for a total of$60,678.62, is available as
follows: $39,530.52 from the General Obligation Interest Earnings Fund No. 373, $12,262.37 from
the Storm Water Interest Earnings Fund No. 428, and $8,885.73 from the Water and Sewer Interest
Earnings Fund No.424.
NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises,
covenants, agreements, terms, and conditions herein contained, and other good and valuable
consideration, the respect and adequacy are hereby acknowledged, do agree as follows:
1. ABOVE RECITALS
The above recitals are true and correct and are incorporated as a part of this Amendment
No.3.
2. MODIFICATIONS
The Agreement is amended to incorporate the Additional Services to the Agreement, as
described in Schedule "A", entitled "Scope of Services/Compensation for Additional
Services", attached hereto; and Schedule "B", entitled "Project Schedule" , to be provided
by Contractor.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged.
4. RATIFICATION.
The City and Consultant ratify the terms of the Agreement, as amended by this Amendment
No.3.
IN WITNESS WHEREOF. the parties hereto have caused this Amendment No.3 to be executed in
their names by their duly authorized officials as of the date first set forth above.

Schedule "A"
To Amendment No.3 to the Professional Services Agreement
between the City of Miami Beach, Florida and Gambach Architects, Inc., as
Assignee under the Agreement dated September 13,1995
Scope of Services/Compensation for Additional Services
for the Construction Administration of the Marseille Drive Water Main and
Street Lighting Installation:
Scope of Services:
The Scope of the Consultant's services shall include the following:
1. Additional Basic Services:
Provide Basic Services through the Phases of Design; Construction Documents,
Bidding and Negotiation; and Construction Observation and Administration for the
increased portion of the Scope of Work, as adjusted pursuant to the actual
construction cost. Included, but not limited to, as part of these Services shall be
the following:
a. Prepare design documents consisting of drawings and other documents
appropriate for the Project.
b. Prepare and submit Statement of Probable Construction Cost
c. Prepare Construction Documents, including additional Plans and
Specifications.
d. Assist the City in obtaining lump sum bids with the Additional and/or Deductive
Alternatives.
e. Assist the City in awarding and preparing the Contract for Construction.
f. Perform Field observation of the Project.
g. Perform inspection of the site at periodic intervals appropriate to the stage of
construction, including observation of pipe installation; verification of pipe
connection installation, as per the manufacturer's recommendations.
h. Review of the Contractor's Payment applications with recommendation to the
City.
i. Submission of the Certification of Construction Completion form.
2. Additional Services:
a. Perform site visits, produce surveys, identify exiting conditions and prepare all
required Construction Documents for adjustment to the design of Rue Versaille
and Rue Notre Dame changes in the sidewalk elevations at driveways.
b. Produce all Construction Documents and perform all Basic Services, pursuant
to Article 2 of the Agreement, for all Change Orders generated through
unforeseen conditions or Owner's requests during the Construction Phase of
the Project.
3. Additional Construction Administration Services:
Extend the Construction Administration Services, pursuant to Article 2 of the
Agreement, to include the approved Construction Schedule extension.
Compensation:
. Original Agreement amount $50.000.00.
. Amendment NO.1 (to include North End of Rue Notre Dame) amount $39.380.00.
. Amendment No.2 (for Bidding and Construction Administration) amount $10.990.00.
. Amendment No.3 (for the Services described in Schedule "An) amountj41 .900.00.
. Revised Agreement amount $142.270.00.
