THIS CONTRACT, made and entered into this 6% day of
:7:~ ,19~, by and between Metropolitan Dade county,
political subdivision of the State of Florida, its successors and
assigns, hereinafter referred to as the "County", and the City of
Miami Beach, a municipal corporation organized and existing under
the laws of the State of Florida, its successors and assiqns,
hereinafter referred to as the "City";

WITNESSETH:
WHEREAS, pursuant to Resolution 89-19738, the City authorized
a contract between the County and the City for water service by the
County to the City for a 30 year period (the "Agreement"); and
WHEREAS, the Agreement provided for five points of delivery,
and the parties wish to relocate point of delivery No. 3 from North
East 13th Street in Miami to the easterly end of Watson Island.
HOW THEREFORE, in consideration of the mutual covenants made
herein the parties agree as follows:
1) Within 180 days of execution of this contract by both
parties the County shall remove the master meter from its present
location at N.E. 13th Street in Miami near the Miami Herald
Building, and install a new master meter at a point approximately
on the east end of Watson Island, all at no cost to the City.
2) Wi thin 60 days of completion of the new master meter
installation, the City shall convey that portion of its 20 inch
transmission main west of said new master meter installation to the
County by execution and delivery of a Bill of Sale and Assignment
in a form attached hereto, Exhibit "A".
3) The County shall also install new telemeterinq equipment
at the same point as the installation of a new master meter, at the
east end of Watson Island, at a cost to the city of $13,000, in
accordance with plans which have already been approved by the City.
After installation the telemetering equipment shall be owned and
maintained by the City.
IN WITNESS WHEREOF, the parties hereto have caused this
instrument to be executed by their respective officials on the day
and year above written.

BILL OF SALE AND ASSIGNMENT
THIS INSTRUMENT made this -11- day of ~, 1991, by
the CITY OF MIAMI BEACH, (CITY), and METROPOLITAN DADE COUNTY
(COUNTY)
WHEREAS, the CITY and the COUNTY entered into an Agreement the
6th day of November, 1990, providing.for relocation of a point of
delivery of water service (the "Agreement"); and
WHEREAS, the Agreement provides that the CITY shall transfer
title to the COUNTY a portion of the transmission main on the
MacArthur Causeway;
NOW, THEREFORE, for and in consideration of ten dollars
($10.00) and other good and valuable consideration, the parties
hereto agree as follows:
1. Bill of Sale. The CITY hereby grants, bargains, sells,
transfers, and delivers unto the COUNTY that portion of the CITY's
water transmission system extending from the east end of Watson
Island west along the MacArthur Causeway to N.E. 13th Street and
Herald Plaza in Miami as more particularly shown on "Exhibit A"
attached hereto, to have and to hold unto the COUNTY, its

. successors and assigns forever. The CITY covenants to and with the
COUNTY, its successors and assigns that the CITY is the lawful
owner of the above described property; that said property is free
from all encumbrances; that the CITY has good right to sell the
same aforesaid; that the CITY will warrant and defend the sale of
the said property unto the COUNTY, its successors and assigns,
against the lawful claims and demands of all persons whomsoever.
2. Assiqnment of Easements, Licenses and Permits. The CITY
hereby assigns and transfers to the COUNTY all of its rights, title
and interest in and to the following:
a) Any and all rights, licenses and permits from the
Department of the Army Corps of Engineers and Sate of Florida,
Department of Environmental Regulation issued to the CITY in
connection with the construction of the water transmission main
described above.
b) Any and all other rights, interests, easements,
licenses and permits issued or granted by any other governmental
authority, person, firm, or corporation in connection with the
transmission main conveyed to the COUNTY hereunder.
IN WITNESS WHEREOF, the parties hereto have caused this
instrument to be executed by their respective officials hereunto

The C~ ty of Miami Beach is presently maintaining the 20" water
transmission main beginning at 13 street by the Miami Herald
Building, easterly across the intercostal waterway and through
. Watson Island to the City of Miami Beach.
The Miami-Dade Water and Sewer Authority provides service to the
various customers in the City of Miami's Watson Island from the
City'S 20" transmission main. The City of Miami Beach wishes to
deed to the Miami-Dade Water and Sewer Authority that portion of
its water transmission main west of the east end of Watson Island.
The Miami-Dade Water and Sewer Authority is agreeable to relocating
the master meter location from the area of the Miami Herald to the
easte~ly limits of Watson Island.
The R.solution and Bill of Sale are included so the City of Miami
Beach can deed to the Miami-Dade Water and Sewer Authority that
portion of its transmission main east of the master meter to the
east end of Watson Island. This will relieve the City of Miami
Beach of maintenance responsibility for the existing 20"
transmission main from the easterly end of Watson Island to the
west of the Miami Herald building on northeast 13 Street.
ADMINISTRATION RECOMMENDATION:
The City Attorney's office has reviewed the ReSOlution, Contract
and Bill of Sale and finds them to b~ in order. The Administration
recommends that the Commission execute the attached Resolution and
Bill of Sale.
