106-91 RDARESOLUTION NO. 106-91 A RESOLUTION OF THE MIAMI BEACH REDEVELOPMENT AGENCY APPROVING A SETTLEMENT OF ALL OF THE MIAMI BEACH MARINA LITIGATION, AUTHORIZING THE CHAIRMAN AND THE SECRETARY TO EXECUTE A SETTLEMENT AGREEMENT WITH CARNER-MASON ASSOCIATES, LTD., TALLAHASSEE BUILDING CORPORATION AND HELLER FINANCIAL, INC., AND AUTHORIZING THE CHAIRMAN AND THE SECRETARY TO JOIN IN THE FIRST AMENDMENT TO THE MARINA LEASE BETWEEN THE CITY OF MIAMI BEACH AND TALLAHASSEE BUILDING CORPORATION FOR THE LIMITED PURPOSE SET FORTH THEREIN AND TO EXECUTE ANY AND ALL OTHER DOCUMENTS TO EFFECTUATE THE SETTLEMENT. WHEREAS, on October 9, 1991, the Miami Beach Redevelopment Agency approved in concept a settlement of all litigation pertaining to the Miami Beach Marina; and WHEREAS, the parties to the settlement have negotiated a Settlement Agreement; and WHEREAS, the City of Miami Beach and Tallahassee Building Corporation have negotiated a First Amendment to the Marina Lease, which provides for the limited joinder of the Miami Beach Redevelopment Agency; and WHEREAS, the Executive Director and the Agency's General Counsel recommend the execution of the Settlement Agreement and the limited joinder to the First Amendment to the Marina Lease. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MIAMI BEACH REDEVELOPMENT AGENCY, that: 1) The settlement of the Miami Beach Marina litigation is hereby approved. 2) The Chairman and the Secretary of the Agency are hereby authorized and instructed to execute the Settlement Agreement, the limited joinder to the First Amendment to the Marina Lease, copies of which are attached hereto, and any and all other documents which are necessary to effectuate the Settlement.
