A RESOLUTION AUTHORIZING THE ACCEPTANCE OF AN "OFFER FOR
SALE" FROM BEATRICE NOTICE, MIRIAM SCHNECK, AND MICHAEL
WEINER IN THE AMOUNT OF $139,000 FOR THE ACQUISITION OF THE
PROPERTY LOCATED AT 126 , 140 WASHINGTON AVENUE, MIAMI BEACH,
FLORIDA, AS PART OF THE COBB PARTNERS DEVELOPMENT PROJECT.
WHEREAS, on March 31, 1989, the Miami Beach Redevelopment Agency
and Cobb Partners Development, Inc. entered into a Development
Agreement and Contract for Purchase and Sale for the development of a
parcel of land consisting of two city blocks (Blocks 78 & 80), within
the South pointe Redevelopment Area, previously referred to as the Old
Police station Site; and,
WHEREAS, in July of 1989, Cobb Partners exercised an option to
include Block 53 and expand the scope of the project; and,
WHEREAS, on September 20, 1989, Redevelopment Agency Resolution
86-89 authorized the Administration to acquire by purchase, donation,
or eminent domain those parcels on Block 53 that may be required for
assemblage of the Cobb Project site; and,
WHEREAS, on October 9, 1989, the Development Agreement and the
Contract for Purchase and Sale were modified, to reflect the inclusion
of Block 53 in the overall project; and,
WHEREAS, under the terms of the Development Agreement the Agency
agreed to use its best efforts and due diligence to acquire and
assemble the properties within the project site as soon as practicable;
and,
WHEREAS, the Agency's Administration was approached by
representatives of Prudential Florida Realty, the real estate agents
for the owners, and an "Offer for Sale" was presented for the amount of
$139,000; and,
WHEREAS, the subject properties are part of the Cobb Project site
which the Agency is contractually obligated to purchase and assemble;
and,
WHEREAS, the funds for this acquisition are available in the
Agency's Capital Projects Account.
NOW, THEREFORE BE IT DULY RESOLVED BY THE MIAMI BEACH
REDEVELOPMENT AGENCY, THAT:
1. The Administration's recommendation to accept the attached
"Offer for Sale" (Exhibit "A" attached hereto) for $l39, 000 for the
purchase of the property located at 126 and l40 Washington Avenue,
legally described as Lot 3 less the west l05.68 feet and Lot 4 less the
west l02.2 feet, of Block 53, Ocean Beach Addition No.3, Plat Book 2,
Page 89, Public Records of Dade County, Florida, be approved and
accepted.
2. Funds in the amount of $139,000 for this acquisition are to be
taken from the Miami Beach Redevelopment Agency's Cap' tal proj ects
Account.

OFFER FOR SALE
In consideration of the sum of $10.00, receipt of which is hereby
acknowledged, I hereby offer to sell to the Miami Beach Redevelopment Agency,
for the price of ONE HUNDRED AND THIRTY-NINE THOUSAND DOLLARS ($139,000), the
following described property commonly known as: 126 and 140 Washington
Avenue, Miami Beach, Florida.
Legally described as:
Lot 3, Less the West 105.68 Feet and Lot 4, Less the West 102.2 Feet of
Block 53, Ocean Beach Addition No.3, Plat Book No.2, Page 81.
The sum of ONE HUNDRED AND THIRTY-NINE THOUSAND DOLLARS ($139,000) is
compensation in full for the described property, free of all encumbrances,
including liens, mortgages, judgments, contracts for the payment of money,
real estate taxes and other governmental levies for all prior years. Seller
shall be responsible for documentary stamps, including surtax, real estate
brokerage commission, and their own attorneys fees. Real estate taxes and
prepaid rents shall be prorated to the date of closing. All improvements on
the described property are included in this offer.
This offer for sale is made on the understanding that eminent domain
proceedings are about to be instituted as to this property for the purposes
of fulfilling the redevelopment purposes as set forth in Chapter 163, Florida
statutes; consequently, this agreement is made to forestall protracted
litigation.
We understand that this offer is subject to approval of the Miami Beach
Redevelopment Agency of the City of Miami Beach and it can be accepted only
by Agency Resolution authorizing same. Delivery of possession shall be upon
payment of the above amount unless wri tten consent to an extension is
received.
This sale is subject to the following special conditions:
1. The seller shall retain all fixtures and appliances currently
existing on the premises.
2. The foregoing is subject to tenants in possession and such leases
as the tenants may have. Seller agrees not to enter into any
written leases after the date of this offer.
3. Seller's delivery of good and marketable Title.
4. Buyer assumes all responsibility for the tenants presently
occupying the property upon closing.
This Offer For Sale is irrevocable for a period of forty-five (45) days
from this date~or upon approval or disapproval of the Miami Beach Redevelopment

ADMINISTRATION RECOMMENDATION:
The Administration recommends that the Redevelopment Agency's
(Agency) Board approve the "Offer for Sale" and adopt the attached
Resolution authorizing the acquisition of 126 and 140 Washington
Avenue, Miami Beach, Florida, (Lot 3 less the west 105.68 feet and
Lot 4 less the west 102.2 feet, of Block 53, Ocean Beach Addition
NO.3, Plat Book 2 Page 89 of the Dade County Public Records) for
$139,000.
Funds for this acquisition are available in the Agency's Capital
Projects Account.
BACKGROUND:
On March 31. 1989, the Agency and Cobb Partners Development,
Inc. . (Cobb) entered into a Development Agreement and Contract for
Purchase and Sale for the development of a parcel of land
consisting of two city blocks (Blocks 78 & 80), within the South
pointe Redevelopment Area, previously referred to as the Old Police
station Site.
In Julv of 1989, Cobb exercised an option to expand the scope of
the project and include an additional block (Block 53), and on
October 9, 1989 the Development Agreement and the Contract for
Purchase and Sale were modified, to reflect the inclusion of Block
53 in the overall project.
Under the terms of the Development Agreement the Agency agreed to
use its best efforts and due diligence to acquire and assemble the
properties constituting the project site as soon as practicable.
On September 20. 1989, Agency Resolution 86-89 authorized the
Administration to acquire by purchase, donation, or eminent domain
those parcels on Block 53 that may be required for the assemblage
of the Cobb Project site.
The Agency's Administration has met with representatives of
Prudential Florida Realty, the real estate agents for the ,owners of
the property located at 126 and l40 Washington Avenue. ~egotiations

with the agents have resulted in an offer for sale in the amount of
$139,000.
ANALYSIS:
In December of 1988, the Agency had two certified appraisals done
in order to establish the market value for the properties located
within Block 53. The subject properties were appraised jointly and
one appraisal valued them at $116,000 and the other $117,000.
In December of 1990, the Agency had the appraisal updated during an
attempt to ini tiate negotiations wi th property owners and it
reflected a value of $198,000 fpr both parcels.
Funds for this acquisition are available in the Agency's Capital
Projects Account.
,CONCLUSION:
The SUbject properties are part of the Cobb Project site which the
Agency is contractually obligated to purchase and assemble. Based
on the existing appraisals and current market conditions we believe
that the offer as tendered of ,$139,000 is well within the estimated
market value and presents an excellent opportunity for the Agency
to acquire the parcels at this time.

LEGAL DESCRIPTION
That part of Lot 3 in Block 53 of OCEAN BEACH, ADDITION
NO.3, according to the Plat thereof, recorded in Plat Book 2 at
Page 81 of the Public Records of Dude County, Florida, more
particularly described as follows, to wit: Beginning at the
Southeast corner of said Lot 3 in said Block 53 of OCEAN BEACH,
ADDITION NO.3, said point being the point of the intersection of
the Easterly line of said Lot 3 and the South line of said Lot 3;
thence run West along the South line of said Lot 3 a distance of
116 feet to a point on the South line of said Lot 3; thence run
in a Northeasterly direction to a point on the North line of said
Lot 3, which is 125 feet West of the Northeast corner of said Lot
3; thence run East along the North line of said Lot 3 a distance

Conditions aI1-d Stipulations
1. Definition of Terms
The following terms when used in this policy mean:
(a) "insured": the insured named in Schedule A. and,
subject to any rights or defenses The Fund may have had
against the named insured, those who succeed to the interest
of such insured by operation of law as distinguished from
purchase including, but not limited to, heirs, distributees,
devisees, survivors, personal representatives, next of kin, or
corporate or fiduciary successors.
(b) "insured claimant": an insured claiming loss or damage
hereunder.
(c) "knowledge": actual knowledge, not constructive
knowledge or notice which may be imputed to an insured by
reason of any public records,
(d) "land": the land described, specifically or by reference in
Schedule A, and improvements affixed thereto which by law
constitute real property; provided, however, the term "land"
does not include any property beyond the lines of the area
specifically described or referred to in Schedule A, nor any
right, title, interest, estate or easement in abutting streets,
roads, avenues, alleys, lanes, ways or waterways, but nothing
herein shall modify or limit the extent to which a right of
access to and from the land is insured by this policy,
(e) "mortgage": mortgage, deed of trust, trust deed, or other
security instrument.
(f) "public records": those records which by law impart
constructive notice of matters relating to said land,
2. Continuation of Insurance After Conveyance of Title
The coverage of this policy shall continue in force as of
Effective Date of policy in favor of an insured so long as
such insured retains an estate or interest in the land, or holds
an indebtedness secured by a purchase money mortgage
given by a purchaser from such insured, or so long as such
insured shall have liability by reason of covenants of warranty
made by such insured in any transfer or conveyance of such
estate or interest; provided, however, this policy shall not
continue in force in favor of any purchaser from such insured
of either said estate or interest or the indebtedness secured by
a purchase money mortgage given to such insured,
3. Defense and Prosecution of Actions - Notice of Claim
To Be Given by an Insured Claimant
(a) The Fund, at its own cost and without undue delay, shall
provide for the defense of an insured in all litigation consisting
of actions or proceedings commenced against such insured, or
a defense interposed against an insured in an action to enforce
a contract for a sale of the estate or interest in said land, to the
extent that such litigation is founded upon an alleged defect,
lien, encumbrance, or other matter insured against by this
policy,
(b) The insured shall notify The Fund promptly in writing
(i) in case any action or proceeding is begun or defense is
interposed as set forth in (a) above, (ii) in case knowledge shall
come to an insured hereunder of any claim of title or interest
which is adverse to the title to the estate or interest as insured,
and which might cause loss or damage for which The Fund
may be liable by virtue of this policy, or (iii) if title to the estate
or interest, as insured, is rejected as unmarketable, If such
prompt notice shall not be given to The Fund, then as to such
insured all liability of The Fund shall cease and terminate in
regard to the matter or matters for which such prompt notice
is required; provided, however, that failure to notify shall in
no case prejudice the rights of any such insured under this
policy unless The Fund shall be prejudiced by such failure and
then only to the extent of such prejudice,
(c) The Fund shall have the nght at its own cost to institute
and without undue delay prosecute any action or proceeding
or to do any other act which in its opinion may be necessarv or
desirable to establish the title to the estate or interest as
insured, and The Fund may take any appropriate action
under the terms of this policy, whether or not it shall be liable
thereunder, and shall not thereby concede liability or waive
any provision of this policy.
(d) Whenever The Fund shall have brought any action or
interposed a defense as required or permitted by the
provisions of this policy, The Fund may pursue any such
litigation to final determination by a court of competent
jurisdiction and expressly reserves the right in its sole
discretion, to appeal from any adverse judgment or order.
(e) In all cases where this policy permits or requires The
Fund to prosecute or provide for the defense of any action or
proceeding, the insured hereunder shall secure to The Fund
the right to so prosecute or provide defense in such action or
proceeding, and all appeals therein, and permit The Fund to
use, at its option, the name of such insured for such purpose,
Whenever requested by The Fund, such insured shall give
The Fund all reasonable aid in any such action or proceeding,
in effecting settlement, securing evidence, obtaining wit-
nesses, or prosecuting or defending such action or proceeding,
and The Fund shall reimburse such insured for any expense
so incurred.
4, Notice of Loss - Limitation of Action
In addition to the notices required under paragraph 3 (b) of
these Conditions and Stipulations, a statement in writing of
any loss or damage for which it is claimed The Fund is liable
under this policy shall be furnished to The Fund within 90
days after such loss or damage shall have been determined
and no right of action shall accrue to an Insured claimant until
30 days after such statement shall have been furnished.
Failure to furnish such statement of loss or damage shall
terminate any liability of The Fund under this policy as to
such loss or damage.
5. Options To Payor Otherwise Settle Claims
The Fund shall have the option to payor otherwise settle
for or in the name of an insured claimant any claim insured
against or to terminate all liability and obligations of The Fund
hereunder by paying or tendering payment of the amount of
insurance under this policy together with any costs,
attorneys' fees and expenses incurred up to the time of such
payment or tender of payment, by the insured claimant and
authorized by The Fund.
6. Determination and Payment of Loss
(a) The liability of The Fund under this policy shall in no
case exceed the least of:
(i) the actual loss of the insured claimant; or
(iil the amount of insurance stated in Schedule A
(b) The Fund will pay, in addition to any loss insured
against by this policy, all costs imposed upon an insured in
litigation carried on by The Fund for such insured, and all
costs, attorneys' fees and expf'nses in litigation carried on by
such insured with the written authorization of The Fund,
(c) When liability has been definitely fixed in accordance
with the conditions of this policy, the loss or damage shall
be payable within 30 days thereafter.
7, Limitation of Liability
No claim shall arise or be maintainable under this policv
(a) if The Fund, after having received notice of an alleged
defect, lien or encumbrance insured against hereunder, by
litigation or otherwise, removes such defect, lien or encum-
brance or establishes the title, as insured, within a reasonable
time after receipt of such notice; (b) in the event of litigation
until there has been a final determination by a court of
competent jurisdiction, and disposition of all appeals therefrom.

TIllS CAUSE came en to be heard'en Thursday, March 7, 1991, at a Status
Conference previously set by this Court. At the Status Conference, Herbert S.
Shapiro, the chapter 11 trustee, advised the Court that his extensive efforts in
attempting to procure a buyer for the parcels of real property owned by this
bankruptcy estate, other than for the CXlndominium apartment located at 1776
James Avenue, Unit 2 Nwreral F, Miami Beach, Florida, had been unsuccessful, and
that a successful reorganization of this debtor I s estate was highly unlikely.
This Court, having carefully CXlnsidered the arguement of CXlunsel and the repre-
sentations of Mr. Shapiro, and being otherwise fully advised in the premises,
does hereby
ORDER:
1. Full relief from the- automatic stay imposed by 11 U.S.C. S 362(a)
is granted, through final judgement in foreclosure and through and including
foreclosure sale, the issuance of a Certificate of Sale and Certificate of
Title, and in all other respects, with regard to the following - described par-
cels of property:

styled Miriam Schneck, et al. vs. Harvey H. Tendler and City of Miami Beach,
Case No. 90-2954(04).

PARTIAL RELEASE OF MORTGAGE
KNOW ALL MEN BY THESE PRESENT:
WHEREAS, HARVEY H. TENDLER, a single man, by Mortgage
Deed dated December 14, 1988, and recorded in the office of the
Clerk of the Circuit Court in and for the County of Dade, State
of Florida, in Official Records Book 13932, Page 2250, granted
and conveyed unto ROBERT WALTERS and CLARA WALTERS, his wife,
hereinafter referred to as the Mortgagee, and their assigns, the
premises therein particularly described, to secure the payment of
the sum of ($35,000.00) THIRTY FIVE THOUSAND AND NO/XX Dollars,
with interest as therein mentioned; and
WHEREAS, said ROBERT WALTERS died on August 6, 1991,
and
WHEREAS, said CLARA WALTERS desires to release the
aforesaid mortgage lien from the real property hereinafter
described.

the sum of $10.00 in hand paid, the receipt whereof is hereby
acknowledged, I do remise, release, quit-claim, exonerate and
discharge from the lien and operation of said Mortgage that
