05-83 RDA RESOLUTION NO. 5-83 A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE MIAMI BEACH REDEVELOPMENT AGENCY AUTHORIZ- ING AND DIRECTING THE CHAIRMAN TO EXECUTE A CON- TRACT FOR PLANNING AND RELATED PROFESSIONAL CONSULTING SERVICES WITH THE CITY OF MIAMI BEACH, FLORIDA. WHEREAS, the Agency desires that the City of Miami Beach provide to the Agency certain legal -- planning services leading towards the development and adoption of a revised Redevelopment Plan for the South Beach Redevelopment Area; and WHEREAS, the Community Redevelopment Act establishes that the Agency is a public body corporate and politic which may engage such technical experts and contract for services as it may require; and WHEREAS, the Agency is responsible for planning and for the development of a current Redevelopment Plan in conformance with the guidelines and criteria as set forth in the Community Redevelop- ment Act; and WHEREAS, the Agency finds that the current South Beach Re- development Plan (adopted May 5, 1982) needs to be revised commen- surate with an intended shift in plan concept from an emphasis on predominant clearance to one emphasizing (a) selective clearance of deteriorated and unsafe structures; (b) new construction on cleared parcels; (c) in-fill development of existing vacant parcels; (d) re- pair and rehabilitation of existing structures; and (e) preservation of structures of historic or architectural significance. NOW, THEREFORE, be it resolved by the Board of Commis- sioners of the Miami Beach Redevelopment Agency: The Chairman of the Agency is hereby authorized and directed to execute a contract with the City of Miami Beach, Florida (a copy of which is attached hereto and made a part hereof as Exhibit "A") wherein the Ci ty agrees to provide certain legal-planning services leading toward and including the development of a revised Redevelopment Plan for the South Beach area by June 15, 1983 for the amount of SEVENTY-FIVE THOUSAND ($75,000.00) DOLLARS, and providing addi tional planning sub-contracting services to the Ci ty for the amount of FIFTY THOUSAND ($50,000.00) DOLLARS, for a total sum of ONE HUNDRED TWENTY-FIVE THOUSAND ($125,000.00) DOLLARS, which shall be payable to the City from current Agency assets. AGREEMENT THIS AGREEMENT entered into this 19th day of January, 1983, by and between the CITY OF MIAMI BEACH (hereinafter referred to as the "CITY") and the MIAMI BEACH REDEVELOPMENT AGENCY (hereinafter referred to as the "AGENCY"), provides as follows: RECITALS WHEREAS, the CITY and AGENCY desire that the CITY provide to the AGENCY certain legal and planning services, and WHEREAS, the Community Redevelopment Act establishes that the AGENCY is a public body corporate and politic which may employ such technical experts as it may require and vests in the CITY certain continuing powers and responsibilities to facilitate redevelopment of the South Beach Area; NOW, THEREFORE, in consideration of the recitals and the mutual obligations of the parties as herein expressed, the CITY and the AGENCY agree as follows: SECTION 1. AGREEMENT TO COOPERATE It is recognized that the AGENCY will require the utilization of technical experts engaged by the CITY to perform legal and plan- ning services directed toward redevelopment of the South Beach Project. Accordingly, the CITY hereby agrees to provide certain legal and planning services to the AGENCY, as hereinafter set forth. SECTION 2. SCOPE OF SERVICES The CITY shall provide, in a satisfactory manner, legal, plan- ning, and other related professional consulting services leading subject to detailed schedules of performance as may be agreed upon by the CITY and the AGENCY. SECTION 4. METHOD OF PAYMENT The AGENCY agrees to pay the CITY, as consideration for the services speci f ied hereinabove SEVENTY-FIVE THOUSAND ($75,000.00) DOLLARS for legal and planning services and FIFTY THOUSAND ($50,000.00) DOLLARS for planning sub-contracting services, totalling the sum of ONE HUNDRED TWENTY-FIVE THOUSAND ($125,000.00) DOLLARS, which shall be payable upon execution of this Agreement for deposit into an appropriate City account, for planning and other professional services leading towards and including the development of a revised Redevelopment Plan for the South Beach area by June 15, 1983. SECTION 5. AMENDMENTS The parties hereto may from time to time require changes in the scope of services or other provisions of this Agreement. Such changes, including any increase or decrease in the amount of con- sideration agreed to herein shall be incorporated as written amend- ments to this Agreement. SECTION 6. TERMINATION The CITY or the AGENCY may terminate this Agreement at any time by giving written notice to the other party of such termination and specifying the effective date thereof, which date shall not be less than fifteen (IS) days from the date such written notice is received by the other party. In the event of termination, the CITY shall be paid for all work performed and for all expenses incurred up to the Agreement and for a period of one (1) year thereafter. SECTION 8. LIABILITY The AGENCY shall remain solely liable and obligated for any loss or damage by reason of redevelopment projects or activi ties taken pursuant to the provisions of the Community Redevelopment Act or for the serv ices speci f ied herein. The CITY, for its par t, agrees that the consideration it shall receive pursuant to the terms hereof shall be used solely for services performed in relation to the South Beach Redevelopment Project. SECTION 9. CONSTRUCTION OF CONTRACT The parties hereto agree that this Agreement shall be construed and enforced according to the laws, statutes, and case law of the State of Florida~ including, but not limited to, the provisions of the Community Redevelopment Act. This Agreement shall not be con- strued to alter the legislative intent of making the AGENCY a separate entity solely liable for all responsibilities and liabil- i ties imposed or incurred pursuant to redevelopment of the South Beach Project. SECTION 10. ENTIRE AGREEMENT This Agreement consti tutes the entire Agreement between the parties and may not be modified except by an amendment to this Agreement duly approved and executed by the parties hereto.
