31-85 RDA RESOLUTION NO. 31-85 A RESOLUTION OF THE MIAMI BEACH REDEVELOPMENT AGENCY, AUTHORIZING THE CHAIRMAN AND SECRET AR Y TO EXECUTE AN AGREEMENT BETWEEN THE MIAMI BEACH REDEVELOPMENT AGENCY AND THE CITY OF MIAMI BEACH, FLORIDA FOR THE PROVISION OF MANAGERIAL AND ADMINISTRATIVE SERVICES. WHEREAS, the Miami Beach Redevelopment Agency is desirous of obtaining from the City of Miami Beach the necessary managerial and administrative services for the proper administration of the Agency; and WHEREAS, such services are outlined in the Agreement which is attached hereto and made a part thereof; and WHEREAS, the Agency Attorney has approved said Agreement as to form and the Executive Director has recommended its execution. NOW, THEREFORE, BE IT RESOLVED BY THE MIAMI BEACH REDE VELOPMENT AGENCY, that the Chairman and the Secretary are authorized to execute the Agreement between the Miami Beach Redevelopment Agency and the City of Miami Beach for the provision of managerial and administrative services. WITNESSETH W HER E AS, the AGE N C Y Is engaged In guiding and developing policy and encouraging the econo m ic develop m ent of Mia m I Beach; and W HER E AS, the AGE N C Y does not have the necessary personnel required to provide managerial and administrative services for the general management of the various projects Identified for implementation; and W HER E AS, the AGE N C Y is desirous of obtaining the necessary managerial and ad m Inistrative services necessary to allow the proper ad ministration of the AGE N C Y; and WHEREAS, the CITY possesses the necessary managerial and administrative personnel experlenc~d In public and municipal policies and financing; and WHER EAS, the CITY Is desirous of providing such services; NOW THE REF 0 R E, in cons iderat ion of the afore m ent ioned and the mutua I benefits which will accrue to the parties hereto in carrying out the terms of this Agree m ent, it Is mutually understood and agreed as follows: SECTIOIII: SCOPE Of SERVICES The relationship of the CITY to the AGE N C Y will be that of a professional manager, and that the CITY wl11 provide managerial and administrative services required under this agreement in accordance with acceptable municipal managerial and adm inistrative practices and ethical standards. These services shall include but not be li m ited to: 1. The Office of the City Manager shall provide executive personnel for overall direction and administration of the AGENCY, which wl11 manage and administer all functions of the AGENCY. 2. The City Attorney shall provide legal services and direct and guide all outside legal counsel In accordance with the Executive Director's polie ies. 3. The Office of Management and Budget shall provide the necessary skl11s and expertise to per m It the sound fiscal develop m ent and growth of the AGE N C Y by monitoring the accounting records and providing an annual budget. 4. The City Clerk shall transcribe the minutes of all official meetings of the AGENCY and maintain the official minutes of such AGENCY meetings. 5. The Department of Economic Development shall assist in developer solicitation and project packaging. 6. The City shall provide the office space necessary for the AGE N C Y. SECTIOllh TERM OF AGREEMENT The term of this agreement shall be from Februery " 1985 through January 31, 1986 and shan be renewable on an annual basis. SECTION III: GENERAL COISIDERATIOIS 1. All documents, plans and reports which result from the C ITY'S service under the ter m s of this Agree ment shan beco m e the property of the AGE N C Y. 2. The CITY and the AGENCY each binds Itself and Its successors, legal representatives and assigns to the other party of this Agree nl ent, In respect to all covenants to this Agreement; and, neither the CITY nor the CONSULTANT wi11.asslgn or transfer their interest in this Agreement without the written consent of the other. SECTION IV: COMPENSATION The CITY shal1 be compensated for al1 services rendered under this Agreement In an amount not to exceed Seventy Eight Thousand Nine Hundred and Ninety Dol1ars ($78,990). Payment shal1 be made by the tenth day of each month In an amount equal to onw twelfth (1/12) of the total consideration. SECTION V: TERMINATIOI This Agree m ent may be term Inated by either party by giving not less than sixty days prior written' notice, In the event of substantial fanure to perform in accordance with the terms hereof by the other party through no fault of the terminating party. If this Agreement Is terminated, the CITY shall be paid a pro-rated amount for tasks completed up to the date of term ination. SECTION VI: EXTENTIOI The scope of services and terms of this Agreement can be extended by the Executive Director of the AGE N C Y for additional services, when deter mined by the Executive Director to be necessary, provided, however, that If such extension results in an Increase of the C IT Y'S com pensatlon, such extension shall require the prior approval of the City Com mission expressed by passage of an appropriate resolution.
