AMENDMENT NO.6
TO THE PROFESSIONAL LANDSCAPE ARCHITECTURAL
AND ENGINEERING SERVICES AGREEMENT
BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA
AND
EDWARDS AND KELCEY, INC,
DATED NOVEMBER 21,2002,
FOR THE PROVISION OF ADDITIONAL DESIGN SERVICES FOR REVISIONS TO
TRAFFIC IMPROVEMENTS IN AN AMOUNT NOT -TO-EXCEED $21,222 FOR
NEIGHBORHOOD NO. 13 - VENETIAN ISLANDS NEIGHBORHOOD RIGHT -OF-
WAY IMPROVEMENT PROJECT
This Amendment No. 6 to the Agreement made and entered this 22 day of
AUQust , 2005, by and between the CITY OF MIAMI BEACH, a municipal corporation
existing under the laws of the State of Florida (hereinafter referred to as City), having its
principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139, and
EDWARDS AND KELCEY, INC, (formerly known as Kunde Sprecher), having its offices
at 7300 North Kendall Drive, Suite 400, Miami Florida, 33156 (hereinafter referred to as
Consultant).
RECITALS
WHEREAS, pursuant to Request for Qualifications (RFQ) NO.1 0-0001, the Mayor
and City Commission adopted Resolution No. 2002-25071, on November 21, 2002,
approving and authorizing the Mayor and City Clerk to execute an Agreement with
Edwards and Kelcey, Inc, for Professional Services for Neighborhood 13, Venetian
Islands Neighborhood Right-of-Way Improvement Project (the Project); and
WHEREAS, the Agreement provided for the detailed planning, design, bid, award
and construction services for various streetscape / landscape I utility improvements within
the Neighborhood 13, Venetian Islands Neighborhood Right-of-Way Improvement
Project; and
WHEREAS, the Agreement was executed for a not-to-exceed amount of
$799,903; and
WHEREAS, on August 3, 2004, the Capital Improvements Project (CIP) Office
approved Amendment NO.1 to the Agreement, for the preparation and attendance of the
Consultant at a previously unforeseen Design Review Board meeting, f~EiWD

WHEREAS, on August 3,2003, the Capital Improvements Project (CIP) Office
approved Amendment No.2 to the Agreement, for the preparation of additional survey
work within the Venetian Causeway right of way, for a not-to-exceed amount of $2,000;
and
WHEREAS, on March 23, 2004, the Capital Improvements Project (CIP) Office
approved Amendment No. 3 to the Agreement, for the performance of additional
underground utility verification (soft-dig) services, for a not-to-exceed amount of $24,750;
and
WHEREAS, on March 23, 2004, the Capital Improvements Project (CIP) Office
approved Amendment NO.4 to the Agreement, for a not-to-exceed amount of $5,090, for
the design of additional irrigation at the request of the City's Parks & Recreation
Department; and
WHEREAS, on July 27, 2005, Amendment No.5 to the Agreement was executed,
for additional engineering services to design, permit, bid, award and construction
administration services for water and stormwater related improvements, for an amount of
$200,000.00; and
WHEREAS, this Amendment NO.6 to the Agreement, for revisions to traffic related
improvements at Miami Dade Public Works Department request, will increase the total
Agreement fee by a not-to-exceed amount of $21 ,222; and
WHEREAS, this proposal has been evaluated by Hazen & Sawyer, the City's
Program Manager, and the CI P Office.
NOW, THEREFORE, the parties hereto, and in consideration of the mutual
promises, covenants, agreements, terms, and conditions herein contained, and other
good and valuable consideration, the respect and adequacy are hereby acknowledged,
do agree as follows:
1. ABOVE RECITALS
The above recitals are true and correct and are incorporated as a part of this
Amendment NO.6.
2. MODIFICATIONS
The Agreement is amended as defined in Schedule "A-6", attached herein.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged.

4. RATIFICATION.
The City and Consultant ratify the terms of the Agreement, as amended by this
Amendment No.6.

SCHEDULE "A-6"
SCOPE OF SERVICES
Schedule "A" entitled, "Scope of Services", is amended as follows:
ADD the Following under Task 5 - ADDITIONAL SERVICES
Task 5.2 - Additional Design Services:
The CONSULTANT shall furnish additional design services associated with revisions to
the proposed above ground improvements within the City ROW as noted below:
. Task 5.2.1 Revisions to the currently proposed ROW Design: During design of
the Bid Package 13B: Belle Isle and Belle Isle Park improvements project, the
Consultant met with representatives of the Miami Dade Public Works Department
(MD-PWD) on November 3, 2003 and obtained conceptual approval of the
proposed layout of parking and traffic lane configurations within the City of Miami
Beach ROW along both North and South Island Avenues on Belle Isle. As a
result, the Consultant proceeded with design of the contract documents and
subsequently submitted 900/0 design completion stage documents for MD-PWD
permitting in November 2004. At that time, the Consultant was advised by the
MD-PWD that numerous revisions would be required to allow for the issuance of a
permit. As it was the City's understanding, that a conceptual approval had been
granted, several subsequent meetings were held between City administration and
MD-PWD personnel, until a suitable design revision, agreeable to all parties, was
established in July 2005. An ensuing meeting between City representatives and
residents of Belle Isle was held on August 1, 2005, with general consensus
established on the proposed design revisions. A schematic illustration of the
proposed revision is attached as Exhibit A-6(A).
. In general, revision consists of the following:
o Delete 6 parking spaces currently identified for loading/unloading along
the southern perimeter of Island Ave South.
o Shift the centerline of the road 6.5 feet, but keep the crown of the road
the same along Island Ave South.
o Add wheel stops to each proposed 90-degree parking spaces along the
park perimeter. These wheel stops shall be set back 5 feet from the
curb.
o Revise the dimensions of the parking stalls accordingly.
o Add a new sidewalk in the swale area along the southern perimeter of
Island Ave North.
o Attend one ORB meeting scheduled for September 20,2005.

. Consultant shall procure all requisite jurisdictional agency approvals in
accordance with base scope of service requirements.
TIME OF COMPLETION
Based on the scope of this Amendment No.6, the following submittal dates shall
apply:
. Bid Package 13B: Belle Isle and Belle isle Park: 1000/0 Design Completion
stage documents for internal City permitting reviews due on October 3,
2005.
PAYMENT AND COMPENSATION
The method for calculating the fees for the aforementioned proposed engineering
services (Task 5.2) is established in Exhibit 'A-6' attached, based on estimated
labor plus direct costs. The total fee proposed for this Scope of Work shall be on a
not-to-exceed basis in the amount of $21 ,222. Invoicing will be monthly and based
on hourly rates as defined in the current agreement between Edwards and Kelcey
and the City of Miami Beach.
COMPENSATION
. Original Agreement amount $799,903.
. Amendment No.1: Additional preparation and participation in Design Review Board
Meeting, $365.
. Amendment No.2: Additional surveying services, $2,000.
. Amendment No.3: Additional Underground Utility Location (soft-dig) services,
$24,750.
. Amendment No.4: Additional irrigation design at Parks Department request, $5,090.
. Amendment No.5: Additional water and stormwater related design efforts, $200,000.
. Amendment No.6: Additional traffic improvements related design efforts, $21,222.
. Revised Agreement amount $1,,053,330.
