limited partnership (the "Grantor"), to CITY OF MIAMI BEACH, a
Florida municipal corporation (the "Grantee"), whose post office
address is P. o. eox 0, Miami Beach, Florida 33119 Attention:
City Manager (the "Grantee")
WIT N E SSE T H:
That Grantor, for and in consideration of the sum of
Ten Dollars ($10.00) in hand paid by Grantee and other valuable
consideration, the receipt, adequacy and sufficiency whereof are
hereby aCknowledged, has granted, bargained and sold to the
Grantee, its successors and assigns forever, all that certain
land and airspace situate in Dade County, State of Florida,
legally described as follows:
See Exhibit A attached hereto and made a part
hereof.
Together, with all the tenements, hereditaments and
appurtenances thereto belonging or in anywise appertaining.
To Have and to Hold, the same in fee simple forever.
And the Grantor hereby covenants with said Grantee that the
Grantor is lawfully seized of said land in fee simple; that the
Grantor has good right and lawful authority to sell and convey said
land, and hereby warrants the title to said land and will defend the
same against the lawful claims of all persons whomsoever; and that
said land is free of all encumbrances, except taxes accruing
subsequent to December 31, 1993.
IN WITNESS WHEREOF, the Grantor has executed this

The Lowest Vertical Boundary of the above described Air Rights is
at an elevation of 40.00 feet, National Geodetic vertical Datum
(N.G.V.D.), 1929. The upper boundary of the said Air Rights is an
elevation of infinity. Area of the Base of the Air Rights is 658
