A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI
BEACH, FLORIDA, APPROVING AND AUTHORIZING THE MAYOR AND CITY CLERK TO
EXECUTE AN AGREEMENT WITH THE INTERNATIONAL COUNCIL FOR LOCAL
ENVIRONMENTAL INITIATIVES (ICLEIl, WHICH HAS AWARDED A $25,000 GRANT
TOWARD THE 1997-98 ELECTROWAVE OPERATIONS BUDGET; APPROPRIATING THE
GRANT FUNDS WHEN RECEIVED; AND, FURTHER AGREEING TO PARTICIPATE IN
ICLEI'S CITIES FOR CLIMATE PROTECTION CAMPAIGN.
WHEREAS, the Cities for Climate Protection Campaign, sponsored by the International Council
for Local Environmental Initiatives (ICLEIl and the U.S. Environmental Protection Agency, has awarded
a $25,000 grant toward the ELECTROWA VE 1996-97 Operating Budget, and invited the City of Miami
Beach to become a partner in the Campaign; and
WHEREAS, energy consumption, specifically the burning of fossil fuels, accounts for more than
85% of U.S. greenhouse gas emission; and
WHEREAS, local government actions taken to reduce greenhouse gas emissions and increase
energy efficiency provide multiple local benefits by decreasing air pollution, reducing energy
expenditures and saving money for the City government, its businesses and its citizens; and
WHEREAS, the City of Miami Beach pledges to participate in the Cities for Climate Protection
Campaign by doing the following:
1. Implementing a 10-year Energy Conservation Performance-Based Contract and Program
for over 20 City facilities. This Program will qualify the City to become a member of the EPA's
Green Lights Program; and
2. Supporting the continued operations of the ELECTROWA VE Circulator Shuttle Service's
South Beach route, inaugurated January 31, 1998, and the expansion of services to Middle
Beach, if this first route proves to be successful; and
3. Endorsing a local action plan to be prepared by the Miami Beach Transportation
Management Association (MBTMA) for the development and implementation of employee
carpool/vanpool programs, as well as other transportation demand management (TDM)
initiatives.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY
OF MIAMI BEACH, FLORIDA, that the Mayor and City Clerk are hereby authorized to execute the
attached Agreement with ICLEI, which has awarded a $25,000 grant toward the 1997-98
ELECTROWAVE Operations Budget; appropriating the grant funds when received; and, further agreeing
to participate in ICLEl's Cities for Climate Protection Campaign.

ADMINISTRATION RECOMMENDATION
Approve the Resolution.
BACKGROUND
The City and the Miami Beach Transportation Management Association (MBTMA) were
recently notified that the International Council for Local Environmental Initiatives
(ICLEI) has awarded $25,000 in Transportation Solutions Grant Funds toward the
ELECTROWA VE's 1997-98 operation/mechanical maintenance budget. The ICLEl's
letter is herein attached. This grant was pursuant to an application submitted by the
City/MBTMA in mid-1997, as part of an on-going effort to identify additional sources
of funding for the project.
ICLEI is an international organization of local governments dedicated to the prevention
and solution of local, regional, and global environmental problems through local action.
The Council is formally associated with the International Union of Local Authorities.
ANAL YSIS
As an ICLEI grant recipient, the City has been requested to do the following:
1 . Approve and adopt the attached Resolution authorizing Miami Beach
participation in the "Cities for Climate Protection Campaign," through certain

programs atready being planned and/or implemented by the City and the Miami
Beach Transportation Management Association (MBTMA).
- The City has taken an active role in increasing energy efficiency and reducing
greenhouse gas emissions from municipal operations through the following
program and project:
a) An Energy Conservation Performance-Based Contract and Program
approved by the City Commission on January 21, 1998. This Program
will also enable the City to become a member of the EPA's Green Lights
Program, which recognizes its members for efforts in energy efficiency
and preservation of the environment; and
b) A South Beach route of the ELECTROWA VE Circulator Shuttle Service,
inaugurated on January 31, 1998.
- MBTMA has begun the development of employee carpool/vanpool programs,
as well as other transportation demand management (TDM) initiatives, for
possible implementation within the next few years.
2. Execute the attached Agreement which details the requirements of this 1997-
98 grant funds awarded. Quarterly reports will be submitted by MBTMA, and
the $25,000 in grant funds will be disbursed by ICLEI in two installments.
3. Match this $25,000 grant at a minimum of $6,250. This requirement is amply
met by the City's FY 1997-98 contribution of $493,700 in Resort Tax Funds
toward the ELECTROWA VE Operating/Mechanical Maintenance Budget.
4. Do a press release to help publicize this award selection and proposed
ELECTROWA VE activities. An ICLEl's sample is herein attached.
CONCLUSION
The $25,000 grant funds are welcome and needed to strengthen the 1997-98
ELECTROWA VE Operating Budget, and the Administration recommends approval.

This Agreement, entered into this I day ofn 19q(is between the City
of Miami Beach, Florida, hereafter referred to as "t e City", and The
International Council for Local Environmental Initiatives, U.S.A., Inc.,
hereafter referred to as "ICLEI, U.S.A., Inc."
WITNESSETH that ICLEI U.S.A., Inc. and the City do mutually agree as follows:
1. PERFORMANCE
ICLEI U.S.A., Inc. and the City will devote their best professional efforts to high
quality and expeditious performance of the work relating to this program, involving
the reduction of air pollution and greenhouse gas emissions from the transportation
sector and subject to the provisions herein.
2. RESPONSIBILITIES
2.1 ICLEI U.S.A., Inc. will ensure administration and disbursement of grant
funds and will provide informational and technical assistance in support of the
City's proposed activity.
2.2 The City will authorize, through Resolution, the City's participation in the
Cities for Climate Protection Campaign. If such a Resolution has been authorized
prior to this contract, this responsibility will be considered to have been met. The
City will complete the transportation emissions reduction activity, as described in
the proposal submitted to ICLEI U.S.A., Inc. by the City, and described in
Appendix A.
3. SCOPE OF WORK
The City will be expected to meet the responsibilities outlined in Section 2.2 and
detailed in the attached budget and workplan (Appendix A), within the project
timeframe; with project work to be completed no later than one year after the
signing of this contract..
4. DELIVERABLES
4.1 The City shall provide to ICLEI U.S.A., Inc.:
· A copy of resolution or executive order authorizing the City's participation in the
Cities for Climate Protection Campaign.
· Three quarterly reports describing progress made on the City's grant-funded
activities, as proposed in the grant proposal submitted to ICLEI U.S.A., Inc. by the
City and described in Appendix A. Timely submission of quarterly will be the
responsibility of the City.
· One final project report, documenting completion of City's transportation
emissions reduction program as proposed in the Transportation Solutions grant
proposal submitted by the City to ICLEI U.S.A., Inc., and described in Appendix
A. This report shall be submitted on or before one year from the date of contract
signature. This final project report must include an analysis of the project impacts,
including estimates of impacts on total vehicle travel and emissions of air pollutants
and carbon dioxide. Financial reporting must be included in the final report,
including itemized reporting of the City's provision of a minimum of 25% in local
matching funds or in-kind equivalent.

6. COMPENSATION
ICLEI U.S.A., Inc. agrees to pay the City a sum not to exceed TWENTY-FIVE
THOUSAND DOLLARS ($25,000), which amount includes all direct and
indirect costs, to be full and complete compensation for the services to be rendered
under this Agreement as per Appendix A.
Payment will be made in two equal installments:
· Twelve thousand, five hundred dollars ($12,500) will be paid to the City upon
completion of this contract.
· The final payment of twelve thousand, five hundred dollars ($12,500) will be paid
to the City on project completion based on the receipt of the deliverables described
in Section 4.1, which date shall be on or before one year from the date of contract
signature. Before this final payment is made, ICLEI U.S.A., Inc. shall review the
invoice and documents submitted by the City for reasonable compliance of contract
requirements, proper use of funds, and provision of minimum of 25% of the grant
award in local matching funds or in-kind equivalent.
Grant funds will be delivered to the City's Principal Contact listed in Section 5
above, unless ICLEI, U.S.A. Inc. is notified in writing of another City staff or
department to be designated to re.ceive grant funds.
7. INDEMNITY
7.1 To the extent legally permissible, the City agrees to fully indemnify ICLEI
U.S.A., Inc. and hold it, and its officers, agents, representatives and
employees harmless from any and all loss, damage, liability, claim,
demand, suit or cause of action resulting from injury or harm to any person
or property arising out of or in any way connected with the City's
performance of work under this Agreement, excepting only such injury or
harm as may be caused by the active fault or negligence of ICLEI U.S.A.,
Inc.
7.2 ICLEI U.S.A., Inc. agrees to fully indemnify, defend and save harmless
the City against any and all loss, damage, liability, claim, demand, suit or
cause of action resulting from injury or harm to any person or property
arising out of or in any way connected with ICLEI U.S.A., Inc.'s
performance of work under this Agreement, excepting only such injury or
harm as may be caused by the active fault or negligence of the City.
7.3 Neither party shall hold the other responsible or liable for damages or delay
in performance caused by acts of God or nature, strikes, lock-outs,
accidents or other events beyond the control of the other's employees or
agents.
8. CUSTODY AND OWNERSHIP OF DOCUMENTS
8.1 ICLEI U.S.A., Inc. and the City shall retain safe and secure custody of all
documents, reports, schedules, charts, and documentation of data
assembled during the course of the performance of the agreement.
8.2 ICLEI U.S.A., Inc. and the City shall have sole and joint ownership of all
documents and products prepared under this Agreement.
8.3 The City and ICLEl U.S.A., Inc., and the grant program sponsors, the
U.S. Department of Energy and the U.S. Environmental Protection
Agency, shall each have the full and unobstructed right to disseminate or
use in any fashion, without the prior consent of any other party to this
Agreement, any non-proprietary work products developed either
individually or jointly under this Agreement. Each party shall have the right
to require that any references to itself be deleted from publication as well as
the right to suggest reasonable alterations or deletions.
9. TERMINATION
This Agreement shall continue for one year from the date of signature unless
terminated earlier by ICLEI U.S.A., Inc. or the City. This Agreement may be
terminated for convenience at any time by the parties upon a ten (10) day advance
written notice. If this agreement is terminated by the City, the City will return
funds received unless the City has met reasonable compliance of task requirements
as listed in section 2.2. ICLEI U.S.A., Inc. reserves the right to give the City five
(5) days' termination notice if loss of Federal funds were to occur, in which event
ICLEI U.S.A., Inc.'s sole obligation shall be to compensate the City for work
actually performed and actual expenses incurred prior to receipt of notice of
termination.
10. MODIFICA TIONS
Any modifications in this Agreement which may be requested, from time to time,
by ICLEI U.S.A., Inc. or the City and which are mutually agreed upon by and
between the parties shall be made by written amendments to this Agreement.

A. Description of Work
Grant funds will be used to support the operations and maintenance costs of the
Electrowave electric bus system. The Electrowave launch in January 1998 and ongoing
system operations will be managed by the Miami Beach Transportation Management
Association, Inc. and will consist of 7 22-passenger electric vehicles. The Electrowave
electric buses will operate 365 days a year, pick up passengers at 27 designated stops, and
will be free to riders.

Project Will Lead to Cleaner Air, Less Traffic and Lower Greenhouse Gas
Emissions
The City of Miami Beach has been awarded a $25,000 Transportation Solutions
Grant from the U.S. Office of the International Council for Local Environmental Initiatives
(ICLEI). The money will be used to support the operations and maintenance costs of the
Electrowave electric bus system. The Electrowave will begin service in January 1998 and
will consist of 7 22-passenger electric vehicles. The buses will operate 365 days a year,
pick up passengers every 6-10 minutes at 27 designated stops, and will be free to riders.
Miami Beach is one of ten local governments to receive grants in 1997-98, selected
from among 95 U.S. cities and counties which applied. The Transportation Solutions
Grant program is offered though ICLEI's Cities for Climate Protection Campaign-U.S.,
with funding provided by U.S. EPA's Transportation Partners and the U.S. Department of
Energy's Office of Transportation Technologies and Clean Cities program.
The ten projects receiving grants will help reduce the negative impacts urban
transportation has on local air quality, global warming, and the quality of urban life. As the
U.S. prepares for the international climate change conference in Kyoto, Japan next week,
greenhouse gas emissions from transportation continue to be the single largest -- as well as the
fastest growing source of greenhouse gas emissions in the U.S.. Americans drivers emit more
than one billion tons of C~ from their motor vehicles each year -- 20 pounds for every gallon
of gasoline burned. Electric vehicles produce no pollution at the tailpipe, and reduce
greenhouse gas emissions by 15-100%, depending on the source of electricity.
The grant program is part of ICLEI's Cities for Climate Protection Campaign, a global
effort of over 175 municipalities, including 49 U.S. cities and counties, accounting for nearly
5% of global greenhouse gas emissions.
ICLEl's CrnES FOR CUMATE PROTEcnON CAMPAIGN
ICLEI's Cities for Climate Protection Campaign began January 1993 at the First
Municipal Leaders Summit on Climate Change, held at the United Nations in
New York. The Campaign got fully underway in the United States in 1994 with
support from the US Environmental Protection Agency.
One of ICLEI's first projects worked with 14 local governments from North
America and Europe to analyze the role of urban areas in contributing to
increased greenhouse gas emissions and to research the impacts global climate
change will have on local. communities. The Cities for Climate Protection
Campaign was initiated as a result of this work and in recognition of the
widespread scientific agreement that global climate stability is threatened as a
result of human-induced emissions of greenhouse gases.
The primary greenhouse gas, C02, is produced through the burning of fossil
fuels, such as coal, oil and gas. When we bum fossil fuels, whether by driving
our cars or using electricity that is produced from these fuels, carbon dioxide is
released. It is this gas, along with methane from waste and agricultural by-
products, which is the major contributor to global climate disruption.
Municipalities are the focus of the Campaign because urban areas, as the
population centers of the world, are the major emitters of greenhouse gases;
together the emissions from the 10 largest U.S. cities account for 10% of the
U.S.'s total greenhouse gas emissions. And, local governments directly
. influence and control many of the activities that produce these emissions.
.
To date, a total of 178 municipalities worldwide are now participating, with 48
U. S. Cities and counties. All of the local governments have pledged to reduce
greenhouse gas emissions and improve the energy efficiency of their
communities. The Campaign encourages participating local governments to
adopt the "Toronto Target", committing to reduce local carbon dioxide
emissions by 20% or more from 1990 levels by the year 2010. This is the goal
which the Intergovernmental Panel on Climate Change (IPCC), an international
group of scientists serVing as advisors on the implementation of the Framework
Convention on Climate Change, has set as the minimum first step towards
necessary greenhouse gas emissions reduction.
To participate in the Campaign, jurisdictions pass a resolution committing to:
. conduct an analysis of community-wide greenhouse gas emissions;
. develop a "local action plan" that spells out a greenhouse gas reduction
target and the policies and measures to achieve that target;
. take a leadership role by increasing the energy efficiency of the local
government's own operations; and .
. promote public education and awareness on global warming and climate
protection.
