This Lease Termination Agreement (this "Termination Agreement") is entered into as of
this 9th day of February, 2006, by and between CITY OF MIAMI BEACH, a Florida municipal
corporation ("Lessor") and MIAMI CITY BALLET, INC., a Florida not-for-profit corporation
("Lessee").
RECITALS:
A. Lessor and Lessee are parties to that certain Ground Lease Agreement dated April
13, 1994 (the "Lease"), as amended by amendments dated June 18, 1997, October 21, 1997 and
January 6, 1999 (the Lease and all such amendments collectively, the "Ground Lease") with
respect to that certain land located in Miami-Dade County, Florida as more particularly described
on Exhibit "A" attached hereto (the "Land").
B. Lessor and Lessee hereby agree to terminate the Ground Lease as of the
"Termination Date" as defined herein.
NOW, THEREFORE, in consideration of the promises and the mutual covenants and
agreements contained herein, Lessor and Lessee agree as follows:
1. The Recitals set forth above are correct and are incorporated into, and constitute a
part of, this Termination Agreement.
2. The Ground Lease shall effectively terminate on February 9, 2006 (the
"Termination Date") and Lessee shall be obligated to pay all rent and comply with all other
obligations which accrue through such date.
3. Lessor and Lessee shall be released from any and all obligations from and after
the Termination Date except as provided herein.
4. Lessee hereby warrants and represents that:
(a)
Lessee has not encumbered, pledged, assigned or collaterally assigned the
Lease or the Land or any leasehold improvements or fixtures located in the
Land, and Lessee has not entered into any subleases or other arrangements
granting to any other party the right to use or occupy all or any portion of
the Land;
(b)
Lessee has full right, power and authority to execute this Termination
Agreement and Lessee has taken all action required to authorize the
execution hereof; and
(c)
Lessee warrants and represents that Lessee has not dealt with any real
estate broker in connection with this Termination Agreement.
IN WITNESS WHEREOF, Lessor and Lessee have caused this Termination Agreement
to be executed as of the date set forth above.
