MAINTENANCE AGREEMENTS,
SERVICE CONTRACTS AND WARRANTIES
THIS ASSIGNMENT OF PLANS, SPECIFICATIONS, MAINTENANCE
AGREEMENTS, SERVICE CONTRACTS AND WARRANTIES ("Assignment") is made as of
the 9th day of February 2006, by MIAMI CITY BALLET, INC., a Florida not-for-profit
corporation ("Assignor"), in favor of CITY OF MIAMI BEACH FLORIDA, a Florida
municipal corporation ("Assignee"), whose address is 1700 Convention Center Drive, Miami
Beach, Florida 33139.
Assignee has this day acquired from Assignor all of Assignor's right, title and interest in
and to the building located on the Land described on Exhibit A hereto ("Land") and all
improvements, fixtures and equipment located on the Land or in the building (collectively, the
"Building") and all of Assignor's right, title, and interest, if any, in and to the Land. The
Building and Assignor's interest, if any, in the Land are collectively referred to herein as the
"Property").
For and in consideration of the sum ofTen Dollars ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, Assignor hereby
assigns, conveys, transfers and sets over unto Assignee and Assignee hereby accepts from
Assignor all of Assignor's right, title and interest in and to the following: (i)all plans,
specification, maintenance agreements, service contracts and such other contracts relating to the
ownership and operation of the Property (the "Property Contracts") described on Exhibit A
attached hereto, and (ii) all assignable warranties and guarantees relating to the Property or any
portion thereof.
Assignor and Assignee hereby covenant and agree as follows:
(a) Assignee accepts the aforesaid assignment and Assignee assumes and agrees to be
bound by and timely perform, observe, discharge, and otherwise comply with each of the duties,
obligations, covenants and undertakings under the Property Contracts arising after the date of
this Assignment.
(b) Assignee agrees to be bound by and timely perform, observe, discharge, and
otherwise comply with each of the duties, obligations, covenants and undertakings under the
Property Contracts arising prior to the date hereof.
(c) To the extent allowable under Florida law, Assignee hereby agrees to indemnify,
defend and hold harmless Assignor from and against any and all liabilities, claims, demands,
obligations, assessments, losses, costs, damages, and expenses of any nature whatsoever
(including, without limiting the generality of the foregoing, reasonable attorneys' fees and court
costs) which Assignor may incur, sustain, or suffer, or which may be asserted or assessed against
Assignor on or after the date hereof, arising out of, pertaining to or in any way connected with
the obligations, duties, and liabilities under the Property Contracts arising from and after the
date hereof. Nothing contained in this paragraph or elsewhere in this Agreement is in any way
intended to be a waiver of the limitation placed upon the City's liability as set forth in Section
768.28, Florida Statutes.
(d) Assignor hereby agrees to indemnify, defend and hold harmless Assignee from
and against any and all liabilities, claims, demands, obligations, assessments, losses, costs,
damages, and expenses of any nature whatsoever (including, without limiting the generality of
the foregoing, reasonable attorneys' fees and court costs) which Assignee may incur, sustain, or
suffer, or which may be asserted or assessed against Assignee on or after the date hereof, arising
out of, pertaining to or in any way connected with the obligations, duties, and liabilities under the
Property Contracts arising prior to the date hereof.
(e) The parties hereto agree to execute, acknowledge, deliver and file, or cause to be
executed, acknowledged, delivered and filed, all further instruments, agreements or documents
as may be necessary to consummate the transactions provided for in this Assignment and to do
all further acts necessary to carry out the purpose and intent of this Assignment.
(f) Neither this Assignment nor any term, provision, or condition hereof may be
changed, amended or modified, and no obligation, duty or liability of any party hereby may be
released, discharged or waived, except in a writing signed by all parties hereto.
(g) The burden of the indemnities made herein shall not be assigned. Except as
aforesaid, this Assignment shall bind and inure to the benefit of the parties and their respective
successors, legal representatives and assigns.
