MEMORANDUM OF AGREEMENT
This AGREEMENT made and entered into this ! ttili day of (JJ ~ , 2005,
by and between MIAMI-DADE COUNTY, a political subdivision of the State of Florida,
hereinafter referred to as the "COUNTY", and the CITY OF MIAMI BEACH, a political
subdivision of the State of Florida, herein referred to as the "CITY."
WITNESSETH
WHEREAS, both parties herein wish to facilitate the modification of traffic signals as
part of a road improvement project in Miami-Dade County, herein referred to as the
"Project," which is described as follows:
To design, permit, and install COUNTY standard mast-arm traffic signals at the
intersections of Washington Avenue at 11th, 12th, 13th and 14th Streets. These
design-build services are to be performed concurrently with the Washington
Avenue Improvements Project, a $13.1 million CITY project, presently under a
design-build contract with Ric-Man International.
NOW, THEREFORE, in consideration of the promises and the covenants contained
herein, the parties agree:
1. The COUNTY shall provide funds to the CITY, via the reimbursement method, for
the upgrading of Project traffic signals for a total cost detailed as follows:

2. The CITY shall complete the signal modification plans in accordance with
standard COUNTY design criteria and shall submit to the COUNTY a written
certification of compliance with those standards.
3. The County shall furnish all materials to contractor, including mast arms, poles
and controllers.
4. The CITY shall identify all necessary permits, utility adjustments and right-of-way
for the project in accordance with applicable State, Federal and Local Laws and
ordinances.
5. The CITY shall approve a change order to Ric-Man International in an amount
not to exceed $686,880 to design-build the Project. Commitment of funds by the
COUNTY for the Project shall occur upon COUNTY approval of the CITY change
order.
6. At the time of the COUNTY'S approval of the CITY'S change order for this
Project, the CITY shall submit the Estimated Monthly Construction Payout
Schedule for the Project to the COUNTY. Monthly disbursement of COUNTY
funds to the CITY shall be based upon CITY invoices with certified copies of paid
contractor estimates attached. The COUNTY share of Project costs is limited to
the contracted costs of signal modifications only.
7. Subsequent change orders for the Project, if any, shall also be approved by the
COUNTY prior to execution by the CITY, and upon completion of the Project,
final construction contract costs will be determined and certified by the CITY, and
the COUNTY's financial participation and disbursement of funds adjusted
accordingly.
8. The COUNTY shall be responsible for the inspection of each signal modification.
9. The CITY agrees to permit the COUNTY auditors to inspect the books, records,
and accounts of the Project for three years after completion of the Project.
These records shall be made available to the COUNTY for inspection within
fifteen (15) working days upon receipt of a written request from the COUNTY.
10. The CITY does hereby agree to indemnify and hold harmless the COUNTY to the
extent allowable pursuant to Section 768.28, Florida Statutes, to pay any and all
personal injury or property damage claims, liabilities, losses and causes of action
that may arise out of or in connection with the performance of this Agreement,
including reasonable attorney's fees and costs incurred at the trial or
administrative levei or on appeal. However, nothing herein shall be deemed to

indemnify the COUNTY from any liability or claim arising out or in connection with
the negligent performance or failure of performance of the COUNTY or as a
result of the negligence of any unrelated third party. This indemnity shall not be
construed as a waiver of sovereign immunity.
11. The COUNTY shall review and make a determination or approval of all change
orders or supplemental agreements, permits, signal modification plans, or other
request for approvals submitted by the CITY within fifteen (15) days of receipt of
such change orders, supplemental agreements, permits, signal modification
plans or other requests for approval.
