Agreement f(1-3/U AGREEMENT THIS AGREEMENT ("Agreement") is entered into this ~lh day of U 2000, by and between WEST SIDE PARTNERS, LTD., a Florida limited partnership, YACH CLUB AT PORTOFINO, LTD., a Florida limited partnership, SUN & FUN, INC., a Florida corporation, BEACHW ALK DEVELOPMENT CORPORATION, a Florida corporation, AZURE COAST DEVELOPMENT, LTD., a Florida limited partnership, EAST COASTLINE DEVELOPMENT, LTD., a Florida limited partnership, SANDPOINT FINANCIAL, LTD., Florida limited partnership, and TRG-SSDI, LTD., a Florida limited partnership (collectively, "Owners") and CITY OF MIAMI BEACH ("City"). RECITALS WHEREAS, Owners are the owners of those properties within the City of Miami Beach legally described in Composite Exhibit "A" hereto; WHEREAS, on April 15, 1998, the Mayor and City Commission of the City of Miami Beach, Florida, pursuant to Ordinance No. 98-3121 approved the Alternative Porto fino DRI Development Order (the "Order"); and WHEREAS, section 7.B.2. of the Order provides for a fair share cost contribution for additional police and fire capital equipment to be paid by the Owners to the City, as follows: 2. Police and Fire: [The Applicant shall] [p Jay its fair share costs of additional police and fire capital equipment that are required as a result of the Porto fino Development Order, which costs shall include additional police vehicles for the City in an amount not to exceed two hundred forty thousand ($240,000) dollars, and one fire rescue vehicle in amount not to exceed ninety five thousand ($95,000) dollars. These fair share contributions shall be paid in accordance with Paragraph 12 below [;and] WHEREAS, Section 12 of the Order provided for a total fair share contribution of $920,000, payable over ten years, and the Owners have been making timely payments according to the required schedule; and WHEREAS, Sections 21 and 29 of the Order require Owners and City to enter into an Agreement as follows: 21. [The City shall] {p]rior to the issuance of any Certificate of Occupancy, execute an agreement with the City of Miami Beach Fire and Police Departments to ensure the adequate provision of fire and police protection services. 29. [The City shall] [w]ithhold the issuance of Certificates of Occupancy until agreements have been executed between the Applicant and the City of Miami Beach Fire and Police Departments, ensuring the adequate provision of services as a required condition [;and] WHEREAS, the "Owners" in this Agreement and the properties identified in Exhibit "A" are the same persons or entities subject to the Order, or their successors or assigns, and the same properties subject to the Order. NOW, THEREFORE, in reliance upon the true and correct recitals stated above, and in consideration of ten ($10) dollars, receipt of which is acknowledged, each party herein, on its own behalf, and on behalf of the individuals or entities specifically noted or referred to herein, stipulate and agree both individually or collectively as follows: 1. herein. Recitals. The recitals set forth above are true and correct and are incorporated 2. Adequate Provision of Services. The City agrees to ensure the adequate provision of fire and police protection services to the subject properties. 3. Issuance of Certificate of Occupancy. The City agrees that the execution of this Agreement, shall satisfy conditions 21 and 29 of the Order sufficient for the issuance of a Certificate of Occupancy and the Owners will be entitled to apply for and receive such Certificate of Occupancy in accordance with, and subject to, the Order, the City's land development regulations and the South Florida Building Code. 4. Counterparts. This agreement may be executed in counterparts. 5. This Agreement shall not be construed to insure the subject properties, or any persons or property located on the subject properties, against any damages to person or property as a result of any occurrence thereon or elsewhere. 6. This Agreement shall not create any rights in any person or entity not a party to this Agreement, and specifically rejects the creation or existence of any express or implied third party rights or beneficiaries to this Agreement. 7. This Agreement shall not create any right or cause of action in the Owners, their successors or assigns, to a determination as to the adequacy of the level, extent, expenditures in furtherance, or magnitude, of fire and police protection services, which subject shall be and remain in the sole discretion of the City Commission of the City of Miami Beach, not subject to review by any authority or court. 8. This Agreement may be construed as an expression of the policy of the City of Miami Beach to provide adequate fire and police protection services as follows, and the adequacy of fire and protection services under this Agreement shall be deemed satisfied if, the City of Miami Beach maintains police and fire departments, or police and fire personnel and equipment, or contracts for the provision 9f police and fire services, that include the subject properties within their service areas, and such police and fire services are equally available to the subject properties as they are to other properties within such service areas. 9. This Agreement shall not be construed to give rise to any cause of action, for its breach or otherwise, subject to the jurisdiction of any court; provided, however, that this Agreement may be used by any party as evidence, in any action at law or equity, that the requirements of Conditions 21 and 29 of the Development Order have been complied with in connection with the provision of fire and police protection services as described above.
