AMENDMENT NO.1 TO THE
PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF MIAMI BEACH, FLORIDA
AND
NATIONAL CAPTIONING INSTITUTE, INC.,
FOR REAL-TIME CLOSED CAPTIONING SERVICE OF ALL
CITY OF MIAMI BEACH COMMISSION MEETINGS,
AND OTHER TELEVISED MEETINGS, AS REQUIRED
This Amendment No. 1 th ab ve subject Agreement, made and entered into this
...2 ~ day of 2006, by and between the City of Miami Beach,
Florida (City), and N on I Captioning Institute, Inc. (Contractor), and hereby amends
the following provisions:
1) Section 2, entitled "Scope of Work", of the Agreement, shall be amended to add the
following additional scope of services and fee, to be incorporated and attached as
Exhibit "B" to the Agreement:

The Contractor agrees to provide the City with additional services for Spanish real-time
closed captioning from English, in the manner provided below, and for the fee set forth in
this Exhibit "B".
Preparation: The captioner first prepares his or her computer dictionary by compiling
a list of names and unique words likely to be used during the program. All available
resources, including reliable Internet sites, are used to verify the accuracy of these
materials. The real-time captioners then add these words to their computer dictionaries
so that they appear properly during the broadcast.
Captioning. To provide the highest quality captioning, the Project Director, through the
captioning supervisors, assigns a captioner or a team of captioners. Captioner
assignments are determined on a meeting-by-meeting basis for the type of captioning
being provided. Approximately fifteen (15) minutes before the beginning of the program,
a data connection is established with the broadcaster and its integrity is verified. The
captioning computer system is loaded and checked. Captioning begins with the start of
the meeting. The captioner listens to the audio over a telephone line connection if the
televised program is not available to the captioner. The caption data is transmitted
instantaneously via modem to the master control at the City of Miami Beach. There, the
caption data is inserted into Line 21 of the television signal through an encoder.
Captioning is continuous and concludes at the end of the event.
Fee. The rate for Spanish real-time closed captioning from English audio totals
$400/program hour, prorated to the next quarter hour. This rate includes: 1) Interpreter
at $150.00/per program hour prorated to the next quarter hour; and 2) Spanish real-time
captioning of $250.00/per program hour, prorated to the next quarter hour.

2) Except as expressly amended herein, all other terms and conditions of the
Agreement shall remain unchanged and in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
executed by their appropriate officials, commencing on the last date of execution of the
Agreement by the parties hereto.
