NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, in the Agreement and the other Contract Documents and for such other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Owner and the Construction Manager do hereby agree as follows: 1. This GMP Amendment is executed in connection with, and is deemed to be part of the Agreement and the Contract Documents. Wherever the terms of this GMP Amendme'1t and the terms of the Contract Documents are in conflict, the terms of this GMP Amendment shall govern and control. The terms used herein, unless otherwise defined in this GMP Amendment, shall have the meanings ascribed to them in the Contract Documents. 2. The following are hereby incorporated into the Contract Documents and made part thereof: a. The drawings listed on Attachment I, attached hereto, which drawings are made a part of the Contract Documents by this reference (the "Drawings"); and b. The specifications listed on Attachment II, attached hereto, which specifications are made a part of the Contract Documents by this reference (the "Specifications"); (N/A) and c. Those documents listed on Attachment III, Additional Contract Documents, refer to the executed pre-construction services agreement for reference. d. Those documents listed on Attachment IV, Construction Manager l\J- ('VS.b-e-CH-Q""3~ l \ l6"~ proposal and Qualifications and Assumptions, attached hereto, are made a part of the Contract Documents by this reference. e. The Scope of the Work for the Project, as described in Attachment I is hereby incorporated into the Work. f. The date of Commencement for the construction of Project shall be one week following the last date of execution of this Amendment by the parties hereto. (the "date of Commencement"). g. The Construction Manager shall achieve Substantial Completion of the Work for this Project no later than 3 days from the Date of Commencement (the "Contract Time", and final completion not later than 2 days from the date of final Completion. Failure to meet either the Substantial Completion or Final Completion dates shall be a material breach of this Agreement. h. The Guaranteed Maximum Price for the Project, is hereby guaranteed by the Construction Manager not to exceed the sum of $19,956 (the "Project GMP"), based upon the entire Scope of the Work as described per Attachment I in the Contract Documents, including, but not limited to, the Drawings and the Specifications, subject only to additions and deductions by Contract Amendment(s} or Construction Change Directive, as provided in the Contract Documents. The GMP is more particularly itemized in the Schedule of Values prepared in accordance with the terms of the Agreement, which Schedule of Values is attached hereto as Attachments VI and made a part of the Contract Documents by this reference. Included in the Schedule of Values and specifically identified herein, is the Contingency included in the Guaranteed Maximum Price is the amount of $1,500. j. The Construction Manager shall provide Commercial General Liability Insurance, Automobile Liability Insurance, and Worker's Compensation Insurance in compliance with the provisions of Article II, Insurance and Bonds of the General Conditions of the Contract for Construction. k. The Construction Manager shall provide the Public Construction Payment Bond and the Public Construction Performance and Guarantee Bond, in compliance with the provisions of Article II, Insurance and Bonds of the General Conditions of the Contract for Construction. I. Locations for utilities will be determined by the Construction Manager, at the execution of GMP Amendment # 1 and all existing utility connections will be capped as noted in the qualifications and assumptions statement. m. The Construction Manager's on site management and supervisory personnel for this Project shall be set forth herein, and incorporated as an Attachment VII to this Agreement. n. To the extent that the Owner has authorized the Construction Manager, in writing, to perform the Work for this Project with the Construction Manager's own forces, the salary and wage schedule for the Construction Manager's personnel performing such portion of the Work, agreed upon by the City and the Construction Manager, shall be as set forth on Attachment III, attached hereto, and is made a part of the Contract Documents by this reference. The Construction Manager warrants and represents that the salary and wage schedule includes comparable market rates (including any and all benefits, contributions and insurance) charged by the Construction Manager for comparable contracts to other business and individuals for similar services, and that such rates are not higher than the standard paid for this Project. o. Due to short duration and limited scope of project a schedule will not provided. Refer to date of commencement and "contract time" items "f' and "g" of this agreement. p. Except as expressly provided herein above all of the terms, conditions, covenants, agreements and understandings contained in the Contract Documents shall remain unchanged and in full force and effect, and the same hereby expressly ratified and confirmed by the Owner and Construction Manager. q. This Exhibit " GMP Amendment may be executed in several counterparts, each of which shall be deemed an original but all of which shall constitute one and the same instrument. Our price is inclusive of plans prepared by Architeknics Architects and Planners received by Coastal Construction on October 18,2006. 2. Builders Risk Insurance to be provided by Contractor in an amount and form satisfactory to Owner. This policy must name Contractor as co-insured and will be in force prior to the start of construction. All Builders Risk insurance deductible costs are the sole responsibility of the Owner. 3. Additional testing shall be provided by Owner. 4. The following items are specifically excluded from this Proposal: . Utility bonds, Building Permits and impact fees or assessments. . DOT permits. . DERM and/or South Florida Water Management District permits. . Water meters . Offsite civil improvements . Unforeseen subsurface conditions . (PSI) has performed an Asbestos Renovation Survey of the above referenced property to Identify any ACM Including Category I and Category II non-friable ACM. Below, please find a dlscu$SlQl'l of our surv~y and results. The City of Miami Beach Is planning to renovate the existing bundlng. Facility Descrtptlon The facility Included In this Asbestos Survey consists of a single story club house .that Is approximately 2,500 square feet In sfze. The building is constructed concrete, concrete block, brick and stucco. Survey Intent The survey Included a thorough Inspection of the entire building. Mr. Glenn Potharst of PSI conducted the survey on June 8, 2006. Mr. Potharst quarrtlfied. and assessed the condition of all Categofy I non-frlable ACM and Category II non-friable ACM. A hand pressure test was used to detennine whether the material was friable. Representative samples were collected ancl submitted to an accredited laboratory for analysis by Polarized light Microscopy. Reports of Analysis are attached along with Chain of Custody documentation. Findings Asbe,stos containing materials were discovered during this asbestos ~novation survey. Conversely, EPA considers a homogeneous materlal to be non-asbestos containing If all the samples of that material contain 1 % or less esbestos. When samples are analyzed by Polarized Ught Microscopy contain asbestos less than ten (10%) percent, than a more exact method of analysis call point counting may be performed at the cllenfs request. When results ofthJs method are less than one (1%) percent asbestos, then the material is not regulated by the EPA and OSHA. A minimum of three samples are required to oonfirm a material area as non~bestos. The asbestos con1alnll1g.f1oortlle and the assumed mirror mastic are considered to be Category I asbestos-contalnlng materials per EPA NESHAPS 40 CFR Part '61, Subpart M. These materials do not pose a ~Igniflcant exposure problem unless sawn, drilled, sanded, or structurally altered in a way which could make It become friable. If there are plans to disbJrbthe above-referenced Category I asbestos-contalnlng materials, PSJ recommends that the materials be removed by a Florida licensed asbestos abatement contractor utilizing proper abatement procedures per OSHA 29 CFR Part1926~1101, and documentary air monitoring to verify compliance with EPA NESHAPS 40 CFR Part 61. Subpart M. If any additional suspect materials are encountered that have ,not been tested, or If any materials are found that were not visible at the time of the survey, they should be presumed to be asbestos-containlng until laboratory testing proves otherwise. Warranty The information contained In this report Is based upon the data furnished by The City of Miami Beach and observations and test results provided by PSI. These observations and results are time dependent, are subject to changing site conditions, and revisions to Federal, State and local regulations. PSI warrants that these findings have been promulgated after being prepared in general accordance With generally accepted practices In the asbestos and/or lead-based paint testing and abatement Industries. PSI also recognizes that raw laboratory test data are not usually sufficient to make all.abatement and management decisions. this report was prepared pursuant to the contract PSI has with The City of Miami Beach.
