AMENDMENT NO.5
TO THE PROFESSIONAL ARCHITECTURAL AND ENGINEERING (A I E) SERVICES
AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND EDAW, INC., DATED
JULY 18, 2001, IN AN AMOUNT NOT-TO-EXCEED $556,214.00, FOR THE PROVISION OF
ADDITIONAL SERVICES, NECESSARY FOR THE IMPLEMENTATION OF THE
UNDERGROUND UTILITY VERIFICATION EFFORTS, EXTENDED PLANNING EFFORTS,
ADDITIONAL WATER MAINS AND ENCROACHMENT IDENTIFICATION FOR THE RIGHT-OF-
WAY INFRASTRUCTURE IMPROVEMENTS PROGRAM NEIGHBORHOOD NO. 10 -
FLAMINGO I LUMMUS PROJECT.
This Amendment No.5 to the Agreement made and entered this 20th day of April 2005, by and
between the CITY OF MIAMI BEACH, a Municipal Corporation existing underthe laws of the State
of Florida (hereinafter referred to as CITY), having its principal offices at 1700 Convention Center
Drive, Miami Beach, Florida 33139, and EDAW, INC., having its offices at 1688 Meridian Avenue,
Suite 303, Miami Beach, Florida 33139 (hereinafter referred to as CONSULTANT).
RECITALS
WHEREAS, pursuant to Request for Qualifications (RFQ) No. 07-00/01, the Mayor and
City Commission adopted Resolution No. 2001-24506, on July 18, 2001, approving and
authorizing the Mayor and City Clerk to execute an Agreement with EDAW, Inc., for Professional
Services for the Flamingo / Lummus Neighborhood Streetscape and Utility Improvement Project;
and
WHEREAS, the Agreement provides for the planning, design, bidding and award,
construction administration and reimbursables for the Flamingo / Lummus neighborhood Project;
and
and
WHEREAS, the Agreement was executed for a not-to-exceed amount of $1 ,840,000.00;
WHEREAS, the administration has negotiated Amendment No. 1 to the contract for the
planning, design, permitting, bidding and award, construction administration and reimbursables
associated with the additional project areas located within the Flamingo / Lummus Neighborhood
consisting of Euclid and Meridian Avenues from 16th Street to Lincoln Lane South, which were
approved on September 11, 2002; and
WHEREAS, the administration has negotiated Amendment NO.2 to the contract for the
planning, design, permitting, bidding and award, construction administration and reimbursables
associated with the additional project areas located within the Flamingo / Lummus Neighborhood
consisting of the South Pointe Redevelopment Area and the City Center Redevelopment Area,
which were approved on September 11, 2002; and
WHEREAS, Amendment No. 1 increased the total contract fee by $35,999.00 and
Amendment No.2 by $278,806.00 for a total fee of $2,154,805.00; and
WHEREAS, the administration has negotiated Amendment No. 3 to the contract for
additional geotechnical investigation services required to effectively design water main and storm
water improvements by allowing the ability of soil and underground conditions to support utility
improvements to be determined; and

WHEREAS, Amendment No.3 increased the total contract fee by $63,298.00 for a total fee
of $2,218,103.00; and
WHEREAS, the Administration has negotiated Amendment No. 4 for the additional
professional services to prepare the permit application, supporting documentation and present the
project to the Historic Preservation Boards; and
WHEREAS, Amendment No. 4 increased the total contract fee by a not-to-exceed of
$14,423.00 for a total fee of $2,232,526.00; and
WHEREAS, the Scope of Services of this Amendment No. 5 is intended to address
additional services for Additional Underground Utility Verification Efforts, Extended Planning
Phase, Additional Professional Services for Water Main Replacement and Encroachment List
Compliance with CITY'S Standard format; and
WHEREAS, noted in Task 2.2 of the Scope of Services, the CONSULTANT is responsible
for the implementation of underground utility field verification efforts on its respective projects.
This effort is intended to further refine contract documents by selectively investigating "utility"
locations where proposed underground infrastructure will intersect with existing improvements;
and
WHEREAS, at this time, the CONSULTANT, has advised that it is ready to commence its
underground utility verification effort. The CONSULTANT has provided the City and Hazen and
Sawyer, the City's Program Manager, with a map of its intended locations and the effort appears
reasonable for the anticipated improvements; and
WHEREAS, the CITY and Hazen and Sawyer concurs with the CONSULTANT'S findings
that the Agreement does not provide a reimbursable allowance to perform soft digs, and the
Agreement should be increased by an additional not-to-exceed amount of two-hundred forty two
thousand eight hundred nine dollars ($242,809.00), to be commensurate with the required level of
effort to perform 1,300 test hole locations; and
WHEREAS, the CONSULTANT has advised the City and Hazen and Sawyer that
additional fees are required for Extended Planning Services due to the extended contract duration
out of the control of the CONSULTANT; and
WHEREAS, Article 2.28 of the Agreement provides the CONSULTANT with an opportunity
to request for additional compensation resulting from the untimely review by City or other
governmental authorities having jurisdiction over the Project or such delays which are caused by
factors outside the control of Consultant; and
WHEREAS, the administration has negotiated the Extended Planning Phase fee by 22
weeks for a not-to-exceed of amount $12,221.00; and
WHEREAS, the CITY has indicated that an additional 23,880 LF of water main has been
identified for replacement. The additional water main replacement is identified in Exhibit A-3.; and
WHEREAS, the administration has negotiated the additional water main design, permitting,
bidding and award and construction administration services for the additional 23,880 LF of water
main replacement for a not-to-exceed amount of $280,990.00; and

construction administration services for the additional 23,880 LF of water main
replacement as identified on Exhibit A-3."
2.5 ADD the following task:
"Task 6.5 - Underaround Utilitv Verification:
CONSULTANT shall arrange for and coordinate the efforts of a company to perform test
holes using the vacuum extraction method ("potholing") for the purpose of identifying
conflicts between the location of existing underground utilities and the proposed
underground improvements. Actual locations shall be as directed by CONSULTANT. This
task shall be utilized as a tool to verify the horizontal location, elevation, size and type of
material of the existing underground utilities, as deemed necessary by CONSUL TANT, up
to the maximum not-to-exceed amount two-hundred forty two thousand eight hundred nine
dollars ($242,809.00). CONSULTANT'S compensation anticipates the performance of
one thousand three hundred (1,300) underground utility locations. Unused amounts in this
allowance shall be credited back to the CITY at the completion of the project."
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged.
4. RATIFICATION.
The City and Consultant ratify the terms of the Agreement, as amended by this
Amendment NO.5.

Waterline Add Fee Proposal
Dear Mr. Carrei'lo:
As discussed at the July 30, 2004 Design Progress Review Meeting, we are rescinding
our November 18,2003 proposal and submitting this updated manhour / fee estimate
in the amount of $280,990 for additional planning, design, bid & award, and
construction administration services related to the revised water main improvement
plan per Exhibit A-3.
· The total estimated length of water main replacement under Exhibit A
(original contract) is 22,240 feet.
· The total estimated length of water main replacement under Exhibit A-3
(provided 10.10.03) is 30,600 feet.
· There are approximately 6,720 feet of overlapping or duplicate water main
locations between Exhibit A and Exhibit A-3.
This proposal considers the water main work associated with Exhibit A to be 60%
complete with detailed design. The requested additional compensation is based on the
following:
· bringing 23,880 LF ofnew pipe (30,600 LF of pipe per Exhibit A-3 less 6,720
LF overlap from Exhibit A) from 0 to 100% complete through B&A and CA
· crediting back 15,520 LF of pipe replacement (22,240 LF of pipe per Exhibit
A less 6,720 LF overlap with Exhibit A-3) from 60% through completion
· continuing to develop 6,720 LF (overlap between Exhibits A & A-3) from 60
to 1 00% as per original contract
We understand that the City has requested Design through CA Phase services only.
Therefore, none of the tasks associated with the Planning Phase are included in this
proposal.
Other considerations regarding this request may need to be addressed such as the
anticipated increase in the overall construction cost due to the additional water lines

and any impact to the design/construction schedule due to the required survey and
redesign effort.
This additional service request is valid for sixty (60) days at which time we reserve
the right to review and renegotiate the proposed scope and fee.
