A RESOLUTION OF THE CHAIRMAN AND THE MEMBERS
OF THE MIAMI BEACH REDEVELOPMENT AGENCY
APPROPRIATING $975,581 FROM THE SOUTH POINTE
TAX INCREMENT FUND FOR THE RELOCATION OF
UTILITY LINES AT THE SSDI-SOUTH PARCEL,
PURSUANT TO THE SETTLEMENT AGREEMENT
BETWEEN WEST SIDE PARTNERS, LTD. AND THE CITY
OF MIAMI BEACH, APPROVED PURSUANT TO
RESOLUTION NO. 98-3121.
WHEREAS, on April 15, 1998, the Chairman and Members of the Miami Beach
Redevelopment Agency (RDA) approved Resolution 98-3121, which authorized the execution of
a Settlement Agreement between West Side Partners, Ltd. and the City of Miami Beach; and
WHEREAS, this Settlement Agreement contemplated the execution of several documents,
including the Grant of Baywalk Easement; and
WHEREAS, the Grant ofBaywalk Easement, in paragraph 7, attached hereto, states that "At
the time Grantor rvv est Side Partners, Ltd.) determines that it is necessary to relocate the utilities (i.e.
utilities located outside the Easement Parcel) ..., Grantee (the City of Miami Beach) shall be
responsible for the payment of all costs and expenses incurred by Grantor to relocate such utilities.
In this regard, Grantee agrees to fund the relocation costs and expenses to Grantor within 30 days
following receipt of invoices therefor."; and
WHEREAS, correspondence dated May 16, 2000, from Murano at Porto fino, on behalf of
West Side Partners, Ltd, provides a breakdown of costs estimated at $975,581.
NOW THEREFORE, BE IT DULY RESOLVED BY THE CHAIRMAN AND
MEMBERS OF THE MIAMI BEACH REDEVELOPMENT AGENCY, authorize the
Chairman and the Secretary to appropriate $975,581 from the South Pointe Tax Increment Fund for
the relocation of utility lines at the SSDI-South Parcel, pursuant to the Settlement Agreement
between West Side Partners, Ltd. and the City of Miami Beach, approved pursuant to Resolution No.
98-3121.

ANALYSIS
On April 15, 1998, the Chairman and Members of the Miami Beach Redevelopment Agency (RDA)
approved Resolution 98-3121, which authorized execution of a Settlement Agreement between West
Side Partners, Ltd. and the City of Miami Beach. The Settlement Agreement contemplated the
execution of several documents, including the Grant of Baywalk Easement.
Specifically, the Grant ofBaywalk Easement, in paragraph 7, attached hereto, states that "At the time
Grantor (West Side Partners, Ltd.) determines that it is necessary to relocate the utilities (i.e. utilities
located outside the Easement Parcel) ..., Grantee (the City of Miami Beach) shall be responsible for
the payment of all costs and expenses incurred by Grantor to relocate such utilities. In this regard,
Grantee agrees to fund the relocation costs and expenses to Grantor within 30 days following receipt
of invoices therefor."

It was originally estimated that such utility relocation costs would approximate $300,000. The
attached correspondence dated May 16, 2000, from Murano at Porto fino, on behalf of West Side
Partners, Ltd, provides a breakdown of costs estimated at $975,581, as described below. At this
time, a requisition for payment has been submitted for the period from May I-June 12, 2000,
requesting payment of $219,097, representing the engineering design fees, permit fees and a portion
of the surveying, earthwork and dewatering, new water service (50%), electrical, phone service
relocation, FPL transformer relocation and primary conduit, and the general contractor's overhead
and profit. Therefore, an appropriation ofthe total contract amount is necessary at this time.

The Administration recommends that the Chairman and the Members of the Miami Beach
Redevelopment Agency authorize the Chairman and the Secretary to appropriate $975,581 from the
South Pointe Tax Increment Fund for the relocation of utility lines at the SSDI-South Parcel,
pursuant to the Settlement Agreement approved by Resolution No. 98-3121.

contractors. In such event, Grantor shall be entitled to
select counsel of Grantor's choice to defend the claim,
however, Grantee shall be permitted, at Grantee's cost and
expense, to retain independent counsel to monitor the claim
proceeding.
6. The parties agree that in connection with-each of their
respective rights to install and maintain utilities in the
subsurface of the Easement Parcel pursuant to thi~ Grant of Baywalk
Easement, each party (i) shall notify the other of its intention to
install, repair or otherwise maintain such utili ties, (ii) shall
cooperate fully with the other party and take such steps as may be
necessary to insure that any such installation, maintenance or
repair of said utilities will not interfere with the use or
functioning of existing utili ties, (iii) shall, to the extent
feasible, integrate any proposed installation, maintenance or
repair with any proposed work of a similar nature by the other
party, and (iv) shall not unreasonably interfere with the use of
the Easement Parcel by the other party as permitted under this
Grant of Baywalk Easement.
7. Grantor hereby agrees to permit the existing underground
utilities located outside the Easement Parcel to remain in their
present location until such time as Grantor determines, in
Grantor's sole discretion, that the relocation of the utilities is
necessary in conn.ection with the following: (i) Grantor' 5
environmental remediation of the property adjacent to the Easement
Parcel (as well as the Easement Parcel), (ii) Grantor's development
of the property adjacent to the Easement Parcel, and/or (iii) the
construction of the baywalk improvements in the Easement Parcel. At
the time Grantor determines that it is necessary to relocate the
utilities, Grantor shall provide at least two (2) weeks notice to
Grantee prior to commencing the relocation of the utilities.
Grantor shall be responsible for the physical relocation of the
utilities (including the relocation of all utility lines to a
location within the Easement Parcel but not less than.six (6) feet,
from the eastern boundary of the Easement parcel and the relocation
of the above ground electrical boxes into the building constructed
adjacent to the Easement Parcel), however, Grantee shall be
responsible for the payment of all costs and expenses incurred by
Grantor to relocate such utilities. In this regard, Grantee agrees
to fund the relocation costs and expenses to Grantor within 30 days
following receipt of invoices therefor. Notwithstanding any other
term contained herein, the responsibility for reconstruction of the
existing baywalk, from its present configuration.as existing on the
date hereof to the location described in schedule A annexed hereto
and made a part hereof shall be as follows:

As we indicated to you On Friday, April 28, we submitted the marina utility relocation plaos
tbat day tor review by the Buildiog Department. Those pIa", were approved on Thursday,
May 11 and a permit W&$ Issued.
We explained to you at the time tbat we needed to proceed with this project as it would
impede tbe tower building process it work was not commenced in a timely manner.
We submitted to you at that meeting a proposal trom our contractor, Jobn Moriarity & Associates
for 5941,380 to accomplish this work. In addition, tbere were several fees

Re: Murano Marina Utility Relocation
Dear Alex,
I want to apologize for the delay in forwarding you the enclosed proposals. Exhibit A
is to relocate the cable, water, telephone and electric one time. After many
conversations with various parties, the location would be up against the north. wall of
the MarinaTownhouse_s. The FPL, Southern Bell and cable work is only an estimate
and would be based on their actual charge.
Exhibit B is per your request to leave boxes in current location until the building is
complete. This requires re-feeding the boxes from under the building at this time.
Then, when the building is complete, to feed them from the garage. This would
increase electrical cost approximately $160,000.00. The balance of work under
scenario A or B would be completed in Phase One.
John Moriarty & Associates is the general contractor for Murano and would be the
logical choice to coordinate this work on site. Their actual portion of direct work
(except overhead and profit) is only $110,000.00 so I would suggest we use them to
supervise all work. The fees by the utilities are basically non-negotiable in our
experience leaving only the electrical work. In order to protect the interest of the City,
I would suggest we secure additional electrical prices for Scenario A while the plans
are being processed for permit.
It is our sincere hope to begin this work by May 15 and have it completed by June 15.

Relocation of Underground Electrical
Dear Mr. Daly,
The following is the pricing for the entire scope of work related to the re-routing of the
FPL duct bank from within the proposed building site.
Bell South
1. Supply and install one empty 3" conduit with pull string along Baywalk for Bell
South main trunk line cable from the north end of the property to the south.
2. Supply and install underground junction box at each existing terminal cabinet and re-
feed from the new trunk line conduit with an empty 2" conduit with pull string.
3. Bell South to remove their existing phone lines in old duct bank and install in new
one. The old duct bank to be abandoned.
Cable TV
1. Supply and install one empty 3" conduit with pull string along Baywalk for Cable Co.
main trunk line cable from the north end of the property to the south.
2. Supply and install underground junction box at each existing terminal cabinet and re-
feed from the new trunk line conduit with an empty 2" conduit with pull string.
3. Cable TV to remove their existing phone lines in old duct bank and install in new
one. The old duct bank to be abandoned.

Florida Power & Light
1. Install two (2) empty 5" conduits at a depth of 4' and encase them in concrete from
the manhole located at the northwest end of the property and run them along the
Baywalk to the manhole located near the sales trailer.
2. Core drill two (2) holes in each manhole to accommodate the new conduits.

3. Install new duct from the north manhole to the new transformer location located on
the south side of the Yacht Club building.
4. Re-Iocate the duct going to the far south transformer pad, which feeds the sales trailer
and the south pier of the marina.
. Marina Wiring
New Electrical Service
1. Install new 2,000 amp feeder from the relocated FPL transformer to the new electrical
service.
2. Supply and install one (I) new 277/480 volt, 3 phase, 4 wire, 2,000 amp switch board
to feed the existing 480 volt panels and transformers located at the west ends of the
piers and new transformer.
3. Supply and install new transformer to step down voltage from 480 to 120/208 volts to
feed new distribution panel.
4. Supply and install one (1) new 120/208 volt, 3 phase, 4 wire, 1,600 amp distribution
panel to feed the east half of the piers and the Baywalk street lighting.
Relocate Existing Wiring
1. Remove and discard the three (3) existing electrical cabinets servicing piers "J", "K"
and "M" at the west end of the property.
2. Locate and disconnect the conduits feeding into the existing concrete piers and
terminate into a large underground junction box. Existing wiring within the piers to
remain.
3. Supply and install new conduit and wire' (adjusted for voltage drop) from
underground junction box at each pier and run to the new electrical service at the
north side of the property. All conduits to be run adjacent to the new duct bank
conduit systems along the Baywalk.
4. Splice and terminate all existing cables at piers to new cables with shrink-wrap type
connectors.

Street Lighting
I. Install new wiring for the existing pole lights along the Baywalk.
2. Supply and install conduit and wire back to the new electrical service.
3. Provide new photocell control and lighting contractor for pole lights.
4. Re-feed power to existing phone booths along the Baywalk.
Service Provided
· Designlbuild the electrical relocation of the underground wiring with the owner's
design team. -
. Trenching and rough back fill.
· Provide engineered electrical drawings to submit for permitting.
· Coordinate with Florida Power and Light, Bell South and Cable company in the
design and layout of the new duct bank system.
· Minimize the down time of electrical service to the marina during construction.
· Coordination of underground conduit installation with other utilities.
Exclusions
. Utility company fees associated with this project.
. Dewatering if needed.
. Final grading.
. Barriers and/or fencing along the excavation trenching.
· Existing conditions of the lighting along the Baywalk.
. Existing conditions of electrical equipment at the marina.
. Permit fees.
. Damage to the existing sea wall due to the disturbance of the soil.
· Damage to the existing underground utilities that are not properly located by others.
. Concrete pads for new electrical equipment and transformers.

Total Investment
The total investment for the above work cannot be determined until final engineered
drawings are reviewed and approved by the City of Miami Beach Building Department.
Upon our initial design, we estimate that the investment for the above scope of work will
be $450,000.00.
We estimate the other relocation costs as follows:

Relocation of Underground Electrical
Dear Mr. Daly,
Pursuant to our discussions regarding the re-location of the existing underground utilities
at the aforementioned project site, please be advised of the pricing for the second option
of these re-locations. This will be a two step process.
The amended scope of work includes the following:
Phase I
1. Omit all of the new electrical distribution equipment by keeping the existing
equipment "as is" until the parking garage is built and install the new equipment
within the parking garage area.
2. Omit all of the re-wiring at the existing marina piers until the new equipment is
installed within the parking garage area.
3. The FPL, Telephone and Cable TV duct banks will remain the same as the original
proposal.
4. The re-wiring of the Baywalk street lighting wilI remain the same.
5. A new duct must feed the existing transformer or a new manhole must be installed at
the existing transformer location. This will be needed because when the transformer
is eventually removed the FPL "LOOP" will be cut. The new manhole will provide a
splice point to remove the transformer and stilI keep the loop intact.
6. Disconnect the existing secondary feeds coming from the FPL transformer to the
existing three (3) electrical distribution centers. This will cause a substantial amount
of down time to the marina customers.
7. Install new secondary feeders to the west of the transformer to re-feed the electrical
distribution centers.
8. The revised price for relocating the electrical utilities is $296,000.00.

This letter is to explain the purpose of the multiple transformers required at the above
named project.
The electrical distribution for the marina at piers J, K & L on the south end of the property
is to be relocated due to the construction of new building.
Presently, there is one FPL transformer with one meter and three secondary transformers
servicing the piers. The new proposed electrical distribution system will have two
transformers provided by FPL with no secondary transformers. Each transformer is
metered separately.
It is more cost effective for FPL to supply the second transformer. The cost difference
WQuld be between $35,000 to $40,000 more if we were to supply one transformer to
replace the three existing ones.
