MIAMI BEACH REDEVELOPMENT AGENCY APPROVING
AMENDMENT NO.6 TO THE AGREEMENT BETWEEN THE MIAMI
BEACH REDEVELOPMENT AGENCY AND KIMLEY-HORN AND
ASSOCIATES, INC., FOR PROFESSIONAL ENGINEERING AND

WHEREAS, on January 20, 1999, the Chairman and Members of the Miami Beach
Redevelopment Agency (RDA) authorized the Executive Director and RDA staff to negotiate an
agreement with Kimley-Hom and Associates, Inc. (the Agreement), to provide professional
engineering and landscaping services for design of street improvements in the South Pointe
Redevelopment Area (the Project); and
WHEREAS, staff has negotiated a not-to-exceed fee of$170,760 for the preparation of
the final Master Plan and opinion of probable cost for the entire Project; and
WHEREAS, the scope of services included in the initial phase of work consisted of data
collection and a review. of existing documents, resulting in the preparation of a Master Plan and
surveying for the Phase I improvements; and
WHEREAS, c:. May 26, 1999, the RDA approved Amendment No.1 to the Agreement,
which included a not-to-exceed fee, in the amount of$389,1 00, for the preparation of construction
documents, permitting and bidding services for Phase I; and
WHEREAS, on May 26, 1999, the RDA approved Amendment No.2 to the Agreement,
which included a not-to-exceed fee, in the amount of $1 03,800, including surveying, Master Plan
design, preparation of bidding and construction documents, and permitting for the Washington
A venue extension, as required by the Portofino Settlement Agreement; and
WHEREAS, on October 20, 1999, the RDA approved Amendment No.3 to the
Agreement, which included a not-to-exceed fee in the amount of $70,925, for a Phase II survey,
including geo-technical studies, aerial photos and other expenses; and
WHEREAS, on February 9, 2000, the RDA approved Amendment No. 4 to the
Agreement, which included a not-to-exceed fee in the amount of $22,500 for survey, construction
documentation, permitting services and geo-technical studies to modify the existing parking lot
located at South Poink Park for its connection with the driveway entrance provided into Park;
and

WHEREAS, on January 20,1999, the Chairman and Members of the Miami Beach
Redevelopment Agency (RDA) authorized the Executive Director and RDA staff to negotiate an
agreement with Kimley-Horn and Associates, Inc. (the Agreement), to provide professional
engineering and landscaping services for design of street improvements in the South Pointe
Redevelopment Area (the Project); and
WHEREAS, staffhas negotiated a not-to-exceed fee of $170,760 for the preparation of

WHEREAS, on October 20, 1999, the RDA approved Amendment No.3 to the
Agreement, which included a not-to-exceed fee in the amount of $70,925, for a Phase II survey,
including geo-technica.! studies, aerial photos and other expenses; and
WHEREAS, on February 9, 2000, the RDA approved Amendment No.4 to the
Agreement, which included a not-to-exceed fee in the amount of $22,500 for survey, construction
documentation, permitting services and geo-technical studies to modify the existing parking lot
located at South Pointe Park for its connection with the driveway entrance provided into Park;
and

WHEREAS, on May 10, 2000, the RDA approved Amendment No.5 to the Agreement,
which included a not-to-exceed fee in the amount of $8,500.00 for design, coordination and
preparation of construction documents for two monument identification signs at South Pointe
Park, to be included as part of phase I of the South Pointe Redevelopment Area streetscape
project; and
WHEREAS, on June 28, 2000, the RDA approved the execution of a construction
contract with Atlantic Civil, Inc. to perform the construction of Phase I of the South Pointe
Streetscape Improvements; and
WHEREAS, in order to meet the time schedule prepared as part of the Master Plan, the
Phase I construction, estimated to last approximately twelve (12) months, is about to commence;
and
WHEREAS, during the construction of the Project, Kimley-Hom and Associates, Inc.
will provide the Redevelopment Agency regular periodic input regarding the interpretation of
plans; and
WHEREAS, the proposed not-to-exceed fee for project construction coordination, field
representation, and shop drawing revision for the Phase I construction of the Project, is
$216,930.00 with the following defined tasks:
Construction Phase Services, including but not-limited-to shop drawing revision and
construction and field representation and coordination - $203,930.00; Additional Public Meetings
and Presentations, if required - $5,500.00; and Reimbursements - $7,500.00.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE CHAIRMAN AND
MEMBERS OF THE MIAMI BEACH REDEVELOPMENT AGENCY, that the Chairman
and Members of the Miami Beach Redevelopment Agency herein approve the attached
Amendment No.6 to the Agreement with Kimley-Hom and Associates, Inc., dated June 2m,
2000, for professional engineering and landscaping services, in an amount not-to-exceed
$216,930.00 for project construction coordination, field representation, and shop drawing revision
for Phase I construction of the South Pointe Streetscape Improvements Project; and appropriate
the contract amount from the South Pointe Tax Increment Fund

ANAISSIS
On January 20, 1999, the Chairman and Members of the Miami Beach Redevelopment Agency
(RDA) authorized the Executive Director and RDA staff to negotiate an agreement with Kimley-
Horn and Associates, Inc. (the Agreement), to provide professional engineering and landscaping
services for design of street improvements in the South Pointe Redevelopment Area (the Project).
The RDA staff negotiated a not-to-exceed fee of $170,760 for the preparation of the final Master
Plan and opinion of probable cost for the entire Project. The scope of services included in the initial
phase of work consisted of data collection and a review of existing documents resulting in the
preparation of a Master Plan and surveying for the Phase I improvements.
On May 26, 1999, the RDA approved Amendment No.1, which included a not-to-exceed fee in the
amount of $389, I 00 for the preparation of construction documents, permitting and bidding services

LANDSCAPE ARCHITECTURAL SERVICES, FOR PROJECT
CONSTRUCTION COORDINATION, FIELD REPRESENTATION, AND
SHOP DRAWING REVISION FOR THE PHASE I CONSTRUCTION OF
THE SOUTH POINTE STREETSCAPE IMPROVEMENTS PROJECT
This Amendment No.6, dated as of l' u. i~ I ')-- > 2000, to that certain
Professional Services Agreement (Agreement), dated ebruary 17, 1999, by and between the
Miami Beach Redevelopment Agency (RDA) and Kimley-Horn and Associates, Inc.
(Consultant).
RECITALS
WHEREAS, the Agreement provides for the preparation of the final Master Plan for the
South Pointe Redevelopment Area Streetscape Improvements Project (the "Project"); and
WHEREAS, this Amendment No.6 to the Agreement provides for project construction
coordination, field representation, and shop drawing revision for the Phase I construction of the
Project; and
WHEREAS, the Consultant will review the shop drawings submitted by the contractor
for materials to be utilized for the construction of the Project; and
WHEREAS, the Consultant will copy the shop drawings to the City for filing; and
WHEREAS, the Consultant will provide representation, throughout the duration of the
Project, at weekly construction progress meetings, with the intent to resolve questions that may
arise from the plans; and
WHEREAS, the Consultant will provide field representation throughout the duration of
the Project, for the pUl1Xlse of providing observation of material and procedure testing; layout and
materials for paving, lighting, irrigation; and review of the landscape materials for conformity
with the plans and specifications; and
WHEREAS, the Consultant's field representation will consist of an average of sixteen
(16) hours/week for a site inspector and six (6) hours/week for project manager/engineer and
associated clerical time, with reports based on the site observations of the construction work will
be provided; and
WHEREAS, the Consultant will provide coordination services through the interpretation
of plans; the response to the requests for information (RFls) submitted by the Contractor; the
review of change orders, requests for payments, and as-built drawings, as prepared by the
Contractor; and the preparation of a preliminary and final punch list.

1. RECITALS
The above recitals are true and correct and are incorporated as a part of this Amendment
No.6.
2. MODIFICATIONS
The Agreement is amended as follows:
Exhibit "A", entitled "Scope of Services/Fee", is amended to add the work attached
hereto and incorporated herein as Exhibit "A-6".
3. OrnER PROVISIONS
All other provisions of the Agreement, as amended, are unchanged.
4. RATIFICATION
The RDA and Consultant ratify the terms of the Agreement, as modified by this
Amendment No.6.
IN WITNESS WHEREOF, the parties hereto have caused this Fifth Amendment to be

SCOPE OF SERVICES
Task 1 - Construction Phase Services
The intent of these services is to provide regular, periodic input to the City regarding
interpretations of the plans. The fee budget associated with this task is based upon 52-
week (12-month) construction duration. If the final acceptance ofthe project extends to
a period beyond 52 weeks. through no fault of the consultant, additional service fees
shall be required.
1.1 Shop Drawing Review
We will provide services to review shop drawings as submitted by the contractor
for materials to be utilized for construction of the project. Shop drawings will be
copied to the City for filing.
1.2 Progress Meetings
We will provide representation at weekly construction progress meetings. The
intent of our attendance is to resolve questions that may arise regarding the
plans.
1.3 Field Representation
We will provide limited field representation throughout the duration of the
construction, for the purpose of providing observation of testing (such as
densities for base materials, pressure testing and the provision of necessary
documentation to permitting agency of the watermains), layout and materials for
paving, lighting, irrigation and review of the landscape materials for conformity
with the plans and specifications. Field representation will consist of an average
of 16 hours/week for a site inspector, 6 hours/week for project manager/engineer
and associated clerical time. Reports, based on our site observations of the
construction work, will be provided.
The Consultant shall not be responsible for the means, methods, techniques,
sequences, or procedures of construction selected by Contractor(s) or the safety
precautions and programs incident to the work ofContractor(s). The
Consultant's efforts will be directed toward providing the Client with a greater
degree of confidence that the completed work of Contractor(s) will conform to
the Contract Documents. The Consultant shall not be responsible for the failure
ofContractor(s) to perform the work in accordance with the Contract
Documents. The Consultant shall not have the authority or responsibility to stop
the work of any contractor. During such visits and on the basis of on-site
observations, the Consultant shall keep the Client informed of the progress of the
work, shall endeavor to provide some protection for the owner against defects
and deficiencies in such work, and may disapprove or reject work if it fails to

conform to the Contract Documents. The Consultant shall perform the
observations in accordance with the standard of care of the profession at the time
of service.
1.4 Coordination
The Consultant shall provide interpretation of plans, response to RFls submitted
by the Contractor. review of change orders prepared by Contractor, review of as-
built drawings prepared by Contractor, one preliminary and one final punch list,
and review of contractors request for payments.
Additional Services
Upon your authorization, we will provide any additional services that may be required
beyond those described in Task 1. These services may include but are not limited to such
items as the following:
. Attending progress meetings beyond the limits outlined within the contract
documents
. Reviewing substantially different and alternative construction methods and materials
for "Or Equal" qualification
. Field Representation beyond the limits outlined within the contract documents
SCHEDULE
We will provide the services outlined in Task I in accordance with the time frame
outlined within the contract documents for the South Pointe Streetscape Improvements-
Phase I.
