Re: Escrow Agreement (Condemnation Side Letter) dated January 19, 1996 (the
"Escrow Agreement") by and among the City of Miami Beach, Floirda, a Florida
municipal corporatin (the "City"), West Side Partners, Ltd. ("West Side"), and
Steel Hector & Davis ("Escrow Agent")
Ladies and Gentlemen:
Pursuant to the Escrow Agreement, Escrow Agent continues to hold the Side Letter (as
defined therein). Notwithstanding anything to the contrary contained in the Escrow Agreement,
the City and West Side hereby jointly authorize and direct Escrow Agent to immediately and
unconditionally deliver the Side Letter to West Side c/o Matthew B. Gorson, Esq. at Greenberg
Traudg, P.A., 1221 Brickell Avenue, Miami, Flodda 33131. The City and West Side hereby
waive any and all notices, objection pedods and/or dghts to object to such delivery. Upon your
delivery of the Side Letter to Mr. Gorson, Escrow Agent shall be deemed released and relieved
of all further obligations under the Escrow Agreement.
We thank you for your cooperation in this regard.
