Cypress Creek Road, Suite 100 Fort Lauderdale, Florida 33309 Attn: Jim Harvey Re: Escrow Agreement (SSDI North Parcel) dated January 10, 1996 (the "Escrow Agreement") by and among The Miami Beach Redevelopment Agency ("Transferor"), West Side Partners, Ltd. ("Transferee") and Chicago Title Insurance Company ("Escrow Agent") Ladies and Gentlemen: The undersigned, being the respective legal counsel to Transferor and Transferee, hereby advise you that Transferor and Transferee have resolved their disagreements regarding the delivery and recordation of the Special Warranty Deed for The SSDI North Parcel which you are holding in accordance with the Escrow Agreement. In that regard and pursuant to Paragraph 2 of the Escrow Agreement, we have enclosed a revised Exhibit B to the Special Warranty Deed (list of permitted exceptions) which has been agreed upon by both Transferor and Transferee. You are hereby authorized and directed to attach said Exhibit B to the Special Warranty Deed. We have also enclosed those certain documents listed in Schedule 1 attached hereto (the Special Warranty Deed and said closing documents are hereinafter collectively referred to as the "Closing Documents"), together with a check made payable to "Chicago Title Insurance Company" in the amount of $68,167.15, to reimburse Chicago Title Insurance Company for the cost of recording same and the documentary stamp tax and Miami-Dade County Surtax due in connection therewith. Notwithstanding anything to the contrary contained in the Escrow Agreement, that certain letter dated July 7, 1997 from Transferee to Escrow Agent and/or that certain letter dated July 10, 1997 from Transferor to Escrow Agent, we request and hereby authorize and direct you to immediately and unconditionally record the Closing Documents in the sequential order appearing on Schedule 1 attached hereto, and upon accomplishing said recording, all parties to the Escrow Agreement shall be deemed released and relieved of all further obligations and liabilities under the Escrow Agreement.
