SATISFACTION OF MORTGAGE AND ,"rnGMENTS
WHEREAS, WEST SIDE PARTNERS, LTD., a Florida limited partnership (the
"Mortgagee") is the owner and holder of that certain Mortgage (the "Mortgage") dated July 24,
1985, and recorded July 31, 1985, in Official Records Book 12590, page 2786, of the Public
Records of Miami-Dade County, Florida, given by the Miami Beach Redevelopment Agency
(the "Mortgagor") by virtue of that certain Assignment and Assumption of Mortgage and 9.tber
Documents dated April 6, 1994, recorded in Official Records Book 16313, at Page W8,lgtfhe
Public Records of Miami-Dade County, Florida; and
WHEREAS, the Mortgage secures a certain Final Judgment dated September 18, 1984 in
the original amount of $3,646, 134.46, together with all interest accrued thereon, entered in the
Circuit Court of the 11th Judicial Circuit in and for Miami-Dade County, Florida under Case No.
82-24526(19) (the "Court Case"), recorded in Official Records Book 12276, Page 2258, of the
Public Records of Miami-Dade County, Florida, a certified copy of which has been recorded in
Official Records Book 16289, Page 1495, of the Public Records of Miami-Dade County, Florida
(the "Monetary Judgment"); and
WHEREAS, Mortgagee is also the holder of a certain Judgment for Attorneys' Fees,
dated September 23, 1986 in the original amount if$365,000, together with interest accrued
thereon, entered in the Court Case, recorded in Official Records Book 13033, at Page 1235, of
the Public Records of Miami-Dade County, Florida, a certified copy of which is recorded in
Official Records Book 16293, at Page 1045, of the Public Records of Miami-Dade County,
Florida (the "Attorneys' Fees Judgment") (The Monetary Judgment and Attorneys' Fees
Judgment are sometimes hereinafter referred to collectively as the "Judgments");
WHEREAS, pursuant to that certain Partial Release and Reduction of Mortgage and
Judgments executed by Mortgagor and Mortgagee (and joined by the City of Miami Beach,
Florida), dated January 10, 1996 and recorded January 29,1996 in Official Records Book 17077,
at Page 1185 of the Public Records of Miami-Dade County, Florida: (i) a portion of the property
encumbered by the Mortgage was partially released from the lien and operation of the Mortgage,

and (ii) the indebtedness evidenced by the Judgments and secured by the Mortgage was reduced
to a then outstanding amount equal to $4,542,982.85.
NOW, THEREFORE, in consideration of the sum ofTen Dollars ($10.00) and other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
Mortgagee hereby surrenders the Mortgage and the Judgments as cancelled, and hereby directs
the Clerk of Circuit Court, Miami-Dade County, Florida to cancel same of record.
