Greenberg Traurig, P.A. 1221 Brickell Avenue Miami, Florida 33131 (Space Reserved for Clerk of Court) RELEASE AND TERMINATION OF EASEMENTS (SSDI North Parcel) . jl- ~ This Release and Termination of Easements (the "Release") is made as of the ~ day of 1999 by the CITY OF MIAMI BEACH, FLORIDA, a Florida municipal corporation (the "C. "). WH~R~A~: A. The City is the prior owner of that certain property located in Miami-Dade County (formerly Dade County), Florida, and more particularly described in Exhibit "Au attached hereto and made a part hereof (the "Property"). B. The City conveyed title to the Property to The Miami Beach Redevelopment Agency (the "Redevelopment Agency") pursuant to that certain Warranty Deed given by the City in favor of the Redevelopment Agency, dated December 27, 1979 and recorded December 28, 1979 in Official Records Book 10611, at Page 1411 of the Public Records of Dade County, Florida (the "1979 Deed"). C. The 1979 Deed established the following easements for public utilities existing as of the date of the 1979 Deed and affecting title to the Property (collectively, the "Sewer line Easements"): (1) a 10-foot easement over Lots 46 and 47 in Block 111, of OCEAN BEACH FLORIDA ADDITION NO.3, according to the Plat thereof recorded in Plat Book 2, at Page 81, of the Public Records of Dade County, Florida, and (2) a 10-foot easement over Lots 45, 46, 47 and 48 in Block 111, of OCEAN BEACH FLORIDA ADDITION NO.3, according to the Plat thereof recorded in Plat Book 2, at Page 81, of the Public Records of Dade County, Florida. D. Concurrently with the execution of this Release, the Redevelopment Agency is conveying title to the Property to West Side Partners, Ltd., a Florida limited partnership ("West Side") pursuant to a certain Special Warranty Deed. E. The City has agreed to release and terminate the Sewer Line Easements so that from and after the date of this Release, the Property shall be free and clear and no longer burdened and/or encumbered by the Sewer Line Easements. ,.. NOW, THEREFORE in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the City hereby agrees as follows: 1. reference. The City does hereby forever release, terminate, cancel, discharge and hold for naught the Sewer Line Easements so that the Property shall no longer be burdened and/or encumbered thereby, and the City hereby directs the Clerk of the Circuit Court to release and discharge the Sewer Line Easements from the Property of record.
