Ladies and Gentlemen:
Notwithstanding anything to the contrary contained in that certain Amended and Restated
Waiver of Riparian Rights (SSm South) (the "Amended and Restated Waiver") dated as of May
24, 1999 (copy of which is attached hereto for reference purposes), this letter is to advise you that
the Amended and Restated Waiver is not intended in any way to impair or derogate any of the
rights of West Side under that certain Marina Slip Agreement dated January 10, 1996 and
recorded January 29,1996 in Official Records Book 17077, at Page 1260 of the Public Records
of Miami-Dade County (formerly Dade County), Florida, including, without limitation, the
appointment of West Side as the initial "Qualified Entity" thereunder.
