NOTICE OF TERMINATION OF SUBLEASE
This Notice of Termination of Sublease (the "Agreement") is made as of1P"'J.LZ.7./11f
1999 by and between Miami Beach Marina Associates, Ltd. as successor to Carner- "
Mason Associates, Ltd, ("Lessor") and MacGray Corporation Services, successor to
Wash-Bowl Vending, Inc. ("Lessee")
RECITALS
A. Carner-Mason Associates, Ltd. and Lessee entered into a Sublease dated
November 8, 1984, for certain property located in Miami-Dade County, Florida, which
Lease was recorded in Official Records Book 12378, Page 164 of the Public Records of
Miami-Dade County, Florida, as amended by a First Amendment dated October 23,
991, a Second Amendment dated August 11,1994, a Third Amendment dated May 27,
1997 and a Fourth Amendment dated April 15, 1998 (collectively, the "Marina Lease"),
B. Lessor is the successor to Carner-Mason Associates, Ltd" the landlord
set forth in the Sublease;
C. Lessor and Lessee are entering into this Notice to evidence the
termination the Sublease among the Public Records of Miami-Dade County, Florida.
Now, therefore, in consideration of the mutual covenants and promises setforth
in this Agreement and other good and valuable consideration, the receipt and
sufficiency of which are acknowledged, the parties agree as follows:
1, Recitals. The foregoing recitals are true and are made part of the
Agreement.
2, Termination. The Sublease is terminated as of May 1, 1999.
3, Governing Law. This Agreement shall be construed and governed in
accordance with the laws of the State of Florida without application of conflict of law
principles.
4. Bindin9 Effect. The terms and conditions of this Agreement shall bind
and inure to the benefit of the parties and their respective successors and assigns,
5. Counterparts. This Agreement may be executed in any number of
counterparts, each of which shall be deemed an original.
