Amendment No. 18 to Agreement with Camp, Dresser & McKee, Inc. :? 0 0 '1- ;1 ~ ~ y V o lip '1 - A '1 G AMENDMENT NO. 18 TO THE PROFESSIONAL ENGINEERING AND RESIDENT INSPECTION SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND CAMP, DRESSER & MCKEE, INC. DATED JANUARY 17, 2007 FOR THE PROVISION OF ADDITIONAL GENERAL ENGINEERING AND RESIDENT CONSTRUCTION SERVICES NECESSARY TO COMPLETE THE WATER WASTEWATER PUMP STATION UPGRADES PROJECT. This Amendment No. 18 to the Professional Services for AlE services for the Water and Wastewater Pump Station Upgrades Project (the Agreement), made and entered this 17th day of January, 2007, by and between the CITY OF MIAMI BEACH, a Municipal Corporation existing under the laws of the State of Florida, having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139 (hereinafter referred to as City), and CAMP DRESSER & MCKEE, INC., having its offices at 800 Brickell Avenue, Suite 710, Miami, Florida 33131 (hereinafter referred to as Consultant). RECITALS: WHEREAS, pursuant to Resolution No. 92-20540, dated July 8, 1992, the Mayor and City Commission approving an Agreement with Consultant, for Professional AlE Services for the Water and Wastewater Pump Station Upgrades Project (the Agreement); and WHEREAS, the Agreement provides for the architecture, design, engineering, permitting, bidding, construction administration services, shop drawing review, resident inspection services ,and reimbursables for the Project; and WHEREAS, the Agreement was executed, in an amount of $ 129,442; and WHEREAS, change orders are being added to the Project and negotiations are still needed; the Project is expected to be extended for another six months, and the assistance from CDM is essential to complete the Project; and WHEREAS, accordingly, the Administration recommends that the Mayor and City Commission approve Amendment 18 to the Agreement, in the amount of $277,186, which includes additional construction administration and Resident Inspection Services for approximately six (6) months, from January 1 st, 2007, through June 29, 2007; and WHEREAS, this Amendment No. 18 increases the Agreement fee by $277,186, for a total fee of $4,198,603. NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, Pump Stations Amendment No 18.doc Page 1 of 2 covenants, agreements, terms, and conditions herein contained, and other good and valuable consideration, the respect and adequacy are hereby acknowledged, do agree as follows: 1. ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 18. 2. MODIFICATIONS The Agreement is amended to provide the necessary additional services required to provide additional Construction Administration and Resident Inspection Services, as setforth by the attached Camp, Dresser & McKee Inc. Consultant Service Order, dated November 13, 2006, and revised on January 4, 2007 (Attachment UAU), in the corresponding negotiated amounts of $109,200, for Construction Administration, and $167,986, for Resident Inspection services; for a total of $277,186 for services through June 29, 2007. 3. OTHER PROVISIONS All other provisions of the Agreement remain unchanged. 4. RATIFICATION The City and Consultant ratify the terms of the Agreement, as per this Amendment No. 18.
